1. While noting the proceedings of the following 78th sub­committee meeting (CPC)of the Board held on 28th January2015 the necessity of taking exemption from applicability ofprovisions of KTPPAct in respect of services availed throughservice providers for Data Centre (DC) was discussed.GM(ICT&MIS)BESCOM was advised to apply to FinanceDept., GOK, seeking exemption from applicability ofprovisions of KTPPAct under appropriate exemption clause.

2. Proceedings of 78th meeting of Central Purchases Committeeof BESCOM on 5th March 2015 and adjourned meeting on7th March 2015 was taken note of.

Director (Technical),BESCOM explained the details ofproposal. Since there was an utmost necessity to create oneadditional 0 & M unit at Hunasanahalli duly bifurcating theexisting Kodihalli 0 & Munit under the jurisdiction of KanakapuraRural Sub division to achieve the key Objectives viz.,

1)To ensure better quality services to consumers. ~2) To comply with the Service Standards specified by

Karnataka Electricity Regulatory Commission.3) To implement administrative reforms effectively.4) To ensure 100% billing efficiency and revenue

the control of Company and present stage of progressand need for extending the time limit.

After detailed deliberation, it was decided to ratify the actiontaken by MD, BESCOMin issuing corporate order dtd 05.01.2015.In this context followingresolutions were passed.

RESOLVED THAT, approval be and is hereby accorded toextend the period of sanction for 18 posts created temporarily,for implementation of DAS project for further period of twoyearsfrom 16.12.2014.

FURTHER RESOLVED THAT, action taken in issuing corporateorder dtd 05.01.2015 extending 18 posts created temporarilybe and is hereby RATIFIED.

Subject No. 67/09: Staff Structure for newly formedCompany Secretarial section.

The followingwere submitted in this context,

1)The Government of Karnataka order EN 355/co­ordination/2014 dtd 13.01.2015 pursuant to section 203of Companies Act 2013.

2) The supersession of GOK order DE/PSR/2002 dtd22.05.2002.

3) Mandatory requirement as per section 203 of CompaniesAct 2013, recognizing Company Secretary as keyManagerial personnel of the Company.

4) The proposed staff structure for mandatory secretarialsection of BESCOM.

The followingwere discussed.

3) The additional requirement of ACSR Rabbit Conductor tocater the additional requirement for spill over works of FY2014-15 and FY2015-16.

The following significant points were noted in this context:

1)The reasonableness cost of procurement for 10000 Kms ofACSR, Rabbit Conductor at unit computed FORD price ofRs.32,628.69/km with total cost of Purchase OrderRs.32,62,86,900 /-

2) Comparisons of computed FORD price / Km with that ofupdated common SR 2014-15(updated as on 01.01.2015)and variation of 6.240/0above common SR 2014-15.

3) The reasonableness on comparison of rates with recent P.Oprice / Km other of other ESCOMs

4) The proposal which was audited by GM(I/A)

During the discussion it was submitted that purchaseorder on M/s. Traco Cable Company Ltd, Kochi was issued videP.O. No 1583/14-15 dtd 03.12.2014 for supply of 10000 Kms ofACSR Conductor at a unit computed FORD price /Km ofRs. 32628.69 at total amount of Rs 32,62,86,900.

The details were perused by the Board. The matter wasdebated and the followingresolution was passed in this context:

under Bangalore Distribution Up-gradation Project ._l

Details were explained. Broadly the Distribution AutomationSystem consists of 7 packages. Package-I includes DAS MasterStation, Communication System & Control Centre Facilities. Thecontract is awarded to My s.Efacec Engenharia SA, Portugal andM/s.SATEL, Finland through international bidding at the cost ofUSD 18,590,892.17 and INR21,71,37,750.96 (inclusive of taxes) asapproved in 47th Board Meeting held on 11.03.2011.

At its 61st Meeting held on 16.11.2013, approval was accordedby the Board for extension of the contract up to 31.03.2015 withoutany extra cost and at the same terms & conditions of contract. Thelegal opinion is given by Mis. JUST LAWAdvocates, on the requestmade by Mis. Efacec Portugal for amending certain contractualcommercial terms & conditions apart from seeking additional cost.The proposal has been referred to PMC and the report on the sameis awaited. The present proposal is for further extension of contractperiod. Broadly the following reasons have contributed for delay incompletion of package which were discussed.

(1) The delay in finalization of locations forestablishing infrastructure.

(2) Re-designing of communication network andgetting necessary approval.

(3) Time involved in testing of entire network andmapping of database points with field equipments.

Board took note of the following submission made byDASCELL,BESCOM.

(1) The time required for testing of entire network andmapping of database points with field equipment.

project.(3) PMC formal intimation that earliest project

completion will be only by Dec.2016.

Taking note of the submission and details, and also theprobable date by which work could be completed, Board accordedits approval to extend the contract period of package-I contract asper the existing terms, without levy of penalty and withoutadditional cost upto 31.12.2016.

Followingresolution was passed in this context:

RESOLVED THAT for the reasons explained, approval be & isaccorded to the foJlowing:

(a)Extension of contract order No.BESCOM/CGM (Project)/ DAS/ Package-I /Supply/98A/2011-12 AND

(b)BESCOM/CGM(Projects)/DASjPackage-I/Services/98B/2011-12 dated 02.05.2011placed on M/s.Efacec Engenharia e SistemasSA, Portugal from 31.03.2015 to 31.12.2016at no extra cost and on same terms &conditions.

Subject No.67/12 : Extension of PMC contract underBangalore Distribution Up-gradationproject.

Details were explained. The present proposal is to extend thePMCcontract with KEMAand M/s.CPR!. DASproject which took offduring 2008 should have been completed in a span of 50 monthsi.e., by August 2012. However, project implementation has gotdelayed at several stages. The reasons for delay were explained toBoard by Director (Tech) and DASCELL. It was observed that dueto certain unforeseen situations during implementation,

construction stages of the project.

The followingwere noted by the Board:

1. Valid reasons for seeking further extension of contractdue to change in BESCOM control center at 2locations.

2. Delay caused due to re-designing of DAScommunication network.

3. Testing of network and mapping of the databasepoints with field equipment.

4. Attrition of Project Management Consultants.5. Designing and development of the system.6. The prime necessity of Project Management

Consultants during testing and implementation.

Having noted the above, with an endeavor of BESCOM toexpedite the progress and complete the project at the earliest, theproposal was accepted and the followingresolution was passed.

RESOLVEDTHAT, for the reasons explained, approval be andis hereby accorded to extend the Project ManagementConsultancy (PMC)contract No.923/2008-09 dated 20.06.2008for the period from 31st March 2015 to 31st Dec. 2016 on same

Subject No. 67/13 : Extension of package - II contractUnder Bangalore DistributionUp-gradation Project.

The followingwere noted in this context:(a) BESCOM has taken up Distribution Automation

Scheme (DAS)works in BMAZArea with the financialassistance of My s. Japan International Co-operationAgency (JICA).

1. The Package IVA,IVB & IVe contractors have completed theerection work. About 784 Nos of RMUs out of 790 are alreadycharged.

2. The functionary aspect and their overall completion of Packageare interdependent on Package I.

3. The package work will be complete on integration with DASmaster station control centre and subsequent field testing onequipments for compatibility with control centre through RTU.

4. For completion of Package IV, integration testing with DASthrough RTU is required. The Package-lis expected to becompleted by 31.12.2016.

5. Till then these Packages are to be kept alive, so it is necessaryfor extension of Package IV contract upto 31.12.2016 withoutlevy of penalty and without any additional cost.

Taking note of the submission keeping in view the probabledate of completion of the project, Board accorded its approval toextend the contract period of package IV as per existing terms,without levy of penalty and without any additional cost up to31.12.2016.In this context the followingresolutions were passed.

Board debated the matter. From the point of view ofimprovement in quality of power supply and reduction ininterruptions, Board felt that Niranthara Jyothi Yojane is asuccessful initiative taken up by BESCOM since the scheme willbenefit the rural population to a considerable extent because ofbetter quality of power supply. Board also took note of the fact thata loan of 60% of the total project cost has already been gotsanctioned through RECunder National Electricity Fund\\ i\\,

MD explained that BESCOMis the largest power Distributionutility in the state of Karnataka. Apart from Power Distribution,BESCOM is mandated with the responsibility of implementation ofsome of the major initiatives like RAPDRP,Distribution AutomationSystem (DAS) project, Smart Grid Project etc. As a result ofexpansion and growing complexity in activities undertaken byBESCOM, the role of information technology and IT infrastructurein supporting the objectives of the organization has significantlyenhanced and hence separate IT Cadre is utmost needed at thisjuncture to BESCOM.

Director (F) further explained that, in the model which isprevailing in Maharashtra is ideal one and well-structured to cater

The followingwere noted by the Board:1)The structure presently existing in Kerala and Maharashtra

are comparable.2) Responsibility presently entrusted to LT wing for

monitoring and administrating the network.3) The need for monitoring the security and performance of

database BESCOM.4) The need for software design, development, customization

and installation in BESCOM.5) The need for managing the hardware and assisting top

management in BESCOM.6) Resolving I.T security and LT policy related issues in

BESCOM.The proposal was debated. However it was observed that the

proposal was not vetted by experts in the field of LT. The details ofexisting structure, proposed structure comprismg requiredmanpower both in-house and outsource, the ratio between thesame to meet the objectives of organization, the cost implication forthe proposed structure etc., were not completely found in theagenda. Moreover, the proposal need to be completely vetted byan agency expert in the field of IT. Hence, Board furtherdesired specific vetting and opinion of the 1.T co sff tant is

The followingaspects were submitted in this context.

1. Fresh tender was invited on partial turnkey basisconsequent to short-closure of the earlier work award toMis. A2Zengineering Ltd Gurgaon.

2. 75th CPC Meeting held on 04.07.2014, the offer ofMis. Sealwel Corporation Pvt. Ltd was rejected which hadquoted 53.29% excess over the amount put to tender as per .,evaluation adopting common SR 2012-13. The CPC hadgiven its decision to float fresh tender for lot 28 Bangarpetpart - II also.

3. Single bidder namely MI s. Gowtham Electricals,Chintamani participated in the present bidding (4thcall)

4. The amount put to tender was arrived at by excluding thecost of materials available with BESCOMwhich have beenconfiscated from short closed contract.

5. The tender evaluation was made under the provisions ofKTPP Act and tender scrutiny committee considered thatMis. Gowtham Electricals, Chintamani as technocommercially responsive.

Gowtham Electricals,Chintamani at Rs 1152.41 lakhs @20% excess over amountput to tender was found high and there was no completereasonableness for balance quantum of work. At the 79thCentral Purchase Committee it was also observed that, theliquidated damages for non-execution of works and non­fulfillment of terms of contract is not collected by enforcinglegal action to recover the financial loss to BESCOMdue toshort closure and the GM (Projects) was directed to furthernegotiate to bring down the prices.

2. The scope of the work involves segregation of rural l1Kvfeeders into two separate 11Kv lines and objectives ofNiranthara Jyothi Scheme are achievable.

3. Necessary actions are taken subsequent to short closure toforfeit the Bank Guarantee and withholding of payment ofbills.

4. Complete justification for the proposal was made by GM(Projects) BESCOMafter negotiation with L1 bidder.

The proposal was debated. Board felt that since the work is ofprestigious project of Government of Karnataka and is necessary forfulfilling the needs of the rural area to provide supply to all therural loads like agricultural, domestic, commercial water supply etcon Niranthara Jyothi feeders 24hrs, 3phase supply, the proposalneed to be considered. The proposal was debated, since the work is a prestigiousproject of Government of Karnataka and is necessary for fulfillingthe needs of the rural area to provide supply to all the rural loadslike agricultural, domestic, commercial water supply etc., onNiranthara Jyothi feeders 24hrs, 3phase supply, the proposal needsto be considered. Board also observed that Central PurchaseCommittee recommended the proposal after due negotiation with Lltenderer.

In this context the followingresolutions were passed.

Subject No. 67/A03:- Design, Supply, Testing, installationand commissioning of 250 nos. gridtied solar irrigation pumpsetsunder "Surya Raitha" scheme atHarobele village, Kanakapurataluk in Ramanagara district,Karnataka state (on net-meteringbasis as a pilot scheme) and tomaintain for a period of 10 years.

MDexplained the salient features of the scheme broadly and thefollowingwere submitted:

1) Karnataka is the first southern state to notify its solar ,policy for the period from 2011-2016 and further revised forthe period from 2014-2021.

2) The brief report of the project as to how the projectpromotes replacing existing inefficient IP sets with efficientpump sets and energizing these IP sets with solar powerand feeding excess energy to the grid on net-meteringconcept. The excess energy fed into the grid will be paidback to the farmers as per tariff fixed by KERCresulting inadditional income to the farmers.

Further action plans drawn, series of meetings which were heldwith Energy Department, MD KREDL, field officers and otherstakeholders who have successfully implemented solar projects in thecountry in order to adopt modalities for implementing this prestigiouspilot project were also explained.

The following salient features of the projects were perused by theBoard:

• To select agricultural feeder comprising of not morethan 250 IP sets.

• The depth of bore wells < 500ft• The consent of farmers to be a part of the pilotproject willing to invest minimum amount ofRs.50,000 per IP set

MD further explained that with the insufficient manpower the lcompany has difficulty in carrying out surveying, estimating andrectifying the network systematically to the needs of the situations.The Electrical inspectorate and KERChas also noticed the defectsin the network. Hence, it is required to carry out one timemaintenance works systematically which will strengthen thenetwork substantially.

Mr.Nagaraj, Director, President KPTCL Employees Unionexpressed that the award of work for preventive maintenance otherthan onetime maintenance not advisable since the said work needto be carried out by our own internal manpower of BESCOMonlyand not to be entrusted on outsource basis since this is perennialnature ofwork.

The matter was debated at length. MD explained that, SIncethere is shortage of internal manpower and recruitment processalso takes considerable time. Therefore, BESCOM needs toexperiment this model. The work has two components:

(1) One component of tender is for one timemaintenance in 4 months duration aftercompletion of initial survey.

(2) Second component of tender is for preventivemaintenance for 18 months duration.

Reckoning the time spanrequired for recruitment and utmost need for maintenance ofdistribution network of BESCOM, the Board felt that, there isreasonableness is awarding work at essential geographical areaslike East Circle, Jayanagar Division, Kormangala Division andChandapur Division at one lot to each bidder leaving rest of theareas of present tender. The Board passed the followingresolutionin this context:
