AND WHEREAS the closest Service Ontario Centre with the same level

of service is located approximately 100 kilometres (round trip) from Morrisburg;

AND WHEREAS the Municipality has several businesses, including

automobile dealerships, that face increased costs and inconvenience to their customers if they lose direct access to a local Service Ontario

Centre;

AND WHEREAS closing the Service Ontario Centre in South Dundas would cause unnecessary hardship to young families and seniors who

do not have internet access or transportation to attend a Service

Ontario location outside the Municipality;

AND WHEREAS the government has provided no supporting information or a business case to validate its decision;

NOW THEREFORE BE IT RESOLVED THAT the Council of the

Municipality of South Dundas requests the Minister of Government & Consumer Services to immediately reverse the decision to close the

Service Ontario Centre in Morrisburg to ensure South Dundas residents can access government services where they live;

AND FURTHER THAT a copy of this resolution be forwarded to the

Minister of Government & Consumer Services and Stormont, Dundas and South Glengarry MPP Jim McDonnell;

AND FURTHER THAT a copy of this resolution be forwarded to the United Counties of SDG, Township of Edwardsburgh/Cardinal, and

Township of South Stormont for their support. CARRIED

Letter of Thank You to Mayor Evonne Delegarde and the Members of the Council of South Dundas: Mr. Jim Locke, Mr. Bill Ewing, Mr. Marc St. Pierre, Mr. Archie Mellan; On behalf of the Volunteers of the Friends of Crysler’s Farm Battlefield I would like to thank the Township of South Dundas for the generous donation. Thank you is extended to Communications and Tourism Director Katherine Wells for her time and effort in this regard. This donation will enable the group to continue in its role as public educator, while commemorating the event that is not only of historical importance to the area but to that of the history of the Country. It is hoped that the members of Council and Staff of the Municipality of South Dundas will, along with their families join us at the Battlefield Memorial, Upper Canada Village for this summer’s re-enactment on the 9th and 10th of July. Bring a chair or blanket and enjoy the view of the St. Lawrence from the shaded embankment of the Memorial. We also offer shuttle service to and from the battlefield for those physically challenged. Waterfront Committee would like approval to spend the $1,950 from the 100 Women Who Care plus

$5,000 to purchase (4)picnic tables and (4) benches

The Ampitheatre needs to be addressed soon to rectify seating problems. It was suggested to

investigate Bleacher Style metal seats. We also should have a temporary canopy for over the stage area

There appears to be some benches missing on dock. Get SD to investigate.

The goose population (and their mess) needs to be addressed.

A Skateboard park was suggested from comments at trade show. MWF committee agrees and feel

investigation into requirements should happen

ZONING BY-LAW AMENDMENT

10546 BROKEN SECOND ROAD

NORTH ½ LOTS 26 & 27, CONCESSION 1, RANGE 1 IN THE FORMER GEOGRAPHIC TOWNSHIP OF MATILDA

MUNICIPALITY OF SOUTH DUNDAS

EXPLANATORY NOTE

This lot was subject to a consent application which resulted in the severance

of a vacant farm parcel comprising the bulk of the property from a surplus dwelling lot.

This Zoning By-law Amendment is needed to fulfill a condition of approval of

the aforementioned consent application wherein the retained lot is to be rezoned to a residential zone to permit the existing legal non-complying

single detached dwelling and accessory structure. The zoning is being changed by rezoning the portion of the retained parcel zoned as Mineral

Aggregate-Reserve (MAR) to Rural (RU).

This Amendment is related to the following Consent Application B-1/16. The

Key Plan identifies the location of the approximately 4.3 acres of land that are affected.

This Zoning By-law Amendment is not related to any Minor Variance, Official

Plan Amendment or Plan of Subdivision.

These lands are designated in the Stormont, Dundas and Glengarry Official Plan as Rural District Lands. A portion of the severed lands have an

Extractive Resource Lands overlay.

Subject: Replacement of Rubber Flooring

Recommendation:

THAT the Council of the Municipality of South Dundas approve Report RF2016-01 to accept the quotation from Morrisburg Home Hardware for

replacement of rubber flooring at the Morrisburg Arena in the amount of $15,418.85 HST included.

Background:

There were phone calls and emails sent out. This replacement is required

because flooring in the arena is in bad shape and is a concern of a safety.

Discussion/Options:

There were three companies that submitted quotations for the rubber

flooring, all three companies met the specifications for this quotation. Please see attached.

Current & Future Budget Implication:

This amount is in the 2016 budget.

Recommendation:

THAT the Council of the Municipality of South Dundas accept Report No.

PW16-02 to award the Request for Tender PW16-05 for the supply and delivery of Road Maintenance Stone and Winter Stone Dust for 2016 in the

amount of $11.85 per tonne plus HST for Maintenance Stone and $10.68 per tonne plus HST for Winter Stone Dust to Cornwall Gravel Company Ltd.

Background:

In compliance with the South Dundas Roads Maintenance Program a request for tender was let for 5/8 Stone for Road Maintenance and stone dust for

winter maintenance.

Discussion/Options:

There were two companies that bid on the Granular Tender which were: Cornwall Gravel Company and David Brown Construction. The tender

included two sections for bids: maintenance stone and stone dust. Cornwall Gravel Company placed a bid for both sections and David Brown

Construction only placed a bid on the maintenance stone. The tender was advertised in the three local papers as well as on the Municipal website.

Current & Future Budget Implication:

Tendered pricing per tonne attached.

amount of $102.50 plus HST per tonne to Triple M Metal.

Background:

In compliance with the requirements outlined in the Operational Plan for the

South Dundas Landfills a request for quotation was advertised for removal of scrap metal. The request for quotation requested the provision of all

necessary equipment to remove and market the material as well as a financial reimbursement component to the Municipality.

Discussion/Options:

There were two companies that bid on the removal of scrap metal were:

Triple M Metal and AIM. The request for quotation was advertised in the three local newspapers as well as on the Municipal website.

Recommendation:

THAT the Council of the Municipality of South Dundas accept Report CLK2016-03 to approve the transfer of the Hanesville Cemetery to the

Municipality of South Dundas.

Background:

The Hanesville Cemetery has been operated and maintained by a Board of

Directors for many years. The cemetery is still active, meaning there are plot sales and burials. Correspondence (as attached) has been received

from the last remaining Director requesting transfer of the cemetery to the Municipality.

Discussion/Options:

Contact has been made with the Chair of the Williamsburg Cemetery Board

to request the Board to accept the transfer of the Hanesville Cemetery under the same License and Operator’s Certificate as they presently operate.

Williamsburg will meet in the near future to discuss but in the meantime the Municipality can accept transfer.

The Bereavement Authority of Ontario (BAO) has been contacted to assist with the transfer.

A By-law to amend By-Law No. 2010-48.

WHEREAS By-Law No. 2010-48 regulates the use of land and the use and erection of buildings and structures;

AND WHEREAS the Municipality of South Dundas deems it advisable to

amend By-Law No. 2010-48 as hereinafter set forth;

NOW THEREFORE the Council of the Corporation of the Municipality of South Dundas enacts as follows:

1. The area affected by this By-law is indicated by the shaded tone on Schedule ‘A’ attached hereto and forming part of this By-law.

2. By-Law No. 2010-48 is hereby amended as follows:

i) Schedule 8 of By-Law No. 2010-48 is hereby amended in

accordance with Schedule ‘A’ attached hereto;

ii) The area shown on Schedule ‘A’ to this By-law shall henceforth be zoned Rural (RU).

3. This By-law shall come into full force and effect in accordance with the

Planning Act, R.S.O. 1990, as amended.

THE CORPORATION OF THE MUNICIPALITY OF SOUTH DUNDAS BY-LAW NO. 2016-34 A By-Law to amend By-Law No. 2003-12 to name and/or rename roads. WHEREAS the Council of the Corporation of the Municipality of South Dundas deems it expedient to review and amend By-Law No. 2003-12 for the purpose of public safety to name all local roads within the said Municipality to easily identify property locations;

AND WHEREAS it is deemed expedient to accept and assume the extension to Campbell Street on Parts 1 & 2 on Registered Plan 8R-5514 as part of the public highway system;

NOW THEREFORE the Council of the Corporation of the Municipality of South Dundas enacts as follows:

1. That all of the works constructed and described as Part of Lot 29, Concession 1, Part of Lot 13, Registered Plan No. 46 known as Campbell Street are hereby accepted and assumed as part of the public highway system of the Municipality of South Dundas.

2. And That Section 264 be deleted in its entirety and replaced with:

“That the road commencing at Stormont, Dundas and Glengarry County Road 2 running northerly to Industrial Road be named “Campbell Street”.

3. And That That the road commencing at Allison Avenue running easterly

approximately 600 feet be named “Chestnut Street”.

4. That all other provisions of By-Law No. 2003-12 shall remain in effect.

5. That this By-Law shall come in force and take effect immediately upon

THIS AGREEMENT made in duplicate this 7th day of June in the

year 2016.

BETWEEN:

Cornwall Gravel Company Ltd. (Hereinafter called the

“Contractor”) of the first part. and

Municipality of South Dundas (Hereinafter called the

“Municipality”) of the second part.

WITNESSETH that the Contractor and the Municipality, for the considerations

hereinafter indicated, undertake and agree as follows:

ARTICLE I

a) This contract is for the supply and delivery of Granular as set out in

your proposal which was opened on May 27th, 2016. The tender document is attached to this agreement.

ARTICLE II

The Contractor undertakes and agrees as follows:

a) To provide/furnish, at his own expense, all and every kind of labour,

machinery, plant, structures, roadways, materials, appliances, articles and things necessary for the due execution and completion of all the

work set out in the identified request for quotation.

ARTICLE III

The Municipality undertakes and agrees as follows:

a) To pay the Contractor in lawful money of Canada for the performance

of the work of the Contract, as described in the Schedule of Items and Prices, as submitted by the Contractor. It is estimated that the

aggregate payable under this Agreement will be in the amount of $139,313.00 Dollars (Inc. HST). Additional work may be performed on

a unit basis, as described in the Schedule of Items and Prices, as

submitted by the Contractor. However, the additional work must be agreed to, in writing, by both parties as indicated in Article III c).

b) To make payments on account thereof upon the approval of the

Director of Public Works as follows:

(i) On the 25th day of each calendar month, the Contractor shall prepare and deliver to the Director, an invoice for the value of

the labour and material incorporated in the work of the Contract up to the 25th day of that month.

(ii) Payment by the Municipality of the ten percent (10%) holdback

shall be in accordance with the Construction Lien Act, and the provision of the following:

1. A satisfactory certificate of clearance from the Workplace Safety Insurance Board.

2. A statutory declaration completed by a signing officer of

the company (Contractor) in a form satisfactory to the Director that all liabilities incurred by the Contractor and

his Subcontractors in carrying out the Contract have been paid and that there are no liens, garnishes, attachments of

claims relating to the work.

c) Any item that may arise that would require additional compensation over and above the tender amount, must be mutually agreed to by

both parties. The contractor will submit a written quotation of the additional work, which must be reviewed, agreed to and approved in

writing by the Municipalities Director of Public Works prior to the

additional work commencing.

ARTICLE IV

The Proponent shall at their own expense obtain and maintain insurance covering all activities of the Proponent and provide the Municipality with

evidence of:

Workplace Safety Insurance Board (W.S.I.B.)

The successful bidder shall at their own expense within 10 days notice of

acceptance and prior to the commencement of work and maintain until the termination of the contract or otherwise stated, provide the Municipality

evidence of clearance from W.S.I.B. stating that all assessment or compensation payable to the W.S.I.B. has been paid.

Commercial General Liability

Commercial General Liability Insurance issued on an occurrence basis for an

amount of not less than $5,000,000.00 per occurrence/$5,000,000.00 annual aggregate for any negligent acts or omissions by the Company. Such

insurance shall include, but is not limited to bodily injury and property damage including loss of use; personal injury; contractual liability; liquor liability;

injury to participates; premises, property & operations; non-owned automobile; broad form property damage; owners & contractors protective;

occurrence property damage; products & completed operations; employees

as Additional Insured(s); contingent employers liability; tenants legal liability – Broad Form; cross liability and severability of interest clause

Such insurance shall add The Municipality of South Dundas, its officers and

employees as Additional Insured with respect to the activities of the Company. This insurance shall be non-contributing with and apply as primary and not as

excess of any insurance available to the Municipality. The renter shall indemnify and save harmless the Municipality, their officers, employees and

volunteers from and against any liability, loss, claims, demands, costs and expenses, including reasonable legal fees, occasioned wholly or in part by any

negligence or acts or omissions whether willful or otherwise by the renter, their officers, employees or other persons for whom the renter is legally

responsible.

Automobile Liability Insurance

Automobile liability insurance with respect to owned or leased vehicles used

directly or indirectly in the performance of the services covering liability for bodily injury, death and damage to property with a limit of not less than

$2,000,000. inclusive for each and every loss.

Environmental Impairment Liability (if applicable)

The bidder shall effect and maintain Environmental Impairment Liability with

a limit of not less than $1,000,000. Per Incident /Annual Aggregate. Coverage shall include Third Party Bodily Injury and Property Damage including clean-

up. Such insurance shall be maintained for a period of two years subsequent to conclusion of services provided under this Agreement.

The Policies shown above shall not be cancelled unless the Insurer notifies the

Municipality in writing at least thirty (30) days prior to the effective date of the cancellation. The insurance policy will be in a form and with a company

which are, in all respects, acceptable to the Corporation of the Municipality of South Dundas.

ARTICLE V

No implied Contract of any kind whatsoever by or on behalf of the Municipality shall arise or be implied from anything in this Contract

contained, nor from any position or situation of the parties at any time, it

being clearly understood that the express covenants and agreements herein contained made by the Municipality shall be the only covenants and

agreements upon which any rights against the Municipality may be founded.

ARTICLE VI

The Contractor declares that by entering into this Contract, he agrees to protect, defend, indemnify and hold harmless the Municipality, its elected

officials, agents, employees and the Province of Ontario, from and against any liability, damages, claims, suits, liens and judgments, of whatever

nature, including claims for contribution and/or indemnification, for injuries to any person or persons, or damage to the property or other rights of any

person or persons, caused by the Contractor. The Contractor’s obligation to protect, defend, indemnify and hold harmless, as set forth above, shall

include any matter arising out of the actual or alleged unfair competition,

disparagement of service, or other business tort of any type whatsoever, or

any actual or alleged violation of professional regulations.

ARTICLE VII

The Contractor and the Municipality for themselves, their successors, and assigns, hereby undertake and agree to the full performance of the

covenants contained herein.

ARTICLE VIII

The Contractor further agrees that he will complete the whole of the works

in accordance with this agreement on or before July 29, 2016 for granular “m” 5/8” crushed rock and October 28, 2016 for dry stone dust.

ARTICLE IX

If and whenever either party hereto desires to give notice to the other party

under or in connection with this Agreement, such notice will be effectively given if mailed or delivered in writing to such party at the following address:

THE CORPORATION OF THE MUNICIPALITY OF SOUTH DUNDAS

BY-LAW NO. 2016-36

A BY-LAW to enter into an Agreement with Triple M Metal for the collection and removal of scrap metal from the two Landfill Sites.

WHEREAS the Municipal Act, 2001, as amended, provides that the powers

of the municipality shall be exercised by By-law;

AND WHEREAS the Municipality of South Dundas desires to execute an Agreement with Triple M Metal for the collection and removal of scrap metal

from the two Landfill Sites under Contract No. MPW2016-03;

NOW THEREFORE the Council of the Corporation of the Municipality of

South Dundas enacts as follows:

1. THAT an Agreement be executed with Triple M Metal in accordance with Schedule “A” attached to this By-law.

2. That the Mayor and Clerk are hereby authorized to execute all

documents as required to effectively carry out this Contract Agreement.

READ and passed in open Council, signed and sealed this 7th day of June,

2016.

THIS AGREEMENT made in duplicate this 7th day of June in the

year 2016.

BETWEEN:

Triple M Metal (Hereinafter called the

“Contractor”) of the first part. and

Municipality of South Dundas (Hereinafter called the

“Municipality”) of the second part.

WITNESSETH that the Contractor and the Municipality, for the considerations hereinafter indicated, undertake and agree as follows:

ARTICLE I

a) This contract is for the collection and removal of scrap metal in the

Williamsburg and Matilda Landfill Sites as set out in your proposal which was

opened on May 27th, 2016 and is attached to this contract.

b) The Contract period shall be for a period of one (1) year (12 months) from the date of execution of the contract. Price(s) quoted shall remain firm

for the period of the Contract. The Bidder shall not revoke its offer until after the expiration of sixty (60) calendar days after the opening of the Tenders

by the Municipality.

ARTICLE II

The Contractor undertakes and agrees as follows:

a) To provide/furnish, at his own expense, all and every kind of labour, machinery, plant, structures, roadways, materials, appliances, articles

and things necessary for the due execution and completion of all the

work set out in the identified request for quotation.

ARTICLE III

The Municipality undertakes and agrees as follows:

a) If the Contractor is baling scrap metal periodically through the year (to

occur at least twice per year), payment to the Municipality, will be made within a period of sixty (60) days following completion of each respective

scrap metal baling & removal event. If the Contractor is utilizing roll-off containers for collection & removal of scrap metal, payment to the

Municipality, will occur monthly. The tonnage hauled during a specific

time period will be the sum owing.

All payments to the Municipality will be the tendered unit price per tonne as indicated on weigh scale slips/tickets.

b) Any item that may arise that would require additional compensation

over and above the tender amount, must be mutually agreed to by both parties. The contractor will submit a written quotation of the

additional work, which must be reviewed, agreed to and approved in writing by the Municipalities Director of Public Works prior to the

additional work commencing.

ARTICLE IV

The Proponent shall at their own expense obtain and maintain insurance

covering all activities of the Proponent and provide the Municipality with evidence of:

Workplace Safety Insurance Board (W.S.I.B.)

The successful bidder shall at their own expense within 10 days notice of

acceptance and prior to the commencement of work and maintain until the termination of the contract or otherwise stated, provide the Municipality

evidence of clearance from W.S.I.B. stating that all assessment or compensation payable to the W.S.I.B. has been paid.

Commercial General Liability

Commercial General Liability Insurance issued on an occurrence basis for an

amount of not less than $5,000,000.00 per occurrence/$5,000,000.00 annual aggregate for any negligent acts or omissions by the Company. Such

insurance shall include, but is not limited to bodily injury and property damage including loss of use; personal injury; contractual liability; liquor liability;

injury to participates; premises, property & operations; non-owned automobile; broad form property damage; owners & contractors protective;

occurrence property damage; products & completed operations; employees

as Additional Insured(s); contingent employers liability; tenants legal liability – Broad Form; cross liability and severability of interest clause

Such insurance shall add The Municipality of South Dundas, its officers and

employees as Additional Insured with respect to the activities of the Company. This insurance shall be non-contributing with and apply as primary and not as

excess of any insurance available to the Municipality. The renter shall indemnify and save harmless the Municipality, their officers, employees and

volunteers from and against any liability, loss, claims, demands, costs and expenses, including reasonable legal fees, occasioned wholly or in part by any

negligence or acts or omissions whether willful or otherwise by the renter, their officers, employees or other persons for whom the renter is legally

responsible.

Automobile Liability Insurance

Automobile liability insurance with respect to owned or leased vehicles used

directly or indirectly in the performance of the services covering liability for bodily injury, death and damage to property with a limit of not less than

$2,000,000. inclusive for each and every loss.

Environmental Impairment Liability (if applicable)

The bidder shall effect and maintain Environmental Impairment Liability with

a limit of not less than $1,000,000. Per Incident /Annual Aggregate. Coverage shall include Third Party Bodily Injury and Property Damage including clean-

up. Such insurance shall be maintained for a period of two years subsequent to conclusion of services provided under this Agreement.

The Policies shown above shall not be cancelled unless the Insurer notifies the

Municipality in writing at least thirty (30) days prior to the effective date of

the cancellation. The insurance policy will be in a form and with a company which are, in all respects, acceptable to the Corporation of the Municipality of

South Dundas.

ARTICLE V

No implied Contract of any kind whatsoever by or on behalf of the

Municipality shall arise or be implied from anything in this Contract contained, nor from any position or situation of the parties at any time, it

being clearly understood that the express covenants and agreements herein contained made by the Municipality shall be the only covenants and

agreements upon which any rights against the Municipality may be founded.

ARTICLE VI

The Contractor declares that by entering into this Contract, he agrees to

protect, defend, indemnify and hold harmless the Municipality, its elected officials, agents, employees and the Province of Ontario, from and against

any liability, damages, claims, suits, liens and judgments, of whatever nature, including claims for contribution and/or indemnification, for injuries

to any person or persons, or damage to the property or other rights of any person or persons, caused by the Contractor. The Contractor’s obligation to

protect, defend, indemnify and hold harmless, as set forth above, shall include any matter arising out of the actual or alleged unfair competition,

disparagement of service, or other business tort of any type whatsoever, or any actual or alleged violation of professional regulations.

WHEREAS the Municipal Act, 2001, as amended, provides that the powers of the Corporation of the Municipality of South Dundas, shall be exercised by

By-law;

AND WHEREAS in many cases, action which is taken or authorized to be taken by the Municipality of South Dundas does not lend itself to the passage

of an individual By-law;

NOW THEREFORE the Council of the Corporation of the Municipality of

South Dundas hereby enacts as follows:

1. THAT the Minutes of the Regular Meeting held on May 17, 2016 and the In Camera Meeting on May 17, 2016 of the Municipality of South

Dundas, be and the same are hereby adopted.

2. THAT the actions of the Municipality of South Dundas, at its meeting held on June 7, 2016, in respect of which recommendations contained

in the reports of the committees considered at each meeting and in respect of each motion, resolution and other action taken by the

Municipality of South Dundas at its meeting are, except where the prior approval of the Ontario Municipal Board or other authority is required

by law, hereby adopted, ratified and confirmed as if all such proceedings were expressly embodied in this by-law.

3. THAT where no individual By-law has been or is passed with respect to the taking of any action authorized in or by the above-mentioned

minutes or with respect to the exercise of any powers by the Municipality of South Dundas in the above-mentioned minutes, then

this By-law shall be deemed for all purposes to be the By-law required for approving and authorizing and taking of any action authorized

therein and thereby or required for the exercise of any powers therein by the Municipality of South Dundas.

4. THAT the Mayor and Members of Council of the Municipality of South

Dundas are hereby authorized and directed to do all things necessary to give effect to the said action of the Municipality of South Dundas to

obtain approvals where required and accept otherwise provided, the Mayor or Clerk are hereby directed to execute all documents necessary

on behalf of the Municipality of South Dundas.
