Introduction to the conference theme

The Nordic Region is known for the so-called Nordic model (or Nordic capitalism), in which comprehensive welfare states and progressive societies go hand in hand with free market and trade, and provide for a high standard of living. The Nordics also are renowned for housing leading players in numerous business areas, such as food, high tech, medical/life sciences, design, shipping and oil. Last not least, the region stands as a model for sustainable development and for work-life balance.

To facilitate continued innovation and growth of startups Nordic governments strive to support entrepreneurship. EU’s Digital Economy and Society Index (DESI) 2018 (https://ec.europa.eu/digital-single-market/en/desi) has Denmark as the front runner

followed by Sweden and Finland. Headed by Denmark, the Nordic countries form the most digital region in the EU.

Copenhagen is, thus, the perfect venue to explore (how digitalisation already has disrupted and will further affect various business sectors – and for asking what role the human factor will have in the post-digitalised business world and society).

After the success of the last edition in Munich, the Global Entrepreneurship Conference is back with yet more lively panel discussions led by entrepreneurs and industry players and with interactive workshops on legal practice areas of general interest. The legendary ‘Closely Held’ spirit will provide, once again, for an unforgettable networking experience.

Keynote debate: The Nordic model – a winning formula or bound to disappear? The Nordic model, while being based on the free market, rests upon the pillars of a comprehensive welfare state, publicly funded high-quality education and strong employee protection with a high share of unionised workforce. In other words, the model comes along with high taxation and social contributions, high labour costs and heavy regulation. This notwithstanding, the Nordic countries are home to a lasting ‘economic miracle’, with relative political stability, steady economic growth, price stability, low unemployment and healthy state finances. Also in terms of innovation and new technology, the Nordic countries consistently have a leading edge.

A panel of experts will further explain the Nordic model and discuss issues such as: • How, respectively to which extent has the Nordic model really

been able to bring together state-directed social equality and free market efficiency?

• What are the down sides? • What are the challenges to the Nordic model, and how can they

be mastered? Will it survive globalisation and digitalisation? • How does the Nordic model affect entrepreneurship, venture

Governance and M&A challenges for family and other closely held businesses – part IThis interactive workshop session will explore the challenges and trends in M&A transactions involving family owned and other closely held businesses and corporate governance. How can owners’ best achieve their objectives in selling all or a significant stake in the businesses? What is best practice and what are the pitfalls when it comes to corporate governance structures? The discussion will focus on some of the most significant issues that need to be considered by owners both before they embark, and during, what can be taxing negotiations to agree and complete a transaction or in reviewing their existing governance structure.

In the first part of the workshop, delegates will work in breakout groups to discuss these topics, including the following: • Corporate governance structures – how to drive long term

value. Board structure options and their implications (checks and balances), succession planning, family shareholder influence, independent directors and employee equity participation schemes/involvement eg, impact of employee co-determination rights on corporate governance

• Before you sell – how to best prepare for a sales process? What are key issues to resolve before starting the process to divest a closely held or family owned business?

• Purchase price – earn-out structures in private company sales. What are recent trends/market practice across Europe? What are the challenges in determining the correct metric triggering payment eg, revenues versus profits? What are the most important earn-out protection mechanisms, especially in 100 per cent sales?

• Liability structures – representations and warranties (and who should be the warrantor(s)), the rise of W&I insurance vs escrow and/ or the indemnification provisions, post-closing liabilities

• Impact of the changing international landscape for doing business – Brexit, trade wars, increased government intervention/regulation eg, GDPR, protectionism – what is the impact on the M&A process?

• Due diligence – streamlining the disclosure process, red flag due diligence for purchasers. What is a red flag due diligence report/process? What are the key issues, risks and drivers?

• Alternatives to divesting a closely held business: joint ventures, key deal term considerations eg, governance structure options, sharing of profits, expenses and risks, reputational impact, intellectual property ownership and treatment on joint venture termination

The sharing economy revisited: the high tide of regulation and taxation At first, it looked like nothing could stand in the path and stem the advance of sharing economy models. It was widely thought that classic regulation and taxation could not possibly get a grip on sharing economy. Recently, sector champions like Uber, Airbnb and many others have been facing serious issues in several jurisdictions which are, in some instances, challenging their very business model or forcing them to discontinue certain activities. Are regulation and taxation closing in on sharing economy models and forcing them to choose between adapting to the ‘old economy’ or disappearing?

This panel will assess the extent of the problem, and discuss if viable solutions which are fair to all players could be at hand.

Caroline Pontoppidan is one of the most respected lawyers in Denmark – and abroad. Again in 2019, Caroline was appointed amongst the top 10 most influential women in Denmark.

With an unusual career path which includes modelling and 15 years as equity partner in a major Danish law firm, she is now part of the Maersk management team (a transport and logistics group which includes the world’s largest container carrier). Caroline is functionally responsible not only for legal and compliance but also for corporate affairs and security which includes battling piracy and drug smuggling at 75 terminals and 700+ container ships all over the world.

The discussion will focus on the numerous routes to financing for closely held and growing companies, both classic and new models, recent experiences with these models, and the role of the lawyer in choosing and implementing the right model for the client. How can we as lawyers continue to add value and ensure appropriate legal certainty to our clients in each of these models?

In the first part of the workshop, delegates will work in breakout groups to discuss the number of topics, including the following: • New players as alternative to banks. Emergence of lending

marketplaces • Advantages and disadvantages of debt financing and equity

financing of small business/start ups• Crowdfunding versus business angels• Financing by private equity investors and other funds eg,

sovereign funds• Getting your business bank debt ready. How to act for

borrowers when seeking bank funding • Forms of mezzanine capital and their implications on closely

held businesses • Equity and debt capital market trends • Invoice factoring, suppliers and other commercial financing• Alternative forms of financing (loans with profit participation,

convertible loan, warrants and other hybrid instruments) • Role of due diligence in various types of financing. Trends on

opinions and counsel reports (reliance versus release letters) • Trends in loan documentation and terms • Trends in disputes with banks over financing (interest swaps,

Conference sell-outsThe IBA places its conferences in venues of a suitable size for each event; however, there are times when our conferences may sell out. Should this happen, prospective delegates will be informed and a waiting list will operate. The waiting list will function on a ‘first come, first served’ basis, subject to receiving registered delegate cancellations. The IBA will not be liable for any travel or accommodation expenses incurred by an individual who travels to a conference without a confirmed place at the event.

Cancellation of registration or social functionsIf cancellation is received in writing at the IBA office by 26 April 2019, fees will be refunded less a 25 per cent administration charge. Refunds will be made minus any monies owed to the IBA.

We regret that no refunds can be made after this date. Registrations or social function bookings received after 26 April 2019 will not be eligible for any refund of fees. Please note that NO exception will be made to this policy. Should you have difficulties in obtaining your visa and are not able to attend the Conference this cancellation policy will still apply.

Upon submission of your completed Conference registration form to the IBA you are considered ‘registered’ pending payment. Please note that the cancellation terms and conditions as indicated will apply as soon as your registration is received.

Provided you have cancelled your registration to attend an IBA conference in accordance with the terms of the ‘cancellation of registration’ clause included in the ‘Information’ section of the relevant conference programme, you must then confirm to us in writing at the IBA office as soon as possible, but in no event later than one year (12 calendar months) from the date of any such conference, all necessary details to enable any reimbursement owed to you to be paid. IBA Professional Ethics Committee overviewProfessional ethics involves an area that all lawyers must be familiar with regardless of their field of practice.

The Professional Ethics Constituent seeks to promote the high standards of professional conduct and ethics on a global basis. The Committee provides a forum for all international lawyers who are interested in discussing and debating issues affecting the practice of law. In today’s world a lawyer may face conflicting duties and the application of professional standards may be far from apparent. The Committee focuses on developments of international significance and seeks active collaboration with other committees and constituents in providing programmes at the IBA conferences.

The Committee works closely with the IBA Standing Committee on Professional Ethics which is concerned with the maintenance and periodical reform of the International Code of Ethics.

The Committee seeks to facilitate relevant networking and information/experience sharing opportunities and encompasses the social and collegial interests of both members and potential members with other regional fora, the Corporate Counsel Forum and the Young Lawyers Committee and all LPD committees in general.
