Order Being Held Pending Signed Agreement 1. The electronic list may only be used in accordance with this license. Depending on the fee paid, (the use of “My,” “You” or “Your” shall mean you or the company for which you are signing this Agreement) You have licensed the electronic list to make a single mailing. 2. The electronic list and the data therein is obtained from ASI confidential, proprietary and copyrighted information and may not be copied, reproduced, rented, sold, transferred or disclosed, to any other party for any reason, nor transferred to any electronic or mechanical addressing or data processing system. You may only use the electronic list in conducting your business as a supplier or distributor in the promotional products industry. You may not use the electronic list to compete with the products or services of ASI, its affiliates or licensees. You may only make a single mailing. The mailing must be made within ninety (90) days after executing this Agreement. 3. The undersigned hereby requests the approval of ASI for the undersigned to give the electronic list to: (name) (address) solely for the purpose of making a single mailing for Your company. The undersigned shall be responsible and liable to ASI for any breaches of the Agreement by the party named in this paragraph 4. 4. If any data from the electronic list was transferred to an electronic or mechanical addressing data processing system or any other type of storage device for purposes of making a mailing, it must be removed. You and the Company for which You are signing this Agreement agree to provide a certification so stating, upon request by ASI. 5. Each unauthorized use of the data contained on the electronic list shall result in a charge of at least $1,500.00. If ASI is required to take legal action to recover the fees for unauthorized use, You agree to reimburse ASI for these costs. In addition to the unauthorized use fee, ASI may also seek other damages and penalties available in law and/or equity. Any breach will be deemed grounds for cancellation of the license. Upon such breach, You shall immediately return the electronic list to ASI and the data contained therein. The data contained in this list is compiled from sources whose ability to provide timely or accurate information ASI does not control. In furnishing this information, ASI is furnishing the information “AS IS.” ASI, in no way, assumes any part of Your business risk; does not guarantee the accuracy, completeness or timeliness of the information provided and shall not be liable for any resulting loss or injury. ASI DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ACCURACY FOR INFORMATION. IN NO EVENT SHALL THE MAXIMUM LIABILITY OF ASI EXCEED THE AMOUNT PAID FOR THE ELECTRONIC LIST LICENSE. 6. This Agreement shall be governed and interpreted in accordance with the laws of the Commonwealth of Pennsylvania without regard to principles of conflicts of law. THE PARTIES HEREBY SUBMIT TO THE EXCLUSIVE JURISDICTION OVER ALL DISPUTES AND TO VENUE IN THE FEDERAL AND/OR STATE COURTS IN THE COMMONWEALTH OF PENNSYLVANIA IN BUCKS COUNTY. 7. ELECTRONIC LIST AGREEMENTUrgent! Order Being Held Pending Signed Agreement
1. The electronic list may only be used in accordance with thislicense. Depending on the fee paid, (the use of “My,” “You”or “Your” shall mean you or the company for which you aresigning this Agreement) You have licensed the electronic listto make a single mailing.
2. The electronic list and the data therein is obtained from ASIconfidential, proprietary and copyrighted information and maynot be copied, reproduced, rented, sold, transferred or disclosed,to any other party for any reason, nor transferred to anyelectronic or mechanical addressing or data processing system.You may only use the electronic list in conducting your businessas a supplier or distributor in the promotional products industry.You may not use the electronic list to compete with theproducts or services of ASI, its affiliates or licensees.
