    Summary

    Indias need of the hour is manufacturing of products; for this, eye for detail is important.Unless young engineers are allowed to dream, go hands on to work on their ideas, and create

    products from younger days to realise the need of the nation, the habit will not be internalisedduring their technology careers. Therefore, it is imperative that institutes of national importanceprovide a strong platform to the young minds to:(1) Encourage Students and Faculty Members to take to innovation as a formal activity;(2) Make available state-of-the-art laboratories to create the desired products; and(3) Provide initial financial support to give impetus to the process of innovation.In line with this philosophy, IIT Jodhpur announces to organise a tailor-made Competition forStudents of the Institute with partial financial support from the Institute.

    1The 2015 Technology-based Innovation Competition

    1.1 IntroductionEducation, Invention and Innovationare logical milestones in the path of using Science and

    Technology for the betterment of mankind(Figure 1). These segments are usually understood in thecommon parlance as Learning, Researchand Development. Traditionally, Technical Educationhas beenfocusing significant effort and attention on providing Education, and eagerly looking for Inventions.But, it is possible that a select setof Studentsand Faculty Membersare ready even for the last item onthe list, Innovationa way of improving things to work better, to be moreeconomicaland/or to be moreuseful.

    Mature targeted research plays a crucial role in all needs of daily life in the development oftechnology products (say, Energy, Information Technology, Agriculture and Healthcare). Hence,

    experienced professionals are needed to guide such developments. Today, a large share products orapplications of daily life are from Multi-National Companies (MNCs). In the globalized economy,MNCs control the technologyas well as thepriceof these products. Often, the products produced byone nation are not cost advantageous to all other nations, and making the product may be energyintensive. Hence, it is imperative that each country has to meet the ever changing environment oftechnology and global economy. Technology-based Innovationis essential to provide nations with thecompetitive edge in global markets. This requires inter-, multi- and cross-disciplinary knowledge tobe brought under one umbrella.

    On the other hand, young students of technology are keen to work on the frontiers ofScience and Technology, which has high impact; in particular, they are looking for developingphysical products that undertake exciting functions. This is possible with trained, experienced andmature Faculty Members mentoring select students with the contagious enthusiasm and drive toachieve betterproductsfor use in daily life of human beings. Technology based incubation will be abetter strategy in a project which bears the benefit of the both. Thus, incubating ideas that augurinnovations in Technology productsis essential in a technology institute to provide opportunities toselect students, who are ahead of the pack.

    The advantages of incubating technology-basedinnovations include:(1) Bring innovative ideas to realize into aproduct;(2) Provide new knowledgeinitiatives; and(3) Focus attention on products with multi-disciplinary Science and Technology inputs, that

    (a) Are socially acceptable and relevant,(b) Are Defence Technologies and Critical Technologies denied by nations selling the same, but of

    value to India,(c) Accelerate manufacturing capability of the country,(d) Are catalyst for generating new technology-based job opportunities in various sectors and

    segments of society, and create opportunities for new or expansion of existing small andmedium scale enterprises,

    (e) Create ways of incrementing economic growth of the State of Rajasthan and the nation,through reduction cost and capital intensive investments,

    (f) Deploy technical skills available with local governments and local bodies, or create new onesin them, and

    (g) Add value to existing products and make them technologically competitive.Clearly, there is urgency in preparing the required technical manpower within India, which willsteer the much needed product manufacturing in India thereby meeting the need of the hour ofthe country,Make in India.

    Engaging young and capable students at the Indian Institute of Technology Jodhpur inhands-on technology-based product innovation activities will be immensely beneficial to theenvironment of technical education at IIT Jodhpur.

    1.2 The CallIn 2015, the Institute provides opportunities to FIVE Groups of Students of IIT Jodhpur to

    work towards developing a technology-based product with innovations; each Group shall have amaximum of 5 students. The activity will be run inproject modeat the Institute. The salient objectiveof the Project Proposalis that each Group of Students will offer a new Technology-basedproductwith(1) innovation, and(2) adaptationthat is energy advantageous, environmental friendly and easy to manufacture.The viability of the productwill be the first milestone of the student achievement through this Project,and its quality andprecisionthe second.

    2Operation of the Project

    2.1 The Innovation and Incubation CenterIIT Jodhpur had established an Innovation and Incubation Center(IIC) in 2013; the Honorable

    President of India had inaugurated the same. The Government of Rajasthan had provided thefinancial support to establish the same. The 2015 Competition will be operated under the guidelinesof the IIC; the Norms of IIC are presented in Annexure A and the Agreement that each Group ofStudents will sign with the Institute is presented inAnnexure B.

    2.2 Selection of Groups

    This Call for Proposals is made to all registeredstudentsof IIT Jodhpur, who are seeking theGrant to develop their Technology-based innovation. On receipt of proposals, a duly constitute Jurywill be convened to examine the proposals and hear the Groups of Students. Each Group ofStudents is required to propose one idea that is fresh and involves hands-on Technology-basedinnovation. Works that have been initiated in the past and that are in progress, will not beconsidered under this competition.

    Five Groups of Students with the top 5 ideas will be invited to participate through the IIC totake forward their excitement. Each Group will be given an Award Moneyof Rs.10,00,000 (RupeesTen Lakhs) and a period of 1 year to work on their idea. Terms of usage of the Award Money aregiven in theAgreementpresented in Annexure B.

    Annexure A

    Norms for Functioning of Projects related to

    2015 Technology-based Innovation Competition

    A.1. Structure of IICThe activities of the Innovation and Incubation Center (IIC) will be run by three persons,

    namely the Mentors, the Faculty Member In-charge of IIC and Coordinator (R&D). The technicalactivities of each project will be overseen by the Mentors of the Projects. The technical activities ofall projects will be facilitated by Faculty Member In-charge of IIC and the financial activities of allprojects of the IIC will be facilitated by the Coordinator (R&D). The IIC Committee will oversee thegeneral program of the project activities of the Groups of Students working under the IIC.

    The Structure of IIC Committeeshall be as given below:(1) Coordinator (R&D) Chairman(2) Faculty Member In-charge (IIC) Co-Chairman(3) Mentors of the 5 Groups of Students Member(4) Student Representative from Entrepreneurship Club Member(5) Assistant Registrar (R&D) Member Secretary

    A.2. Guidelines for Functioning of Projects related to Technology-based Innovation

    CompetitionThe following are the guidelines for the functioning of the IIC with respect to the 2015

    Technology-based Innovation Competition:(1) The objectives of the Competition are:

    (a) To initiate innovationamong students of IIT Jodhpur,(b) To convert an Technology-based innovation ideainto aproduct that is useful to Society, and(c) To study traditional knowledge and transform into aproduct.

    (2) The registration of the Project will be done by the Office of R&D.(3) The Faculty Member, who is theMentorof a Group of Students, shall be the Principal Investigator

    of the Project for the purposes of the accounts in the Office of R&D.(4) Only registered Students of IIT Jodhpur are eligible to participate in the Technology-based

    innovation competition.(5) Call for Incubation (Periodicity): Once in a year.(6) Selection of the winner Groups of Students will involve two stages, namely: (a) Initial Screening

    Process; and (b) Final Selection. In the Initial Screening Process, the Groups of Students are

    required to submit in their proposal, a brief summary, a list of deliverables and the expectationsfrom the Institute. A duly constituted Initial Screening Committee will screen some of theapplications and recommend them for the consideration of the duly constituted Jury. TheGroups invited tot eh Jury shall make a presentation with complete details of their Technology-based innovation idea, including expected expenditure, list of persons associated with Group,and period of project. Once, the Jury shall announce the list of 5 winners. The Winners will berequired to start work on the project within the stipulated time given by or agreed upon withthe Jury. The Initial Screening Committee, theJuryand the Review Committeeshall contain at leastone Member with background of innovation activities.

    (7) The progress of Groups will be reviewed once every three months.(8) The Group shall not employ anyone under the Project and pay salary to her/him. In case a Co-

    Mentor is being inducted from outside, they may pay the mutually agreed honorarium to theexternal Mentor.

    (9) The Winner Groups have to submit a Budget, which shall contain the details of all requirements,including expenditure and equipment to be procured. Also, the Group shall provide details of

    period of Project, and list of facilities requested by the Group from the Institute.

    (10) Project Policy:(a) Agreement: The Group needs to sign the Agreement on Rs.100 Non-judicial Stamp Paperwith

    IIT Jodhpur. The period of the Project starts from the date of the signing of the Agreement.(b) The duration of the Project shall be 1 year, extendable by one more year. The Project shall be

    reviewed in every 3 months;

    (c) Funding Procedure: The total Award Money to the Group will be released in three or fourtrenches as recommended by the Juryor IIC Committee. The Group should be allowed tospend on different budget head without exceeding total amount as approved and agreed.

    (d) Expenditure audit will not be done as per the norms of IIT Jodhpur; but, an auditedstatement of accounts from a registered Chartered Accountant shall be provided by theGroup to the Institute.

    (e) All purchases made in the project will not be bound by the norms of IIT Jodhpur.(g) Travel reimbursement admissible up to 2nd AC by the shortest railway route, food

    reimbursement of Rs. 300 per day per person, Lodging costs up to Rs. 1000 per day perperson, local transport reimbursement up to Rs. 200 per day per person, shall be admissibleon production of original valid bills, with in sanctioned budget.

    (h) Wi-Fi facility and Office space shall be provided to the students of the Group during theProject. In case, a student of the Group graduates during the term of the project and wishesto continue with project, the Institute shall cover costs for hostel accommodation, basicdining, and transportation from residential campus to the Institute and back, for remainingduration of the project beyond graduation.

    (11)Mentor Policy:Faculty Members of IIT Jodhpur can be Mentorsof the Group. Mentors cannot be from outsideIIT Jodhpur. But, in exceptional cases when expertise available within the Institute is insufficientto cater to the needs of a certain project, a Co-Mentormay be allowed from outside IIT Jodhpur,if approved by the Jury. A written commitment of participation from the Mentors should be

    submitted Office of R&D before starting of the project. No honorarium or remuneration will bepaid to the Mentors or Co-mentors from inside the institute. If the Co-mentors are from outsideJodhpur, honorarium (if any) and travel expenditure can be reimbursed, and budget for thesame should be allocated in the original proposal.

    (12) Deliverables:The deliverables in the project must be mentioned in the proposal and timelines should bestrictly adhered. The deliverables should be listed in the agreement too.

    (13) Utilization of Award Money: The money should be utilized as per recommendation of the Juryand the compliance ensured by IIC Committee.

    (14) Legal Compliances: The Group shall operate within the Institute, until they decide tocommercialize their product, when they are required to be registered under The Company Act,

    1956, 2013 and thereafter adhere with laws, rules and regulations of Government of India andother statutory bodies for the same. For this, the group way address at IIT Jodhpur whileregistering their company.

    (15) Exit Policy: As per agreement(16) IPR Policy: As per agreement(17) Team Members: AllMembersof the team shall be registered students of IIT Jodhpur. One of them

    shall be declared as the Team Leader, and she/he shall be responsible for management offinances of the project. A maximum of 5 students can be co-opted into a team.

    (18) Assets: Any asset generated during the period of concurrency of agreement, shall belong to theGroup.

    Annexure B

    Agreement between Group of Students and Institute

    to be part of IIC, IIT Jodhpur

    Draft Agreement

    This Agreement is entered into on this the day of ., 2015,

    betweenIndian Institute of Technology Jodhpur, through its Coordinator (R&D)(hereinafter referred to as The Institute), anational Institute established under Institutes of Technology Act, 1961, 2012 of one part;

    and_________________,_________________,_________________,_________________, and _________________, a

    winner of the 2015 Technology-based Product-Development Competition, having its corporate office at (hereinafter referred to as the Group which expression shall include his/ their respective heirs, executors,administrators and assigns Institute) of the other part.

    WHEREAS the Institute had conduct a 2015 Technology-based Product-Development Innovation Competitionduring academic year 2015-16 for Technology-Productisation, and the announcement of the Competitionoffered 5winners to get Award Money of up to Rs. 10 Lakhs for demo of the idea and also incubation opportunity atInstitute with sharing of consequent IP developed at 70:20:10 between The student Group, InstituteandMentor.

    AND WHEREAS, the conditions of the competition, it is agreed between theGroupand the Instituteas under:1. Institute will provide available facilities at Institute for an initial period of 1 year with Award Money of

    Rs. 10 Lakhs. The grant would be released in three trenches on the basis of the recommendations of the

    Jury. The Award Money cannot be used for salary expenses of the students of the Group, and shall beutilized only for the expenses related to implementation of the idea, as approved by the Jury .2. A Group would be admitted to Incubation and Innovation Center (IIC) of the Institute, only on the

    recommendation of the Jury and compliance with the requirements of this Agreement.3. Budget Approval: For the release of the Award Money by the Institute, the Group is obligated to submit

    and get approval of the budget from Coordinator (R&D).4. Competitor Tenure: The above agreement is valid, subject to fulfillment of the conditions as mentioned

    above for a period of one year. But, the Group may appeal the IIC Committee for a no-cost extension ofup to 1 year, giving adequate reasons. The extension may be provided to the Group with new conditions.The decision of the IIC Committee is final and binding on the part of the Group.

    5. Facilities and Infrastructure: During the currency of the agreement, the Institute hereby agrees to allowthe Group to use the common facilities subject to the condition below:

    (a) The common facilities/infrastructure shall be used by the Group to pursue solely activities mentionedin the proposal submitted by it in response to the call for proposals or listed by the IIC Committee atthe time of extension of the period of project.

    (b) Notwithstanding the general agreement about using the said common facilities as mentioned above,the use of computer and other equipment facilities of Institute will require specific permission fromthe relevant Heads of the Departmentsthrough Faculty member In-charge (IIC)for each specific task. Suchpermission may be refused or withdrawn without showing any specific reason; the Institute will notbear any liability which may arise out of refusal or withdrawal of such permission.

    6. Guidance of Faculty Membersand assistance of Technical Staff Membersmay be made available on termsand conditions to be negotiated separately. The Group shall be liable to pay the repair/replacement costfor any willful damage or damage due to negligence of any equipment, furniture, etc., (belonging to orunder the care of the Institute) caused during the course of its use by any representative of the Group.

    (a) The Group shall use internet facility only for purposes of the innovation Project. Also, the spaceallotted to the Group shall be used only for the purpose of the innovation Project. Further, only theGroup shall be allowed to access the allotted space. Group should not get a duplicate of original roomkey given to it.

    (b) Sub-leasing is not allowed of any space or facility provided to it. Non-compliance of this norm will

    result in immediate expulsion.(c) Furthermore, the Institute shall neither be responsible nor liable for any accident that the Group may

    meet within the course of their work in the premises of the Institute.7. Consideration: In lieu of support and facilities provided by the Institute, the Group will need to pay

    consideration on accounts for any special facilty that is cannot be provided free of charge by the Heads ofthe Departments.

    8. Intellectual Property: Intellectual Property (IP) can be a patent, copyright, design registration, developed

    product, algorithm, software or computer program, technique, process, formulation or other suchinvention. The Group agrees on sharing rights for any IP created during incubation in ratio of 70:20:10with the Group: Institute: Mentor. The Group in all cases shall adhere to the IPR, Policy of the Institute andthe applicable laws of India. It shall be the sole responsibility of the Group to defend /protect theintellectual property. In this regard, a prior written approval is required to be sought from Coordinator(R&D), or, in his absence, from the Director.

    9. Revenue Sharing and Equity Sharing

    (a) The Group can enter into commercialization of its innovation. But, the Group shall be obliged to havethe sharing of the following for a period of 5 years from the date of execution of this agreement or tillthe revenue sharing for IP/commercialization activities exceeds Rs. 15 Lakhs, whichever is later:(i) Equity sharing for transfer, licensing of or permission to use IP in favour of the Group, and(ii) Revenue sharing on commercialization of the innovation.

    (b) In case, the stipulated period of 5 years is over, the Group shall pay the balance amount due within aperiod of 60 days. The period of 60 days shall be calculated from the date when the aforesaid periodof 5 years is over.

    (c) This arrangement between the Institute and Group shall in no manner be regarded as partnership.(d) Incubated at IIT Jodhpur: Companies incubated at IITJ through the IIC Committee can apply to the

    Institute for permission to brand themselves as Incubated at IIT Jodhpur.10. The Group shall abide by, all the rules and regulations as approved for IIC Committee, all the

    administrative policies framed by the Institute and all the applicable rules/regulation of India, from timeto time. Any serious non compliance with the rules and regulations and policies may result in immediatetermination of this agreement.

    11.Termination/ Exit(a) Either the Group or the Institute can terminate the agreement by giving one months prior notice. This

    form of exit would be considered a normal exit.(b) Unless Institute so decides, the Project can be terminated at the defined points of 3, 6, 9 or 12 monthssince the start of Project. This will be considered as a normal exit and it will be legally binding on theGroup to comply with the exit directives from IIC Committee. The Group must clear all dues withinterest and compensation, if any, as may be determined by IIC Committee within the specified time.

    (c) Institute will be entitled to terminate this agreement prematurely subject to the condition asmentioned below:(1) Completion of 1 years (if no extension granted);(2) Underperformance as determined by IIC Committee;(3) Irresolvable disputes between the Group and the Institute as decided by IIC Committee;(4) Violation of any policy, rules, norms, and statutes of IIT Jodhpur applicable to students;(5) Number of students of the Group exceeds 5;

    (6) When the Group enters in an acquisition, merger or amalgamation deal or reorganization dealresulting in a substantial departure from the proposed activities of the Group;(9) The Group plans for a substantial expansion, funding from financial institution or raising funds

    through Venture Capitalist or Public Issue;(10) Change in promoters'/ founders' team without concurrence of IIT Jodhpur;(11) Any change of more than 24% of equity/promoters ownership would require a prior approval of

    IIT Jodhpur; and(12) Any other reason for which IIT Jodhpur may find it necessary for the Group to leave:

    (a) Termination of the innovation period implies that the Group would be required to vacate theoffice premises and accommodation provided at IIT Jodhpur, and surrender all hardware andsoftware provided to it as infrastructure facilities and clear all dues within specified period asdecided by IIC Committee.

    (b) In case, the Group fails to vacate and deliver possession of the said work space to IICCommittee on the termination of the agreement, the IIC Committee shall be entitled to takepossession of the said space by removing all articles of Group found in the said work space insuch manner as it may be deemed fit and the expenses, if any, incurred by the IIC Committeeshall be recoverable in full from the Group.

    (c) The Institute reserves its right to nominate a Member of the Group till the period of revenuesharing. The Group shall indemnify to Institute any loss suffered or expense incurred in as aresult of such nomination.

    (d) The Group is required to keep the Institute informed about any visitor from abroad, foreigncollaboration and/or foreign partner/director, and abide by the rules/procedures in vogue inthe Institute.

    (e) The Group is required to observe health and safety standards. No hazardous material can be

    brought inside the complex without the prior approval of IIC Committee. The Group isrequired to keep a first aid kit in their modules.(g) No Member of the Group can display notices or signage except on the provided notice boards

    and the space provided for such signage.(h) The Group should observe that noise levels are kept at minimum and, no abnormal noise by

    any machine or by their employees or visitors should be made. Any complaint of high noiselevel will result in appropriate action by Institute.

    12.Taxation and Statutory Liability: All the taxes and statutory liabilities, arising out of this agreement as areason of formation of Group and formulation of its activities under this agreement, shall be borne by theGroup, and in no case the Institute will be held liable for its non-compliance.

    13. Insurance: Insurance of infrastructure and human resource likely to be impacted due to incubationactivities may be done by the Institute as and when required. But, the Institute shall not accept any

    responsibility to compensate anyone as a result of any accident or damage (electrical, explosion, etc.)taking place at the premises of the Group or at any place, either resulting from its activities or otherwise.The victims could be the Group, other persons working in the Institute premises or any visitors toInstitute. Paying any compensation to those, who have suffered arising out of such a contingency, shall bethe sole responsibility of the Group. Under the above contingency, it is the responsibility of the Groupalone to compensate for any loss caused to the property of Institute.

    14. Periodic Assessment: Institute will evaluate the performance of the Group, who are required to submitprogress report to the IIC on a quarterly basis in a prescribed format. Additionally, the Group may also besubject to annual assessments.

    15. Audit: The Group shall submit its audited documents to Coordinator (R&D) within 10 days of thecompletion of the tenure of the Project. During the tenure of this agreement, the documents shall beaudited by such Chartered Accountant as approved by the Institute. Non-compliance with the same

    would result in a fine of Rs. 1,00,000, and if the same is not given for six months continuously, thestudents of the Group will be de-registered from the Institute, or legal action taken against them if theyhave already graduated, without any further notice.

    16. Submission of Information: The Group will submit information to the Institute about all materialchanges or developments taking place in their companies from time to time. Such information could be(but not limited to) change in name of the company, change in business or product profile, change indirectors, promoters or shareholders, acquisition of a new office, additional equity or debt investments.Institute may require the Group to submit other information as it deems fit. Prior concurrence of theInstitute should be obtained for effecting such changes.

    17. Disclaimer: The Group will understand and acknowledge that the Institute intends to provide supportand services to the Group in good faith to pursue its objective to promote entrepreneurship by convertinginnovative technologies developed in the Institute to commercialization by incubating and supporting

    new enterprises. It is understood that by agreeing to provide various supports and services, Institute doesnot undertake responsibility for:(a) Ensuring success of a company, its products/ process/ services or marketability.(b) Ensuring quality of support and services provided by Institute to the complete satisfaction of the

    Group companies or their promoters/ founders.(c) Ensuring quality of services of the consultants engaged by the Group companies through the Institute

    network. The Group will have to apply their judgements before getting in to a relationship with them.The Group will understand and agree that the Institute or its employees shall not be held liable for anyreason on account of the above.

    18. Amendments: Notwithstanding anything contained hereinabove, in exceptional cases, IIC Committeemay at any time amend all or any part of the agreement and its annexure and the Group shall be boundby the said amendments. The amendments shall be applicable with immediate effect.

    19. Litigation: Institute cannot be held legally responsible if the Group is involved in any litigation with athird party over any legal issue whatsoever, during the incubation period. The Group shall borne all thecost and expenses incurred for defending any such litigation.

    20. Dispute Resolution: Any/all disputes or disagreement between the Institute and the Group shall bereferred to the Director of the Institute or a person so nominated by the Director in this regard within aperiod of 30 days. The decision of the Director shall be final and binding upon the parties.
