And the type of good- will can have a big impact on the value derived from a sale of the business. Goodwill defined The International Glossary of Business Valuation Terms defines goodwill as an “intangible asset arising as a result of name, reputation, custom- er loyalty, location, products and similar factors not separately identified.” Often, goodwill value is expressed as the excess of a business’s total fair market value over the fair market value of its net tangible assets and specifically identifiable intangible assets, such as patents or trademarks. Personal vs. business goodwill Goodwill can be broken down into two compo- nents: personal and business. Personal good- will is associated with an individual owner’s education, experience, skills, reputation and relationships. Business goodwill, on the other hand, is attributable to the company’s ability to attract business apart from any specific owner. It’s derived from characteristics such as a con- struction business’s name, reputation, location, workforce, technology and work quality. Why it matters The distinction between personal and business goodwill can be critical in the context of a busi- ness sale. C corporations that sell their assets are subject to double taxation on the proceeds (once at the corporate level and again when the proceeds are distributed to shareholders). S cor- porations that began as C corporations are also subject to double taxation on built-in gains — unrealized appreciation on assets owned at the time of the conversion — if those assets, sold in 2013, are sold within the recognition period of five years after electing S status. However, this temporary reduction in the recognition period will revert to 10 years beginning in 2014 as the temporary provision expires. Whether your construction business is a C cor- poration or an S corporation with built-in gains tax exposure, the impact of double taxation is reduced to the extent the company’s value is at- tributable to personal goodwill. Why? Because personal goodwill is considered the property of the individual owners, not the company, so it escapes taxation at the corporate level. The value attributable to personal goodwill var- ies from company to company. Generally, the more a business relies on its owners’ talents, knowledge, reputation and relationships, the greater the value of personal goodwill. Keep in mind that, if owners sign employment or non- compete agreements, they may be deemed to have transferred their personal goodwill to the company, exposing it to corporate tax. This article explains the distinction between busi-ness and personal goodwill and how it can be critical in the context of a business sale.

Goodwill matters when valuing a construc-tion business

For many construction companies, a significant portion of their value consists of goodwill, both business and personal. And the type of good-will can have a big impact on the value derived from a sale of the business.

Goodwill defined

The International Glossary of Business Valuation Terms defines goodwill as an “intangible asset arising as a result of name, reputation, custom-er loyalty, location, products and similar factors not separately identified.”

Often, goodwill value is expressed as the excess of a business’s total fair market value over the fair market value of its net tangible assets and specifically identifiable intangible assets, such as patents or trademarks.

Personal vs. business goodwill

Goodwill can be broken down into two compo-nents: personal and business. Personal good-will is associated with an individual owner’s education, experience, skills, reputation and relationships. Business goodwill, on the other hand, is attributable to the company’s ability to attract business apart from any specific owner. It’s derived from characteristics such as a con-struction business’s name, reputation, location, workforce, technology and work quality.

Why it matters

The distinction between personal and business goodwill can be critical in the context of a busi-ness sale. As we gather for the Thanksgiving holiday many families take time to look back at the year past and ahead to the New Year coming. For our Capi-tol Connection ‘family’ of readers it has been a busy year for the Legislature in creating new laws, promoting new bills and adding to the complex nature of doing business as a contractor.

In 2013 we got new rules on Indemnity, Reten-tion, Insurance, Worker’s Compensation, Employ-ees, Public Works, Environment and, of course, new Licensing regulation.

Starting this year construction businesses re-sponsible for losses on commercial projects can’t ‘indemnify’ or share the blame for problems they caused with any other parties who may be con-nected to the job. (SB 474, Evans)

The politicos did extend the Zero Retention policy at CalTrans thru 2020. The law prohibits CalTrans from withholding retention proceeds in any amount when making progress payments for work by contractors. (AB1671, Huffman)

SB 863 (DeLeon) on Worker’s Comp reform, all 120 pages, was enacted in this year. The changes are extensive and we don’t have space, but you should take a look if you have employees.

Additional Worker’s Compensation changes af-fecting “C-39” (Roofing) contractors require filing Worker’s Comp coverage with CSLB, even if the

contractor has no employees. (AB2219)

Other new rules affect employee information and how it can be used, primarily as an enforcement tool. (AB 1794 Williams & SB 691 Lieu)

Another enforcement measure keeps the inves-tigatory jurisdiction for CSLB in cases where a license has been revoked, cancelled, expired, for-feited or surrendered. (AB 2254 Berryhill)

Construction managers now must be licensed for Home Improvement Contracts (HIC). A person who provides a bid, who arranges for or sets up work and maintains oversight, with HIC needs a license. This one carries substantial criminal pen-alties for violations. (AB2237 Monning)

With thousands of bills passed one, SB 341 Lo-wenthal, sounds the alarm for contractor work-sites. The law also applies to mines, but any ve-hicle over 14,000lbs must now have an audible backup alarm if it operates or delivers materials, to or from, a worksite. And, you better be able to hear it at least 200 feet away. Other rules on projects (AB1598/AB 1565/, special districts and schools also are a ‘must read’ in 2013.

Looking ahead thousands more bills will be cre-ated in the Assembly and Senate, but these few are dead, dying or may become law in 2014.

Among the dead is an effort by both parties

(AB2027 Valadao & AB 249 Berryhill) to reduce the penalties for legitimate contractors who are suspended for a short time.

A pilot program was scrubbed by veto as AB 2309 (Hill) a public/private pilot program for commu-nity colleges was set aside.

SB 975 Wright, intended to prohibit local gov-ernment and special districts from imposing ad-ditional licensing requirements was stopped by veto.

AB 2353 Knight intended to bolster subcontrac-tor’s status; requiring a notice be sent before a substitute ‘sub’ was brought in was considered dead on arrival.

While these, and hundreds more, new bills are set aside, vetoed or considered dead, don’t kid your-self some will be back, some revived and others created in regulating the work contractors per-form by law in California.
