MAGNET ™| Topcon Direct
• Topcon will offer MAGNET subscriptions and services direct from the MAGNET Enterprise web store.
• The customer will be supplied an entry field at the time of order, for specifying their Topcon dealer. This insures that proper crediting occurs to the dealer and subsidiary accounts.
• All subscription renewals will be sold direct through the web store.
• Only direct web store sales can be billed monthly.
• The products and services offered direct through the web store include:
– MAGNET Field Solution– MAGNET Office Tools Solution– MAGNET Enterprise– MAGNET Cloud (does not generate a dealer or subsidiary credit)– Annual Applciation Maintenance (does not generate a dealer or subsidiary credit)
• Dealers can sell applications outright (similar to how they sell TopSURV & Tools today):
– MAGNET Field – MAGNET Tools
• Dealers can sell MAGNET Solution and MAGNET Enterprise 12 month prepaid subscriptions:

NoteSolution upgrades will upgrade existing modules to MAGNET, and lease the remaining modules for 12 months. At the end of the 12 months, the leased modules will expire, and the customer will be left with their originally purchased modules.
• Software products will include 12 months of free updates, from the date of activation
• Only products purchased outright require maintenance to receive updates after the first 12 months
• Maintenance includes any updates for the owned products that are released within the maintenance period
• Annual maintenance can be renewed through the MAGNET Enterprise web store
• MAGNET Solution annual subscriptions automatically include maintenance

Ordering Process
MAGNET ™| Ordering Process
• End user places an order with a Dealer
• Dealer submits P.O. to Topcon
– Trade-Ups require end user info:• Device ID• Current Product Activation Codes• Customer Company Name• Customer Address• Customer E-mail• Customer Phone Number• Customer Fax Number
• Dealer will need to provide the “Software Purchase Certificate” to the end user, so they can register and activate the product through the application, or from within the MAGNET Enterprise web portal
• Dealer shall not register any product for end users, nor shall they accept the End User License Agreement on their behalf of the customer
MAGNET ™| Trade-Up Advantages
• The trade-up will give the user that currently owns TopSURV or Tools upgrade equivalents
• The trade-up will also enable each device for 12 months of Maintenance and MAGNET Enterprise connectivity
• The trade-up will activate every product module for 12 months
• At the end of 12 months, the previously owned TopSURV or Tools modules will remain active, and the other modules, Maintenance, and Enterprise connectivity will expire… unless the user renews their MAGNET Solution.

automatically through MAGNET Field or MAGNET Office Tools, or manually through MAGNET Enterprise.

Registration & Activation
MAGNET ™| Ownership & Licenses
• The owner of the software is the person that registers the serial number and activates the product
• Solution subscribers do not own the software, and are only licensed to use the software while current on their subscription payments
• Dealers should not register a serial number for end users without providing valid end user contact information, with their approval
• Dealers shall not activate any software for end users, as this violates the EULA, and places liability with the Dealer
MAGNET ™| Registration and Activation
• All software will be serialized and registration and activation is entirely web-based
• End users will register and activate products, either through the MAGNET Enterprise portal, or from within the purchased application using their MAGNET Enterprise login and an internet connection.
• End users will receive a Software Activation Code Certificate via e-mail, as soon as the product serial number is registered through the MAGNET Enterprise portal, or when the application activates the product online
• In the case where the field product cannot be connected to the internet, offline activation is available, where the end user can manually enter the activation code found on their Activation Certificate
• If the product was registered from within the application (internet connection required), then the application automatically authorizes and will be ready for use
• If the end user does not have access to the internet at all, we will handle manual registration via telephone or fax, and the user will need to manually enter the code

MAGNET ™| FAQ
• Question - Does MAGNET end-of-life TopSURV?• Answer - No, not at this time.
• Question – Will TopSURV continue to improve?• Answer - No, Topcon will correct critical bugs only, but no major features will
be added.
• Question – Can customers pay monthly?• Answer - Yes, but only for subscriptions purchased through the MAGNET
Enterprise web store. If customers purchase MAGNET Solutions, Enterprise, or Cloud services direct from Topcon, monthly payments are accepted, and the customer is encouraged to name their dealer for proper crediting to the dealers account. Product maintenance sold separately is not billed monthly.
• Question – What is the minimum period for a subscription?• Answer – 12 months.

• Question – If I trade up to MAGNET Solution, do my existing modules remain updated to MAGNET after the 12 mo. period ends?
• Answer - Yes, any module previously owned will remain, only the additional leased modules will time out, as will software maintenance and the MAGNET Enterprise subscription
• Question - Does MAGNET disable TopSURV when installed on the same device?
• Answer - No, but it is not recommended to operate both products on a single device.
• Question – If I purchased TopSURV or Tools in the last 12 months, am I entitled to a free upgrade?
• Answer – No, while the products provide similar functionality, these products are entirely new, and are not considered upgrades
