Admin. Code, title 5,§11969.9(f).
A. ProceduralHistory
TheCharterSchoolsubmittedaRequestforFacilitiesunderProposition39pursuanttoCal.Admin.Code, title5,§11969.9(c)onorbeforeNovember1,2016. ComparisonGroup:
The standard for determining whether facilities are sufficient toaccommodatecharterschoolstudentsinconditionsreasonablyequivalentto those in which the students would be accommodated if they wereattendingpublicschoolsoftheschooldistrictprovidingfacilitiesshallbeacomparisongroupofdistrict-operatedschoolswithsimilargradelevels.Ifnone of the district-operated schools has grade levels similar to thecharter school, then a contiguous facility within the meaning ofsubdivision(d)ofsection11969.2shallbeanexistingfacilitythatismostconsistent with the needs of students in the grade levels served at thecharterschool.Thedistrictisnotobligatedtopayforthemodificationofan existing school site to accommodate the charter school's grade levelconfiguration.
Cal.Admin.Code,title5,§11969.3(a)(2)governsthedeterminationofthecomparisongroupschoolsfordistrictswhosestudentsliveinhighschoolattendanceareas:
The comparisongroup shall be the schooldistrict-operated schoolswithsimilar grade levels that serve students living in the high schoolattendance area, as defined in Education Code section 17070.15(b), inwhich the largest number of students of the charter school reside. Thenumber of charter school students residing in a high school attendanceareashallbedeterminedusingin-districtclassroomADAprojectedforthefiscalyearforwhichfacilitiesarerequested.

3. ReasonableEquivalenceMethodology:In order to determine whether facilities are “reasonably equivalent,” the Districtcompares the proposed facilities to District-operated schools constituting thecomparisongroup.TheDistricthasconsideredcapacity,condition,location,andotherrelevantfactors,usingasapointofreferencethecomparisongroupschoolsidentifiedabove,toallocateafacilitytotheCharterSchoolthatmeetsProposition39standardsfor“reasonableequivalence.”

TheDistricthasalsoevaluateddataontheconditionofthefacilitiesatthecomparisongroupschoolbasedon informationavailableon thatsiteavailable fromtheDistrict’sAsset Management and Facilities Master Plan. That analysis shows that the SiteofferedtotheCharterSchoolisvirtuallyequivalentineverycategoryoftheQualitativeAssessment of the site (Landscape Quality, Safety, Noise, Graffiti and CommunityAccess) to the comparisongroup school, as are thebuildingson thatSite.A copyofthatanalysis isattachedasExhibitA. BasedonthedataavailabletotheDistrict,theDistrict has concluded that the facilities offered to the Charter School meet thereasonableequivalencestandardsunderthecategoryof“condition.”

The school district shall allocate and/or provide access to non-teachingstation space commensurate with the in-district classroom ADA of thecharterschoolandtheper-studentamountofnon-teachingstationspaceinthecomparisongroupschools.Non-teachingstationspaceisallofthespace that is not identified as teaching station space or specializedclassroomspaceandincludes,butisnotlimitedto,administrativespace,kitchen, multi-purpose room, and play area space. If necessary toimplement this paragraph, the district shall negotiate in good faithwiththe charter school to establish time allocations and schedules so thateducational programs of the charter school and school district are leastdisrupted.

4. DifferencesBetweenFacilitiesRequestandPreliminaryOffer
In compliance with Cal. Admin. Code, title 5, §11969.9(f), the District identifies thedifferences between this Preliminary Offer and the Charter School’s Request forFacilities.
CharterSchool’sADAProjections: TheDistrict isallocating space inaccordancewiththeCharterSchool’sADAprojections,asprovidedinitsPreliminaryOffer.
SiteLocation:TheCharterSchoolidentifiedalocationpreferenceofNorthorCentralOakland, identifying the Lakeview, Claremont Middle School, King Estates, HowardElementary and Tilden Elementary campuses as its preferred sites. The Districtconsidered the Charter School’s location preference and determined that itwas notabletoaccommodatethesepreferences.(ExhibitG)TheDistrictdidnothavesufficient

Education Code 47614(b) states that “[t]he school district shall make reasonableefforts toprovide the charter schoolwith facilitiesnear towhere the charter schoolwishestolocate…”Here,theDistrictexerciseditsdiscretionindeterminingthatnoneof the schools in the Charter School’s preferred locations had capacity toaccommodate the Charter School’s projected ADA. The District’s determination issubjecttodeference.(See,e.g.,WestchesterSecondaryCharterSchoolv.LosAngelesUnified SchoolDistrict (2015) 237Cal.App.4th1226;SequoiaUnionHigh Sch.Dist. v.AuroraCharterHighSchool (2003)112Cal.App.4th185,194-5.) TheDistrictdidnotabuseitsdiscretionbyconsideringthecosttotheDistrict,ortheimpactuponDistrictpupils,ofgrantingtheCharterSchool’slocationpreference.
5. TheDistrictFollowedtheLegalRequirementsforaMulti-SiteOffer,andHasProperlyConsideredtheCharterSchool’sLocationPreference.
Cal. Code Regs., tit. 5, section § 11969.2(d) requires that “[i]f the in-district averagedaily classroom attendance of the charter school cannot be accommodated on anysingleschooldistrictschoolsite,contiguousfacilitiesalso includesfacilities locatedatmorethanonesite,providedthattheschooldistrictshallminimizethenumberofsitesassigned and shall consider student safety.” On January 25, 2017, the District’sGoverning Board passed a Resolution “Finding that Charter Schools Could Not BeAccommodated at a Single Site and Written Statement of Reasons Explaining theFinding” (“Resolution”). The Resolution contains findings supporting the conclusionthattheCharterSchoolcannotbeaccommodatedononesite,minimizingthenumberofsitesoffered,andconsideringstudentsafety.(ExhibitG)
C. PreliminaryFacilitiesOffer–OtherTermsandConditions
1. Pro-RataShare
ThecalculationoftheCharterSchool’spro-ratashareoffacilitiescosts isattachedasExhibitE.TheDistrictnotesthattheCharterSchool’sshareofcustodialcostsmaybe
ConservatoryofVocalandInstrumentalArtsFebruary1,2017Page16of18 subjecttoreconciliationintheeventthattheDistrictisrequiredtoincreasestaffingasaresultoftheCharterSchool’suseandoccupationoftheDistrict’ssite.
AlthoughtheDistrictwilladdresstheCharterSchool’sotherstatedconcernsregardingthe facilities costs used to compute the pro-rata share during the course of FUAnegotiations, it does maintain that it is entitled to include the cost of propertyinsurance.Cal.Admin.Codetit.5,§11969.2providesthedefinitionof“facilitiescosts”for thepurposesofdetermining thepermissiblegeneral fund costs to include in thecalculationofthepro-ratashare:
As used in Education Code section 47614(b)(1), "facilities costs" are thoseactivitiesconcernedwithkeepingthephysicalplantopen,comfortable,andsafeforuseandkeepingthegrounds,buildings,andequipmentinworkingconditionand a satisfactory state of repair. These include the activities of maintainingsafety inbuildings,onthegrounds,and in thevicinityofschools.This includesplant maintenance and operations, facilities acquisition and construction, andfacilitiesrentsandleases.
The District believes that it is allowed to include insurance (which only includespropertyinsurancecoveringtheDistrict’sstructures,anddoesnotincludecontentsorliabilityinsurance)becausethesecostsconstituteexpensesincurredin“keepingthe…buildings… inworkingconditionandasatisfactorystateof repair,” in theeventthatthey are damaged and an insurable claim is made. Therefore, the Charter Schoolsoccupying the District’s facilities under Proposition 39 directly benefit from thepropertyinsurancethattheDistricttakesoutonthestructuresthattheyoccupy.
2. OverallocationFee
Cal. Admin. Code tit. 5, § 11969.8 provides for a penalty in the event that a schooldistrict overallocates facilities to a charter school based on the charter school’soverprojectionofAverageDailyAttendance(“ADA”)foraschoolyear.Subsection(a)ofthatregulationprovidesasfollows:

Space isconsideredtobeover-allocated if (1)thecharterschool'sactualin-district classroomADA is less than the projected in-district classroomADAuponwhichthefacilityallocationwasbasedand(2)thedifferenceisgreaterthanorequaltoathresholdADAamountof25ADAor10percentofprojectedin-districtclassroomADA,whicheverisgreater.
Thepenaltyforoverallocationiscalculatedasfollows:
Theper-pupilrateforover-allocatedspaceshallbeequaltothestatewideaverage cost avoided per pupil set pursuant to Education Code section42263for2005-06,adjustedannuallythereafterbytheCDEbytheannualpercentagechangeinthegeneral-purposeentitlementtocharterschoolscalculatedpursuanttoEducationCodesection47633,roundedtothenexthighest dollar, and posted on the CDE Web site. The reimbursementamount owed by the charter school for over-allocated space shall beequal to (1) this rate times the difference between the charter school'sactual in-district classroom ADA and the projected in-district classroomADAuponwhichthefacilityallocationwasbased, less(2)thisratetimesone-halfthethresholdADA.
