E. Executive Summary: A brief synopsis of the highlights of the Proposal and overall benefits of the Proposal to the County. This synopsis should not exceed three (3) two (2) pages in length and should be easily understood.
F. Bidder’s Qualifications and Relevant Experience:
Provide a description of Bidder’s capabilities pertaining to this RFP. This description should not exceed five (5) two (2) pages and should include a detailed summary of Bidder’s experience relative to RFP requirements described herein, including references.
H. Key Personnel - Qualifications and Experience:
Bid responses shall include a complete list of and resumes for all key personnel associated with the RFP. This list must include all key personnel who will provide services/training to County staff and all key personnel who will provide maintenance and support services. For each person on the list, the following information shall be included: (1) the person’s relationship with Bidder, including job title and years of employment with Bidder; (2) the role that the person will play in connection with the RFP (3) address, telephone, fax numbers, and e-mail address; (4) the person’s educational background; (5) the person’s relevant experience; and (6) relevant awards, certificates or other achievements. This section of the bid response should include no more than two (2) pages of information.
J. Description of the Proposed Services and Implementation Plan and Schedule:
Bid response shall include a description of the terms and conditions of services to be provided during the contract term including response times. The description shall contain a basis of estimate for services including its scheduled start and completion dates, the number of Bidder’s and County personnel involved, and the number of hours scheduled for such personnel. The description must: (1) specify how the services in the bid response will meet or exceed the requirements of the County; (2) explain any special resources, procedures or approaches that make the services of Bidder particularly advantageous to the County; and (3) identify any limitations or restrictions of Bidder in providing the services that the County should be aware of in evaluating its Response to this RFP.
The bid response shall include an implementation plan and schedule to be included in Proposed Services. In addition, the plan shall include a detailed schedule indicating how Bidder will ensure adherence to the timetables set forth herein for the goals, objective, program plan, monitoring, and evaluation of services for each module bid. Description of Services and Implementation Plan and Schedule combined shall not exceed a total of ten (10) pages.
K. Implementation Plan and Schedule: Section K been added to Section “J”, as stated above.

The bid response shall include an implementation plan and schedule. L Cost: Budget and Budget Justification (maximum 3 pages)
The bid response shall include cost of staff time and materials, a proposed budget that accurately reflects the bidder’s efforts to meet requirements and objectives, and includes budget justification for direct and indirect cost
N. Bid Form, Exhibit B:
Pricing for the procurement of goods and services by the County shall include all taxes, freight and all other costs, or credits, associated with the procurement and delivery to the County of Bidder’s goods and services. Refer to “PRICING” under Section IV designated “TERMS AND CONDITIONS”. Submit one EXHIBIT B for each module bid. Each module is to be bid separately.

Responses to Written Questions
Q1) Is it correct that each module requires a bid from a nonprofit organization?) The modules state “seeking non profit organization.” The bids are not limited to non
profit organizations. Any organization who meets all of the requirements is encouraged to bid. Non profits were mentioned due to the stringent requirements under II STATEMENT OF WORK, Vendor Qualifications, No. 6.
Q2) Can a nonprofit partner with a for-profit agency such as a social marketing or training firm?) Yes.
Q3) If a nonprofit and a SLEB are partnering, should the nonprofit be named as Prime?) Either one may be named as prime however, if the nonprofit is not a SLEB, they will not
receive the bid preferences available to the SLEB.
Q4) The RFP has a great deal of information regarding bids from SLEBs. There is no requirement for nonprofits to work with SLEBs; nonprofits just need the 501c3 designation. Can a SLEB partner with a nonprofit, and will the nonprofit get the 5% credit for working with a SLEB?
) If the SLEB is prime, the bid will receive the 10% preference (5% Local and 5% Small/Emerging). If the nonprofit is prime and local, but not a SLEB they will receive a 5% local preference.
Q5) If we partner with a nonprofit, should we still include items such as Exhibit G, request for preference?
) Yes, all items listed in Exhibit M must be included in you bid proposal.
Q6) Exhibit I states Exceptions, Clarifications, Amendments. When would a bidder make such a request for exception/clarification?
) A bidder would use Exhibit I when taking any exception or requesting an amendment to an item in the RFP or one of the Exhibits. If no exceptions or clarifications are requested the Bidder should state “None,” sign Exhibit I and submit with the required proposal documents.
Q7) On page 28, the last sentence reads: “Bidders are advised that in the evaluation of cost it will be assumed that the unit price quoted is correct in the case of a discrepancy between the unit price and an extension.” An extension of what? Please clarify.
) The extension is an extended price, which is equal to the unit price multiplied by the quantity [extended price = unit price x quantity]. If for any reason the extended price is miscalculated, the County will assume the unit price is correct and will re-calculate the extended price.

Responses to Verbal Questions
Q8) Approximately how much time does it take to become a certified SLEB?) Approximately 40 days. If submitting a completed application and documents to BOCO,
you should contact BOCO to confirm receipt of your application and documents, and let BOCO know your application is in conjunction with a current bid. That will help BOCO expedite processing of your certification.
Q9) Non-profits are not required, but may apply to become a SLEB. Is it correct that those non-profits that become a SLEB will receive the SLEB 10% preference?
A9) Non-profits are not required to become SLEBs and they are not required to partner. . If a non-profit is also a certified SLEB, then they are eligible to receive the maximum 10% preference points. For-profit agencies may either become a certified SLEB or they are required to sub-contract at least 20% to a certified SLEB.
Q10) With regards to the bid due date, is the County open on Monday, May 26, 2008 to receive bids?
) No.
Q11) Regarding Question 7 above, does that apply to salaries as well?) Yes.
Q12) Can a vendor be disqualified for an incorrect or inaccurate extended salary?) A vendor would not be disqualified for an incorrect or inaccurate extended salary. As
stated in Answer # 7 above of this Addendum, the County will use the hourly rate to recalculate the correction.
Q13) If a vendor calculates the salary on a staff member correctly, but ends up going over the bid limit, will the County adjust the salary, say by reducing the hours or the rate, so it does not go over the bid limit?
) The County will not make any adjustments to cost that are totaled correctly. Cost is one of the evaluation criteria. If your salary calculations go over the stated limits, then that will be factored into the evaluation of cost.
Q14) The way that salaries are generally calculated is the annual salary times a percentage of the FTE. In that case, there is no hourly salary per staff to notate. Is there a format we are supposed to use to demonstrate the hourly rate?
) Bidders may calculate salaries at an hourly rate, a monthly rate, an annual rate, or a calculation based on a percentage of full time staff.

Q15) In this RFP, bidders are only required to provide a maximum 2-page document for qualifications of key staff. Is that correct? Should résumés be submitted?
) Résumés should not be submitted. The requirement is to provide a maximum 2-page document regarding the qualification of key staff. Whether the staff size is two people or twenty people, proposal responses should adhere to the 2-page maximum.
Q16) On Exhibit M, page 2, Item H, Key Personnel – Qualifications and Experience, it states, “Bid responses shall include a complete list of and résumés for all key personnel associated with the RFP.” Just to clarify, are résumés required or not?
) Résumés will not be required. That portion of the RFP has been amended in this Addendum.
Q17) The County is requesting an electronic version of the bid response on a disc. How does the County want this done?
) RFP, Section III Instructions to Bidders, Sections K, No.2 has been a mended. An electronic copy is no longer required.
Q18) Did you want a two-year budget submitted, or a one-year budget?) It is a 2-year contract. Bid responses are to include a 2-year budget.
Q19) As I understand, the first year is only 11½ months, and the second year is 12 months. Is that correct?
) Both years are to be bid for 12 months.
Q20) The award for this contract is schedule for mid-July 2008 correct? The Calendar of Events on page 25 of the RFP lists the Contract Start Date as July 14, 2008.
) The contract is scheduled to be awarded in mid-July 2008. Please base your bid cost on a 24 month contract.
Q21) The Board Award Date is July 8, 2008. How will the bidders know to have staff ready to begin in July?
) Vendors receiving an award will be sent a Notice of Award Letter two weeks before the Board of Supervisors Meeting, approximately June 20, 2008. However the contract period does not start until it is signed and the PO is issued.
Q22) Under the actual modules themselves, when we write out the “Description of Proposed Program Plan,” does the County want this done by a, b, c, d, etc.? Or does the County want it addressed in a narrative format that will cover a, b, c, d, etc.?
) Bidders can respond in any format that gives the clearest description of the project and covers all items in the Module.

Q23) Each module has a list of Required Proposal Components as well additional contract or activity requirements (e.g., Description of Proposed Program Plan, Organizational Capacity, Collaboration/Coordination, Evaluation, etc.). Are all of these to be addressed in the 6-page document referenced in Exhibit M, page 3 of 5, Item J – Description of Proposed Services? And how is this different than the 10-page document referenced in the Evaluation Criteria (page 32 of 83, Item H, Description of the Proposed Plan and Timelines)?
A23) RFP, Exhibit M, Section J and K have been combined and together shall not exceed a maximum of 10 pages. Description of Proposed Program Plan and Timelines in the RFP Section M. EVALUATION CRITERIA and EXHIBIT M, Section J. Description of Proposed Services are the same.
Q24) In the Evaluation Criteria section of the RFP, page 30 of 38, Item E – Relevant Experience states it should only be a 2-page maximum. However, in Exhibit M, Item F – Bidder’s Qualifications and Experience, it states it should not exceed 5 pages. These appear to be the same thing but have different page limits. Which one is correct?
) Both sections refer to the same thing, and should only be 2 pages maximum.
Q25) The page limit for the Letter of Transmittal also differs. Page 31 of 83, Item F states a maximum of 3 pages. But Exhibit M, Item D states one or two pages only. Could you please clarify?
) The Letter of Transmittal should be a maximum of three (3) pages.
Q26) Exhibit M, Item F – Bidder’s Qualification and Experience states to include references. Is that an addition to the references asked for in Exhibit M, Item M – References?
) No. Exhibit M, Item M refers to the information a bidder must provide regarding the stated references on Exhibit D1 and D2. The references indicated on Exhibit M, Item F may be omitted.
Q27) Since we have a current contract with Tobacco Control, can we give Tobacco Control as a reference?
) Yes. If possible please list more than one contact person as a reference for the current contract.
Q28) When submitting an Exhibit B for each module, the County also requires a separate bid response for each module, correct?
) Yes. Each module requires its own separate complete bid response.
Q29) Do bidders have to use the revised Exhibit B? Can the old one be used if we cross out the incorrect data?
) Bidders MUST use all revised Bid Forms and Exhibits. The revised Exhibit B should state “Revised” on it. Please note Exhibit B may not be modified in any way.

Q30) On Exhibit M, Item B – Table of Contents requires that tabs separate each individual section. Does the County want a tab marked “A,” a tab marked “B,” and then for “C”, for items 1-8?
) Items 1-8 of the cover letter can all be under the tab marked “C.”
Q31) The County asked for the Original proposal to be loose leaf or in a 3-ring binder, not bound. Would a binder clip be acceptable?
) A binder clip or a 3-ring binder is acceptable. The County does not want proposals to have a spiral, combed or glued binding, or any other binding that would otherwise prevent the proposal from being loose.
Q32) Do the copies of the proposals need tabs as well?) Tabs are requested to assist the Evaluation Committee, but are not required.
Q33) For tabs, can sticky notes with neat writing be used instead?) Yes, that would be acceptable.
Q34) On Exhibit M, Item G – Financial Statements requests the bidder’s most recent Dun & Bradstreet Supplier Evaluation Report. Does that apply to non-profits (501c3) as well?
) Non-profits must submit proof of non-profit status; Dun & Bradstreet is not required.
Q35) The Bidders Conference is the County’s deadline for questions pertaining to this bid. What if clarification is needed during preparation of the bid response? For example, if our Finance Department needs to clarify the County’s financial requirements.
) Questions and answers that may or could affect bid responses need to be addressed in an Addendum. Question(s) regarding response format, or information already contained in the RFP specifications, terms and conditions or in the Addendum can most likely be answered by Nancy Bishop, Contracts Specialist II, any time up to the submission of the proposal.
Q36) If a bidder is awarded two modules with two separate budgets and those contracts are executed, will Tobacco Control be combining those two budgets into one budget in terms of invoicing and workability of the budget for the fiscal year at the start of the contract?
) This may be possible but should be negotiated with the Public Health Department once the contract has been awarded.
Q37) Are community based organizations, schools of higher learning, universities, etc. SLEB exempt?
) Yes, See the RFP, Section V-County Provisions, Item 2, Page 38 of 83

Q38) How does the County define a SLEB?) The definition and requirements for being a SLEB are listed in the RFP beginning on
page 36 of 83 (Section V – County Provisions, Item 2 – Small and Emerging Locally Owned Business).

Q39) Can a non-profit be eligible for SLEB certification?) Yes, a non-profit that meets the requirements for becoming a SLEB can submit their
application to BOCO (Business Outreach and Compliance Office) for certification as a SLEB.
Q40) If a prime bidder is a for-profit company that is not a certified SLEB, must they subcontract at least 20% of the contract value to a certified SLEB?
) Yes.
Q41) Should the Executive Summary be no more than 2 pages? ) The Executive Summary should be no more than 2 pages.
Q42) Will the Addendum be posted as a Word document?) Yes.
Q43) Will the contractors be required to convene and facilitate meetings?) It is not currently a requirement. Most likely, that decision will be made after the
contract is awarded.
Q44) Should convening and facilitating meetings be included in the bid response?) You may include it, but it is not a requirement.
Q45) For agencies that are submitting multiple modules, is it best to submit each module as its own proposal? So Exhibit M applies to each module?
) Yes, each module requires its own bid response and is to be submitted as a separate proposal. Each module will be evaluated separately and must contain all required elements in Exhibit M RESPONSE CONTENT AND SUBMITTALS COMPLETENESS CHECKLIST.

Q46) Do you want a separate box for each bid response for each module?) If a bidder submits a bid response package for Module 5 as well a separate bid response
package for Module 9, both bid responses may be placed in the same box, labeled and sealed.
Q47) On page 27 of 83, Item 8, it states: “Only one (1) bid response per module will be accepted….” Is it acceptable to submit alternate budgets or alternate plans?
) You may include a suggested alternative such as an alternate location or substituted activity but not an alternate set of plans. Only one complete bid response per module.
Q48) After funding is received for a specific budget, can adjustments be made?) No changes or adjustments can be made during the RFP bidding process. Once the
contract(s) is awarded it might be possible to make minor adjustments of funds within the modules depending on the specific set of circumstances.
Q49) Is the online contract compliance system new? The Elations System?) Yes. The Elations System is a reporting system for prime vendors who have SLEB
subcontractors.
Q50) Right now we submit our invoices to groups within Public Health. Will the Elations System change that?
) No. You will still submit your invoices in the same manner as before, or as directed to under the new contract. The Elations System means you will have to go online and verify payments made to and received by SLEB sub-contractors. If you are not required to partner with a SLEB, then you do not need to use the Elations System.
Q51) Are all of the modules based on the best practices for Tobacco Control?) Module 9, addresses health inequities that may be stronger than the best practices
approach. Module 9 would not be considered a best practice for tobacco control. The intent is that it will be a best practice for health inequities and that it will have an effect on tobacco use and the risk factors associated in those communities.
Q52) On page 3 of Exhibit M, References, can bidders include funders as references? ) Yes. Funders and collaborators are fine.
Q53) When will the County be calling the references? A53) During the evaluation period.
Q54) How many references does the County require? ) The RFP requests the bidder to provide a list of (4) Current References and (4) Former
References (for a total of 8 references).

Q55) Regarding references, does the County want organizations versus individuals? ) They can be either one. Any organizations or agencies listed should include a contact
person that can be reached. The County strongly recommends all bidders to contact their references to verify their contact information is correct.
Q56) When providing references, does the County want references that have to deal with the organization itself, or for the particular project within an organization?
) Bidders should list the references that are most applicable to this RFP. The County would like to see references that have done similar work in scope and detail as is outlined in this RFP.
Q57) On page 6 of 83, it states: “Bidders shall show their understanding of how inequities in power in our communities have led to tobacco related health inequities and are to incorporate solutions into their proposals as required in II STATEMENT OF WORK, E. SPECIFIC REQUIREMENTS.” Could you please clarify which section this is?
) This is in reference to RFP, page 7 of 83, Item E – SPECIFIC REQUIREMENTS AND LIST OF MODULES.
Q58) Can current and former references be the same? ) Bidders are requested to list different references for Current and for Former.
Q59) We have long relationships with our clients. So our current references are also our former references. How do we list those?
) If all of your references are both current and former use Exhibit I to clarify there are no former client/customer references listed due to the long term relationships you have maintained with your current clients.
Q60) Are these Alameda County goals and outcome objectives or outcome objectives for the grantees to attain within a two year period?
A60) Yes, the outcome objectives are to be attained within a two year period.

COUNTY OF ALAMEDA, GENERAL SERVICES AGENCY-PURCHASING EXHIBIT A – BID ACKNOWLEDGEMENT
RFP No. 900360, Addendum No. 1MSA Tobacco Control Community Contracts
The County of Alameda is soliciting bids from qualified vendors to furnish its requirements per the specifications, terms and conditions contained in the above referenced RFP number. This Bid Acknowledgement must be completed, signed by a responsible officer or employee, dated and submitted with the bid response. Obligations assumed by such signature must be fulfilled.1. Preparation of bids: (a) All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and
corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing bid. (b) Quote price as specified in RFP. No alterations or changes or any kind shall be permitted to Exhibit B, Bid Form. Responses that do not comply shall be subject to rejection in total.
2. Failure to bid: If you are not submitting a bid but want to remain on the mailing list and receive future bids, complete, sign and return this Bid Acknowledgement and state the reason you are not bidding.
3. Taxes and freight charges: (a) Unless otherwise required and specified in the RFP, the prices quoted herein do not include Sales, Use or other taxes. (b) No charge for delivery, drayage, express, parcel post packing, cartage, insurance, license fees, permits, costs of bonds, or for any other purpose, except taxes legally payable by County, will be paid by the County unless expressly included and itemized in the bid. (c) Amount paid for transportation of property to the County of Alameda is exempt from Federal Transportation Tax. An exemption certificate is not required where the shipping papers show the consignee as Alameda County, as such papers may be accepted by the carrier as proof of the exempt character of the shipment. (d) Articles sold to the County of Alameda are exempt from certain Federal excise taxes. The County will furnish an exemption certificate.
4. Award: (a) Unless otherwise specified by the bidder or the RFP gives notice of an all-or-none award, the County may accept any item or group of items of any bid. (b) Bids are subject to acceptance at any time within thirty (30) days of opening, unless otherwise specified in the RFP. (c) A valid, written purchase order mailed, or otherwise furnished, to the successful bidder within the time for acceptance specified results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all respects according to the laws of the State of California.
5. Patent indemnity: Vendors who do business with the County shall hold the County of Alameda, its officers, agents and employees, harmless from liability of an nature or kind, including cost and expenses, for infringement or use of any patent, copyright or other proprietary right, secret process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or purchase order.
6. Samples: Samples of items, when required, shall be furnished free of expense to the County and if not destroyed by test may upon request (made when the sample is furnished), be returned at the bidder’s expense.
7. Rights and remedies of County for default: (a) In the event any item furnished by vendor in the performance of the contract or purchase order should fail to conform to the specifications therefore or to the sample submitted by vendor with its bid, the County may reject the same, and it shall thereupon become the duty of vendor to reclaim and remove the same forthwith, without expense to the County, and immediately to replace all such rejected items with others conforming to such specifications or samples; provided that should vendor fail, neglect or refuse so to do the County shall thereupon have the right purchase in the open market, in lieu thereof, a corresponding quantity of any such items and to deduct from any moneys due or that may there after come due to vendor the difference between the prices named in the contract or purchase order and the actual cost thereof to the County. In the event that vendor fails to make prompt delivery as specified for any item, the same conditions as to the rights of the County to purchase in the open market and to reimbursement set forth above shall apply, except when delivery is delayed by fire, strike, freight embargo, or Act of God or the government. (b)Cost of inspection or deliveries or offers for delivery, which do not meet specifications, will be borne by the vendor. (c) The rights and remedies of the County provided above shall not be exclusive and are in addition to any other rights and remedies provided by law or under the contract.
8. Discounts: (a) Terms of less than ten (10) days for cash discount will considered as net. (b) In connection with any discount offered, time will be computed from date of complete, satisfactory delivery of the supplies, equipment or services specified in the RFP, or from date correct invoices are received by the County at the billing address specified, if the latter date is later than the date of delivery. Payment is deemed to be made, for the purpose of earning the discount, on the date of mailing the County warrant check.
9. California Government Code Section 4552: In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2, commencing with Section 16700, of Part 2 of Division 7 of the Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to the bid. Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder.
10. No guarantee or warranty: The County of Alameda makes no guarantee or warranty as to the condition, completeness or safety of any material or equipment that may be traded in on this order.
