The European market… AS IS

21

• The UK & Dutch markets are far more developed then the other markets

• There is still an opportunity to develop mainland European markets

Cavell Group 2015

22

Corporate Finance Boutique in IT and Telecom, founded in 2004 Extensive track record in structuring and negotiating M&A and

financing transactions: Sell-side and buy-side engagements Growth Capital (debt and equity financings) Buy & Build strategies Strategic financial advisory engagements

Strong network of Associates, bringing in-depth industry knowledge and expertise

Deep Cloud Communications industry knowledge, network & client base

All of the main drivers behind M&A are in full swing Growing number of buyers and willing sellers Rising adoption in SMB and enterprise market segments Providers seeking expansion into new geographic territories Convergence of traditional service providers seeking to offer a complete

solution Integration into vertical market segments More than ever, companies need to consciously and constantly ride the path

from innovation to scalability to efficiency In the early days it was about consolidation, M&A now is to a large extent

driven by the desire to acquire a platform and jumpstart a new product line and strategic direction Consolidation is still an ongoing process, private equity remains keen on the sector’s

fundamentals and strategic buyers – particularly from the telco space – continue to show great interest

Growing amount of deal activity is being driven by the need to acquire technology, capabilities and intellectual property

A byproduct of these technology-oriented deals is the hiring of scarce human resources: the acqui-hire

23

M&A will continue to be a consistent theme in the European market Though the market continues to consolidate, it still remains highly

fragmented Expect significant increase in the level of M&A activity in the sector, the

market's too tight to maintain the number of vendors in existence right now

Germany is the country which will be most active in terms of M&A activity, followed by the Benelux, Nordics, UK & Ireland

In every local market a few key players are quickly outgrowing the rest, and have international ambitions

Companies actively pursue ‘smart’ acquisitions to realize growth and to develop new competencies. Building companies to last is the mantra and an exit is not the primary objective unless the business opportunity requires so. The Continental European model clearly differs from the ‘blockbuster’ venture capital model renowned for Silicon Valley

Based on our network, there are many high quality potential acquisition targets, varying in size and target market

Timing is good to pursue an acquisition, all though some will have inflated expectations regarding value
