With Labor Day just around the corner, and oneAMCA National Meet and two National Road Runs
left on the schedule, another successful year ofAMCA events is about to come to a close.
From what I have seen on a National level and
what I have heard and seen on the local level, participation in Club and Chapter events hasincreased this past year. National Meets have
seen increased participation from both vendorsand visitors. National Road Runs sponsored byChapters continue to provide Members with riding
venues that otherwise would not be available to

There is still much to be done to make sure
owners of antique motorcycles know about theAMCA. Based on my own experience in Western
Pennsylvania, I continue to be surprised thatthese owners have no knowledge of the existence
of the AMCA. I'm sure this observation appliesnationwide. We have to do more as a Club to
encourage membership and the formation of new
Chapters, which may result in owners of old, bikes becoming aware of the Club through a local
Chapter's events.
The Board addressed the future of the AMCAwhen it agreed to begin the search for a full-time
Executive Director. This decision was not madewithout serious thought, research and discussion.
The Club already had a model for this position,
although not designated an Executive Director(ED). The Board hired Bill Wood as a contractor tobe the Club's Operations Manager beginning
March 1, 2011. He has been responsible for
several aspects of the day-to-day operations ofthe Club. This arrangement has worked so well, it
convinced me and other Board members that this
position needed to be expanded to an ExecutiveDirector position.
Since no one on the Board had the expertise to
conduct a nationwide search for an ED, andwanting the entire search process to be fully
transparent, the Board retained the services ofScion Executive Search, located in San Francisco.
This group came highly recommended by anothermotorcycle organization that had used this firm in
it h f ti di t Th B d
Scion is in the process of exclusively gathering
resumes and conducting interviews of thosecandidates who meet the qualifications for the
position. The Board will not be involved in theinitial review and interviewing process. Scion will
eventually present the Board with a list ofqualified candidates. The Board will then decide
who will be interviewed from this list. A final list
will then be prepared and personal interviewsconducted from which the full-time AMCA
Executive Director will be hired. The advertised
salary range is $70,000-$95,000, plus benefits, which is always subject to revision andmodification with an incentive-based proposal.
Scion will advise the Board in this regard.

The Board discussed several other matters at the
Chapter President's Meeting. The tax situationremains the same as previously reported. The
Club's tax status will continue to be monitored forthe remainder of the year to determine if we cansatisfy the IRS Safe Harbor and thereby maintainour tax-exempt status. Based on interim reports,
we anticipate that the Club will not be able to
satisfy the Safe Harbor and we will lose our taxexempt status. If that happens, all Chapters willlose their current tax-exempt status (there are
several Chapters that have already lost this statusbecause of sponsorship of National Meetsthisincludes coalition Chapters). Unless a Chapter
files for its own tax exemption with the IRS, all of
these Chapters will have to file an IRS 1120 taxreturn and a return with their home state.
For the Wauseon meeting, Club CPA Chuck
Deluzio prepared an example of an 1120 taxreturn, which was distributed to the attendees.
Although every Chapters tax situation may bedifferent, the purpose of this example return was
to demonstrate that the vast majority of Chapterswill have little or no tax liability. If a Chapter
manages its revenue and expenses each year, thetax liability can be minimized or eliminated.
The Club continues to offer to pay for the tax-
preparation fees (not the tax due) for all Chapterssponsoring National Meets and Road Runs, and to
pay for a one-hour consultation with ChuckDeluzio's firm for all other U.S. Chapters. I urgeyou to take advantage of this offer.
A few Chapters have not reported their tax-filing
status to Chuck as requested previously. The
Board assumes they have contacted their own taxadvisers. The Club will not be responsible for any
Chapter that has refused advice or failed to
consult with Chuck's firm. For all AMCA Chaptersoutside the U.S., the Club offers no tax advice.
You should consult your own tax adviser in yourcountry to assure compliance with all tax laws.
The Club simply does not have the resources or
means to offer such advice.
With the pending publication of the AMCA
Membership Roster, the Board addressed the
privacy concerns and rights of the Membershipand the ability of the Club to communicate withits Members and the Chapters to solicit new
members. The Board was also concerned aboutmember and non-member use of Membershiplists for solicitation, blast emails, spam and otherunauthorized uses. The Club has had an Anti-
Solicitation Policy since 2008. That policyaddressed commercial use of the list.
The Board amended this policy to protect the
privacy of member email addresses by forbiddingemail blasts and other mass mailings without
individual member permission The amended

Chapters will still be able to communicate with
their own members because it is presumed thatwhen a member joins a Chapter, he or she is
consenting to receive emails and othercommunications. Chapter newsletters are alsoexempt from this policy by other sections of theP&P Manual. If your Chapter would like to solicit
new members under this policy, please first
determine the geographic area where yourChapter wants to solicit new members, thensubmit this information along with a draft of the
form solicitation letter (found in the Policies andProcedures Manual) to Bill Wood [email protected].
After an extensive search for a qualified Member,
the Board interviewed and appointed DavetteBent to fill the term of the former Treasurer.
Davette is a retired accountant with extensive
experience. She will oversee the Club's financesand work closely with retained Assistant
Treasurer Tom Walsh and Club CPA ChuckDeluzio. Davette is also a Board member.
The Board renewed its trademarks and copyrights
as required by federal law. The Club trademarksand copyrights are valuable assets of the ClubMembership and need continuous protection and
must be defended from unauthorized use.
After discussion, the Board will conduct its fall
meeting in conjunction with the Barber VintageFestival October 11-13 in Birmingham, Alabama. The Board will participate in the Antique
Motorcycle Foundations Leadership Forum at the
In addition to volunteers, logistics remain a very
real problem. How can old-bike literature becopied in a cost-efficient way while protecting the
integrity of the owner's product? Bill Wood and avolunteer or two will be conducting a copyingsession for two days at the Chesapeake ChapterNational Meet, October 4-5, in Jefferson,
Pennsylvania. If you know of anyone attending
this meet that may have literature of interest, please advise them to bring it to the meet. If youknow anyone who has expertise in this area or
who can offer suggestions, please have themcontact Bill Wood at [email protected].
The other project is the Senior Member Project.
This project was previously announced as an
effort to record the oral histories of some of ourSenior Members and then upload them to the
Club website for member access. We had high
hopes for this project, but still need volunteers. The Club is purchasing the necessary legal
recording equipment, which can be attached tothe phone with the recipient's permission to allow
recording of the conversation. Very easy androughly an hour for each interview. If you know
anyone who has experience in broadcasting orjust interviewing people, please have them
contact Bill Wood.
I urge you to review the Board minutes from the
June 9, July 11 and August 4, 2013,teleconferences that are on the Club website
under the heading About. Thanks again forlistening. Please email or call me with yourcomments and questions
