Forvaluableconsideration,thereceiptofwhichisherebyacknowledged,thepartiesagreeasfollows:

1. SCOPEOFWORKThisagreementwillapplytoallworkperformedbytheSUBCONTRACTORforASTERASSOCIATES,LLC.Ifaseparatecontractforworkexists,thisagreementwillbeinadditiontothatcontract.

2. INSURANCESUBCONTRACTORshallpurchaseandmaintaininsuranceofthefollowingtypesofcoverageandlimitsofliability:• CommercialGeneralLiability(CGL)withlimitsofinsuranceofnotlessthan$1,000,000each

occurrenceand$2,000,000annualaggregate.• CGLcoverageshallbewrittenonISOOccurrenceformCG00011093orasubstituteformproviding

equivalentcoverageandshallcoverliabilityarisingfrompremises,operations,independentcontractors,products-completedoperations,andpersonalandadvertisinginjury.

• AsterAssociatesLLCshallbeincludedasadditionalinsuredsontheCGL,usingISOAdditionalInsuredEndorsementCG20101185oranendorsementprovidingequivalentcoveragetotheadditionalinsuredsforproductsandcompletedoperations.Thisinsurancefortheadditionalinsuredsshallbeasbroadasthecoverageprovidedforthenamedinsuredsubcontractor.ItshallapplyasPrimaryInsurancebeforeanyotherinsuranceorself-insurance,includinganydeductible,maintainedby,orprovidedto,theadditionalinsured.

• CertificatesofInsuranceacceptabletoASTERASSOCIATES,LLCshallbeprovideduponrequest.Policieswillnotbecancelledorallowedtoexpireuntilatleast30dayspriorwrittennoticehasbeengiventoASTERASSOCIATES,LLC;suchnoticetobesenttoAsterAssociates,LLC,POBox1130,Easthampton,MA01027.ASTERASSOCIATES,LLCmay,atanytime,demandacertifiedcopyofanycertificateofinsurance.

1. WAIVEROFSUBROGATIONSUBCONTRACTORwaivesallrightsagainstASTERASSOCIATES,LLCanditscurrentandformeragents,officers,directors,employeesandassignsforrecoveryofdamagestotheextentthesedamagesarecoveredbycommercialgeneralliabilityinsurancemaintainedperrequirementsstatedabove.

2. INDEMNIFICATIONandHOLDHARMLESSAGREEMENTTothefullestextentpermittedbylaw,SUBCONTRACTORherebyacknowledgesandagreesthatitshallindemnify,holdharmlessanddefendASTERASSOCIATES,LLCandanyoftheirofficers,directors,employees,agents,affiliates,subsidiariesandpartnersfromandagainstallclaims,damages,lossesandexpenses,includingbutnotlimitedto,attorney’sfees,arisingoutoforresultingfromtheperformanceofSUBCONTRACTORunderthisSubcontract,providedthatanysuchclaim,damage,lossorexpense(1)

isattributabletobodilyinjury,sickness,diseaseordeath,ortoinjurytoordestructionoftangiblepropertyincludinglossofuseresultingtherefrom,and(2)isCAUSEDinwholeorinpartbythe(Subcontractor),itsemployees,agentsorsubcontractorsoranyonedirectlyorindirectlyemployedbyanyofthem,oranyonewhoseactsanyofthemmaybeliable.
