Subject: Authorize an Amendment to Contract Number 1142 with Goldfarb & Lipman for Continuation of Legal Services for the Surplus Property Authority
RECOMMENDATION:
It is recommended that the Board, acting as the Commission of the Surplus Property Authority, authorize the President to execute an amendment to Contract Number 1142 with Goldfarb and Lipman (Principal: Thomas H. Webber; Location: Oakland), to extend the contract by three months from December 31, 2009, to March 31, 2010, for on-call, specialized legal services for the Surplus Property Authority with no change in the contract amount of $500,000.00.
DISCUSSION/SUMMARY:
Goldfarb & Lipman has been providing specialized legal services for the Surplus Property Authority for the last thirteen years. It provides the Authority with specific and on-calllegal services for tasks related to the development of the Santa Rita and Staples Ranch properties. In particular, Goldfarb & Lipman provides services for residential dispositions.
SELECTION CRITERIAIPROCESS
Goldfarb & Lipman was selected in 1995 after interviews with several candidate firms. Goldfarb and Lipman was selected as most qualified based on its experience as a legal firm that specializes in representing public agencies involved in real estate development. Goldfarb & Lipman continues to provide excellent services, and its continued services are necessary to complete negotiations and transactions that are underway. In 2008, GSA reviewed the selection procedure and agreed that, pending Board approval, a SLEB waiver was appropriate.

The Surplus Property Authority will continue to work with County Counsel to determine how to best provide for the Authority's future legal needs. It will be determined what future needs can be provided in-house by the Office ofCounty Counsel and what services should be provided by consultants selected through a new RFP solicitation process, which will be completedprior to March 31,2010.
FINANCIAL CONSIDERATIONS:
This contract is fmanced by the Surplus Property Authority. There is no Net County Cost as a result of this action.

Standard Agreement Amendment
Reference is made to that contract made and entered into on the 191h day of November 1996, by and between the County of Alameda and Goldfarb & Lipman, hereinafter called Contractor.
Said contract is hereby amended:
The contract term shall be extended by three months from December 31, 2009, to March 3 I, 2010, with 110 change in the total contract amount of $500,000.00. The Contractor shall continue to provide specific and on-call legal services to the Surplus Property Authority for tasks related to the development of the Santa Rita and Staples Ranch properties. '
This amendment is effective on December 15,2009.
