Zandu Realty Limited (formerly Zandu Pharmaceutical Works Limited) is an international

pharmaceutical company based in Mumbai, India. Company's core business of manufacturing

and dealing in ayurvedic and medicinal preparations.

History

Established in 1910 by Pattani Prime Minister of the erstwhile state ofBhavnagar. Zandu went

public in 1919 with the issuance of stocks.

The company derives its name from Vaidhya Zandu Bhattji, the original founder of the firmnamedZandu Pharamceuticals. He was a renowned Vaidhya not only ofGujaratbut India in late

19th century & early 20th century. The Vaidhya family's stake has been sold to Emami recently

Zandu Pharmaceutical Works Ltd. was named after venerable Mahatma Zandu Bhattji to whomit owes its origin.

Zandu Bhattji's real name was Karunashankar; he was the son of legendary Vaidya Vithal

Bhattji, a personal physician to Ranmal, the then King of Jamnagar. He was very accurate indiagnosis of diseases and also intelligent and learned. Therefore, those who learnt Ayurveda

from him have become famous among Ayurvedic Physicians e.g. Shri. Raghunathji Indraji, the

author of Nighantoo Sangrah and Shri.Bawabhai Achalji, a very well known personality among

the Vaidyas, who were co-students of Zandu Bhattji; all of them learnt the art of Ayurveda fromVithal Bhattji.

After Jam Saheb, the King of Jamnagar was satisfied with the ayurvedic medicines prepared byShri Zandu Bhattji, he gave the latter a piece of land on the bank of Rangamati River in Gujarat

for preparing medicines there. This was the oldest factory manufacturing Ayurvedic drugs,

established about 147 years ago from this date (Ras-Shala was established by Zandu Bhattji inAugust 1864 in Jamnagar).

Zandu Pharmaceutical Works Ltd is an India-based pharmaceutical company. The company is

a manufacturer of ayurvedic health promoting products, chemicals and cosmetics. Usingapproximately 200 medicinal plants and their extracts, Zandu produces a range of over 300health promoting products. The products are manufactured at several plants across India. Their

manufacturing plants are located at Mumbai and Dongari in Maharashtra, Vapi in Gujarat and

Silvassa in Dadra & Nagar Haveli. The Company operates through two segments, namelyPharmaceuticals and Chemicals. Their products include ghritas, medical oils, churna, quath,

tablets and pills. The company products are sold under the trade name 'ZANDU'. Some of their

brands include Zandu Balm, Zandu Pancharishta, Trishun, Chyavanprash, and Zandu Kesari-Jivan. Zandu Pharmaceutical Works Ltd was incorporated in the year 1919 in Mumbai. The

company went to public in the year 1920. In the year 1930, the company added allopathic

medicines to their product line. In February 1989, Leopard Investments Pvt Ltd became the

subsidiary of the company. In the year 1995, the company set up a new manufacturing unit at

Piparia in Dadra & Nagar Haveli. They also set up another unit at Medak in Hyderabad. In theyear 1996, they entered into a joint venture with Gujarat Agro Industries Corporation for a

vegetable plant-extraction project to manufacture glycyrrhiza extract. During the year 1998-99,the company set up a new manufacturing unit at Masat (Silvassa) to meet the increasing

demand for their products. During the year 2003-04, the company won the first prize in the

business summit/ exhibition organized by Central Bank of India. Also they bagged 2 firstprizes, 1 third prize and 2 rolling tropies at Exhibition of Vegetables, Fruits and Flowers

organized by BMC and Friends of Trees Authority. Leopard Investment Ltd ceased to be

subsidiary of the company during the year. During the year 2004-05, the two products of the

company namely Zandu Balm and Kesari Jivan were selected as Superbrands in India bySuperbrands Organisation, London. In January 2004, the company received an award for

'Excellence in Brand Building'. During the year 2005-06, the company started the newAyurvedic Professional Division named 'Bhishag'. During the year 2006-07, the company

acquired 44.20% of the share capital of Zandu Chemicals Ltd. As a result, the company holds93.84% interest in Zandu Chemicals Ltd. Thus, Zandu Chemicals Ltd became the subsidiary of

the company. During the year 2007-08, the company set up a State of the Art manufacturing

unit at Uttarakhand to improve the operational efficiency of the company. In October 2008,Emami Ltd acquired 22.82% interest in the company. As a result, Emami Ltd holds 50.33%

interest in the company and became the holding company. During the year 2008-09, the

company sold their investments in Zandu Chemicals Ltd. Thus Zandu Chemicals Ltd ceased to

be a subsidiary of the company. During the first quarter of the financial year 2009-10, thecompany commenced their commercial production in Uttarakhand Unit. In June 2009, the

company and Emami Ltd announced the de-merger of the realty undertaking of Emani Ltd intoa separate company, namely Slick Properties Pvt Ltd to be renamed as Emami InfrastructureLtd.

Company Analysis

According to the Individual - Audited financial statement for the Year of 2011, total net

operating revenues decreased with -32.87%, from INR 2.16 tens of millions to INR 1.45 tens omillions. Operating Results increased from INR -0.84 tens of millions to INR 0.81 tens of

millions. The results of the period increased 22.97% reaching INR 0.91 tens of millions at the

end of the period against INR 0.74 tens of millions last year. Return on equity (Net income/Total

equity) went from 3.03% to 3.59%, the Return On Asset (Net income / Total Asset) went from

3.03% to 0.34% and the Net Profit Margin (Net Income/Net Sales) went from 34.26% to 62.76%

when compared to the same period of last year. The Debt to Equity Ratio (Total

Liabilities/Equity) was 1067.54% compared to 100.00% of last year. Finally, the Current Ratio

(Current Assets/Current Liabilities) went from 10.20 to 337.49 when compared to the previous

year.

R&D

Zandus greatest strengths have been the research, study and innovation based breakthroughs incontemporary sciences and healing. Zandu works primarily with conventional Ayurvedic

products. The R & D department is focused mainly on quality control, standardization of the

products and product development.

In 1957, a separate laboratory on modern line was established. Later on it was recognizedby the Department of Science and Technology Government of India.
