ARTICLES OF INCORFORATIOF

THE WESTERN PENNSYLVANIA HOSPITAL F'O{'NDATION

In complialce with the requirements of 15 Pa.C-S. $ 5915 (relating to Articles of

Amendment), the uodirsigned nonprofit corporation, desiring to amend and restate its Arcicles of

Incorporation in their entirety, bereby states that:

l. The narne of the corporation is The Western Pennsylvania Hospital

Foundation (tlereinafter tbe "Colporation').

Z. The address of the Corporation's current registered office in this

Commonwealth is 4800 Friendship Avenue, Piftsburgh, Pennsylvania 15224' located in the

county ofAllegheny.

3- Tbe corporation was incorporated under Pennsyivania Nonproirr

Corporation Law of 1972.

4. The date of incorporation was April 9' 1984.

5. The amendment shall be effective upon filing these Articles ofAmendroent in the Deparhnent of State.

6. The amendment, rcstating the Anicles of Incolporation, was adopted

pu$uant to 15 Pa.C.S. $ 59140).

7. The amendment, restating tbe Anicles of Incorporation' adopted by the

corporation, set forth in firll, is as follows:

FIRST: The name of the corporation is Tbe Wcstem Pennsylvania

Hospital Foundation (hereinafter the "Corpora$on").

SECOND: The address of tbe Corporation's registered office in this

Commonwealth is 4800 hiendship Avenue, Pittsburgh, Pennsylvania 15224' located in the

county of Allegheny.

THIRD: The Co4roration is formed and is to be operated

exclusively for charitable, scientific and educational purposes rn such a manner thal the

Corporation will be an orgadzation described in section 501(c) (3) of tbe Intemal Revenue Code

of 1986, as aneuded (the "Code") by:

(a) Soliciting, receiving, managing, investrng and distributing funds which willpromote aod support by donation, loan or othenrise, the interests of The western

opposition to any caodidate for public office (including the publishing or distributing of

Articles, subject to obtaining any additional approvals required by the ByJaws of the

Corporation, and provided that any such alteration or amendulent shall be consistent with the

Corporation's status as a corporation (i) exempt from Federal income taxation uoder section

50lia) of the Code, as an organization described in section 501(c)(3) of the Code and (ii)

contributions to whicb are deductible under sections 170(cX2), 2055(aX2) and 2522(a)(2) of the

TIVELFIH: Reference in these Articles to sections of the "Code" shall
