Overview  of  Women-­‐Owned  Small  Business  program

§ The  program  is  designed  to  help  more  women  owned  small  businesses  to  win  federal  contracts  by  providing  a  level  playing  field  for  WOSBs  to  compete.  It  is  also  intended  to  help  federal  agencies  to  meet  contracting  goals  for  women  owned  small  businesses.

§ The  Women-­‐Owned  Small  Business  (WOSB)  program  authorizes  contracting  officers  to  set  aside  certain  federal  contracts

§ As  of  December  2015,  it  also  allows  COs  to  grant  contracts  to  WOSBs  and  EDWOSBs  under  Sole-­‐Source  Authority  in  specific  circumstances

Requirements  for  WOSB  and  EDWOSB  Set  Asides

§ Contracting  officers  may  set  aside  contracts  for  WOSBs  and  EDWOSBs  if  they  meet  the  following  requirements:

§Only  designated  industries• Qualifying  NAICS  for  the  Women-­‐Owned  Small  Business  Federal  Contracting  program

§Only  WOSBs  or  EDWOSBs  are  eligible§WOSBs  are  required  to  self  certify  as  a  woman  owned  small  business  (or  use  a  third  party  certifier)

Requirements  for  WOSB  and  EDWOSB  Set  Asides

§ A  contracting  officer  may  restrict  competition  to  EDWOSB  concerns  if  the  contracting  officer  has  a  reasonable  expectation  based  on  market  research  that—1. Two  or  more  EDWOSB  concerns  will  submit  offers  for  the  

contract  and;2. Contract  award  will  be  made  at  a  fair  and  reasonable  price.

§ The  contracting  officer  may  make  an  award,  if  only  one  acceptable  offer  is  received  from  a  qualified  EDWOSB  concern  or  WOSB  concern  eligible  under  the  WOSB  Program.

Sole  Source  awards  to  WOSBs  or  EDWOSBs  

§ Sole  source  authority  is  allowed  for  industries  in  which  WOSB  or  EDWOSB  set-­‐asides  are  authorized,  and  the  CO  – through  market  research  – cannot  identify  two  or  more  WOSBs  or  EDWOSBs  that  can  perform  the  requirement  at  a  fair  and  reasonable  price,  but  does  identify  one  WOSB  or  EDWOSB  that  can  perform.  

§ The  sole  source  authority  for  WOSBs  and  EDWOSBs  is  limited  to  contracts  valued  at  $6.5  million  or  less  for  manufacturing  and  $4  million  or  less  for  all  other  procurements.

Eligibility  Requirements  for  WOSBs

§ At  least  51%  owned  and  controlled  by  one  or  more  women  who  are  U.S.  citizens

§Ownership  must  be  direct  and  not  subject  to  conditions§ A  woman  must  hold  highest  officer  position§ A  woman  or  women  must  manage  day  to  day  operations  and  provide  verifying  documents

§ Be  at  or  below  the  small  business  size  standard  for  the  primary  NAICS  code,  the  NAICS  code  assigned  to  the  solicitation,  and  the  contract  for  which  it  submits  an  offer

Eligibility  Requirements  for  WOSBs

§Must  have  managerial  experience  of  the  extent  and  complexity  needed  to  run  the  concern.  

§Need  not  have  the  technical  expertise  or  possess  the  required  license  to  be  found  to  control  the  concern  if  she  can  demonstrate  that  she  has  ultimate  managerial  and  supervisory  control  over  those  who  possess  the  required  licenses  or  technical  expertise.  

§However,  if  a  man  possesses  the  required  license  and  has  an  equity  interest  in  the  concern,  he  may  be  found  to  control  the  concern.

§Must  manage  it  on  a  full-­‐time  basis  and  devote  full-­‐time  to  the  business  concern  during  the  normal  working  hours  of  business  concerns  in  the  same  or  similar  line  of  business.

Eligibility  -­‐ EDWOSB

§ Personal  net  worth  (assets  minus  liabilities)  is  less  than  $750,000  excluding:• Ownership  in  business  and  primary  personal  residence• Funds  reinvested  in  IRA  or  other  retirement  account*• Transferred  assets  within  two  years  if  to  or  on  behalf  of  immediate  family  member  for  select  purposes

§ Adjusted  gross  income  average  over  three  years  is  $350,000  or  less  excluding:  Income  reinvested  or  used  to  pay  taxes  of  business

§Market  value  of  all  assets  does  not  exceed  $6  million  (including  business  value  and  primary  residence)

Requirements  for  Joint  Ventures

§ A  WOSB  or  EDWOSB  may  submit  an  offer  as  a  joint  venture  with  another  small  business,  if  certain  requirements  are  met:• Size:  each  concern  is  small  under  the  applicable  size  standard• WOSB  must  manage  the  joint  venture• WOSB  employee  must  be  project  manager  responsible  for  performance  of  the  contract• WOSB  must  receive  at  least  51%  of  net  profits  • Joint  venture  agreement  must  be  in  writing

WOSBs  -­‐ Required  to  Self  Certify  (or  use  third  party  certifier  option)

§Women  business  owners  participating  in  the  WOSB  program  are  required  to  self  certify  -­‐ with  documentation,  or  

§Optionally  use  a  third  party  certifier,  to  validate  their  WOSB  status.    § The  WOSB  program  is  not  an  SBA  certification  program  YET

EDWOSB  Requirements

§ EDWOSB  is  a  subset  of  WOSB.  A  EDWOSB  is  a  WOSB  whose  owner  and/or  manager  claims  economic  disadvantage.  

§ To  qualify  as  an  EDWOSB,  a  business  must  meet  all  the  requirements  for  a  WOSB  and  demonstrate  that  its  owners  and/or  managers  are  economically  disadvantaged.

EDWOSB  Requirements

§ A  completed  and  signed  IRS  Form  4506-­‐T,  Request  for  Tax  Transcript§ Three  most  recent  personal  income  tax  returns  including  all  schedules§ Three  most  recent  W-­‐2’s§ Detailed  information  regarding  the  value  of  all  assets  (including  cash  on  hand  and  in  banks,  accounts  and  notes  receivable,  retirement  accounts,  stocks,  bonds,  real  estate,  personal  property,  life  insurance,  and  any  other  assets),  liabilities  (such  as  loans,  mortgages,  tax  debts,  and  any  other  liabilities),  and  income  (including  salary,  investment  income,  real  estate  income,  and  any  other  income)
