By placing an order with Vigo Industries (“Seller” or “Vigo”) you (the “Buyer”) agree to be subject to the Terms & Conditions of Sale set forth below.
TERMS & CONDITIONS OF SALE NEW ACCOUNT APPLICATION/CREDIT: Any first time Buyer of Vigo’s products, or Buyer’s seeking payment terms, must complete a new account and credit application form and deliver it to Vigo by fax to 732-388-5706 or by e-mail to [email protected]. Please allow up to 2 business days for application processing. PAYMENT TERMS: For all credit based purchases, payment terms are net thirty days. A 1.5% service charge per month will be added to all past due balances. If additional collection efforts are required for a past due account, Buyer agrees to reimburse Seller for all costs of collection including, but not limited to, reasonable attorney’s fees. Buyer shall have no right of set off, provided however that if Buyer disputes any portion of any invoice, Buyer must pay the undisputed portion of any invoice pursuant to the payment terms of net thirty days. Seller retains a security interest in all goods sold by Seller to Buyer until payment in full is received. For non credit based purchases, or for Buyer credit accounts with unpaid past due invoices, Buyer acknowledges and agrees that shipment of product cannot occur until payment is received in full, which could result in delays for Buyer in satisfying Buyer’s customer’s orders, for which Seller assumes no responsibility. PAYMENT FORMS: Vigo accepts payment by C.O.D., check, wire or credit card. Checks should be mailed to: 2122 Felver Court, Rahway NJ, 07065. Buyer’s desiring to make a wire transfer should contact Vigo’s accounting department at 732-388-5700 for wire instructions. A 4% charge will be added to all credit card payments. Payments made on any Buyer credit account will be applied first to unpaid interest charges, and thereafter may be used for other outstanding invoices or additional purchases. A fee of $30.00 shall be charged for any returned checks. ORDERING: Unless otherwise agreed to in writing by Seller, all orders for product must be submitted in writing via fax or email. Faxed orders should be sent to 732-388-5706. Email orders should be sent to [email protected]. All purchase orders must be completed with proper model number and proper pricing listed. Products with different finishes have unique model numbers for each finish. Vigo will only process the order based on the model number. If model number does not match the description listed on purchase order, the model number will be used to process order entry. Purchase orders without proper model numbers and prices will not be processed until correction is made. ORDER ACKNOWLEDGEMENT: Vigo Industries will acknowledge all orders that are placed by confirming them via fax or email. Vigo will confirm order, quantities, and prices and will provide estimated shipping dates. Please take the time to review each acknowledgement carefully. ORDER CANCELLATION: Vigo approves all cancellations that are made before product(s) is shipped. If order is already in transit, Buyer may still cancel and receive refund but Buyer will be responsible for all shipping charges applicable in returning product(s) back to us. SALES TAX: All merchandise is sold to Buyer’s that are online retailers for resale. Buyer’s assume full responsibility for all taxes or other assessments imposed by any local or federal government agencies. Buyer’s must present a valid resale or tax exemption certificate prior to setting up an account. PRICES: Prices are subject to change without notice. However every reasonable attempt will be made to provide price change notifications. Orders will be invoiced at the price in effect at the time the order was placed. Price list is

for USA and Canada purchases only. For international pricing please contact our sales department. Manufacturer suggested retail prices (MSRP) are subject to the approved trade discount. MAP: In order to promote advertising practices that preserve and enhance the success of our distribution network, Minimum Advertised Price policy is strictly enforced. Dealers are required to maintain such minimum price for any prints of internet advertising, but may sell products at any price. MAP policies are subject to change at any time. As of January 1, 2010 MAP requirement is that no product be advertised below 40% off MSRP price. Vigo will notify Buyer’s of any change in the MAP. SHIPPING: Please refer to the flat rate shipping schedule if item requires shipment by Vigo Industries. Orders will be delivered via Ground Shipping method by a carrier of our choice. Most orders ship within 2-3 business days and are delivered within 3-7 business days considering there are no transportation delays out of our control. Once a shipment leaves our warehouse we cannot guarantee an exact transit and delivery time. For additional transit and delivery information, please contact our shipping department. Oversized items require slightly longer ship-out time due to nature of freight carrier's pick-up scheduling. All large truck shipments (LTL) will be curbside delivery, unless otherwise requested and confirmed by Vigo Industries. Buyer’s are required to ensure that its customers have help available to unload shipments when products are delivered and that for its customers living in limited access delivery areas additional planning and communication may be required. In some cases, freight might have to be picked up at the shipping company’s local terminal or another location mutually agreed upon between client and shipping carrier. In such special cases, Vigo Industries will not be held responsible for any additional planning or credits to the dealer for additional charges from the shipping company. If you are shipping your order to Alaska, Hawaii or outside of United States or need your order expedited please contact our Order Department for a shipping quote. ADDITIONAL FREIGHT CHARGES: If the freight carrier is unable to make a delivery due to not being able to get in contact with a client or dealer for delivery appointments, storage fees might be assessed by the carrier. In such cases all fees will be billed to the dealer and dealer takes such responsibility. Any additional fees such as re-delivery, special notification, inside delivery or any other freight carriers additional services will be the responsibility of the dealer and/or dealer’s client (unless Vigo Industries is notified prior to such an event, and it is noted on your order). Should these services be requested by the dealer and/or its client and billed to Vigo Industries, all such fees will then be re-billed to dealer. Flat rate shipping applies only to orders shipped in the US and additional rates may apply to special delivery areas. (Special delivery areas are any areas with limited access, island with limited access, and some metropolitan delivery addresses). Special shipping quotes are required for Alaska, Hawaii and all international orders. DAMAGED SHIPMENT: Customer must perform a full inspection at time of delivery. If shipment is delivered in a damaged condition, this must be noted on the Bill of Lading and shipment should be refused. We will replace the product(s) free of charge immediately upon notification. If shipment is received in good condition and then opened and damages are found, we must be notified within 3 business days of actual delivery for a free replacement and we will issue a Call Tag for the damaged product(s). LOST SHIPMENT: Should there be any missing boxes or packages, client must make note of this prior to signing for the shipment. The receipt provided will indicate the number of boxes in the shipment. Any discrepancy with the actual count must be noted on the delivery receipt. If part of the shipment is missing and no note is made, Vigo will not be able to assist in the recovery or compensation for any missing items. If shipment is received in good condition and then opened and not all items are included, we must be notified within 3 business days of actual delivery for a free replacement. RETURNS: Products may be returned for credit, replacement or refund within 30 calendar days of receipt after obtaining an RMA number. A 25% restocking fee will apply to all items that are returned in their original packaging in a re-sellable condition. A re-sellable condition includes, but is not limited to, packing the item in another carton or

outer wrapping to protect the item’s packaging and the item’s original packaging must contain no tears or writing on the packaging. No credit or additional restocking fees may apply to items that are not returned in such condition. All returns for buyers remorse must be shipped freight prepaid by customer, insured for the full amount of the invoice and must be properly packaged to prevent damages. The RMA number must be clearly marked on the outside packaging (not the item’s packaging). Vigo Industries reserves the right to approve or deny all returns. Unauthorized returns will be returned to the customer at the customer’s expense. All returns must be shipped to: Vigo Industries LLC, Returns Department, 2122 Felver Court, Rahway, NJ 07065 LABOR: No labor charges of any kind will be allowed for reimbursement. SHIPPING REIMBERSEMENT: No shipping reimbursement charges of any kind will be allowed. PRODUCT SIZES: Please refer to the technical drawings of each product for exact size. Approximate sizes are given for general reference on the price list. CHANGES IN PRODUCTS: We reserve the right to discontinue, modify, alter, or redesign any product at any time. All dimensions are subject to change without notice. COLOR VARIATIONS: Vigo assumes no responsibility for minor variations in color or texture of the materials delivered in relation to samples and/or photos of the product purchased. Such minor variations will not be considered to be defects and any products returned because of these variations will be charged a restocking fee. LIMITED WARRANTY: Vigo will include a copy of its limited warranty with all products shipped. Buyer’s can obtain a copy of this warranty by contacting Vigo’s Sales Department and requesting a copy. Note, Vigo assumes no responsibility for Labor charges and /or damage incurred in installation, removal, repair, or replacement as well as incidental and consequential damages connected therewith, and no such costs or damages are covered in Vigo’s warranty. Vigo shall be held harmless in any claim, and assumes no liability for any injury in connection with the installation of Vigo’s products. Buyer is responsible for notifying its customers of this policy prior to any purchase. NOTIFICATION OF VIGO POLICIES TO BUYER’S CUSTOMERS: Without limiting any of the foregoing, Buyer agrees that it shall make a copy of these Terms and Conditions of Sale available to its customers, and in particular, but without limitation, all terms and conditions with respect to Shipping, Freight, Labor, Damage and Lost Shipments, Returns, Product Size and Color Variations and the Limited Warranty provisions. Buyer agrees to indemnify and hold Vigo harmless from all claims brought by Buyer’s customers with respect to Vigo’s products.
