Terms & Conditions of Sale

1 Definitions:

‘Company’ shall refer to the Seller (Paradigm Fleet Services Limited)

‘Purchaser’ the person(s) or company that agrees to buy goods from the Seller

‘Goods’/’Product’ the item(s) which the Buyer agrees to purchase from the Seller

‘Price’ the price for the Goods, excluding VAT, carriage, specialist packing and insurance costs

2 Orders:

2.1 Orders may be placed by telephone or e-mail and should whenever possible be accom-panied by an official purchase order no.

2.2 All orders processed for invoice and delivery within the UK shall be subject to the prevail-ing rate of VAT.

3 Prices:

3.1 Unless otherwise agreed in writing the Company reserves the right to increase its prices at short notice. The Company shall however endeavour to provide reasonable advance warning of any imminent price changes.

3.2 Any contractual price agreements which may include the application of discount, ‘fixed term’ agreements and/or rebate schemes shall be valid only if agreed in writing.

4 Delivery/Risk:

4.1 Goods are supplied ex-works Liverpool, packed and/or bulk packaged in domestic cardboard cartons. Every effort shall be made to ensure individually packaged Goods are packed securely within the carton.

All shipments are accompanied by a delivery note.

4.2 Orders destined for delivery within the UK (except N. Ireland) shall incur a carriage charge which will be determined by the weight of goods ordered. The Company shall make every effort to despatch goods same day using a ‘next day’ service.

Unless covered by a ‘carriage paid’ agreement, all carriage charges for export orders and for orders destined for N. Ireland and the Republic of Ireland are calculated based on the gross weight and destination of the consignment.

4.3 Delivery shall be via a third party carrier, typically nominated by the Company. Risk shall pass from the Company to the Purchaser at the point of off-loading. The Company shall not be liable for any damage to Goods, as a result of mis-handling during this process.

4.4 Every effort shall be made to meet the Purchasers requested delivery date. Should the specified dates be unachievable, the Company shall endeavour to advise the Purchaser as soon as possible with an alternate date. The Company shall however not be liable under any circumstances for consequential costs incurred due to late delivery.

5 Cancellations:

5.1 Orders for standard stocked product may be cancelled by the customer at any time prior to collection by the customer or the nominated third party carrier. Exceptions to this clause are bespoke/modified Goods or Product which have been specifically ordered on behalf of the Purchaser.

6. Shortages:

6.1 Notification of any shortages must be reported to the Company within

48 hours of delivery. After this time orders are assumed to have been fulfilled

correctly and the Company’s obligation in this regard completed.

7 Returns:

7.1 In the event any Goods need to be returned due to incorrect processing by the Company, the Purchaser must contact the Company within 48 hours of receipt advising of the error with all relevant information, including invoice no. and itemised details. The Company shall thereafter arrange collection of the Goods or request their return. On receipt the goods shall be inspected and if sale worthy a credit raised accordingly.

7.2 Any carriage charges incurred by the Purchaser in returning wrongly processed Goods may be billed to the Company subject to prior agreement and confirmation of cost.

7.3 Incorrectly ordered Product may be returned by the Purchaser for credit. Product should however only be returned following consultation with the Company and shall only be credited providing the packaging has not been opened and the contents un-damaged.

7.4 In exceptional circumstance the Company shall reserve the right to charge a handling fee for the re-stocking of Goods which have been ordered in error. The Company shall reserve the right to invoice any Goods that are found to be unsuitable for re- sale, or where individual packaging has been compromised resulting in the Product being un-fit for sale.

8 Damages:

8.1 Any damages must be reported to the Company within 48 hours of receipt. At this time responsibility for ‘safe’ return of the Goods shall be agreed.

8.2 On receipt, the Goods shall be subject to inspection and/or test.

A decision on whether a credit is to be issued or replacement Product supplied shall be made once testing has been concluded. If the Product is found to be ‘fault free’ it shall be returned to the Purchaser. No further correspondence or discussion shall be entered into in this regard once a decision has been made. Should a replacement Product be required during the period of inspection/test,

it shall be invoiced.

9 Invoicing, Payment & Title:

9.1 Unless otherwise agreed in writing, standard payment terms shall be within 30 days from the date of invoice. Invoices shall be sent via mail or e-mail following departure of Goods.

9.2 Goods may be delivered direct to a third party where requested subject to written confirmation.

9.3 All Goods and title thereof shall remain the property of the Company until such time as payment has been received in full.

10 Warranty:

10.1 All Goods are covered by a warranty period. The length of Warranty shall depend on the individual product. Details are available on request from the Company. The Company reserve the right to inspect and/or test any Product for which a claim has been made prior to validating said claim.

10.2 The Company shall not be liable for any incurred charges relating to consequential costs (including but not limited to) machine downtime and/or labour charges resulting from a Warranty claim.

10.3 The Company shall be under no obligation regarding Warranty claims should an account be overdue for payment.

11 Force Majeure:

11.1 The Company shall not be liable for any personal injury or consequential damage to property resulting from incorrect application or use of the product or where circumstances or situations resulting in damage or injury are entirely beyond their control. Such occurrences may be for example (but

not limited to) faulty fitting of the Product, abuse of the product, Acts of God, outbreak of war, civil disobedience or strike action.

12 Governing Law:

12.1 This agreement is governed by and subject to jurisdiction by

English Law
