EDITORIAL TERMS AND CONDITIONS
1. COPYRIGHT. Writer recognizes that VentureBeat, as compilation copyright owner, will havethe right to copyright works of authorship (including without limitation articles written by the
Writer for VentureBeat, as described in the Assignment above) in VentureBeats name, and to
enjoy the rights of ownership of such copyright. VentureBeat hereby grants Writer a
nonexclusive license to create derivative works of any material developed for publication on
VentureBeats web site(s) or otherwise (each work to be called an Article), once the Article is
published by VentureBeat, without diminishing or modifying the rights Writer is hereby assigning
and granting to VentureBeat.
2. USAGE. VentureBeat will have the right to edit, proofread, reduce, and/or revise copy, and
that publication of the work will be solely at the discretion of VentureBeat. VentureBeat will have
the right to publish the work on its own website as well as other websites and other forms of
media, at its discretion. The writer does not have the right to authorize publication of editorial to
any form of media without the written consent of VentureBeat.
3. WARRANT OF ORIGINALITY AND NON-INFRINGEMENT. Writer represents and warrants
to VentureBeat that Writer has the unimpaired right to convey to VentureBeat the rights to copy
submitted as the Writer's. Writer warrants that publication of the submitted editorial will not

violate any law, infringe upon the proprietary rights of any institution or individual(s). All
information shared by Writer or by VentureBeat during the assignments will remain confidential.
Violation of these provisions will result in immediate legal action by VentureBeat.
4. DELIVERY. Writer named agrees to submit copy assigned by VentureBeat by the specified
deadline. If problems arise, communication will be made promptly to the assigning editor. Thetext of your story should be saved as a Google document, .RTF file or plain-text document and
emailed to your assigning editor, or filed directly into VentureBeat's publishing system (CMS --
content management system), if instructed by the assigning editor.
5. PAYMENT. Payment for accepted editorial is made within 30 days after submission of an
invoice. The fee (as determined by the assigning editor) is the total amount to be paid. No other
costs will be paid unless approved in writing by VentureBeat and attached to this contract.
Writer agrees that Writeris an independent contractor and not an employee of VentureBeat and
is responsible for reporting his or her own income to the appropriate authorities. VentureBeat
does not withhold taxes and cannot offer tax advice or direct deposit for contractors.
VentureBeat reserves the right to withhold or make partial payment for articles containing
factually inaccurate or irresponsible reporting.
6. ENTIRE AGREEMENT. This agreement contains the full and complete understanding of the
parties hereto, supersedes all prior agreements and understandings, whether oral or written
pertaining hereto, and cannot be modified except by a written instrument signed by each party
hereto.
