    ServicesproposedshallbereviewedandevaluatedbasedoncompletenessandcomplianceoftheProposalandresponsivenesswiththerequirementsoftheRFPandallotherannexesprovidingdetailsofUNDPrequirements.

    TheProposalthatcomplieswithalloftherequirementsmeetsalltheevaluationcriteriaandoffersthebestvalueformoneyshallbeselectedandawardedthecontract.Anyofferthatdoesnotmeettherequirementsshallberejected.

    AnydiscrepancybetweentheunitpriceandthetotalpriceshallberecomputedbyUNDP,andtheunitpriceshallprevailandthetotalpriceshallbecorrected.IftheServiceProviderdoesnotacceptthefinalpricebasedonUNDPsrecomputationandcorrectionoferrors,itsProposalwillberejected.

    Nopricevariationduetoescalation,inflation,fluctuationinexchangerates,oranyothermarket

    factorsshallbeacceptedbyUNDPafterithasreceivedtheProposal.AtthetimeofAwardofContractorPurchaseOrder,UNDPreservestherighttovary(increaseordecrease)thequantityofservicesand/orgoods,byuptoamaximumtwentyfivepercent(25%)ofthetotaloffer,withoutanychangeintheunitpriceorothertermsandconditions.

    AnyContractorPurchaseOrderthatwillbeissuedasaresultofthisRFPshallbesubjecttotheGeneralTermsandConditionsattachedhereto.ThemereactofsubmissionofaProposalimpliesthattheServiceProvideracceptswithoutquestiontheGeneralTermsandConditionsofUNDP,hereinattachedasAnnex3.

    5.1. RelevantProjectBackgroundThe lightingsectorconsumessignificantamountsofenergy,whereassubstantialsavings, from75%to90% comparedwithconventionalpractices,canbeachieved through theuseofnewenergyefficienttechnologies.Atthenationallevel,severalOECDanddevelopingcountrieshavepreparedandenactedEnergyEfficientLighting(EEL)programsaimedatphasingoutincandescentlampsandotherinefficienttechnologies. Such programs reduce energy use by 30%within 5 to 7 years,while quality and evenquantityoflightingisenhanced.Representativesoftheleadinglightingmanufacturersannouncedtheirsupport for thisambitiousmarket transformationcalling fora coordinatedeffortamongall countriesworldwide.Despite the fact that Ukraine offers one of the worlds greatest potentials for energy savings andgreenhousegas (GHG)emission reductions in the lightingsector, thecountryhasso farnotachievedsignificantimprovementsinenergysavingsfromenergyefficiencyinlighting.TheoverallobjectiveofUNDP/GEFProjectTransformingtheMarketforEnergyEfficientLightingistofacilitatethemarketstransitionovertoEElightingtechnologies,byremovingtheexistingimpediments,contributingtherebythereductionofGHGemissions.OneoftheProjectgoalsistodevelopandimplementenergyefficientlightingdemonstrationprojectsRelevanceofthestudyA number of pilot projects were implemented during 20122014 years in order to demonstrateadvantages of energyefficient lighting technologies and thus to lead to reduction of greenhouseemissions.Inparticulartheseare:

    TheContractorshall:(a) putinplaceanappropriatesecurityplanandmaintainthesecurityplan,takingintoaccountthe

    securitysituationinthecountrywheretheservicesarebeingprovided;(b) assumeallrisksandliabilitiesrelatedtotheContractorssecurity,andthefullimplementationof

    thesecurityplan.4.1.2 UNDPreservestherighttoverifywhethersuchaplanisinplace,andtosuggestmodificationstotheplan

    whennecessary.Failuretomaintainandimplementanappropriatesecurityplanasrequiredhereundershallbedeemedabreachofthiscontract.Notwithstandingtheforegoing,theContractorshallremainsolelyresponsibleforthesecurityofitspersonnelandforUNDPspropertyinitscustodyassetforthinparagraph4.1above.

    4.2 AuditsandInvestigationsEachinvoicepaidbyUNDPshallbesubjecttoapostpaymentauditbyauditors,whetherinternalorexternal,ofUNDPortheauthorizedagentsoftheUNDPatanytimeduringthetermoftheContractandforaperiodofthree(3)yearsfollowingtheexpirationorpriorterminationoftheContract.TheUNDPshallbeentitledtoarefundfromtheContractorforanyamountsshownbysuchauditstohavebeenpaidbytheUNDPotherthaninaccordancewiththetermsandconditionsoftheContract.ShouldtheauditdeterminethatanyfundspaidbyUNDPhavenotbeenusedaspercontractclauses,thecompanyshallreimbursesuchfundsforthwith.Wherethecompanyfailstoreimbursesuchfunds,UNDPreservestherighttoseekrecoveryand/ortotakeanyotheractionasitdeemsnecessary.

    4.2.1 TheContractoracknowledgesandagreesthat,atanytime,UNDPmayconductinvestigationsrelatingtoanyaspectof theContract, theobligationsperformedunder theContract,and theoperationsof theContractorgenerally.TherightofUNDPtoconductaninvestigationandtheContractorsobligationtocomplywithsuchaninvestigationshallnotlapseuponexpirationorpriorterminationoftheContract.TheContractor shallprovide its fulland timelycooperationwithany such inspections,postpaymentauditsor investigations.
