at 6pm EDT September 8, 2010 (the Entry Period) and consists of three (3)

received during the Entry Period based on the originality, creativity, and

Sponsor assumesno responsibility for any computer, technical, telephone, cable,

network, satellite, electronic or Internet hardware or software malfunctions,

failures,connections,availability,orgarbledorjumbled transmissions,orservice

provider/Internet/website/use netaccessibilityoravailability,trafficcongestion,orunauthorizedhumanintervention. Sponsorreservestherighttomodify,suspend,

orterminatethepromotioninwholeorinpartbygivingsuchnotice,inanyform

andmannerdeemedappropriatebySponsor. Shouldthepromotionbemodified,

2. ELIGIBILITY: Minorsmust obtain permission from his/her parent/legal

guardian before entering this contest. This contest is open only to legal

residentsoftheUnitedStates(excludingPuertoRico,theU.S.VirginIslands,and

othercommonwealths, territoriesandpossessions)16YEARSOROLDERasof

August 23, 2010. Employees, and their immediate families (spouses, parents,

children, siblings,and their respective spouses), includinghouseholdmembers

of Black Entertainment Television LLC and their respective affiliates,

subsidiaries, divisions, advertising and promotion agencies are not eligible to

enter. Thiscontestissubjecttoallfederal,stateandlocallaws. Byenteringthis

contest, each entrant agrees to release and hold harmless Sponsor and its

respective parent companies, affiliates, subsidiaries, agencies, employees,

officers,directors,

representatives,

and

and

agencies

from

anyinjury,loss,death,damage,action,claim,demandorotherliabilitythatmay

3.CONDITIONSOF ENTRY: An eligible entrymustbe received as described

Sponsorisnotresponsibleorliableforlost,stolen,mutilated,incomplete,incorrect,

delayed, late, interrupted illegibleormisdirectedentries. Allentriesbecome the

propertyofSponsorandwillnotbeacknowledgedorreturned.

4.PRIZE:

prizepackageincludestheopportunityforBETtobroadcastlivefromtheGrand

PrizeWinners town during the period October 56, 2010 and tape live hits

featuring theGrand PrizeWinner to and from the his/her town and the live

tapingofBETs106&Park:TheCelebration10YearsLive!(thePrize). Prize

doesnotincludeanyexpensesnotspecificallylistedherein. Prizepackagehas

no cash redemptionvalue andmustbeheldduring theperiodOctober 56,

2010. IftheGrandPrizeWinnercannotbeavailableonthespecifieddates,prize

willbe forfeited and the prizemaybe awarded to an alternate grand prize

winner. Anyfederalandstatetaxesonaprizearethesoleresponsibilityofthe

GrandPrizeWinner. Nosubstitutionor transferofprizespermitted,exceptat

the solediscretion of Sponsor. If aprize isunavailable, Sponsor reserves the

righttosubstituteaprizeofequalorgreatervalue.Allprizeswillbeawarded.

5.DETERMINATIONOFGRANDPRIZEWINNER: Three(3)Finalistswillbe

selectedby Sponsor on or about September 10, 2010based on the originality,

creativity, and enthusiasm of theirvideo clip from amongst all eligible online

entriesreceivedbythedeadlinedateSeptember8,2010at6pmEDT. Duringthe

period September 2023, 2010, viewerswatch 106&Parkdaily from 6pm

8pmEDTtofindoutwheretovotefortheirfavoriteFinalistforthatday. Voting

willbe

conducted

using

social

media

outlets

such

as

Twitter

and

Facebook,

www.bet.com/106andpark,andBETMobilebytextingA,B,orCto79922.

One (1)GrandPrizeWinnerwillbe selected fromamongst theFinalistsonor

about September 24, 2010based on themost cumulativepoints for all voting

elements. The voting process shall be conducted under the supervision of

Sponsor. Sponsorshallchoose theFinalistsandGrandPrizeWinner in itssole

discretion.Sponsorwillnotify theFinalistsandGrandPrizeWinnerbyphone

and/oremail.

6. GENERALCONDITIONS: ThepotentialFinalistswillberequiredtosignand

returnan

Affidavit

of

Liability

and

Publicity

Release

and

any

other

documents

sentby Sponsor within three (3) days of notification. Failure to return the

documentsasspecified,ifunavailableduringthespecifiedshootdate,orifprize

notification is returned as undeliverable will result in the entry being

disqualified, and an alternate potential finalist or grand prizewinnermaybe

selected. Where permitted by law, Finalists agree to grant to Sponsor and

7. DISPUTES: Asaconditionofparticipatinginthiscontest,entrantagreesthat

action arising out of or connected with this contest, shall be resolved

individually,without resort to any form of class action, exclusively,before a

court located in the State ofNew York having competentjurisdiction,which
