Nichols, based upon alleged violations of the Investment Company Act of 1940 respecting the operations of VC Management's only client, The Greenfield Fund, Inc. The Order Instituting Proceedings alleges that Respondents violated the antifraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934 by falsely representing in the Pund's prospectuses, among other things, that persons were members of the board of directors when they were not, and that other directors were disinterested persons as defined by the Investment Company Act when they were not. The Order also alleges that Respondents violated Investment Company Act provisions regarding the minimum number of disinterested directors, the Fund's books and records, the pricing of its shares, and the maintenance of a fidelity bond. A hearing will be scheduled to determine whether the Order's allegations are true, and if so, what sanctions would be appropriate in the public interest. (ReI. PROCEEDINGS INSTITUTED AGAINST VC MANAGEMENT (OF CONN), INC. AND RICHARD F.F. NICHOLS

The Commission instituted public administrative proceedings against VC Management (of Conn), Inc., a registered investment adviser, and its chairman, Richard F.F. Nichols, based upon alleged violations of the Investment Company Act of 1940 respecting the operations of VC Management's only client, The Greenfield Fund, Inc. (the Pund), a registered open-end investment company based in New York City.

The Order Instituting Proceedings alleges that Respondents violated the antifraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934 byfalsely representing in the Pund's prospectuses, among other things, that persons were members of the board of directors when they were not, and that other directors were disinterested persons as defined by the Investment Company Act when they were not. CIVIL PROCEEDINGS

CIVIL ACTION FILED AGAINST VIRGINIA MELHORN

The Atlanta Regional and Miami Branch Offices filed a Complaint on May 6 in the U.S. District Court for the Southern District· of Florida against Virginia Melhorn, former assistant to the chief executive officer of Charles Phillip Elliott, doing business as Elliott Enterprises, an unincorporated business with offices in Naples and Fort Myers, Florida. The Complaint seeks preliminary and permanent inju~ctions and other relief.
