TERMS OF REFERENCE Consultancy for NGO Board Development Training A. Background APAMO with the support of PACT is implementing a project:” SUPPORT FOR CAPACITY BUILDING FOR IMPROVED PROTECTED AREAS MANAGEMENT IN BELIZE”. The Project aims at strengthening the institutional capacities of 7 Community- Based Organizations (CBOs) who co-manage protected areas in Belize, namely, Steadfast Tourism & Conservation Association (STACA) in Steadfast Village, Friends of May Flower Bocawina National Park (FOMFB) in Silk Grass Village, Friends of Gra Gra Lagoon in Dangriga, Friends of Swallow Caye Wildlife Sanctuary (FOSCS), Forest & Marine Reserve Association of Caye Caulker (FAMRACC) both of Caye Caulker Village, Community Baboon Sanctuary (CBS) and Spanish Creek Wildlife Sanctuary (SCWS) both of the Belize River Valley Area. APAMO is seeking a consultant that will be able to conduct a 2-day training for the Board of Directors and staff of these 7 organizations in Leadership Skills, Organizational Governance & Organizational Management and assist in the delivery of a Board Manual for these organizations. The training will be geared at improving the participants skills and capacities in comprehending and appreciating the importance of good governance, by understanding the role of the board in providing direction and prudent management in order to enhance the mission and vision of the organization, increasing performance, transparency and accountability to all it stakeholders, recognizing that governance is not the same as management, but is complementary to it and developing and implementing improved policies and programs that will have a positive impact on effective protected areas management in Belize. B. Objectives of the Consultancy The general objective of the training is to equip the participants with knowledge and skills on leadership and good governance to provide direction, control and management to their organizations by increasing of the capacity of the Board of Directors. C. Tasks of Consultancy The Consultant will coordinate with the Project Manager under the supervision of the APAMO Coordinator and APAMO Executive Council. Specifically the Consultant will: Prepare and deliver a Board Development Training module that is skills-based and practical for 7 protected areas management organizations (APAMO members) in Belize which should include but not be limited to: o Difference between Governance and Management o Tasks and Responsibilities of NGO Boards, o Building effective Boards

o Difference between Governance and Management o Tasks and Responsibilities of NGO Boards, o Building effective Boards

o Board operations and best practices o Leadership Skills

• Assist in the development and delivery of a Board Manual for the organizations in relation to governance that meets the priorities of the organizations and its stakeholders, based on their missions and objectives, and also considering national and international processes and trends in conservation and development.

D. Proposed Methodology Pre-training assessment and a two days participatory training (focus group discussion, group work, role plays) session where the board members and staff of the 7 organizations shall be brought together with an intent to learn and discuss leadership, good governance and validation of a draft Board Manual during the training. The Consultant will collaborate with APAMO Staff to agree on a precise training schedule and manual that will be used to conduct the training.

E. Expected Outputs 1. A Board Development Training Manual 2. A Board development Trainings for each of the 7 organizations 3. A Report of the pre-training assessment and governance training 4. Recommendations and input on a draft Board Manual for each of the 7 organizations

F. Time Frame The duration of the assignment should not exceed 20 consultancy days. The trainings are expected to commence in the Month of October, 2010 and completed by December, 2010.

G. Qualification and Competencies: The consultant should have: • A masters degree, in the field of administration and/or management or in a relevant field • 5 or more years of experience in Organizational Management and working with Boards • Knowledge and experience in leadership and governance training for CBOs • Knowledge and experience of participatory approaches and facilitation. • Knowledge on protected area issues is desirable • Willingness to travel to protected area sites within Belize • Good communication skills, both written and verbal. H.
