September 20, 2012

CALL TO ORDER – The meeting was called to order at 9:07 AM at the DAAR Offices.

By motion of the Executive Committee, Greg Davidson was elected to fill the unexpired term of Ken Shall as Affiliate Representative on the BOD.

VAR BOD Liaison Fred Morgan was introduced to the Board. Fred is here as an observer and to let the BOD know that he is available should we have any issues with VAR that need addressing.

Chairman Arko presented a token of appreciation to Sue Puleo for all her hard work on the Community Service Committee and all of the other DAAR volunteer activities she participates in, with thanks for her very big and generous heart.

Rocky Westfall and Christine Windle presented to the BOD the new concept Homebuyer Resource Center from the County. Approval of this will go before the BOS in the next month or two. Motion was made seconded and approved to send a letter to the BOS expressing our support and appreciation for the site.

APPROVAL OF THE CONSENT AGENDA: The Consent Agenda was approved. The BOD asked for vague summaries of Professional Standards Cases to be included in future reports.

NEW BUSINESS: Line of Credit: A motion was received from the Budget & Finance Committee to apply for a $25K Line of Credit with Access National Bank under the terms presented, except that the word exclusive be removed from the sentence about our depository relationship. The motion was adopted. Communication/Technology Committee: A motion was made, seconded and approved to separate the above committee from the responsibilities of the Public Policy

Chair and make the Immediate Past President the liaison for that committee on a trial basis. If it is shown to be successful, a bylaw change will be implemented next year. Election of the 2013 Officers: The following candidates were nominated: Sue Smith, Chairman-Elect; Ray Rees, Public Policy; Shawn Milletary, Member Services; Scott Buzzelli, Finance; Jackie Lawlor; Professional Development. A Motion was made, seconded and approved to elect the slate as presented. Updates and Discussions: Everyone was reminded and encouraged to attend the 50th Anniversary Picnic on September 29th, 4 PM at JEBBRA Farm. This is an event not to be missed. ADJOURNMENT: A Motion was made, seconded and approved to adjourn the meeting at 10:35 AM.

Executive Committee and CEO Report

November, 2012

Executive Committee: Awards – The Executive Committee reviewed the report of the Awards Committee. They recommend adoption of the changes to the Honor Society volume and points. They recommend adoption of the new production awards in concept, but have sent the report back to the committee for review of the following items:

1. Names for the Awards Category. Specifically eliminating “Million” from any award. They also ask that the term “Top Producer” be reconsidered, perhaps something like REALTOR® Elite, just some thoughts.

2. Definition of Team be clarified; must have been a team for 8 of the previous 12 months; team means all production is listed in MRIS under one name; etc.

3. That a Rookie of the Year be considered for anyone in the business less than 18 months. 4. Eliminate any “Lifetime” Awards. 5. Peer to Peer Award be named REALTORS® Choice in Excellence Award or something

comparable. 6. If the committee can come forward with some recommendations, and approved by the BOD,

even if it needs to be done on an email vote, we will implement at 2012 Award to be given in 2013.

7. Consider a luncheon Event. 8. Develop an application fee. Research data from other associations to use as a basis. 9. Regarding the Peer to Peer Award. REALTORS® should nominate someone you worked with

who influenced you or the transaction in a very positive way. The nominations will be sent out to the members and they will vote on the winner. Winner to be announced at the Awards event.

10. Any anything else they can think of. Hearing Panel Decision- The committee ratified the decision of a hearing panel, a copy, with no names is attached for your information. No action is required by the BOD. Lock Box Fees- The committee ratified an email vote to raise the annual key lease fee by $5 to $130. Our administrative fees to Sentrilock have increased, and we were just notified of a price increase in the cost of the lockboxes. Rather than pass these fees on with a price increase the Committee felt that an across the board increase of $5 would suffice. Resignation and Replacement- Due to the departure of Melissa MacKimm from the area, and her subsequent resignation, the Committee discussed a replacement. Tony has been asked to contact Dorothy Hall, RE/MAX Leaders if she would accept appointment. As of this writing I don’t have an

answer, but if she is willing, the Executive Committee recommends Dorothy to fill Melissa’s position until the next election. Agency Work Group Report- The committee, with the understanding that VAR has opted not to form an Agency Work Group, recommends to the BOD that the report be accepted and that the recommendations offered be implemented. Staff Incentive Payment Plan- The committee recommends to the BOD the adoption of the attached incentive plan for staff. CEO Report: Membership – We continue to see an influx of new members as well as several, non-solicited, transfers. I am pleased to report that from a year ago we have a net increase of 30 REALTOR® members, a good sign that things are turning around in terms of membership numbers. As a little incentive to encourage members to pay their dues early, by November 15th, we offered members the opportunity to be entered into a raffle drawing if they paid early. That drawing was held, and Curtiss Brown of Patriot Properties was the lucky winner of free DAAR dues for the June 2013 installment. Governmental Affairs – We have been advised that Jay DeBoer, VP of Law and Policy at VAR will be leaving on December 31st. As you may know, we have had Jay to DAAR several times to discuss Agency and other matters with our Brokerage Community. Events – Staff is busy preparing for the Holiday Party and Installation. A reminder of all the important dates in the next two months is included on the agenda. Bradley Boland will be conducting the installation of Officers and Directors and all of our local Legislators have been invited. We will also be holding the Broker Basket Challenge at the Installation hoping to raise funds for our local shelter related charities. Staff Structure – I have made some changes to the staff structure. Those changes can be noted on the attached document. From the NAR Convention – This year’s convention proved quiet, there were no “hot” items on the agenda. Probably the biggest change will be a restructuring of the NAR Committee structure. We continue to wait for additional information on how this will all fall out. As a delegate representing DAAR, Tony voted on some NAR constitutional and bylaw changes, most of which were of little significance and primarily housekeeping in nature. I did come back with one tidbit of an idea which I am currently formulating and plan to present to the BOD in January. That involves the possibility of providing small loans to our members to enable them to take the fairly expensive designation programs offered by DAAR. Loans will be paid off within one year, either in installments or at the next commission check. Again, I will have a formal plan for you at the next meeting. Policy and Procedures Manual- Finally, after many years of desire, and finally establishing a firm goal to get it done within two years, I have developed a Policy and Procedures Manual for DAAR. I ask that you take it home and take the time to review the document. You will be asked to vote on its adoption at the January meeting.

VAR Standard Forms – The VAR Board of Directors is considering making electronic VAR Forms available to the membership through “Instanet” as a member benefit. If this occurs it could take up to 9 months to implement throughout the state, but all VAR forms would be free to all members. Truly a significant member benefit. REALTOR® Emeritus – NAR recognized three new inductees as REALTOR® Emeritus from DAAR at the November BOD meeting. They are Betty Plashal, Charlie Dwyer, and Alton Echols Jr. We will recognize these individuals at Thursday's meeting. My Bragging Rights - Just for your information, I was invited by Purcellville Rotary and Ashburn Rotary to provide presentations to their clubs. Both visits went very well as I was finally able to provide them with very positive market statistics for the area. We gained a new affiliate member as a result of my visit, as well. I have also been invited to join the Ashburn Rotary, a matter which I will be discussing with the Executive Committee at a later date. Additionally, I have been recertified as an RCE (REALTOR® Association Certified Executive). Report of the Agency Work Group, October 25, 2012

1. Make a recommendation to VAR as follows:

a. In the law, define specifically “Substantive”. Although this is not new language to the

COVa or the VREB Regulations, confusion became evident when certain interpretations

were made about the meaning of the term Substantive. Most members interpreted that

as when the relationship got more serious, containing substance, rather than the new

interpretation, “When an agent engages in any licensed activity”. Specifically, according

to the VREB Guidance Document, what is meant by the term, “Engages a Licensee”? Is

that when a phone call is received, there is eye to eye contact, a handshake, providing

information about a property, an actual showing? VREB leaves substantial liability on

the part of the agent when it states that it shall be in the “Judgment of the licensee

based upon a customer’s words and actions to make a determination if a brokerage

agreement is required.” The licensee’s judgment may be different than the judgment of

a panel at DPOR, hence, the liability.

i. Here is an example of a conflict. Mom engages a licensee to look at houses for

her son who is coming into town next week. She has no intention of buying a

home. The DPOR guidance document states that; “For example, showing a

house may be ministerial if the licensee takes the party to see what the typical

features are in a home in the market area or to gather information on the market or

area”. This action according to the guidance document does not require a

written brokerage agreement however, I have to use my lockbox key to show

her properties, clearly a “licensed activity”, so, is there a need for a disclosure,

and when? b. Disclosure of Agency, it is agreed, needs to take place “Prior to an agent engaging in any

licensed activity”. However DAAR believes that the signing of a brokerage agreement

should be done when the relationship gets more serious. For example, Disclosure of

Agency before we begin “dating” and Brokerage Agreement when we are talking

“engagement” with the actual offer/contract writing being the “marriage”.

i. As with the listing, the agent and the seller frequently have time to get to know

each other and feel comfortable with each other.

ii. Agents feel that they need that time to “get acquainted” with their prospective

client before requiring them to sign a Brokerage Agreement.

iii. DAAR believes that these should be two separate requirements, in some cases,

at different times.

c. Members are incorrectly using the Unrepresented form. There needs to be increased

emphasis placed on the appropriate use of this form in all classes and information

disseminated by VAR .

2. The Work Group recommends that DAAR develop a “Best Practices” document based on a

variety of situations. For example: If you meet a prospect at an open house you should do the

following; If you get a phone call to meet a prospect at a home for sale, you should do the

following; etc. This may help give some clearer guidance to our members. I would suggest that

we postpone doing this until we have been advised of any changes VAR may be recommending.

Subject to: the Work Groups approval of this document, and review by the BOD, staff will follow

through by submitting the recommendations to VAR.

After the meeting, I contacted VAR about assuring a seat on the VAR Work Group for a DAAR

member. I was advised to contact the President of VAR about that, and that they are now not

sure if a Work Group will be appointed. I plan to contact President Trish Szego and will update

you when I have a firm answer.

At your request, I have put together the following proposal for Staff Financial Incentives. I would like to call this a starting point. There are few if any Association Incentive programs for me to model, so I am open to your suggestions.

I propose that the cumulative staff receive 20% of all net profits over a balanced budget on a semi-annual basis. If our net profits at the end of 6 months are say $30,000, 20% of that or $6,000 would be given to the staff, as an example. For the second half of the year, the net profit from the first six months would be subtracted from the final amount for the calculation.

Bonuses will be distributed in the following percentages in January and August: Christine Windle – 25% Allan Marteney – 25% Jeanette Newton – 20% Alison Latcheran – 15% Joyce Baker – 15% I submit this for your consideration.

GOVERNMENT & POLITICAL AFFAIR COMMITTEE UPDATE

STATE/FEDERAL LEGISLATIVE ISSUES

DAAR 2013 LEGISLATIVE PRIORITIES In preparation for the 2013 General Assembly, DAAR submitted 2013 legislative priorities to VAR for consideration into their legislative program. As a result, the following DAAR issues will be considered by VAR’s Board of Directors: Regulation of Alternative On-Site Septic Systems/Bonding/Lien Requirements, First Time Homebuyer Savings Accounts and Proffer Reform. Other issues on the VAR legislative docket include technical corrections related to the new agency law; POA/COA changes to facilitate financing eligibility with respect to owner-occupied condos; meth lab disclosure; liability protection for licenses for including erroneous public tax record information in MLS; and VREB instructor qualification improvements. In preparation for session, the Government Affairs Committee will meet with Delegate Randy Minchew (10) and Delegate Tag Greason (32) in December. CALL TO ACTION FROM NAR: EXTEND MORTGAGE CANCELLATION TAX RELIEF The National Association of REALTORS® is requesting that all members participate in a call to action to extend the Mortgage Forgiveness Tax Relief which expires at the end of the year. Without action before the end of the year, millions of families who hold distressed properties could face a hefty tax bill for trying to modify their mortgage or to seek a short sale through their lender. This is because the amount of debt forgiven by the lender would be considered “phantom income” to the borrower even though they never receive any payment from the lender. LOCAL LEGISLATIVE ISSUES

LOUDOUN COUNTY HOMEBUYER EDUCATION RESOURCE PORTAL Put together by a work group appointed by the Loudoun County Board of Supervisors and led by DAAR, Loudoun County staff recently unveiled a web-based portal for potential homebuyers to easily access information on how a property may be impacted by environmental regulations, transportation projects, future development and zoning rules. Almost all of this information is readily available on-line, but the County is looking for a way to direct homebuyers to it and assist them once they get there. The resource, www.loudoun.gov/homebuyer was approved by the LCBOS in October and is expected to be formally unveiled by the end of 2012. CHESAPEAKE BAY TMDL/WIP The Chesapeake Bay Total Maximum Daily Load (TMDL) is a "pollution diet" established in December 2010 by the Environmental Protection Agency (EPA) that is intended to limit the amount of phosphorus, nitrogen, and sediment entering the Bay from its watershed. Each state with waters draining into the Bay is required to submit a Watershed Implementation Plan which proposes how these pollution reduction goals will be met. As part of the Phase II WIP, Virginia has asked all Bay jurisdictions, including Loudoun County, to develop scenarios and strategies that will help the state meet its required reduction goals. As part of that effort, DAAR was asked to participate in a committee tasked with provided input on scenarios developed by a third technical advisory committee appointed this year. Christine Windle, DAAR Staff, serves on that group. DAAR participated also participated in the first two stakeholder groups, via Edna Cross and Beckwith Bolle, dealing with this issue over the past several years. SPECIAL PROJECTS/EVENTS HOUSING MARKET STATISTICS The DAAR Housing Market Statistics program is focused on providing critical information to the public and local officials on the local real estate market. MRIS’ RBI Intelligence has been under contract since July to provide a local analysis of existing home sales which are highlighted and distributed via DAAR’s website, Facebook page and local media. According to the latest October 2012 report, the Loudoun County real estate market saw significant gains in nearly all key indicators in the month of October. The number of ratified contracts was up 31.3 percent over October 2011, while new contracts were up 23.1 Page 17 of 37

percent and the median sale price gained 5.0 percent over last October’s level. The median days on market for closed sales in October was 25 days, 20 days lower than the 45 in October 2011 and 10 days less than the ten-year October average. LUNCH MATTERS/PUBLIC POLICY/HOUSING TRENDS FORUMS In an effort to raise awareness about issues, programs and activities of interest to the real estate industry, several Lunch Matters, Public Policy and Housing Trends Forums are scheduled throughout the year. While Lunch Matters classes focus primarily on existing programs and areas of interest, Public Policy Forums are geared toward highlighting upcoming changes to legislation and regulation impacting real estate. These complimentary events also provide an opportunity for DAAR to showcase education offerings, programs, events and the benefits of RPAC. RPAC FUNDRAISING CAMPAIGN In 2012, DAAR has raised 73% ($13,591.33) of its fair share goal of $18,620 and 20% (195) of DAAR members participated in RPAC. In an effort to boost fundraising efforts for the 2013 DAAR RPAC Campaign, the committee is putting together an RPAC fundraising plan to include including an RPAC component to DAAR networking events; 100% participation for board and committee members; RPAC basket for silent auction at Holiday Party; bowling tournament and major donor call campaign.

COMMUNICATIONS and TECHNOLOGY COMMITTEE COMMUNICATION VEHICLES

DULLES EXPRESS In an effort to provide the latest news, events and information, a weekly electronic update has been forwarded to members every Monday morning in lieu of a monthly newsletter.

BROKER SOURCE Every Friday brokers and key office contacts receive information and promotional material on education offerings, events and hot-topic news via email in an effort to provide timely resources to distribute at weekly sales meetings.

DAAR WEBSITE Over the past year (9/1/11-9/1/12) the website has attracted 27,568 visits and has had over 61,213 page views. Ad space has sold and is marketed through our affiliate program.

DAAR’s FACEBOOK Page – The DAAR Facebook Page, launched on February 2, 2011, now has 341 “likes” and continues to receive favorable impressions on news posts.

MRIS NEWS/DAAR PORTAL–Staff posts to the MRIS news portal in an effort to raise awareness about DAAR’s activities and programs.

EVENT/EDUCATION PROMOTION HANDOUTS Handouts for events and educational offerings are created for members to pick-up in the office and for distribution via the Broker Source, events and website download.

LOCAL MEDIA PARTNERS In August 2009, DAAR entered into a partnership with the Loudoun Times Mirror to produce a weekly column for inclusion in their Home section. The column, written by a group of DAAR members and staff, helps to promote DAAR community/charity related activities and provides real estate information to consumers and the public. DAAR continues to look for writers to contribute to the column.

The first dues renewal installment for 2013 has been billed to the primary members. The winner will be chosen from a drawing on November 16th and recognized in the newsletter and on the website. All affiliate members and Sentrilock subscriptions holders were billed for their annual renewal. The 2013 Affiliate sponsorship opportunities were presented again at the Affiliate Town Hall held on November 6th. Currently, affiliate members have committed to $3,950 of sponsorship opportunities from the 2013 DAAR Affiliate Sponsorship Menu. The new 2013 Affiliate Partnership Program that offers Premium and Preferred partnership plans has been well received. Two $3,500 Premium Partnerships have been sold and one is pending approval. The Event Premium Partnership is still available. Five of the $1,500 Preferred Partnerships have been sold and five are still available.

EVENTS COMMITTEE The Events Committee’s Fall Wine Tasting Party held on October 11, 2012 was a wonderful success. Over 60 members and affiliate sponsors attended the event at Dry Mill Vineyards in Leesburg. Hors d'oeuvres were catered by Jason Bursey of the Parallel Wine Bistro. Music provided by Gary Smallwood. Charlene Jones of George Mason was the event sponsor for the evening. This year, Charlene has also generously agreed to sponsor the Broker Breakfast and the upcoming Holiday Party. Plans are in place for the DAAR Holiday Party and Installation on December 13th to be held at the DAAR office again this year. Willowsford, LLC will be donating the wine for the event. They have their own company wine label that is sold to them from Tarara Winery in Leesburg. Dates for DAAR’s major events in 2013 have been scheduled. New events for 2013 include a Super Bowl Party and a First Friday in Leesburg outing.

COMMUNITY SERVICE

The Community Service Committee’s Gift Basket Silent Auction, also known as the Broker Basket Competition, is in full swing and will be held at the Holiday Party in December. The broker’s or affiliate’s office who donates the basket that brings the highest bid will be recognized in the DAAR newsletter, website and Facebook page. To date, ten offices have committed to donate baskets. Promo flyer attached. The charitable proceeds will be distributed between Loudoun Families for Children, Loudoun Aftercare, and Hope Village. These local charities were chosen out of the many DAAR has supported because they receive the least additional funding and mostly depend on donations. The Community Service committee thanks Margaret Halseth for volunteering to be the 2013 committee chair. The goal is to increase the committee participation and raise contributions for local shelter based charities.

DAAR’s 50th ANNIVERSARY COMMITTEE

The DAAR’s 50th Anniversary Family Picnic was held September 29th. A great time and great food were enjoyed by all. The weather could not have been better for the day. The best part of the picnic was holding the event at Edna Cross’ beautiful home and farm. This year’s celebration in honor of the 50 years of service to DAAR members will be memorable to all who worked to make it happen, our current members who attended and our past members who joined in the celebration. As our anniversary year comes to end, we will be recognizing Gwen Pangle the committee chair, Edna Cross and the anniversary committee during the Holiday Party.

GRIEVANCE & PROFESSIONAL STANDARDS

The Grievance Committee has heard 2 more complaints since the last report in September

and as last reported the committee will continue to meet on a monthly basis to review any

cases that have been filed.

Professional Standards has 1 Hearing scheduled for December.

Currently we only have 2 remaining active cases however based on inquiries and requests

for paperwork we are expecting 2 more Ethics complaints and 1 Arbitration matter to be

filed by the end of November.

We held an Ethics Hearing on September 13, 2012 and the panel found the Respondent

not in violation of any misconduct and are awaiting the Board of Directors to affirm the

findings of the panel.

EDUCATION COMMITTEE

Principles of Real Estate

Our Principles of Real Estate course for the fall has just ended and we had 16 students

complete the course. Our next Principles class will begin in January and we will continue

to offer brokers a discount coupon in the amount of $50.00 to assist with their recruiting

efforts. The idea is that the broker will advertise for new agents and offer a discount

coupon to all who stop by to visit the broker who wish to sign up for the principles course

at DAAR.

DAAR on the Road

We scheduled continuing education classes in Purcellville for the month of November at

“The Train Station”. We offered 8 hours of Elective Topics on November 8th

and

depending on topic had between 18 and 27 attendees in class. On November 14th

we will

be holding the 8 hours of mandatory topic classes in Purcellville and have 45

registrations.

We have also scheduled classes in Purcellville in the spring and fall of 2013 in

Purcellville.

Our next New Member Orientation will be held on November 26th

and currently we have

24 registered for the class.

Continuing Education

We have several new CE/PL class offerings in the approval process by VREB and

approvals are expected soon. The new topics include: Home Staging, Understanding

Your Credit Score, Internet Advertising Guidelines, Contracts and the BPOR designation

course.

Our on-line school must submit for re-approval all of the courses offered by RECampus

and Allan is working on the paperwork which is expected to be completed by the end of

the year.

Quadrennial Ethics

A notice via e-mail was sent to all DAAR members who NAR have on their list that have

not satisfied the Quadrennial Ethics requirement. The e-mail outlined all the options the

member has available to them to satisfy the requirement. The current cycle ends this year

and all members need to have their completion reported by December 31, 2012 or be

subject to suspension of membership. Allan is working to make sure all our members are

reported by the end of the year. Currently we have a list of approximately 125 who need

to be reported.

DECISION OF THE ETHICS HEARING PANEL OF THE PROFESSIONAL STANDARDS COMMITTEE

A duly convened panel of the Professional Standards committee has made the following findings in reviewing the complaint of Tracy Wenger.

Findings of Fact: The basis for our decision is the conclusion of the Hearing Panel as to the following facts:

Tracy Wenger of Avery Hess Realtors submitted an offer on behalf of her client, Mr. William McPike, on Monday May 14, 2012 to Jack Lawlor of Jack Lawlor Realty on a property listed by Lawlor located at 42, White Oak Drive, Sterling, VA.

The offer contained a contingency requesting the seller respond to the offer by 5pm on Wednesday May 16, 2012.

Ms. Wenger asked if any other offers were on the property and Mr. Lawlor responded that there was a possibility of another offer coming in.

On Wednesday May 16, 2012 Ms. Wenger contacted Mr. Lawlor asking the status on her offer and Mr. Lawlor stated that he was unable to reach the seller and as soon as he could he would present the offer. Ms. Wenger asked Mr. Lawlor if any other offers had come in and Mr. Lawlor stated that he had not received any further offers.

On Friday May 18,2012 Ms. Wenger tried to contact Mr. Lawlor and was unable to reach him so Ms. Wenger contact Mr. Lawlor's daughter, Jackie Lawlor, a licensed real estate agent in Mr. Lawlor's office to ask her to help reach her father.

Jackie Lawlor Informed Ms. Wenger that Mr. Lawlor's wife had a heart attack and that is why she probably could not reach him

Friday May 18, 2012 in the evening Mr. Lawlor contacted Ms. Wenger by e-mail stating that he still was unable to reach the seller.

On Saturday evening May 19,2012 Ms. Wenger was called by Mr. Lawlor and informed that he finally was able to reach the seller and they have accepted another offer on their property.

Ms. Wenger stated that she did not know there were other offers on the property even though she had asked Mr. Lawlor.

On Saturday evening May 19, 2012 Mr. Lawlor offered Ms. Wenger the opportunity to submit her offer back with an escalation clause and he would present it to the sellers.

Ms. Wenger submitted a revised offer with a higher price and increased earnest money deposit.

Ms. Wenger learned on Sunday May 20,2012 from her buyers that an agent by the name of Chuck La Rock had sent her buyers an e-mail stating that he had put in an offer on the same property on behalf of some clients and did not get the property and hoped that they got the property.

Ms. Wenger questioned why Jack Lawlor would give this information out to Mr. LaRock.

On Monday May 21,2012 Mr. Lawlor informed Ms. Wenger that the offer was rejected by the sellers.

At the Hearing Mr. Lawlor stated that the seller was out of the country and did not return until Saturday evening and he presented all the offers by telephone as soon as he was able to reach the seller that Saturday.

Mr. Lawlor also denied giving out any information to Chuck LaRock and the e-mail produced at the Hearing from Mr. LaRock to Mr. McPike, Ms. Wenger's client, did not state that he obtained the information from Mr. Lawlor.

Mr. Lawlor further stated that the other offers materialized on Thursday May 17, 2012, the day after Ms. Wenger had made the inquiry on May 16, 2012 and that he had no obligation under the code of ethics to re-contact Ms. Wenger to inform her that subsequent offers had been received.

Mr. Lawlor presented a signed statement from the Seller, Michael Cherok, stating that before his trip out of the country he had spoken with a Mr. Beausoleil, the buyer who purchased another lot from him a year ago and that Mr. Beausoleil was interested in buying the lot currently for sale from Mr. Cherok.

Mr. Cherok informed Mr. Lawlor of his conversation with Mr. Beausoleil before his departure on his trip and directed Mr. Lawlor to write up the offer if Mr. Beausoleil desired to purchase the property.

Mr. Lawlor was contacted by Mr. Beausoleil and Mr. Lawlor wrote up the offer as directed and presented it along with the others on Saturday.

Mr. Cherok also stated in his letter that during most of his trip he had limited/restricted communications available and could not be reached.

Mr.Cherok further stated that he ultimately chose Mr. Beausoleil's offer because it worked best for him even though the price was lower than the other offers.

At the Hearing Ms. Wenger brought her buyer, Mr. William McPike, as a witness who testified that he had previous contact with Mr. LaRock and had worked with him before working with Ms. Wenger.

Mr. McPike stated that during a conversation with Mr. LaRock he may have told him that he was going to place an offer on Lot 42 through Ms. Wenger.

I. Conclusion of the Hearing Panel: We, the members of the Hearing Panel in the above-stated case, find the Respondent, Jack Lawlor, NOT in Violation of Article 1 of the Realtor® Code of Ethics.

II. Recommendation for Disciplinary Action: We recommend to the Board of Directors the following action(s): NONE

Complainant's Rights: Within twenty (20) days of transmittal of this notification, the complainant may request a rehearing by the original Hearing Panel solely on the grounds of newly discovered material evidence which the complainant, in the exercise of reasonable diligence, could not have discovered and produced at the original hearing. This request shall be directed to the Hearing Panel and the Hearing Panel shall consider the request, which shall include (1) a summary of the new evidence and (2) a statement of what the new evidence is intended to show and how it might affect the Hearing Panel's decision. If no rehearing is requested, or within ten (10) days after denial of a petition for rehearing, the respondent may, within twenty (20) days of transmittal of this notification, file an appeal with the President for a hearing before the Directors challenging the decision and/or recommendation for discipline. A transcript or summary of the hearing shall be presented to the Directors by the Chairperson of the Hearing Panel, and the parties and their counsel may be heard to correct the summary or transcript. No new evidence will be received (except such new evidence as may bear upon a claim of deprivation of due process), and the appeal will be decided on the transcript or summary.

Final Action by Directors: both the complainant and respondent will be notified upon final action of the Directors

Records: The records in this matter will be destroyed after all right of appeal has expired. In the event a Respondent is found in violation, only the findings of fact and BOD Action letter will be retained in the Respondent's permanent record. In Arbitration matters, all records will be retained until all financial obligations of the parties are satisfied.
