ISVA AND THE PROPERTY PROFESSIONISVA is the professional Society which iscommitted to raising continually the stan­dards of ualuaiion services to the market inthe areas of estate agency, auctioneeringand surveying.

ISVA represents members in theprivate and public sectors of housing,industry and commerce. Members of ISVAare concerned with every aspect of valua­tion, use, acquisition and disposal ofurban and rural buildings, including agri­cultural land, live and dead stock, licensedproperty, industrial plant and machineryand fine arts and chattels; the sale bypublic or private treaty of all real andpersonal property; estate management,agency, development and surveying.

ISVA is a major voice in property, con­sistently raising standards and comment­ing on property related issues to govern­ment and the public through press, radioand television. It represents the collectiveviews of its membership to the propertyprofession, government and the con­sumer.

ISVA continually' strives to keepmembers abreast of movements andtrends within the property market world­wide through a range of publications,information sheets, journals, The Valuer,and through professional meetings andseminars.

Raising the StandardsSince 1926, ISVA has conducted profes­sional examinations through its own edu­cational system. ISVA's examinations arerecognised by the Stock Exchange, theValuation Office Agency, the LocalGovernment Training Board, the CivilService, the principal clearing banks, theBuilding Societies Association, by privatepractice throughout the UK and by statutein terms of the Insurance CompaniesRegulations 1981. ISVA continually re­views and updates its educational systemensuring it meets the needs of theproperty profession, providing students

with the multi-faceted disciplines neces-sary to practise. ..

Established in 1924 to promote theinterests and raise the status of thoseinvolved in the profession. ISVA has over30 branches in the UK and abroad, pro­viding regional representation andsupport. Its affairs are nationally directedby a Council elected by its corporatemembers. Its key activities include:

HISTORY OF ISVA

The BeginningIn the aftermath of the First World War,with Europe trying to come to terms withthe loss of a generation of its finest youngmen, and politicians resolved to bringabout a "land fit for heroes to live in", it isnot surprising that those close to land andproperty should consider their posi tion. Inparticular they were concerned with thedemographic changes that the aftermathof war had brought about and theunprecedented demand from so manypeople for a house and garden of theirown, for new shops, offices and factories.In addition, there were the associated usesrelating to a country in change, such asfarming, the development of existing andnew towns and all that goes with land useand management.

This led the (then) two professionalbodies, The Surveyors Institution and TheAuctioneers and Estate Agents Institute,to sponsor a Bill in Parliament in 1923called the Landed Property Practitioners(Registration) Bill, the first of many suchattempts to regulate the profession. ThisBill would, however, have precluded frompractice a great number of individuals andcompanies which had so-called "commer­cial interests", including Hamptons,William Willett, Harrods Estate Office,William Whitely, Furlongs of Woolwich,Cowlins of Bristol and particularly agri­cultural and general Valuers andAuctioneers, who often owned or hadcommercial interests in Cattle and GeneralMarkets, then a feature to be found inpractically every county town and citythroughout the country.

Clearly this was a matter of life anddea th professionally and a meeting ofaffected firms and individuals was called,which led to the formation of an actiongroup called the National Society ofLanded Property Practitioners.

This group succeeded in forcing theBill's withdrawal. It was then realised thatthere was a need for a new professionalbody that would continue to protect prac­titioners who, because of their commercialactivities, were to be denied membershipof the other two bodies. Thus in 1924, TheIncorporated Society of Auctioneers &Landed Property Agents came into being"to promote the interests and raise thestatus of auctioneers, estate agents, sur­veyors and valuers including those whohad commercial or other interests, and to

enhance the professional knowledge ofmembers by lectures, conferences, publi­cations, examinations and other meansand so to foster a spirit of service, friend­ship and integrity in keeping with thehighest traditions of the profession".

DevelopmentImmediately after its formation theSociety started establishing branchesthroughout the country and all members,whether Corporate or Students, wereattached to the branch which covered thearea in which they lived or practised orwere at college. Today there are over 30branches in England, Scotland, Wales andNorthern Ireland, together with those inthe Republic of Ireland and Singapore.

In 1930 a Junior Members Organisation(now called Young Valuers andAuctioneers) was formed to which allmembers under the age of 35, irrespectiveof their grade of membership, wereattached. This was to ensure that youngpeople were fully represented at everylevel of the Society's administration andactivity, including the right to nominatemembers to the Council, the main govern­ing assembly. In addition various prizefunds, scholarships and a Students AidFund were established.

The Society soon took its place with thetwo other professional bodies and theLand Agents Society in trying to establishcommon codes of conduct and scales offees and to consult with government andothers through a consultative committee,which became known as the Fees andPractice Joint Conference. Meanwhile, theSociety continued to press for some regu­lation or registration of the profession,always on the basis that its memberswould not be precluded from followingtheir commercial interests, as had been theintent of the 1923 Bill.

The professional achievements of theIncorporated Society were recognised in1930 when HRH The Duke of Yorkbecame Patron, until his accession to thethrone as H.M. King George VI.

AmalgamationThe Valuers Institution was founded in1928 "to protect the interests, improve theprofessional knowledge and raise thestatus of valuers, auctioneers, estateagents and surveyors."

In 1949 the Institution merged with theNational Association of Auctioneers, abody first formed in 1924 with similaraims. There was a further amalgamationin 1953 with the Valuers Association(founded in 1937 ) and in 1959 with theNorthern Ireland Auctioneers Associa­tion. By virtue of these amalgamations theValuers Institution, which retained its ownname throughout, brought together thesmaller estate organisations for the goodof the public and the profession as awhole.

In 1968, The Valuers Institution amal­gamated with the Incorporated Society toform The Incorporated Society of Valuers& Auctioneers, which is a leading bodywithin the profession of the land. Its cor­porate members offer specialist valuationand related services in the public andprivate sectors, at home and abroad, in avariety of disciplines including GeneralPractice, Agriculture, Fine Arts & Chattelsand Plant and Machinery.

The Society also pioneered the intro­duction of Mandatory ProfessionalIndemnity Insurance in 1982, and abonding scheme, which enabled thosewho suffered loss resulting from amember's dishonesty to claim reimburse­ment. All corporate members now have tocomplete twenty hours annually of struc­tured learning or Continuing ProfessionalDevelopment (CPO), as it is known.

In 1994 the Incorporated Society ofValuers and Auctioneers changed itstrading name and logo to ISVA with theaccompanying descriptor - The profes­sional Society for Valuers andAuctioneers. The change of corporateidentity, new mission statement and otherchanges to the syllabus, membershipgrades and marketing signalled the begin­ning of an exciting and challenging periodfor ISVAand the property profession.

RepresentationISVA is a supporting member of theInternational Real Estate Federation(FIABCI), is a formal Associate Member ofthe European Group of Fixed Assets(TEGOVOFA) and, with the RoyalInstitution of Chartered Surveyors, aformal Associate member of the Inter­national Assets Valuation StandardsCommittee (TIAVSC).

An important relationship exists withthe Irish Auctioneers & Valuers Instituteand ISVA has, for many years, appointedone of its senior members to serve on theCouncil of the Irish Institute. In addition

there is a close relationship with theAmerican Society of Appraisers and corre­spondence is maintained with theAustralian Institute of Valuers, theAppraisal Institute of Canada, theSingapore Institute of Surveyors &Valuers, the New Zealand Institute ofValuers, the Hong Kong Institute ofSurveyors and other professional bodiesthroughout Europe and the world.

EuropeMany members have been practising inEurope very successfully since the early1970s. With the single market, ISVA hasbeen paying particular attention over thelast two to three years to playing its part,in representing the interests of its mem­bers in Europe. ISVAhas been particularlyactive in ensuring the mutual recognitionof the qualifications and professional dis­ciplines of its members through thelobbying process in Brussels, and in EEClegislation and directives.

Under the terms of the European direc­tive 89/48/EEC, Article 3(b), members ofISVA, having the level of qualificationrequired, and relevant professional experi­ence, should be assured of their rights ofrecognition.

With regard to representation inEurope, ISVA has joined with the RoyalInstitution of Chartered Surveyors asfounder members of a Pan Europeanproperty federation known as ConseilEuropeen des Professions Immobiliers,(CEPI), which has its headquarters inBrussels. This federation includes in itsmembership professional associations ofother nations broadly representing valua­tion, agency and property management.

Education and MembershipMembers of ISVA will be found in everyactivity connected with valuation andproperty, including private practice asvaluers, auctioneers, surveyors andagents, either specialising in commercialproperty or residential or both, or provid­ing specialised services in plant &machinery valuation, fine arts & chattelsand agriculture, the public service, such asthe Valuation Office Agency, Departmentof the Environment, Ministry ofAgriculture, Fisheries and Food, WelshDevelopment Agency, in local Govern­ment, with County Councils, London andMetropolitan Boroughs and DistrictCouncils. They also practice in all parts ofcommerce and industry, private and

As a leading professional body, ISVAhas always recognised its responsibility toprovide an examination system whichmeets the demands of the competitiveenvironment of the property profession.

The flexibility of ISVA's new syllabuswill be of great advantage to both employ­ers and employees. The unitised structurewill enable people from wide and differ­ing backgrounds to gain the qualification;it will be ideal for those already employedwithin the profession and those consider­ing a career change as well as students infull time education.

This new syllabus is the result of threeyears continuous research and develop-

ment. It reflects ISVA's determination torespond to new educational challengesfacing the profession and will instill in itsstudents the ISVAculture of an innovativeand progressive body.

There are six grades of membership:Student, Graduate Valuer (ISVA),Associate, Fellow, Honorary Fellow andRetired. The entry requirements relatingto those grades are set out in MembershipRegulations. Evidence is required tosupport applications for admission to thevarious grades.

Corporate membership of ISVA isawarded to those who pass ISVA's exami­nations or who have other approvedexempting qualifications, and completethe Professional Assessment programme.Corporate members are entitled to use thedesignatory letters ASVA (Associate) orFSVA (Fellow) after their name.

MEMBERSHIP REGULATIONS

There are six grades of membership:Student, Graduate Valuer (ISVA), Assoc­iate, Fellow, Honorary Fellow and Retired.The requirements relating to admission tothose grades are set out below. Evidence(including copy certificates) is required tosupport applications for admission to thevarious grades. Registration fees arepayable upon election to or advancementof membership, except in respect ofHonorary Fellows and Retired member­ship.

StudentsAgeThe minimum age for admission is 16years.

QualificationsThe minimum educational requirementsare the attainment of one of, or an equiva­lent combination of, the following:(a) grade A, B or C passes in five subjects,

including English Language andMathematics, in the General Certifi­cate of Secondary Education, with notless than three passes at one exam­ination sitting;

(b) grade A, B, or C passes in foursubjects, including English Languageand Mathematics, in the GeneralCertificate of Secondary Education,provided that at least one of thesubjects has been passed at GCEAdvanced level at grades A-E;

(c) the College of Estate ManagementCertificate in Residential EstateAgency, subject to the Society reserv­ing the right to interview the appli­cant;

(d) a Higher National Certificate orHigher National Diploma awarded bythe Business and Technician Educa­tion Council within any subject area;

(e) a National Diploma or NationalCertificate awarded by the Businessand Technician Education Councilwithin any subject area provided thatthe candidate has been required toshow competency in numeracy andthe use of English;

(f) overseas educational attachmentsaccepted by ISVA as equivalent to theabove.

Not more than one craft subject will be

accepted for the purposes of (a), (b) and (f)above.

Mature EntryApplications in writing from persons overthe age of 21 years with experience in theprofession will be considered on theirindividual merits.

NVQs and GNVQsThe following qualifications are accept­able for the purposes of admission tostudent membership:(a) Intermediate GNVQ in any subject

area, irrespective of grade;(b) Advanced GNVQ in any subject area,

irrespective of grade;(c) NVQ level 2 in any of the 9 classifica­

tions, subject to the applicant havingGCSE passes with grade A, B or C inMathematics and English Language;

(d) NVQ level 3 in any of the 9 classifica­tions, subject to the applicant havingGCSE passes with grade A, B or C inMathematics and English Language,unless the applicant can provide othersatisfactory evidence of meetingISVA's numeracy and literacy require­ments, with ISVA reserving the rightto interview.

The GCSE requirement in respect of NVQswill not apply if an applicant comeswithin ISVA's mature entry category.

TrainingApplicants must be undertaking, orintend within six months to embark upon,a course of study for the profession and,where employed therein, be workingunder the supervision of a corporatemember of ISVA or of the Royal Institu­tion of Chartered Surveyors or such otherperson as ISVA may decide to accept forthe purpose.

DeclarationApplicants are required to agree:(a) that they will be bound by and

comply with ISVA's Memorandumand Articles of Association and anysubsequent alteration thereto and theByelaws and Regulations made there­under:

(b) that they will not describe themselvesor permit themselves to be describedas Members of ISVA nor use any des­ignations or distinguishing letters ofISVA until such time as they may be

elected Graduate Valuers (ISVA)Fellows or Associates of the Society.

RecommendationApplications must be supported asfollows:(a) where the applicant is following a full­

time course of study, by the Head ofDepartment in which he is studyingor by the Course Tutor

(b) where the applicant is employed,normally by the employer;

(c) where the employer is not a Fellow orAssociate of ISVA, by a Fellow orAssociate other than a relative of theapplicant.

The person(s) making the recommenda­tion must certify that he/they believe(s)the information on the application form tobe correct, that in his/their opinion theapplicant is suitable for student member­ship of ISVA and, where applicable, thatthe applicant is in employment in whichhe will derive relevant professional expe­rience. Additionally the employer mustundertake to seek to ensure that thestudent will be supported in his study forthe profession.

Period of Student MembershipStudent membership must normally berelinquished eight years after the date ofelection or upon the student qualifying,whichever is the earlier, as a GraduateValuer (ISVA).

Graduate Valuer (ISVA)Graduate Valuers (ISVA) are entitled touse the designation Graduate Valuer(ISVA); they do not have voting rightswithin ISVA.

QualificationsThe requirements are:(a) to have passed ISVA's Final or Direct

Final examination, or exemptingaward; and

(b) to be registered on ISVA's ProfessionalAssessment.

DeclarationGraduate Valuers (ISVA) are required toagree:(a) that they will be bound by and

comply with ISVA's Memorandumand Articles of Association and anysubsequent alteration thereto and theByelaws and Regulations made there­under; and

Honorary FellowsThe Council is entitled by special majorityto elect as an Honorary Fellow of ISVAany person who in its opinion it is desir­able, in the interests of, and consistentwith, the objects of ISVA, so to elect.

Retired MembersRetired members are entitled to use thedesignatory letters appropriate to thegrade of membership they possessedimmediately prior to their becomingRetired members, provided that the word'(Retired)' or '(Rtd)' is added thereto.

QualificationsA Fellow or Associate is eligible forelection as a Retired member if he hasretired from all practice in the professionand is not remuneratively engaged thereinby way of employment, consultancy orotherwise and provided also that he is notfor the time being engaged in, or con­nected with, any occupation or otherbusiness which, in the opinion of theCouncil, is inconsistent with membershipof ISVA.

DeclarationAs well as declaring as above, applicantsmust undertake not to allow their namesto appear in any capacity on the notepaper

or other material of any organisation con­nected with the profession.

Period of Retired MembershipA Retired member ceases to be eligible forthis grade of membership if the circum­stances above cease to apply.

Examination StructureThe ExaminationsISVA's examinations are held in May andOctober at three levels - Part I, Part II andFinal. Alternatively, it is possible to takethe Graduate Preliminary and GraduateFinal examination, or the Direct Finalexamination. ISVA is currently introduc­ing a new syllabus based on a six unitsystem: Units 1 and 2 will correspond tothe Part I, Units 3 and 4 to the Part II, andUnits 5 and 6 to the Final. The newsyllabus is being phased in with Units 1and 2 examined for the first time in May1995. Transitional arrangements allowstudents reasonable opportunity to com­plete the examinations on the Examina­tion Syllabus 1982 (revised 1987).

Professional AssessmentIn addition to passing the examinations,students in all divisions are required tosatisfy the Professional Assessmentrequirements prior to election to corporatemembership. These are outlined on pagexxxviii.

Conditions of EligibilityPart I Examination I Units 1 and 2A candidate mustbe a student member of ISVA.

Part II Examination I Units 3 and 4A candidate must(a) be a student member of ISVA(b) have passed the Part I examination or

such other examination as ISVA mayaccept in lieu.

Final Examination I Units 5 and 6A candidate must

(a) be a student member of ISVA(b) have passed the Part II examination or

such other examination as ISVA mayaccept in lieu.

Graduate entry route for non-cognatedegree holdersA candidate must(a) be a student member of ISVA(b) have obtained an approved degree.

Direct Final Examinationl Direct EntryRoute to Units 5 and 6A candidate must be a student member ofISVAand either(a) (i) have served in the profession in an

approved position for at least 10 years,and(ii) have attained the age of 30 years

(b) (i) have served on a regular engage­ment in HM Forces for not less thanten years, and(ii) have left HM Forces within fiveyears of seeking entry to the examina­tion,and(iii) have attained the age of 30 years

(c) (i) be serving on a regular engagementin HM Forces and have completed notless than 10 years service, and(ii) have attained the age of 30 years

(d) (i) have passed the Final Examinationof a related professional body whichdoes not have exemption from ISVA'sexaminations, and(ii) have attained the age of 30 years.

Modular SystemCandidates may sit ISVA's Part I (all divi­sions) and Part II (General Practice,Agricultural Practice and Plant &Machinery divisions) examinations on amodular system in May and October.Candidates may sit(a) modules A and B together in May, or(b) module A or module B alone in May,

or(c) module A or module B alone in

October.At each level, candidates may sit moduleA or module B in whichever order theywish. However, Part I candidates areadvised to sit module A first. Candidatesmay sit the first module in either MayorOctober.

Unit SystemUnder the Exam Syllabus 1994, candidateswill be able to sit one or two Units in Mayand October of each year.

Entry to ExaminationsEntry forms for the May examinations areavailable, on request, from 1st Octoberand must be returned to the Educationand Membership Department not laterthan 31st January preceding the examina­tions.

Entry forms for module A or module Bat Part I and Part II levels for the Octoberexaminations are available, on request,from 1st June and must be returned to theEducation and Membership Departmentnot later than 15th August preceding theexaminations.

Entry to sit Units under the ExamSyllabus 1994 will follow the sametimetable. Once the syllabus is fully inplace units 1 to 6 will be available everyMay and October.

ISVA reserves the right to accept orreject any application to sit the examina­tions.

Compulsory CoursesAll candidates are required to attend, atthe Part I and Part 11/ GraduatePreliminary levels, a special one daycourse arranged by ISVA.

Candidates sitting Units under theExam Syllabus 1994 will be required toattend a compulsory course/workshopfor each Unit.

Examination CentresThe May examinations are normally heldat centres in London Birmingham,Edinburgh, Manchester, Sheffield, South­ampton and Taunton. The October exami­nations are held in London and Man­chester

Re-ExaminationsCandidates may be referred in one subjectin each module at Part I and Part II levels.If module A and module B are sat togethercandidates may be referred in one subjectper module, ie two subjects in total,provided those subjects are not in thesame module.

If one module is sat and a candidate isreferred in one subject, that subject can betaken either as a single subject or with thesecond module at that examination level.Whichever option is selected, TWOattempts at the referred subject will beavailable, provided that those twoattempts are taken at the next two avail-

able examination sittings; failure at thesecond attempt, or failure to sit, willnecessitate retaking all the subjects withinthat module. A referred subject at Part ICANNOT be taken with a module fromPart II. Both Part I modules must bepassed before a candidate can register fora Part II module.

Candidates may be referred in onesubject in the May examinations at theGraduate Preliminary, Final, GraduateFinal, or Direct Final levels. TWO attemptsare allowed at the referred subject,provided that those two attempts aretaken at the next two available examina­tion sittings. Candidates not attemptingthe referral, will only be able to re-sit thereferred subject in the following Mayexamination.

Under the Exam Syllabus 1994, candi­dates may be referred in one subject perUnit with two attempts at the referredsubject. A referred subject from one Unitcan be taken with the next Unit only.

Examination FeesThe examination fees payable are detailedon the entry forms, the appropriate feemust be submitted with the entry form.The full fee will be returned to any candi­date whose application is rejected.

ExemptionsCertain alternative qualifications areacceptable in lieu of ISVA's own examina­tions. Enquiries concerning exemptionsshould be made in writing to theEducation and Membership Department,and photocopied evidence of qualifica­tions must be enclosed.

Professional AssessmentRequirementsIntroductionIt is ISVA's policy to ensure that students,prior to achieving full membership andthe status of qualified valuer, shoulddemonstrate competence in their field ofprofessional work in a non-examinationsituation. That competence is assessedthrough the programme of ProfessionalAssessment which is undertaken during atwo-year period of approved employmentin which a journal and a prequalificationassignment are completed.

ISVA considers the ProfessionalAssessment to be the bridge between theprofessional examinations and the contin­uing professional development which isundertaken once full membership hasbeen achieved.

Approved EmploymentApproved employment is normallyemployment in which the student isworking under the supervision of a corpo­rate member of ISVA or of the RoyalInstitution of Chartered Surveyors.

The JournalThe journal is a factual document indicat­ing the amount and range of work under­taken by the student, within certain cate­gories prescribed by ISVA, during thetwo-year period of the Professional

Assessment. The journal does not form adiary, nor does it represent merely a reflec­tion on the previous month's work writtenat the end of that period. The journal iswritten up progressively and theapproach is expected to be both descrip­tive and objectively critical.

The Pre-QualificationAssignmentStudents in the General Practice divisionhave a choice of one of three assignmentsand are expected to complete the assign­ment most suited to the area of their pro­fessional practice. The assignments areavailable on a regional basis, and are pre­sented to students at regional meetingswhich may include site visits.

The assignments require a criticalanalysis based on actual properties forwhich the site visits are arranged and forwhich students are given a basic brief.Students may be given the opportunity touse either the property visited or a similarproperty known to them and approved byISVA.One of the assignments within eachregion normally relates to residentialpractice.

Appropriate pre-qualification assign­ments are available for students in the spe­cialist divisions.

All StudentsAll students must(i) meet the Professional Assessment

requirements within the appropriatedivision prior to advancement toAssociate membership;

(ii) be student members of ISVA and inapproved employment for the wholeof the two-year period of theirProfessional Assessment.

Full-time studentsFull-time students will normally berequired to register for the ProfessionalAssessment on completing their full-timestudies for ISVA's Final examination or foran exempting qualification and on obtain­ing approved employment.

Sandwich course studentsStudents taking a sandwich course whichleads to exemption will normally berequired to register for the first year of theProfessional Assessment on 1st Octoberduring their placement period.

Part-time and distance learningstudentsPart-time and distance learning studentswill normally be required to register forthe Professional Assessment on passingISVA's Part II Unit 4 examination, or theappropriate level of an exempting qualifi­cation.

Direct Final studentsAfter successful completion of the DirectFinal examination or direct entry route toUnits 5 and 6, students complete the pre­qualification assignment in the appropri­ate division. This is undertaken on suc­cessful completion of the written examina­tions. In exceptional circumstances,students within the General Practice andPlant and Machinery divisions mayprepare a dissertation of approximately10,000 words on a topic appropriate totheir area of professional work; this alter­native is also available for studentsresident outside the United Kingdom.

Rules relating to the scheme of continuing professional development as approved byCouncil, at a meeting held on 16th September, 1986 and pursuant to authority of themembership in general meeting on 22nd October, 1986.

Rules relating to the Scheme of Continuing Professional Development.

Rule 1 These Rules shall be identified as the "Rules relating to the Scheme ofContinuing Professional Development".

Rule 2 Corporate members of ISVA shall undertake in each year such period ofContinuing Professional Development hereinafter referred to as the "pre­scribed period" as may be approved by Council with effect from the com­mencement date.

Rule 3 The prescribed period shall be satisfied as to at least 75% thereof by attendanceat relevant courses approved for such purposes hereinafter referred to as"approved courses" and as to not more than 25% thereof by private studybeing study other than at approved courses and including the reading ofrelevant professional and technical material.

Rule 4 A record of attendance at approved courses shall be maintained by themember in such manner as may be prescribed by Council, which record ofattendance shall be duly certified by the organisers thereof for this purpose.

Rule 5 These Rules shall be subject to variation by Council from time to time.

Rule 6 For the purpose of these Rules:'commencement date' shall be 1st October, 1989;'corporate members' shall be Associate members and Fellows of ISVA;'prescribed period' shall be 20 hours per annum or such other period as maybe prescribed by Council from time to time;

'approved courses' shall includeA seminars / conferences arranged by ISVA at national and regional levels

and by related professional and educational institutions and publicbodies

Rules of Professional Conduct

General101 It is at all times the first duty of a

member to protect and promote thelegitimate and ethical interests of hisclients to the utmost of his ability,consistent with a professionalstandard of behaviour towards theother parties in any transaction

102 A member shall not act for two ormore parties in the same transactionsave with the prior written consentof the parties concerned.

103 A member shall not engage in or beconnected with any occupation orbusiness, or carryon his practiceunder a name or style which wouldin the opinion of the Councildamage or tend to damage his pro­fessional reputation or the reputa­tion of ISVA.

104 A member must ensure that, in thecourse of his professional activities,the interests of a client do notconflict with those(a) of another client, or(b) of himself or any associate of his.Where a conflict arises, or could rea­sonably be foreseen, and themember nevertheless is willing toact, or to continue to act, he shallforthwith disclose the relevant factsin writing to the clients concernedand obtain their written agreementthat he is permitted to acceptinstructions to act, or to continue toact, as the case may be.In this Rule "associate" has themeaning assigned by Section 32 ofthe Estate Agents Act 1979 andincludes a "business associate" anda "relative", as more particularlydefined in Section 31 and in sub­section (3) of Section 32 of the Actrespectively.

105 A member may invite instructionsfor any professional or estate agencywork; in respect of estate agencywork, rules 204, 205 and 206 applyInvitations for instructions otherthan for sales or lettings must be inwritten or printed form and onlywhen this means of communicationis not available mayan approach bemade by telephone.Howsoever instructions (other thanfor sales or lettings) are sought, a

member may not accept themwithout(i) first satisfying himself that noother firm has acted or is acting forthe client in respect of the same workor(ii) where he is not so satisfied,giving a warning to the client (to beconfirmed in writing without delay)that he may incur liability forpayment of two (or more) sets offees, as a consequence of havinginstructed (an)other firm(s), prior tothe approach made by the member.

106 A member shall not without fullwritten disclosure to, and approvalby, his client directly or indirectlyallow or agree to allow any personother than a member of his own pro­fession to participate in his remuner­ation.

107 A member shall not reduce a chargewhich he has already quoted oragreed with a client or a prospectiveclient for a specified professionalservice in order to supplant anotherpractitioner after the latter'sproposed charges have been madeknown to him, save that this restric­tion shall not apply to estate agencywork as defined in the Estate AgentsAct 1979.

108 Members' terms of remuneration(and where applicable details ofpayments not forming part of thatremuneration as referred to inSection 18 of the Estate Agents Act1979) must be confirmed in writingon the acceptance of instructions.Save to the extent that Section 18 ofthe Act has precedence this Ruleshall not apply to a client for whoma member regularly acts.

109 A member engaged in privatepractice shall be subject to the disci­plinary procedures laid down inArticle 24 of the Articles ofAssociation, if he fails to complywi th the provisions of ISVA'sMembers' Accounts Rules.

110 A Corporate Member who fails tocomply with ISVA's Rules relating tothe Scheme of Mandatory Profess­ional Indemnity Insurance, as pre­scribed by the Council from time totime, shall be subject to the discipli-

nary procedures laid down inArticle 24 of the Articles ofAssocia tion.

111 Any Corporate Member who fails tocomply with ISVA's Scheme ofContinuing Professional Develop­ment shall be subject to the discipli­nary procedures laid down inArticle 24 of the Articles ofAssociation.

112 A member must ensure that his pro­fessional conduct and the profes­sional conduct of those under hisdirect control are at all times of ahigh standard. Any failure tomaintain such a standard whichdamages or may tend to damage theprofessional reputation of a memberor of ISVA shall constitute a breachof these Rules.

113 A member of ISVAshall not becomea director of a relevant company at atime when he is insolvent nor shallany such member charge any of hisassets to any such company. Arelevant company for the purpose ofthis Rule is a company incorporatedwith limited liability and whichoffers services commonly performedor provided, whether by statute orotherwise, by valuers, auctioneers,estate agents or surveyors.

114 Every member who undertakes val­uations to which the practice state­ments and guidance notes, as identi­fied in ISVA'sAsset Valuation Rules,apply, shall comply with thoseRules. Any member who fails to doso shall be subject to the disciplinaryprocedures laid down in Article 24of the Articles of Association.

115 Throughout these Rules, wordsimporting the masculine genderonly shall, mutatis mutandis,include the feminine gender.

Auctioneering and EstateAgency201 Without prejudice to Rules 101 and

102, where it is proposed that a clientshall dispose of any interest inproperty to, or acquire any suchinterest from,(a) a member or his nominee, hisfirm, or any relative, friend or asso­ciate of his or(b) any company (not being acompany shares of which are quoted

on the Stock Exchange nor acompany securities of which may bedealt in under Stock Exchange Rules535.1 or 535.2) or any Trust in eitherof which the member or his firm, orany relative, friend or associate ofhis, or a known nominee of any ofthem, holds any interest, themember concerned must discloseimmediately in writing to his clientall relevant information and simulta­neously recommend him to seekindependent professional advice.

202 A member engaged in the disposalor acquisition of property shall takereasonable steps to ensure that anyparticulars issued or statementsmade by him are accurate, that perti­nent facts are not misrepresentedand that prospective purchasers andlessees are not misled.

203 A member acting on behalf of aclient shall not, when offering aproperty to a prospective purchaseror lessee, stipulate that he shall beretained by the purchaser or lesseein any capacity without his client'sprior written consent.

204 Members seeking information on, orinstructions in, the sale or letting of aproperty must comply withwhichever of the following Rules areapplicable to the particular circum­stance, except that where a propertyis advertised for sale or letting, can­vassing by telephone is permitted,unless the advertisement states thatagents shall not apply.

205 Members who wish to invite instruc­tions to sell or let property on thebasis that they are to be retained bythe person who instructs them maydo so, provided that, save in the caseof answering an advertisement towhich the preceding Rule applies,the invitation is in written or printedform specifying the event giving riseto the payment of commission.

206 Prior to accepting any instructionspursuant to an approach in accor­dance with Rule 204 or Rule 205Members must inquire if anotheragent is retained on sole agencyterms or has sole selling rights.Where an affirmative answer isreceived, the prospective client mustimmediately be informed (suchinformation to be confirmed in

writing without delay) that in theevent of a purchaser (or tenant as thecase may be) being introduced bythe member, a commission maybecome payable additionally to thesole (selling) agent so long as thatother agent's appointment subsists.

207 A member who is retained by aprospective purchaser or lessee toacquire property may approachproperty owners direct, providedthat the initial enquiry is made byletter addressed to the propertyowner concerned stating that themember is acting on behalf of aclient who will be responsible for hisfees and that in the event of theproperty being purchased or leasedby the client no commission or feewill be payable to the member by theowner.

208 A member who wishes to bring tothe notice of a potential purchaser orlessee, by whom he is not retained,property available for purchase orrenting on the basis that, in the eventof a transaction resulting, he shall beremunerated by the purchaser orlessee for his services in effecting theintroduction, shall be permitted todo so, provided that the notice is inwriting. The notice must state that inthe event of the recipient purchasingor leasing the property a fee will bepayable by him to the member on abasis to be agreed prior to thecontract of agency .

Advertising301 For the purpose of these Rules,

advertising shall include printedbrochures or pamphlets and alsoany editorial, documentary, articleor material of any descriptionpublished as a condition or as aresult of any payment made orinducement offered by a member.

302 There are no restrictions on the useof any form of advertising mediasave that advertisements shallcomply with Rules 112, 202 and203 and with the Rules whichfollow. The definition of a membershall be deemed to include hisfirm, except where the firm

neither offers nor provides estateagency, valuation or other profes­sional services to the public.

303 All advertising must(a) be legal, decent, honest andtruthful,(b) avoid exaggeration and flam­boyant language.

304 Advertisements placed on behalfof clients must not containrnaterial relating to the memberwhich is superfluous to thespecific purpose of the ad vertise­ments.

305 Advertisements placed with aview to inviting instructions inrespect of property meetinggeneral specifications (otherwiseknown as "Wanted" advertise­ments) must include a statementtha t commission will be required;any instructions so received andthe basis on which commission isto be charged shall be confirmedin writing without delay.

306 Advertisements of transactions(including prices realised) otherthan sales by public auction maybe published only with the priorpermission of the client by whomthe member has been retained.

307 Where advertising material pub­lished by or with the consent ofthe member contains commercialadvertisement such advertisementshall not include any specific orimplied recommendation by themember of the products orservices of the commercial adver­tiser.

308 Members shall not furnish adver­tisers with the names, addresses,telephone numbers or othermeans of identification of existingor former clients or applicants.

309 A member shall be in breach of theforegoing Rules if he publishes orcauses or permits to be publishedany advertising material whichdamages or which may tend todamage the professional reputa­tion of the member or ISVA.

Disciplinary ProceedingsRules 19901. Every application to ISVA to deal

with a complaint against a Membershall be in writing and signed by thecomplainant or his or her represen­tative. The status of any representa­tive must be shown.

2. All details of the complaint uponwhich a complainant is seeking torely must be in writing and any sub­sequent amendments or additionsthereto must also be in writing. Acomplainant may be r~quired t?furnish such documentation or addi­tional information as is considerednecessary to clarify or substantiatethe complaint.

3. Where it appears that no prima faciecase has been made out the com­plainant shall be so informed inwriting. If the complainant di~agr~esin writing with such a determinationthe disciplinary procedures set outin paragraphs (B), (C) and (D) ofArticle 24 of the Society's Articles ofAssociation will forthwith beinvoked and the complaint will belisted for hearing by the ProfessionalPractice Committee.

4. Before any complaint is consideredby the Professional Pra~tice Com­mittee, the Member against whomthe complaint is made (or in the caseof a complaint against a memberfirm, the Member or Membersdeemed to be responsible, for thematters giving rise to the complaint),shall be provided with copies of allcorrespondence, including any sup­porting material relative to the c?m­plaint and will be invited to admit ordeny, with or without qualificat~on,

any complaint made ag~Inst

him/her. A copy of any wnttenresponse made by the Member will,unless the Member otherwisedirects, be passed to the complainantand any subsequent correspondencebetween the parties will be similarlycopied and continued unt.il suchtime as it appears that there ISa suf­ficiency of information to lay beforethe Professional Practice Committee.

5. (a) The hearings of the ProfessionalPractice Committee shall be inprivate.(b) The hearings of the DisciplinaryCommittee and Appeal Committee

Any suchnotice shall state the grounds ofappeal and the grounds so statedshall not thereafter be amendedexcept with the leave of the AppealCommittee.(a) If any party fails to appear at anyhearing of the Disciplinary ~om­

mittee or of the Appeal Committee,the Committee concerned or anyTribunal thereof may, upon proof ofservice on such party of the notice ofhearing, proceed to hear and deter­mine the application in his/herabsence.(b) Any party who has failed toappear at the hearing may, within 21days from the date of the serviceupon him/her of such Order, andupon giving notice to every otherparty and to the Chief Execut.ive,apply to the Tribu~al.for a re~e~r~ng.The Tribunal, if satisfied that It ISJust

that the case should be re-heard,may grant the application upon suchterms as to costs or otherwise as itthinks fit. Upon such rehearing, theTribunal may sustain, amend, vary,add to, or reverse their findings, ororder, pronounced upon suchprevious hearing.

11. The Professional Practice Committeemay, in their discretion, either as tothe whole case or as to any particu­lar fact or facts, proceed and actupon evidence given by affidavit orstatutory declaration.

12. Every affidavit or statutory declara­tion upon which a complainant orthe Member concerned proposes torely shall, in respect of any hearingby the Professional PracticeCommittee or Disciplinary Com­mittee, be filed with the ChiefExecutive not less than 14 daysbefore the date of the hearing.

13. The Disciplinary Committee andAppeal Committee, or any Tribunalthereof, may, in their discretion,either as to the whole case or as toany particular fact or facts, proceedand act upon evidence given by affi­davit or statutory declaration.

14. A copy of every affidavit or statu­tory declaration received by theChief Executive in accordance withRule 12 above shall be sent forthwithto the other party.

15. Unless any Tribunal direct other­wise, no complaint or associateddocumentation shall be withdrawnafter it has been sent to the ChiefExecutive.

16. If upon a hearing it appears to theTribunal that the allegations in theaffidavit or statutory declarationrequire to be amended, the Tribunalmay permit such amendment; but ifin its opinion such amendment maytake any party by surprise or preju­dice the conduct of his/her case, theTribunal shall grant an adjournmentof the hearing on such terms as itthinks fit.

17. If at the conclusion of the hearing ofany complaint the Tribunal find anyof the allegations against themember to be proven, then themember shall be so informed. Theattention of the Tribunal and of themember shall then be drawn to anyprevious disciplinary allegations

which have been proven against themember who shall then have theopportunity to speak in mitigation.

18. The Tribunal may on the conclusionof any hearing require the memberto pay such costs as the Tribunalshall think fit in all the circum­stances of the case.

19. Upon the conclusion of the hearingthe Tribunal may announce theirfindings immediately or they mayreserve judgment. In the latterinstance the member may requirethat the Tribunal shall reconvene forthe purpose of announcing theirfindings when the member shallhave the opportunity to address theTribunal in mitigation of any deter­mination made against him/her.

20. A record of the whole or any part ofproceedings may be taken in suchform as the Tribunal may determine.A copy of any record or part, includ­ing a transcript of any notes takenshall be made available to theTribunal, to the Chief Executive and,upon payment of charges therefore,to any person entitled to be heardupon an appeal against any decisionof the Tribunal, but not to any otherperson.

21. Service of any notice or documentshall be effected by Registered Letteror recorded delivery (postal or oth­erwise) addressed to the Member atthe address listed in ISVA's recordsfor the delivery of mail, or if theMember has moved, to the lastknown place of abode.

22. (a) Subject to the provisions of theseRules the Tribunal may regulate itsown procedure.(b) The Tribunal may dispense withany requirements of these Rulesrespecting notices, affidavit docu­ments, service or time in any casewhere it appears to the Tribunal tobe just so to do.

23. In these Rules"Member" means a member ofISVA;"Chief Executive" means the ChiefExecutive of ISVA;"Tribunal" means any Tribunal ofthe Disciplinary Committee or theAppeal Committee and "Disciplin­ary Committee" and "AppealCommittee" include any Tribunal ofeither.

Rules Relating to theScheme of ProfessionalIndemnity Insurance

Definitions

(a) "Member" means a corporate mem­ber of ISVA.

(b) "Retired Member" means membersso designated under Article 9(£) ofISVA's Articles of Association.

(c) "Council" means the Council of ISVA.(d) "Professional Services" means the

provision of any acts or services,pursuant to statute or otherwise, byvaluers, auctioneers, estate agents orsurveyors.

(e) "Practice" means the provision ofProfessional Services by a member,whether as a sole practitioner, partner,director or other officer of a body cor­porate, other than as a salariedemployee.

(f) "Salaried Employee" means amember who offers no professionalservices other than to or on behalf ofhis employer.

Rules1. With effect from 1st October 1982 and

except as otherwise provided herein,every member in practice shall hold apolicy of Professional IndemnityInsurance on the terms prescribedherein.

2. Rule 1 shall apply except as follows:a) In the case of Retired memberswith effect from October 1st immedi­ately following election to the retiredmembership grade. However, Retiredmembers shall not be in breach of theconditions of membership of thatgrade, but subject always to compli­ance with Rule 5(4).b) In the case of a salaried employee,whether or not the employer is amember, who does not engage inPractice to any extent whatsoever.c) In such other cases as may beapproved by Council.

3. The Council may delegate to theProfessional Practice Committee orsuch other body as may, with theapproval of the Council, be appointedby that Committee, such powers asmay be requisite to give effect to theserules.

4. a) With effect from 1 January 1994 forthe purpose of Rule 1, the minimumcover for each and every claim shallbe(i) £100,000 for each and every claimwhere the gross income of thepractice, firm or company in the pre­ceding year did not exceed £50,000;or(ii) £250,000 for each and every claimwhere the gross income of thepractice, firm or company in the pre­ceding year did not exceed £100,000;or(iii) £500,000 for each and every claimwhere the gross income for thepractice, firm or company in the pre­ceding year exceeded £100,000.b) With effect from 1st January 1995,alternatively, for the purpose of Rule1, the minimum cover on an aggrega­tion basis with reinstatement shall be£1,000,000 for the practice, firm orcompany that falls within Rule 4.a) (i)or (ii). The reinstatement clause shallensure that the cover reverts to theminimum limit of indemnity in Rule4.a) (i) or (ii) as appropriate.

5. The minimum cover shall include:

(1) (a) Liability to pay damages and/orcompensation for:

Negligence and breach ofprofessional dutyBreach of contract Breach ofwarranty or authorityConversion Dishonesty

by any past, present or future partner,director or employee of the insured.(b) Liability for failure in good faith toaccount for monies held or received inthe course of business.(c) Liability arising on any loss causedby any dishonest or fraudulent act oromission by any past, present orfuture partner, director or employee ofthe insured.(d) Indemnity against liability arisingon activities pursued in the course ofany joint professional appointment orother joint working arrangement.

(2) The policy of indemnity insuranceshall not be prejudiced by any jointcommercial interest as between theinsured and any other body, firm orundertaking.

(3) The policy of indemnity insuranceshall not contain an exclusion of liabil­ity for claims arising on a member'sprevious trading.

(4) From the date upon which the insuredceased to offer professional services,

continuing cover must be retained fora minimum of six years.

(5) The policy of indemnity insuranceshall contain an innocent non-disclo­sure provision.

(6) For those members in the categorycovered by Rule 4 (i) no policy ofindemnity insurance shall provide foran excess greater than that repre­sented by 5% of the sum insured. Forthose members in Bands (ii) and (iii),the uninsured excess shall not exceed3% of the sum insured.

(7) The Council shall have power to des­ignate as "approved schemes"schemes of professional indemnityinsurance and any scheme soapproved shall be deemed to complywith the foregoing requirements.

(8) The Council shall have power to varythese Rules at any time.

(9) The policy of indemnity insuranceshall be underwritten by an insurerapproved by the Council.

(10) The member shall authorise hisinsurer to notify ISVA that he holds acurrent and approved policy ofProfessional Indemnity Insurance.

NOTE:(a) Members are advised that it is for

them to decide individually theamount of insurance cover appropri­ate to their professional activitieshaving regard to the size of theirpractice, their turnover and the natureof the services they provide. It followsthat the minimum covers prescribedmay not necessarily meet thesecriteria.

(b) For their own protection, salariedemployers are advised to ensure thatadequate cover is held by theiremployer.

(c) Members are advised that in sometypes of professional services coverneeds to be retained for up to fifteenyears after ceasing to offer those pro­fessional services.

Members' Accounts Rules1. IntroductionThese Rules are prescribed pursuant toArticle 32 of the Memorandum andArticles of Association of the ISVA. Rule109 of the Rules of Professional Conductoutlines the disciplinary procedure forfailure to comply with the Members'Accounts Rules. The object of the Rules isto facilitate the management of clients'

affairs and of members' accounts proce­dures by ensuring the maintenance ofadequate book-keeping and recordingsystems.

In a partnership or company responsi­bility for the management of accounts,including any errors or misappropriation,is shared by all partners or directorshowever they are described. It is thereforethe responsibility of every partner ordirector to ensure that any breach of theRules of which he is aware is immediatelyrectified.

In these Rules the masculine gendershall also include the feminine.

2. DefinitionsIn these Rules the following definitionswill apply:(a) "Member" means a corporate

member of ISVA in practice in theUnited Kingdom, Isle of Man or theChannel Islands as a sole principal,partner, director or consultant or onewho is held out to the public as suchand includes the practice of themember.

(b) "Held out to the public" means amember who is described on businessstationery or in other representationsto the public.

(c) "Professional Services" means theprovision of any acts or services,pursuant to Statute or otherwise, byvaluers, auctioneers, estate agents orsurveyors.

(d) "Practice" means the provision of pro­fessional services by a member eitheras a sole principal, in partnership orby means of a company incorporatedwith unlimited or limited liability.

(e) "Client" means any person or body onwhose account a member holds orreceives money.

(f) "Clients' money" means money heldor received by a member or hispractice on behalf of a client overwhich he has exclusive control. Thisdoes not include money to which onlythe member or his practice is entitled.

(g) "Bank" means an authorised institu­tion within the meaning of theBanking Act 1987, or a buildingsociety authorised by the BuildingSociety's Commission under section 9of the Building Society's Act 1986 toraise money from its members.

(h) "Client account" means one or moredeposit or current accounts, so desig­nated, opened or maintained by a

member at a bank in respect ofclients' money.

(i) "Records" means all documentationincluding correspondence and writtenagreements relating to the operationof any system of book-keeping oraccountancy for the handling ofclients money.

(j) "Report" means in the form set out inthe ISVA Accountants' Report andsigned by an Accountant.

(k) IIRICS Report" means anAccountant's report prepared underregulation 11(1)(b) of the Members'Accounts Regulations of the RoyalInstitution of Chartered Surveyors.

(1) IILaw Society Report" means anAccountant's Report prepared underthe Accountant's Report Rules 1991 ofthe Law Society of England andWales.

(m) IIAccountant" means an accountanteligible for appointment as a companyauditor under Sections 25 and 27 ofthe Companies Act 1989.

(n) IIAccounting Period" means a twelvemonth period which must be notifiedto ISVAin writing.

3. Clients' Money3.1 Clients' money shall include the fol­

lowing:(a) Money held for a client to which the

member is not beneficially entitledand over which he has exclusivecontrol.

(b) Money held in respect of propertiesowned jointly by one or morepartners, directors or consultants witha person who is not a co-partner,director or consultant of the practice.The member is a trustee for suchmoney which must be paid into aclient account.

(c) Payment in respect of fees and dis­bursements received before thesehave been incurred by the practice, orpassed on to a third party.

(d) Service charge contributions paid tomanaging agents of properties whichmust be held on trust and in aseparate account designated as a trustaccount.

3.2 Clients' money does not include thefollowing: -

(a) Money received in respect of proper­ties owned by one or more directors orpartners of the practice.

(b) Money held in an account jointly witha third party who is not a client and

over which the member does not havesole power of withdrawal. A separaterecord should be maintained inrespect of such money although this isnot clients' money as it is not in thesole control of either party.

3.3 Interest on clients' money(a) The law on accountability for interest

earned on contract and pre-contractdeposits is prescribed by the EstateAgents Act 1979and the Estate AgentsAccounts Regulations 1981.

(b) If a member places clients' money ondeposit, the account must be organ­ised in such a way that he mayaccount separately to each client forthe amount of interest individuallydue to him.

(c) A member may enter into a writtenagreement with the client whichallows him to retain interest earned onmoney held on a client's behalf. Suchwritten agreements shall constitutepart of the records.

(d) Interest earned on service charge con­tributions must be credited to the trustfund in accordance with Section 42 ofthe Landlord & Tenant Act 1987.

4. Client Accounts4.1 Members who hold or receive clients'

money shall open and maintain one ormore current or deposit clientaccounts.

4.2 A member shall give written notice tothe bank at which the client account isheld:

(a) Confirming the money held in thataccount is held by the practice asclients money and that the bank isnot entitled to combine the accountwith any other account or to exerciseany right to set off or counterclaimagainst any money in that account inrespect of any sum owed to it on anyother account of the practice.

(b) Requiring the bank to acknowledge inwriting that it accepts the terms of thenotice.

4.3 Members who are required to open astatutory client account in respect ofcontract and pre-contract depositsmust comply with the Estate Agents(Accounts) Regulations 1981 madeunder the Estate Agents Act 1979 andany subsequent amendments.

4.4 Operation of client accounts(a) A member may not treat himself as a

client and conduct personal or officetransactions through a client account.

(b) A member must keep an appropriateledger account for each client.

(c) Such ledger accounts must show sep­arately from other information partic­ulars of all clients money received,held or paid on account of each client.

(d) Transactions relating to client'smoney and other money dealt withthrough the client account must berecorded in the member's books so asto distinguish such transactions relat­ing to any other money received, heldor paid to the member.

(e) Money held on behalf of a client maynot be used for the benefit of anotherclient.

(f) A member may not operate a clientaccount in overdraft.

4.5 Payment of Money Into a ClientAccountMembers shall pay all clients' moneyinto a client account without delay.Payment of money other than clients'money into a client account isrestricted to the following:

(a) The minimum sum required to openor maintain the client account.

(b) The amount required to restore inwhole or part any money paid out incontravention of these Rules.

(c) Payment made up of clients' moneyand other money which must be paidinto a client account or accounts priorto payment of the other money intothe accounts to which they belong.

4.6 Money that may be withheld from aClient Account

(a) A member is not required to pay intoa client account money held orreceived by him in the form of acheque or draft if it is endorsed in theordinary course of business to a clientor his authorised representative. Thetransaction must be recorded fully inthe member's accounts.

(b) Where it is required to be paid in inaccordance with Rule 5 for auctionsales.

4.7 Payment from a Client AccountMembers may draw the followingpayments from the client account:

(a) Money paid in to open or maintain theaccount in accordance with Rule 4.4(a) where it is no longer required.

(b) Money paid into the account in accor-

dance with Rule 4.4 (a) which does notbelong to the client for payment to theperson entitled to it.

(c) Money paid into the account in con­travention of these Rules for anyreason.

(d) Money payable to, or on behalf of theclient.

(e) Reimbursement of money expendedby the member on behalf of the client.

(f) Money in respect of a member's feeand/or disbursement provided that:

(i) This has been expressly authorised inwriting by the client beforehand.

(ii) The client or his authorised represen­tative has received an intimation ofthe cost incurred to which the moneybeing withdrawn will be applied.

(g) Money transferred to another clientaccount maintained by the member.

(h) Payment drawn from a client accountshall be made by:(i) a cheque drawn in favour of themember or his practice;(ii) a transfer to an account held in thename of the member which is not aclient account;(iii) cash, cheque or order in respect ofpayment to or on behalf of a client.

4.8 A member may not withdraw moneyfor or on behalf of a client from aclient account which exceeds the totalamount of funds held on behalf of thatclient.

5. Special Rule for ChattelAuction Sales

5.1 Members may maintain a separatecomprehensive auction account (oraccounts) for monies paid out orreceived in respect of auction sales ofchattels. Such accounts must beappropriately identified and includethe words auction account in the title.

5.2 These accounts may include moneybelonging to the member or hispractice in the form of working capitalassigned to the auction business tocover credits to buyers at auction.

5.3 The comprehensive auction account(or accounts) referred to above are forchattel auction business only andmust be kept separate from the bankaccounts of the practice for theremainder of its business and its clientaccounts in respect of such business.

5.4 Special rule for live and deadstockauction sales

5.5 Auction accounts operated exclu­sively for purposes connected with alivestock auction market or other liveor dead stock sale will be exempt fromthe requirement of Rule 4.4 (f).

5.6 This exemption will be subject to theprominent display of the followingnotice in the livestock market or othersaleroom:

This market is not required to complywith the requirements of 4.4 (f) of themembers' accounts rules of ISVA. Thisnotice is published in accordance withthe requirements of ISVA from whom anexplanation can be obtained by writingto the Professional Services Department,3 Cadogan Gate, London SW1X OAS.

6. Records6.1 Members must keep records suffi­

cient to show compliance with theseRules relating to:

(a) All dealings with clients' moneyreceived, held or paid out.

(b) Any other money dealt with throughthe client account.

6.2 Records and accounts must includethe title of the client account intowhich money is paid, the date ofpayment, and the identity of the insti­tution at which the account is held.

6.3 Members must ensure that adequaterecords are maintained of all transac­tions relating to clients' money so thatup-to-date details are available at alltimes, clearly showing the moneyreceived and handled on each client'sbehalf.

6.4 The balance of the client's cash bookmust be agreed with the clientaccount bank statements at least onceevery three months.

6.5 The records kept for the purpose ofcomplying with these Rules shall beretained for six years after the end ofthe accounting period to which theyrelate.

6.6 Where a computerised book-keepingsystem is in operation, this must becapable of producing printed informa­tion as required.

7. Accountants' Report7.1 Once every twelve months members

are required to submit a Report attest­ing to the handling of clients' moneyduring each accounting period of themember.

7.2 The Report must be submitted nolater than six months following theaccounting period to which it relates.

7.3 A member must provide the accoun­tant with particulars of all accountskept, maintained or operated by himin connection with his practice at anytime during the accounting period towhich the report relates.

7.4 Where no clients' money is held theISVA Report must be completed byan accountant to this effect.

7.5 A member who is a sole principal,partner, director or consultant formore than one practice shall provide aseparate Report for each business inwhich he has an interest.

7.6 Only one Report need be submitted inrespect of a practice which has morethan one member. The names of allmembers to whom the Report relatesshould be listed under the thirdschedule of the Report.

7.7 (a) An RICS Report or a Law SocietyReport may be submitted in substitu­tion for a Report submitted underthese rules.(b) An RICS Report or a Law SocietyReport submitted in respect of apractice of which a member of ISVAisa member as defined in these rulesmust identify such members individ­ually in the appendix to the Report orin a covering letter.

7.8 RequirementsFor the purpose of making his report,the accountant shall:

(a) ascertain from the member on whomhe is reporting particulars of allaccounts, kept, maintained oroperated by him in connection withhis practice at any time during theaccounting period to which theReport relates.

(b) examine the accounts and records ofthe member to enable him to verifycompliance with the Rules and that:

(i) an appropriate ledger account iskept for each client;(ii) such ledger accounts show sepa­rately from other information particu­lars of all clients' money received,held or paid on account of each client;(iii) transactions relating to clients'money and other money dealt withthrough a client account are recordedin the member's books so as to distin­guish such transactions from transac­tions relating to any other moneyreceived, held or paid by the member;

(c) make test checks of posting to clients'ledger accounts from records ofreceipts and payments of clients'money and make test checks of thecasts of such accounts and records;

(d) compare a sample of lodgements intoand payments from the client accountshown in bank statements with themember's records of receipts andpayments of clients' money;

(e) enquire into and test check the systemof recording fees and/ or disburse­ments from the client account;

(f) make a test examination of such docu­ments as he shall request the memberto produce to him with the object ofascertaining and confirming:(i) that the financial transactions(including those giving rise to trans­fers from one ledger account toanother), evidenced by such docu­ments, are in accordance with theRules; and(ii) that the entries in the clients'ledger accounts reflect those transac­tions in a manner complying with theMembers' Accounts Rules;

(g) Extract (or check extractions of)balances on the clients' ledgeraccounts during the accountingperiod under review at not fewer thantwo dates selected by the accountant(one of which may be the last day ofthe accounting period) and at eachsuch date:(i) compare the total as shown by suchledger accounts of the liabilities to theclients with the cash book balance onthe client account; and(ii) reconcile that cash book balancewith the client account balance asconfirmed in the form of statementsby the bank.

(h) satisfy himself that reconciliationstatements have been kept in accor­dance with these Rules;

(i) make such test examinations as theaccountant may think requisite of theclients' ledger accounts in order to

ascertain whether payments from theclient account have been made on anyindividual account in excess of moneyheld on behalf of that client;

(j) make such test examinations as theaccountant may think requisite ofsuch office ledger and cash accountsand bank statements as the membermaintains with a view to ascertainingwhether any clients' money has notbeen paid into a client account;

(k) satisfy himself that members properlyinstruct their staff as to the require­ments of the Rules;

(1) ask for such information and explana­tions as he may consider necessary.

7.9 Contents of Reports(a) The accountant reporting under these

Rules shall state whether in hisopinion the Rules have been compliedwith or substantially complied with.

(b) The accountant may report that therequirements have been substantiallycomplied with if, in his opinion, theyhave been complied with except forcertain trivial breaches due to clericalerrors or mistakes in bookkeeping, allof which were rectified on discoveryand none of which, in his opinion,resulted in any loss to any personentitled to clients' money.

(c) If the accountant reports that in hisopinion the Rules have not beencomplied with, or substantiallycomplied with, he shall specify thebreaches.

(d) If the accountant is unable to form anopinion as to whether or not the Ruleshave been complied with or substan­tially complied with he shall specify inhis report the matters in respect ofwhich he has been unable to satisfyhimself and the reasons.

7.10Limits to Enquiry by AccountantNothing in Rule 7.6 above shallrequire the accountant:

(a) to extend his enquiries beyond theinformation contained in the relevantdocuments produced to him, supple­mented by such information andexplanations as he may obtain fromthe member; or

(b) to enquire into the stocks, shares,other securities or documents of titleheld by the member on behalf of hisclients;

(c) to consider whether the accounts orrecords have been properly kept inaccordance with these Rules at anytime other than the time at which his

examination of those accounts andrecords takes place.

8. Spot Checks8.1 ISVA reserves the right to require any

member to submit a Report togetherwith authenticated details of accountsat any time to ISVAHeadquarters. Therequirement for this submission maybe issued with or without notice.

8.2 The Report must be completed by anaccountant who may either be themember's accountant or an accoun­tant appointed by the society. In eitherevent, the ISVA may require the costof his submission is to be borne by themember.

8.3 The member must allow facilities foraccess as required by the accountantappointed to prepare the Report andprovide any information required inthis respect.

9. Clients' Money GenerallyThe law on accountability for the interestearned (or which could be earned) oncontract and pre-contract deposits is pre­scribed by the Estate Agents (Accounts)Regulations 1981, but interest earned onclients' money other than such deposits isoutside the scope of the Regulations.

It is necessary to look for guidance insuch instances to the House of Lords inBrown v The Commissioners of InlandRevenue (1965) AC 244 wherein it wasdecided that any interest accruing on prin­cipals' money held by an agent in thatcapacity belongs not to the agent but tothe various principals, however inconve­nient it may be to calculate the amountdue to each of them.

The effect of the decision in relation tosmall amounts held for short periods hassince been modified for solicitors underthe Solicitors' Accounts (Deposit Interest)Rules 1975 but other professional peopleincluding surveyors, auctioneers andestate agents, remain fully governed by

the doctrine in Brown's case as regardsinterest on principals' money (other thancontract and pre-contract deposits) held inthe capacity of agent.

It follows that if a member places ondeposit clients' money held by him in thecapacity of agent (e.g. receipts frominvestment property held by a managingagent) the deposit account, quite apartfrom the general rule about the separatebanking of clients' monies, needs to be soorganised at the bank that the member isin a position to account separately to theclients for the amount of interest individu­ally due to them.

There is no objection to membersentering into written agreements the effectof which is to permit the agent to retaininterest earned on monies held to theorder of those who are entitled to it. Suchagreements must be in writing where theyrelate to interest earned on contract andpre-contract deposits. However, no suchagreement is necessary where the amountof the deposit held does not exceed £500or the interest earned, or which couldhave been earned, is less than £10.

Contract and Pre-Contract DepositsWhen a contract comes into existence itwill name the person by whom anydeposit is to be held and state the capacityof that person, usually as a stakeholder.Where, prior to contract stage, an agentaccepts a deposit, he cannot do so in thecapacity of stakeholder because there is nocontract in existence specifying the eventupon which the stake money is to be paidout, or to whom.

Pre-contract deposits should thereforenormally be accepted and held to theorder of the person paying or entitled tothe deposit who will usually, but not nec­essarily, be one and the same. A membershould accept a pre-contract deposit asagent for the vendor only with the author­ity of the vendor and/or the depositor.

It is essential that a receipt be given fora pre-contract deposit stating that it is heldto the order of the depositor, or as agentfor the vendor, as the case may be.
