IntroductionOn April 12, 2005, the New Brunswick Securities Commission(“the Commission”) approved publication for comment of Im-plementing Instrument 52-804 (“52-804”). Through 52-804, theCommission would adopt National Instrument 52-107 - Accept-able Accounting Principles, Auditing Standards and ReportingCurrency (“NI 52-107”) and implement Companion Policy52-107CP (“52-107CP”).

Summary of Proposed RuleNI 52-107, an initiative of the Canadian Securities Administra-tors, came into force in all other securities jurisdictions onMarch 30, 2004. The purpose of the Instrument is to establish aharmonized set of accounting principles and auditing standardsthat will be acceptable for purposes of preparing and auditing fi-nancial statements included in documents filed with securitiesregulators in Canada.

The Instrument sets out the accounting principles that issuersand registrants may use to prepare their financial statements andthe auditing standards that may be applied to audit those finan-cial statements. These same principles and standards apply to fi-nancial statements

• included in a prospectus,• filed in connection with continuous disclosure obliga-

MI 52-110 sets out similar requirements regarding Audit Com-mittees in Canada.There are a number of proposed amendments to MI 52-110which have been the subject of a Request for Comments by theOSC in October, 2004. A number of comments were receivedas a result of which several changes were made to the proposedamendments. The latest version of the proposed amendmentsdated March 29, 2005 (which the OSC advises is unlikely tochange) is scheduled to be published for comment by the OSCon April 15, 2005. As such, the CSA will deal with the Requestfor Comment process and the adoption of these proposedamendments is not included in Implementing Instrument52-805. MI 52-110 includes the following provisions:

• It applies to all reporting issuers other than investmentfunds, issuers of asset-backed securities, designated for-eign issuers and certain subsidiary entities of reporting is-suers.

• Every issuer must have an audit committee to which theexternal auditors must directly report. The audit commit-tee must be responsible for, among other things:

• Overseeing the work of the external auditors en-gaged for the purpose of preparing or issuing an au-dit report or related work.

• Pre-approving all non-audit services to be providedto the issuer or its subsidiary entities by its externalauditors or the external auditors of the issuer’s sub-sidiary entities.

• Reviewing the issuer’s financial statements,MD&A and earnings press releases before they arepublicly disclosed by the issuer as well as review-ing the procedures relating to the issuer’s publicdisclosure of financial information.

• The creation of procedures for dealing with ac-counting and auditing complaints and the confiden-tial anonymous submission of employee concernsregarding questionable accounting and auditingmatters.

• The audit committee recommend to the board of directorsthe external auditors to be nominated for the purpose ofpreparing or issuing an audit report (or any related work),as well as the compensation to be paid to such auditors(This differs from the U.S. audit committee requirementsbecause under Canadian corporate law, an audit commit-tee cannot appoint, compensate or retain the external au-ditors.)

• The audit committee must be composed of directors of theissuer who are independent and financially literate indi-viduals. The instrument provides extensive definitions ofwhat constitutes “independence”.

• Certain exemptions from the requirements with respect tothe composition of the Audit Committee for venture issu-

• Il surveille les travaux du vérificateur externe en-gagé pour établir ou délivrer un rapport de vérifica-tion ou pour rendre d’autres services connexes;

• Il approuve au préalable tous les services non liés àla vérification que le vérificateur externe doit ren-dre à l’émetteur ou à ses filiales;

• Il vérifie les états financiers, les rapports de gestionet les communiqués concernant les résultatsannuels et intermédiaires de l’émetteur avant quecelui-ci ne les publie et il s’assure que des procédu-res adéquates sont en place pour examiner la com-munication au public de l’information financièrepar l’émetteur;

• Il établit des procédures concernant le traitementdes plaintes au sujet de la comptabilité et de la vé-rification et concernant l’envoi confidentiel, sous lecouvert de l’anonymat, par les salariés de l’émet-teur, de préoccupations touchant des points discuta-bles en matière de comptabilité ou de vérification.

• Le comité de vérification doit recommander au conseild’administration le vérificateur externe à nommer en vued’établir ou de délivrer un rapport de vérification (oud’effectuer des travaux connexes) ainsi que la rémunéra-tion à lui verser (ces dispositions sont différentes de cellesqui régissent les comités de vérification aux États-Unis,parce que le droit canadien des sociétés ne donne pas lepouvoir au comité de vérification de nommer, de rémuné-rer et d’engager des vérificateurs externes).

• Le comité de vérification doit être composé d’administra-teurs de l’émetteur qui sont indépendants et qui possèdentdes compétences financières. La Norme contient de nom-breux exemples de ce que signifie « l’indépendance ».
