The Bromley Charities As A Whole Blake Bromley claims to have registered at least 650 charities and been involved in more than $2 billion in charitable giving over the course of his 30-year career. At least 50 of these charities (“The Bromley Charities”) were involved directly or indirectly the gifting and re-gifting of tax-receipted donations (Tables 1 & 2). Of the 50, 12 charities reported tax-receipted donations:1 o Theanon Foundation o Canadian Education Forum o Prescient Foundation o Sea to Sky Foundation o Global Charity Fund o C & R Foundation o Loyalty Foundation
o Howe Sound Samaritans Foundation o HSEF Renaissance Academy o Stewart & Marilyn Blusson Foundation o Association for the Advancement of

A further six are or were involved in funding property development and student residences: o QUC Residents Housing Foundation o Foundation For Public Good o Timothy Foundation
o Eden Glen Foundation o Vanchorverve Foundation o CHIMP Foundation
In addition, more than 30 charities have been re-gifted tax-receipted donations from the 12 charities (listed above) that reported them. These charities are listed in Tables 1 and 2. Most of the Bromley Charities have these common characteristics: o Same address. o No staff, no web-site, no public presence. o Zero or near zero expenditures on fundraising. o Primary sources of revenue are tax-receipted donations and gifts from each other. o Many are Public Foundations whose stated purpose is “Gifts To Qualified Donees” For these reasons, it appears that The Bromley Charities operate as part of a common operation, like multiple pockets in the same pair of pants. As such, it makes sense to examine the finances of these 50 charities as a whole. 1The Stewart and Marilyn Blusson Foundation has total assets of $4 and $5.4 million in amounts receivable from a non-arms length party. With only $4 remaining as cash, it is obvious that Blusson Foundation is no longer active. Likewise, the Loyalty Foundation has $5.6 million in cash and $45 million in amounts receivable from a non-arms-length party. Over the past ten years, Loyalty Foundation has gifted only $55,000. Thus, it appears that for practical purposes, the Loyalty Foundation is inactive.

1. Re-Gifting Among Bromley Charities: $765 Million (2000-2019) According to their Canadian tax returns, the 50 Bromley Charities reported gifts to qualified donnes for an aggregate, cumulative total of $940 million (2000-2019). Of that, about 85 percent is accounted for by 330 gifts for a total of $765 million (Table 3). The average value of the 330 gifts is $2.3 million. The important point to note about these gifts is that all 330 of them were made to charities within the Bromley enterprise. Not one of the 330 gifts went to a working charity that is outside the Bromley enterprise. What this means is that the vast majority of the “gifts” made by The Bromley charities appear to be paper shuffles from one Bromley Charity to another. As it appears from what limited information is publicly available, most of the 330 “gifts” do not appear to be true gifts in the sense that there was not a decrease in wealth on the part of the giver, nor do these gifts appear to have been made without consideration. Rather, these gifts appear to be part of a common, systematic operation among The Bromley Charities. Pages of the tax returns that report the gifts of more than $10 million each are compiled in Appendix 1. Over the same years that The Bromley Charities gifted $765 million to each other, roughly $175 million was gifted to working charities that are outside the Bromley enterprise. The largest 50 gifts made between The Bromley Charities account for a total of more than half a billion dollars. The average value of these gifts is $10.6 million. (Table 4).2 Questions: o What purpose is served by the gifting and re-gifting between The Bromley Charities?
o How many of these very large gifts are land, mortgages and loans?
o How many of these large gifts pertain to property development at Quest? 2 Of the 16 largest gifts made by The Bromley Charities, five are reported incorrectly in the on-line database of the Canadian Revenue Agency (Appendix 2). In a sixth case of an error in the CRA’s on-line database, non-cash, tax-reported donations were reported incorrectly in the 2011 tax return for Global Charity Fund. In all six cases, the error is the same: the last three zeros are missing such that the amount is reported as a figure in the thousands rather than in the millions. The on-line database of the Charities Directorate at the Canada Revenue Agency is notorious for errors in data entry and yet it seems odd that so many such large grants are reported incorrectly.

2. Tax-Receipted Donations Ten of the Bromley Charities have reported tax-receipted donations for an aggregate total of slightly more than $600 million since 2000. That includes $300 million reported since 2011 by CHIMP. (Table 5).3 From their names and their stated purposes (Table 6) as reported in their tax returns, it is clear that for several of these charities, their flagship project was the establishment of Quest. As shown in the figures on the next page, there is a stark pattern in the reporting of tax-receipted donations: o Between 2000 and 2011, tax-receipted donations were reported by ten charities. o Since 2011, significant tax-receipted donations have been reported by only one charity,
CHIMP, for a total of more than $300 million. Questions: o Aside from Quest University, what major charitable purposes have the
Bromley Charities supported with $600 million in tax-receipted donations? o What is the origin of the $100 million in tax-receipted donations reported by the
Association for the Advancement of Scholarship ($30 million) and the Global Charity Fund ($70 million). How much of that $100 million was to be given to Quest University?
o Why did tax-receipted donations stop so dramatically to all Bromley Charities except
CHIMP, and simultaneously increase sharply to CHIMP, despite CHIMP spending almost nothing on fundraising? Is it fair to say that the Bromley enterprise has been consolidated in CHIMP?
3. Fees: $27 Million Between 2000 and 2019, The 50 Bromley charities reported spending $27 million on fees for professional and consulting services (Table 7). Question: o How much of the $27 million was paid to Benefic Group Inc., Blake Bromley’s company,
and for what purposes?

4. Property Not Used for Charitable Activities As shown in the figure below, the Bromley Charities report significant property not used in charitable activities (Table 8).

5. Assets in Land and Buildings As of 2015, The Bromley Charities reported assets in land and buildings for a total of roughly $80 million. With the exception of $930,000 reported by the Association for the Advancement of Scholarship), these assets are no longer reported as of 2018. (Table 9). For 2015, the following charities reported assets in land and buildings:
o Global View Foundation: $22 million o Almoner Foundation: $21.9 million o Foundation for Public Good: $18.7 million o Timothy Foundation: $11.4 million o Paraklesis Foundation: $4.1 million o Association for the Advancement of Scholarship: $930,000

6. Interest and Investment Income The Bromley Charities have reported nearly $150 million as Interest and Investment Income (Table 10). The Stewart & Marilyn Blusson Foundation alone reported $90 million and The Association for the Advancement of Scholarship reported $15.8 million. That included reported $7.6 million in 2015, and $8.2 million the following year. Those same years, total assets were only $5.1 million and $4.2 million, respectively.

7. Specific Foundations a) Global Charity Fund In 2011, Global Charity Fund reported $70 million as tax-receipted non-cash donations and gifted $57 million to other charities. Of the $57 million, a token amount, less than $2 million, was gifted to Quest University ($950,000) and other legitimate charities ($925,000) meanwhile Global Charity Fund paid roughly $1 million in fees and gifted $55 million to Bromley Charities, as follows:
o Foundation for Public Good: $18.7 million o Almoner Foundation: $13.9 million o Headwaters Foundation: $5.3 million o Howe Sound Samaritans Foundation: $4.5 million o Homestead on the Hill Foundation: $3.7 million o Charitable Impact Foundation (“CHIMP”): $3.4 million o QUC Resident Housing Foundation: $2.5 million o Association for the Advancement of Scholarship: $1 million o Virtual Vancouver: $550,000 o Philanthropy Without Frontiers: $350,000 o Canadian Education Forum: $250,000
Questions: o Who received the tax-relief for the $70 million in tax-receipted donations? o Who was paid the $1 million in fees, and for what purpose? b) Benefic Foundation, Seattle WA In 2014, Mighty Oaks Foundation paid $1,980,000 to Benefic Foundation, an American charitable foundation based in Seattle, Washington. According to an early U.S. tax return for the Benefic Foundation in Seattle, one of its directors was John Bromley. Other directors were also affiliated with Blake Bromley. On the basis of the attached analysis, it is clear that the $1.98 million originated from either a gift of $6 million that Mighty Oaks received from Almoner Foundation or from a gift of $2 million that Mighty Oaks received from the Association for the Advancement of Scholarship (“AAS”), or from investment income. Both Almoner and AAS obtained their funds from tax-receipted donations and from tax-receipted gifts from Global Charity Fund. What this means is that the $1.98 million paid to Benefic Foundation in Seattle, originated from tax-receipted donations that appear to have been ear-marked originally for Quest University. Questions: o Why was the $1.9 million gifted to Benefic Foundation in Seattle rather than to
Benefic Foundation in Vancouver? What purpose was served with the $1.9 million?

c) Foundation for Public Good Between 2014 and 2019, Foundation For Public Good (“FPG”) reported total revenue of $58 million. That included $52 million from other charities, $4 million from interest and investment income, and roughly $2 million from disposition of assets. Over five years, total expenditures were about the same as revenue, roughly $58 million. Apart from the payment of fees, FPG’s spending consisted solely of the gifting of $57 million from one Bromley Charity to another, including the gift of $34 million to CHIMP. According to FPG’s tax returns, not one nickel went outside the Bromley enterprise meanwhile more than $600,000 was paid in fees for consulting and unspecified expenses. As of 2019, FPG reported only $4,000 as cash so it appears to have been wound down. Questions: o What charitable purpose is served by the Foundation For Public Good? o How much of the $52 million gifted to and from FPG pertains to the student residences,
and other property development on the lands of Quest University? o What is the origin of the $4 million that Foundation For Public Good reports as
interest and investment income? Did that come from Quest? 8. Fiduciary Duty The Bromley Charities are directed largely by the same group of individuals. Blake Bromley has been a director of more than 50 charities. Christopher Richardson, at least 40. (Tables 18 and 19). Question: o How are the directors of The Bromley Charities able to exercise their fiduciary duty
while simultaneously on the boards of so many charities that give gifts to each other?

B. Charitable Impact Foundation (“CHIMP”)
Registered in 2008 by Blake Bromley and two others, Charitable Impact Foundation (“CHIMP”) is a Public Foundation.4 Its stated purpose, according to its tax returns, is “gifts to qualified donees.” CHIMP is run by Blake Bromley’s sons, John and Clif, and others. Between 2011 and the fall of 2019, Charitable Impact Foundation referred to itself publicly as “Chimp Foundation.” As of October 21, 2019, Chimp underwent a re-branding and began to refer to itself by its official name, Charitable Impact Foundation. For the sake of brevity, it is referred to here as “CHIMP.” CHIMP’s finances (2011-2018) according to tax returns:5
Ø Total revenue: $400 million o Tax-receipted donations: $175 million o Revenue from other charities: $220 million (“RFOC”) o Revenue from other sources: $5 million
Ø Total expenditures: $294 million
o Gifts to other charities: $266 million (“gifts to qualified donees”) o Payments to Chimp Technology Inc.: $23 million (a for-profit company)
Ø Total assets: $106 million (2018) and as of 2019, $202 million.
Revenue (2011-2018) As mentioned above, over its first seven years, CHIMP’s total revenue was $400 million. That includes $220 million in revenue from other charities (“RFOC”). On the basis of detailed analysis of publicly available tax returns, the research presented here has identified a total of 155 charities that account for 99.8 percent of the $220 million that CHIMP has reported as revenue from other charities. (Table 11). Of the155 charities, 25 gifts from 15 charities account for roughly $200 million (90 percent) of CHIMP’s RFOC (Table 12, Appendix III). In all but one case, the 15 charities share the same address as CHIMP and are under the direction of Blake Bromley and the group of the individuals to whom this letter is addressed. Put plainly, what this means is that at a very large share of CHIMP’s revenue comes from The Bromley Charities. Likewise, the lion’s share of CHIMP’s gifts go to The Bromley Charities (Tables 13 and 14).

1. $200 Million Gifted Between CHIMP and Other Bromley Charities (Cont’d) Year after year, the total gifts that CHIMP received from other Bromley Charities have increased substantially, as shown in the figure below. On the basis of the analysis presented in Table 15, it is clear that at least $120 million of the gifts that CHIMP has received from other Bromley Charities originated from Global Charity Fund and other Bromley charities involved in the early years of Quest. Very Large Gifts Made in 2018 In 2018, CHIMP gifted $130 million to other charities. Of that, $104 million was three very large amounts. The largest was $74 million gifted to Fortius Foundation. The second largest was nearly $21 million gifted to Vanchorverve Foundation. CHIMP also gifted $8 million to Viva Voce Foundation, another Bromley Charity. Questions: o What is the purpose of the extensive re-gifting between CHIMP and other
Bromley Charities? What charitable purpose is served by these gifts?
o How many of the very large gifts made by CHIMP are land, mortgages and loans?

2. CHIMP’s Total Assets: $200 Million Since 2011, CHIMP’s total assets have risen sharply to $204 million (Table 16). Long-term investments increased from $39 million to $122 million in a single year.
Question: o What are CHIMP’s long-term assets? What is the origin of these assets?

3. Non-Cash Donations Of the $300 million that CHIMP has reported as revenue from tax-receipted donations, about half is from non-cash gifts, a total of $146 million (2011-2019). In 2019 alone, CHIMP reported $72 million as tax-receipted non-cash gifts. Questions:
o What are the non-cash gifts that CHIMP has received for a total of $146 million?
o What is the source of the $76 million in tax-receipted, non-cash donations that CHIMP reported in 2018?
In 2013, Global Charity Fund made four non-cash gifts for a total of $32.3 million, to the following recipients:
o Foundation For Public Good: $18,710,000 o Howe Sound Samaritans Foundation: $4,514,757 o Homestead on the Hill Foundation: $3,743,945 o Headwaters Foundation: $5,362,500�
In subsequent years, all four non-cash gifts were re-gifted to CHIMP as cash gifts. All four gifts listed above stem from tax-receipted donations reported by Global Charity Fund in 2011. That year, Global Charity reported $70,000 as non-cash donations but it appears that the correct figure should read $70,000,000. The missing zeros appear to be a data entry error. Also in 2011, Global Charity Fund reported a gain on foreign exchange of $388,482. Questions: o What is the origin of the $32.3 million that Global Charity Fund gave in 2013 as non-cash
gifts? What purpose will CHIMP serve with these gifts, now that that they have been re-gifted to CHIMP?
o Why did Global Charity Fund have a gain on foreign exchange in 2011?

4. CHIMP’s Spectacular Growth In 2011, CHIMP's first year of financial activity, it reported $150,000 in tax-receipted donations. By 2018, that soared to $87 million, as much as The United Way of Greater Toronto.6 In 2019, CHIMP’s tax-receipted donations soared again to $126 million, an increase of $39 million in a single year. By comparison, the United Way of Greater Toronto increased by only $2 million to $89 million. To get an idea of how fast CHIMP has grown, it makes sense to compare CHIMP with Vancouver Foundation, the biggest charitable organization in the city for the past 75 years (Table 17). Vancouver Foundation has clearly stated priorities: homelessness, reconciliation with First Nations, youth engagement,�the opiod crisis, environmental protection, and so on. In contrast, CHIMP does not state any specific areas of focus. Since 2011, CHIMP’s total revenue has soared to a high of $182 million (2018), triple that of Vancouver Foundation. That same year, CHIMP’s total gifts to charities surpassed Vancouver Foundation by a staggering $70 million. The thing about CHIMP’s growth that catches one’s eye is that it spends virtually nothing on fundraising. CHIMP spent $19,222 over the same years that Vancouver Foundation spent $14 million (2011-2018). Questions: o How did CHIMP grow so fast without fundraising? o Is it fair to say that the dollar figures in CHIMP’s tax returns do not provide a true reflection
of its actual spending on charity because CHIMP’s revenue and expenditures have been greatly inflated by gifting and re-gifting with other Bromley Charities?

5. $23 Million Paid to Chimp Technology Inc. Chimp Technology Inc. is a private company run by John Bromley and possibly others. According to its financial statements, Charitable Impact Foundation has paid a total of $23 million to Chimp Technology Inc. for Technology Transaction Services ($14 million) and Human Resources and Business Services ($9 million). That included $12.8 million paid in 2018 alone.7 That’s more than triple the $3.4 million paid the year before (Table 18). CHIMP says in its annual report that the $9 million hike in fees paid in 2018 was because of an increase in services delivered and how the fees are calculated.8 Questions: o Specifically, what services did Chimp Technology Inc. provide in 2018 at a cost of
$12.8 million? o What is the origin of the $23 million that Charitable Impact Foundation has paid to
Chimp Technology Inc.? 7 The $12.8 million paid in 2018 consisted of $7.3 million for Technology Transaction Services and $5.5 million for Human Resources and Business Services. 8 An important point to note is that the $23 million paid to Chimp Technology Inc. was not reported on Line 4860 as professional and consulting fees. Rather, the amounts paid to Chimp Technology Inc. were reported by Charitable Impact Foundation as Licenses, Memberships and Dues (Line 4830) and as Other Expenditures (Line 4920).

6. Gifts to 2,000 Registered Charities For Less Than $19 Each (“Chimping”) Thousands of the gifts from CHIMP are very small. In fact, the total value of 9,000 gifts made by CHIMP is only $1.5 million, an average of $170 per gift.
The term “chimping” is used here to refer to the thousands of very tiny gifts made by CHIMP. The charities that receive these gifts are referred to as having been “chimped.”9
More than two thousand of the gifts made by CHIMP were for $19 or less. Nationwide, more than 2,000 legitimate Canadian charities have been “chimped.” (Appendix IV).
According to CHIMP’s tax returns, the numbers of registered charities that have been sent gifts from CHIMP for $19 or less is as follows, by province:
o Ontario: 624 charities o British Columbia: 550 charities o Quebec: 426 charities o Alberta: 165 charities o Saskatchewan: 65 charities o Manitoba: 48 charities o Nova Scotia, New Brunswick & P.E.I.: 91 charities o Newfoundland: 13 charities o N.W.T., Yukon & Nunavut: 6 charities o Unspecified provinces: 28 charities
For example, The Missing Children’s Society, End Poverty Now, Addictions and Mental Health Ontario and the HIV Network of Edmonton all got funded by CHIMP. However, all of these organizations got gifts for a measly $4 (Appendix V). The Toronto Rape Crisis Centre got $9.
Hundreds of CHIMP’s very small gifts have also been declined. According to CHIMP’s 2014 and 2015 tax returns, more than 200 disbursements were stale-dated and cancelled (Appendix VI). Most of the declined gifts were for $15 each. Questions: o With assets of $200 million and the ability to pay Chimp Technology $23 million, it would
appear that CHIMP has significant resources. Why then does CHIMP make so many thousands of meaninglessly tiny gifts?
o What is the source of funds for the thousands of very tiny gifts made by CHIMP?
o Why were there hundreds of stale-dated disbursements for $15 during 2014 and 2015?

Summary: This table clearly shows that payments to Chimp Technology Inc. were NOT reported on Line 4860 as professional and consulting fees. This table also shows that the amounts paid to Chimp Tech Inc. via Chimp Foundation were reported on Lines 4830 and 4920 of Canadian tax returns. For 2015, the $2,573,169 paid to Chimp Technology Inc. was reported entirely on Line 4830. For 2016, 2017 and 2018, the amount paid to Chimp Technology Inc. was split between Lines 4830 and 4920. Technology Transaction Services were reported on Line 4830. Payment for Human Resources & Business Services accounted for 87 percent of the total that Chimp Foundation reported as “All Other Expenditures” on Line 4920 during 2016, 2017 and 2018.
Conclusion: Questions need to be asked about whether the payment of $23 million to Chimp Technology Inc. via Chimp Foundation constitutes a proper or an improper expenditure, and whether these payments are to some degree an undue benefit provided to a person related to the charity.
