INTRODUCTION

The purpose of this Handbook is to provide guidance and information to assist Tenants (refer to anyone allocated premises in the Hong Kong International Airport under any License, Lease, Franchise, Concession, Consent, Procedure or any other form of Agreement.) and their agents in the fit out of Tenants‟ premises within the Hong Kong International Airport at Chek Lap Kok for the Airport Authority (The Authority).

This Handbook contains:

the roles and responsibilities of the Tenant and the Authority‟s Representative and other contact persons;

procedures that will operate with respect to access, safety, environment and security;

actions in respect of the fit out or reinstatement works before the expiry of the Agreement including hand over of site, design development, submissions, Authority‟s review, programme, and completion;

fit out documents and forms; and

insurance and charges.

The procedures contained in this Handbook apply to all fitout works as covered by the “Works Schedule” attached to the Agreement and to all reinstatement and modification works to existing premises. All other matters relating to the Agreement should be referred directly to the Authority as defined in the Agreement.

This Handbook should be read in conjunction with the following documents: -

THE WORKS SCHEDULE

This is attached to the Agreement. It constitutes the legal basis and authority for carrying out the fitout works and takes priority over this Handbook

TENANT DESIGN GUIDELINES

The guidelines highlight the design features of the Authority properties in order for Tenants and their designers to maintain an awareness of these prime design principles. These guidelines help Tenants to reinforce and reflect these principles into their fitout design, especially with respect to the landlord‟s requirements, physical constraints, operational arrangements and material selection in the design of layout and details of their premises.

A flowchart indicating the arrangement and process of the fitout works is shown below for reference. Tenants are strongly recommended to familiarise themselves with the flowchart to streamline the fitout application procedure.

PART ONE

1.0 APPLICATION AND APPROVAL

1.1 Form A All submissions to the Authority‟s Representative must be made on Form A. Tenants should familiarise themselves with Form A as it is required to be submitted with every submission.

It is the responsibility of the Tenant to ensure that all submissions comply with the terms of the Agreement, this Tenant Fitout Handbook, Tenant Design Guidelines and all relevant statutory requirements.

Form A is appended in Appendix A or on the HKIA Extranet webpage under „Form‟.

1.2 Submission Identification System The Authority‟s Representative will assign the Tenant an identification code, ie.1234/63.XXX. This code should be used in all correspondence and submissions to the Authority.

1.3 Time for Submission All submissions shall be submitted to the Authority‟s Representative no later than six weeks prior to the intended commence date of the fitout work.

For those submissions requiring statutory approvals, the Tenant should allow sufficient time in their programme for obtaining all required approvals and consents from Relevant Authorities prior to carrying out the fitout work.

1.4 Design Submission

It is recommended that the Tenant submits his design proposals for extensive or complicated fitout works in two stages. For works of a minor nature, the Tenant may proceed to Stage II directly. If the Tenant is unclear as to any of the requirements of the Agreement or of this Tenant Fitout Handbook, the Tenant should consult the Authority‟s Representative before commencing design work.

The submission of documentation for approval will be completed into two stage, as follows:

Stage I

Technical Q&A Session organised by the Authority with the Tenant, his appointed architects, designers, consultants and contractors to review the preliminary design proposals with the Authority‟s Representative.

Outline design proposals shall be submitted before commencing detailed design.

The submission should show how the Tenant intends to layout the premises and should illustrate the main functional uses.

The submission shall demonstrate how the Tenant complies with the requirements of the Agreement and statutory requirements in broad terms. It should include a duly completed Form A and the following:

All drawings and sample boards should be no larger than A3 in size unless otherwise agreed with the Authority‟s Representative.

Two (2) sets of hard copy shall be included with each submission to the Authority with a duly completed Form A.

The Tenant should verify all measurements on site if access is available prior to commencement of detailed design work.

1. Basic layout plans (2 sets)

2. Coloured perspectives including the design of the entrance to the premises

(2 sets)

3. Statement of materials to be used (2 sets)

4. Estimated electrical loading calculation report and cooling load demand report

(2 sets)

5. Additional E&M services requirements (2 sets)

Stage II

After the outline design proposal is agreed with the Authority‟s Representative, the Tenant shall submit the following detailed design documents (2 sets) with a duly completed Form A. The Submission Checklist found in Appendix J shall also be included to ensure completeness of the Submission.

1. Project Programme; 2. General layout plans, including room usage, dimensions of interior furniture, storage

racks, means of escape, etc; 3. Sectional and elevation drawings; 4. Structural drawings and calculations (certified by a qualified structural engineer where

the structural work is of an extensive or complicated nature). In case, structural A&A submission to the Building Authority is required the calculations

shall be certified by a Registered Structural Engineer; 5. Reflected ceiling plan including the following services:

­ proposed ceiling plan of the false ceiling; ­ normal and emergency luminaries; ­ fire alarm system including sprinkler heads, detectors and visual fire alarm, etc.; ­ air conditioning system and air diffusers; ­ public address speakers; ­ close circuit television (CCTV); ­ security system including detectors, visual/audio alarm, etc.; ­ ceiling perforation calculation is required for open cabin locations (if applicable)

6. Sample board of materials and colour schemes (no larger than A3 size is required); 7. Details of waterproofing to pantry, kitchen, bar and all wet areas including method

statements and manufacturer‟s catalogues; 8. Isometric/perspective and elevation drawing of proposed entrance door, including name

and display arrangement of any signage and logo; 9. A shutter plan, elevation, sections and details. Shutter perforation calculation is required for open cabin locations (if applicable). 10. Electrical services

­ Electrical loading calculations for all electricity consuming equipment including lighting, air-conditioning, electrical and the like;

­ Electrical schematic diagram and distribution board details (including all cable size);

­ Power layouts complete with appropriate circuit wiring and circuit reference; ­ Lighting layout complete with appropriate circuit wiring, circuit reference and

special lighting control such as timer, local switch and etc.; ­ In screed or underfloor trunking/conduit layout for the cabling containment; ­ Details of the selected material (lamp, lamp control gear, earth fault protection

relay, etc.) including catalogues, brand names, certificates and the like; ­ Completed lighting installation data sheet found in Appendix I; ­ Completed electrical Energization Application Form found in Appendix H;

Fire Services

­ Fire services installation schematic and layout; ­ Fire services control panel details (if any); ­ Fire suppression layout plan (for catering tenants);

Air-conditioning and ventilation

­ Cooling load demand calculation; ­ Air side schematics and layout (with all interface locations) for all ventilation and

air conditioning equipment; ­ Equipment schedule for all ventilation and air-conditioning equipment; such as

fan coil units, flow limiter and etc.; ­ Control wiring diagram; ­ Details of the selected material including catalogues, brand names, certificates

and the like;

Plumbing and drainage (where applicable) ­ Load calculation including daily water consumption in [L/s] and drainage

discharge unit; ­ Plumbing and drainage schematic and layout; ­ Equipment schedule for all equipment used; ­ Details of the selected material (water heaters, grease traps, etc) including

catalogues, brand names, certificates and the like;

Hoarding layout including plans, sections and details with hoarding graphics shown on elevations;

Safety method statements and risk assessment for high risk works;

Method statements (see Chapter 1.6.1 Method Statements for details) including a detailed description of material delivery and construction methods, a fitout programme, method statements for hot work and/or electrical work, and means of construction waste disposal (if applicable).

On the appropriate plans/drawings, the following should be clearly shown: -

The exact locations of partitions, counters, display stands, light fittings, switches and power points. Proposed locations of electrical equipment (including MCB and switchgear), heavy equipment, and telephone points with appropriate descriptions and dimensions shall be included;

Details of the building services interface with the Authority‟s services;

Proposed telecommunication lines and data equipment layout;

Proposed security alarm system (if required);

Appropriate calculations for all building services work; and

Legend and Abbreviations.

1.5 Review and Consents No modifications to any part of the fabric of all the buildings, including the structure and services, shall be carried out without the agreement of the Authority‟s Representative. Any Tenant‟s contractor found carrying out unauthorized modifications may be removed from the premises and the Tenant shall be responsible for all costs of reinstatement.

Tenant shall obtain prior approval for any fitout or alternation works within the Authority property from the following aspects:

Statutory Approvals, Consents and Licenses The Tenant is responsible for obtaining all statutory approvals and consents required for carrying out the fitout works and for obtaining all licenses required for the purpose of conducting business on the premises. The Tenant is responsible for paying all related fees and charges.

Authority’s Reviews and Consents The Authority‟s Representative will review submissions to the extent he considers necessary or appropriate. Tenants should allow sufficient time in their programme for obtaining all required statutory approvals and consents from Relevant Authorities.

The Authority‟s Representative will endeavour to provide a written response within seven (7) working days of the date of receipt of a Tenant‟s submission. In the event that submissions do not comply with the requirements, re-submission is necessary.

Tenants should keep the Authority‟s Representative advised of the progress in relation to statutory approvals, consents and licenses by forwarding copies of all relevant applications and notifications etc to the Authority‟s Representative.

Meetings The Authority‟s Representative may wish to discuss progress with the Tenant if the works are likely to be delayed or may interfere with other activities in the vicinity of the premises. The Tenant shall attend any meetings called by the Authority‟s Representative to discuss programme and progress matters.

1.6 Application for Work Permit A Work Permit co-ordination meeting among the applicant, the Authority‟s Representative and the relevant Authority‟s units shall be held, if necessary, to ensure that the impact of the works on the operation of the Airport can be kept to a minimum.

Representative(s) of the Authority‟s relevant unit(s) will endorse the Work Permit to indicate their acceptance of the work arrangement. If the Work Permit cannot be issued, the Work Permit Office shall issue a written notice to the applicant stating the reasons why the Work Permit application has been rejected.

Before appointing any contractor, the Tenant is required to give details of the proposed contractor on Form A for approval by the Authority‟s Representative. The Tenant will be required to propose an alternative contractor in the event that the contractor identified in Form A is, in the opinion of the Authority‟s Representative, unsuitable for the fitout works.

The Tenant must ensure that a copy of the Work Permit is clearly displayed at the entrance to the premises/hoarding during the whole fitout period.

1.6.1 Safety Method Statements & Risk Assessment Report Safety is a prime concern of the Authority. The Tenant shall have a Safety Plan for their internal use and shall submit to the Authority for review upon request.

The Tenant shall submit the following to the Authority's Representative for his approval:

Safety method statements, see sample in Appendix C;

Risk assessment report; see sample in Appendix L, for “High Risk work involved” as stated in Form A (Part 2).

Method Statements Before commencing fitout works listed below (but not limited to the below works) on the premises, the Tenant must prepare and submit method statements which are acceptable to the Authority‟s Representative.

Temporary set up;

• Decoration work;

• Waterproofing work; etc.

The Tenant shall also submit any other method statements for Authority‟s Representative‟s approval upon request before commencement of works.

Method statements allow the Authority‟s Representative to gain an understanding of the nature of the work to be undertaken, that the work can be completed safely, and to the required specification and on programme.

Method statements normally include: -

1. an outline description of general arrangements such as transportation, delivery and storage of equipment and materials;

2. a detailed description of the method of construction;

3. a fitout programme showing the sequence of work, installation of major components of the fitout works (specific means of access, access requirements, and, where necessary, security arrangements should be included);

4. a dimensioned hoarding plan with sectional details and hoarding graphics;

Applications for Work Permits may submit simultaneously with the fitout submission, however, application must:

include a duly completed Form A ; be submitted at least five (5) working days before the scheduled date of

access and include the following documents for Work Permit application (1.6.1 to 1.6.5)

5. a method statement for hot works (if employed) and/or electrical works (if employed); and

6. a construction waste disposal plan.

1.6.2 Safety Induction Course To enhance the safety awareness of all the employees / contractors working at the Hong Kong International Airport, a “HKIA Contractor Safety (Construction & Maintenance)” video show must be viewed by all the site staff and his contractors. The contractor must submit the record form in Appendix G to the Authority together with the Form A prior to accessing the premise(s) for fitout works. 1.6.3 Overall Programme The Tenant shall submit his overall programme showing all activities necessary to fit out the premises and the intended date to commence business. The programme may be in simple bar-chart form but should be in sufficient detail for the Authority‟s Representative‟s review and monitoring. A more detailed programme showing all procurement and installation activities are required for complex or large scale fitout works.

1.6.4 Payment of Fees Owner Controlled Wrap-up Insurance Programme (OCWIP)

The Authority has arranged insurance to cover contractors all risks and third party liability on behalf of all parties working in the Hong Kong International Airport. A synopsis of the insurance cover is given in Appendix F. The Authority reserves the right to amend the insurance coverage from time to time and will notify the Tenants of the same accordingly.

The Authority‟s provision of the insurance shall be without prejudice to the parties‟ obligations and liabilities under the Agreement. Tenants shall pay to the Authority insurance premium charges calculated on the basis of the value and location of the works. Tenant shall deposit the premium according to the sliding scale of insurance premium charges, based on the Tenant‟s estimated contract sum. The scale is given in Appendix F.

Important Note:

Tenants are required to declare their actual final contract sum if the estimated contract sum is HK$5 million or above and premium payable after completion of the works will be adjusted as necessary.

Tenants are required to declare the revised estimated contract sum if fitout works involve additional works and exceed the original estimated contract sum.

1.6.5 Work Permit Processing Fee (WPPF) All Work Permit applicants, including the Authority tenants and business partners, are required to pay to the Work Permit Processing Fee to the Authority. The fee, based on the Tenant‟s estimated contract sum is shown on the sliding scale of Work Permit Processing Fee in Appendix F.

If the works cannot be completed within the original fitout period, an extension must be applied for. The Tenant must complete Form A (Part 3) and a Work Permit Extension application (with the associated additional Work Permit Processing Fee).

When the premises are handed over to the Tenant, the Tenant shall acknowledge the same by signing on Form A. Signing of this form is a precondition for the handover of the premises.

1.7 Handover of Premises When the premises are handed over to the Tenant, the Tenant shall acknowledge the same by signing on Form A (Part 4). Signing of this form is a precondition for the handover of the premises.

1.8 Completion Upon completion of the fitout works, the Tenant shall invite the Authority‟s Representative to carry out a preliminary joint inspection of the premise. The Tenant shall give at least 3 working days advance notice of the inspection. After the join inspection, the Tenant shall notify the Authority‟s Representative in writing of the completion of the fitout works by submitting the following documents: -

As-built drawings shall include:

Architectural

Layout plan

Ceiling plan

Front elevation and/or elevations facing to public

The Tenant shall make separate deposits into the Authority‟s Hong Kong Bank account (account name “Airport Authority”, account number 004-600-356133-001) for the insurance premium and Work Permit Processing Fee and quote the appropriate remark in the payment instruction,

“OCWIP-[Tenant’s name]”, or “WPPF–[Tenant’s name]”

No Work Permit will be issued until two original pay-in slips have been submitted for the Work Permit application.

1. 1 full set of hard copy drawings and documents; 2. 1 full set of soft copy drawings and documents on a CD, which include:

soft copy of CADD drawing files in Microstation or AutoCAD format;

full set of drawings and documents in PDF format (same as item 1); and

3. 1 set of the original Form A duly signed and chopped (if not previously submitted).

If Tenant fails to complete the reinstatement works upon the completion of the lease agreement, those outstanding items will be marked as defect items in Form A (Part 5) and pending for the Tenant‟s rectification. The Tenant will be liable for any cost incurred due to the defect/ outstanding items before such be rectified.

Tenants shall develop their design bearing in mind that upon completion of the lease agreement, they shall make good to original condition all modifications made to the Landlord‟s services, structure, finishes, walling and components/assemblies forming part of the premises at handover.

2.0 MAJOR SERVICES CONNECTION

Connection of various building services can be provided to most premises, although the exact provision will depend on the intended use. The Tenant must clearly state in his design submissions the permanent services required and provide details of equipment and anticipated loading.

2.1 Electricity 2.1.1 Application for Temporary Power Supply

TERMINAL 1 1) The Tenant‟s nominated registered electrical contractor shall conduct and pass all

electrical testing by him prior to the application.

2) A temporary electricity meter shall be installed by the Tenant. The Authority reserves the right to charge the Tenant for such temporary electricity consumption.

3) The Tenant shall submit the “Electrical Energization Application Form for Tenants” (attached in Appendix H) with the appropriate documentation (WR1/WR1A and etc.) to Authority tenant fit-out team for approval. A least 3 working days advance notice of the application is required.

4) Authority will issue the approved energization form to tenant after satisfy all supporting document submitted by the tenant.

5) On the day of power energization, the tenant‟s registered electrical contractor shall bring along the approved energization form with supporting document to FRTMO.

TERMINAL 2 (SKYPLAZA) and AWTC 1) The Tenant‟s nominated registered electrical contractor shall conduct and pass all

electrical testing by him prior to the application.

2) The Tenant shall apply to CLP Power Hong Kong Ltd for meter installation. Upon successful application, the Tenant should advise us the CLP account number and meter number to the Authority.

3) The Tenant shall submit the “Electrical Energization Application Form for Tenants” (attached in Appendix H) with the appropriate documentation (WR1/WR1A and etc.) to Authority for approval after successful meter application to CLP Power Hong Kong Ltd.. A least 3 working days advance notice of the application is required.

4) Authority will issue the approved energization form to tenant after satisfy all supporting document submitted by the tenant.

5) On the day of power energization, the tenant‟s registered electrical contractor shall bring along the approved energization form with supporting document to FRTMO.

2.1.2 Application for Permanent Power Supply 1) The Tenant‟s nominated registered electrical contractor shall complete the

installation, conduct and pass all electrical testing by him prior to the application.

2) The Tenant shall apply to CLP Power Hong Kong Ltd for meter installation. Upon successful application, the Tenant should advise us the CLP account number and meter number to the Authority.

2.2 Potable Water / Flushing Water General 1) Permanent potable water/flushing water connections are only available to certain

premises.

2) For premises without a permanent water supply, no temporary supply will be allowed. The Tenant shall apply to the Authority for a new permanent provision subject to technical feasibility.

2.2.1 Application for Potable Water/Flushing Water Supply TERMINAL 1 1) The tenant shall submit the detailed drawings, documents and the necessary WSD

forms to the Authority as stated in section 1.4. At the same time, the tenant‟s consultant or licensed plumber shall submit the drawings, documents and all the necessary WWO 46 to WSD for approval.

2) The tenant shall submit the detailed information of the selected water meter, which shall be WSD approved type, to the Authority for approval.

3) Upon approval from the Authority, the tenant may provide and install water meter within the premise.

4) Water meter shall be located in a meter cabinet which is easy accessible by the Authority for checking and reading taking.

TERMINAL 2 (SKYPLAZA) and AWTC 1) The Tenant shall apply to the Water Supplies Department (WSD) directly for a

permanent connection together with the necessary WSD forms.

2) The tenant shall also require to submit detailed drawings and documents to the Authority as stated in section 1.4.

3) The Tenant‟s licensed plumber is responsible for the installation of WSD-approved water meter subject to the satisfactory inspection by WSD.

4) Water meter shall be located in a meter cabinet which is easy accessible by the Authority for checking and reading taking.

2.3 Chilled Water General Temporary connections to the chilled water supply will not be allowed.

2.3.1 Application for Energization of Chilled Water 1) Prior to the energization of chilled water, the Tenant shall submit the “Hydraulic Test

Report” and “Pipe Flushing Report”, both of which should be duly signed by the associated contractor / approved laboratories and endorsed by the tenant.

2) The contractor shall ensure the flow limiter and strainer are properly installed at the chilled water supply/return pipe at tenant‟s side before connecting to the Authority‟s provision.

3) Permanent connections will only be allowed subject to the installations and test report being approved by the Authority‟s Representative.

4) Upon the Authority‟s approval of the reports, the tenant‟s contractor may open the chilled water gate valve in presence of Authority‟s Representative.

2.4 Sprinkler System, Fire Detection System and Fire Alarm 2.4.1 Drawing Submission

1) All fire services design drawings shall be duly endorsed by tenant‟s registered fire consultant / contractor and submitted to Authority.

2) Apart from the tenant‟s own consultant /contractor, the Tenant can engage the authority‟s nominated contractors (Refer to Appendix K) to design the fire services layout (except for CIP lounge, F&B/ catering services) for submission approval. The charges for fire services design shall be borne by the Tenant.

3) If the tenant chooses to hire the Authority‟s nominated Fire Services (FS) contractor to design and endorse the fire services drawings, the Tenant should submit the endorsed FS drawings along with the completed Form A for approval. The Authority will prepare FS works cost estimates or quotations and will normally be returned to the Tenant for acceptance using Form B.

2.4.2 Fire Detection and Alarm System 1) Where a local fire alarm sub-panel is required, its location shall be agreed with the

Authority and the FSD. The Tenant shall provide the Authority with access to the sub-panel at all times.

2) The Tenant must state clearly how many times isolation from the AFA system will be required for the fitout and modification works in the design submission. After obtaining the Work Permit, the Tenant shall plan and coordinate the work schedule, and complete the form for isolation of the system. All cost for isolation of the system will be borne by the tenant.

2.4.3 Sprinkler, Hydrant and Hose Reel System 1) Any addition or modification of the sprinkler, hydrant and hose reel system shall be

designed by the Tenant and installed by the Authority‟s nominated contractor at the Tenant‟s cost.

2) The Tenant is required to state clearly how many times isolation from the sprinkler system, Hydrant and Hose Reel system is required for the fitout and modification works in the design submission. After obtaining the Work Permit, the Tenant shall plan and coordinate the work schedule, and complete the form for isolation from the system. All costs related to isolation from the system will be borne by the tenant.

2.4.4 Application for Modification Work Done by Authority‟s Nominated FS Contractor 1) The Tenant shall fill in the section “APPLICATION FOR WORK BY AUTHORITY‟S

CONTRACTOR” of Form A and enclose the signed design drawings to Authority for quotation.

2) The Authority‟s Representative will obtain cost estimates or quotations for the modification works from the appropriate Authority‟s Nominated FS Contractor. These will normally be returned to the Tenant for acceptance using Form B.

3) The Tenant shall countersign Form B to acknowledge acceptance of the cost estimate/quotation and shall make the down payment or full prepayment. The Authority‟s Contractor will then be instructed to schedule the work to commence on site.

4) It is the tenant‟s responsibility to coordinate with Authority‟s nominated FS work with regards to the work schedule, the sequence of work, etc.

5) The Tenant shall inform the Authority of the date of carrying out the FS work after coordinating with nominated FS contractor.

6) The Tenant should note that any delay in submitting applications or signed drawings may cause delays to the commencement of the works by the Authority‟s Contractor

The tenant shall refer to PART TWO – Sec. 3 for other minor services and facilities information.

2.5 Work by Authority’s Contractors In general, all modification works to the Authority‟s building elements or systems shall be carried out by the Authority‟s Contractors at the Tenant‟s cost as specified in the Tenancy Design Guidelines. In certain cases, and by prior agreement with the Authority‟s Representative, the Tenant may be permitted to carry out minor modification works.

2.5.1 Application Applications for works to be done by the Authority‟s Contractors must be made on Form A accompanied by all relevant drawings and details in a format acceptable to the Authority‟s Contractor. The Authority will issue Form B for the Tenant‟s confirmation, 11.3 Quotations and Cost Estimates refers. In order to save time, the application may be made at the same time as approval for the modification works is being sought.

However, if the Tenant‟s requirements subsequently change, the Tenant may be charged an additional fee to cover abortive costs and may lose priority in having the work done by the Authority‟s Contractor(s).

2.5.2 Quotations or Cost Estimates The Authority‟s Representative will obtain cost estimates or quotations for the modification works from the appropriate Authority‟s Contractor(s) together with a programme. These will normally be returned to the Tenant for acceptance using Form B in Appendix B within eight (8) working days of the date of receipt of a Tenant‟s request.

The Tenant should note that any delay in submitting applications or acknowledging cost estimates or quotations may cause delays to the commencement of the works by the Authority‟s Contractors. Tenants should also take note of the General Conditions of Service for Tenant Requested Works given in Appendix E.

The Tenant shall countersign Form B to acknowledge acceptance of the cost estimate/quotation and shall make the down payment or full prepayment as specified in Form B, following which the Authority‟s Contractor(s) will be instructed to schedule the work to commence on site. In any event, the provisions of Paragraph 4.2 of the Works Schedule shall apply to all fitout works by the Authority‟s Contractor(s) carried out at the Tenant‟s request.

Payment for charges in respect of works by the Authority‟s Contractors shall be made by crossed cheque and made payable to “Airport Authority” within ten (10) calendar days of receipt of the invoice issued by the Authority.

3.2 Appointments 3.2.1 The Authority‟s Representative

The Authority‟s Representative (“AR”) may appoint any person to act on his behalf. The Authority‟s Representative will give notice of such appointments in writing and provide full details of the duties and powers delegated.

3.2.2 The Tenant‟s Representative, Consultants and Contractors, etc. The Tenant is required to appoint a person, who is a direct employee of the Tenant, to act on his behalf who shall be the “Tenant‟s Site Representative” (TSR). The TSR shall be the single contact-point for all correspondence.

The Tenant is required to give full details of the appointment of any designer, consultant, and contractor, etc. appointed to execute or oversee the fitout works on his behalf. Notice of such appointments shall be made on Form A (available separately) giving names and contact details of individuals and companies. A new form should be submitted in the event of any changes to such appointments.

3.2.3 Competence The Tenant should ensure that all persons, architects, designers, consultants and contractors, etc. appointed to act on his behalf are competent, suitably experienced and qualified in their respective fields. The Authority reserves the right to reject any proposed designers, consultants or contractors the Authority‟s Representative considers not suitable to execute the fitout work.

Where it is required to fulfil the statutory requirements of the Building Authority, the Tenant is required to appoint an Authorised Person / Registered Structural Engineer for preparing and making the submissions.

3.3 Minor Services and Facilities 3.3.1 Grease Water

1) For catering areas, tenants are required to provide all local grease interceptors for any drainage from equipment producing greasy waste and any interconnecting pipework within the tenancy area.

2) All greasy waste drainage pipework shall be of the same material as for soil drainage pipework.

3.3.2 Gas 1) Gas supply will only be available to certain premises.

2) The Tenant should directly apply to the Hong Kong and China Gas Co Ltd for the supply to be connected.

3) Detail drawings including schematic and layout plan shall be submitted to Authority for review and record.

3.3.3 Telephone The Tenant should apply direct to the public telephone network providers for telephone services.

3.3.4 Air-Conditioning and Ventilation The Tenant must ensure that any air-conditioning and ventilation systems installed are provided with a filter system to prevent the discharge of dust and fumes into other parts of the building.

For kitchen exhaust systems, the Tenant is required to install air pollution abatement equipment within the tenancy area before connection to the Landlord‟s kitchen exhaust system.

3.3.5 Other Systems Temporary connections to data communication, access control and security, flight information, and fire services systems will not be permitted. Tenants must ensure that these permanent systems are adequately protected during the fitout works.

3.4 Fitout Work Commencement 3.4.1 Hours of Work

Permissible working hours will normally be specified in the Work Permit to limit or ban works involving excessive noise or causing inconvenience or discomfort to the Authority, other tenants, and/or airport users during daytime or peak hours. The Integrated Airport Centre (IAC) and Building Management Office (for Airport World Trade Centre only) have absolute discretion in imposing additional restrictions and in the enforcement of all such restrictions.

Noisy and dusty works are only permitted to be carried out during the followings period:

Terminal 1: 00:00 to 06:00 hours

Terminal 2: 02:00 to 06:00 hours

The Tenant shall ensure that requirements under the Noise Control Ordinance are met and shall stop fitout works if complaints from other tenants are received by the Authority or Airport operation is disturbed outside the aforesaid restricted hours. The Authority has the discretion to stop or suspend the works if such complaints are received.

3.4.2 Hoardings Before commencing works the Tenant shall install hoardings around the perimeter of the premises. The hoarding standard and specification must be acceptable to the Authority‟s Representative and fulfil the following:

Non-combustible materials

Prevent unauthorized access to the premises by installation of a door with a combination lock;

Prevent the fitout works from causing a nuisance to others;

Not cause damage to any part of Authority property, be free standing and independent of any landlord‟s fixtures;

Maintained in a clean and tidy condition.

The Tenants can choose to erect hoardings on their own and submit the following for approval:

a hoarding plan together with the design of the hoarding graphics(if any)

Form A

Alternatively, the Tenants can request the Authority to erect hoardings at their cost. Quotation Form B will be issued within six (6) working days to the Tenant of the request. Where the Tenant does not provide any hoarding graphics, the Authority‟s Representative shall specify the type of hoarding graphics to be used and the Tenant shall provide the same at his own cost.

Tenants may not be able to work 24 hours a day, seven days a week. The Tenant should make due allowance in their programmes and budgets for restrictions in the hours of work that may be imposed from time to time by the Authority.

3.4.3 Protection The Tenant must provide adequate protection to prevent damage to the structure and finishes of the Authority property. This requirement also applies to permanent utilities and services and any works or equipment belonging to the Authority‟s contractors or other tenants. If damage is caused by the Tenant or his contractor to any of the buildings during the course of the fitout works, the Authority is entitled to recourse, as provided for in the Agreement.

3.4.4 Storage The Tenant will not be permitted to store any materials or equipment anywhere in any the building except within their premises. Tenants must ensure that the amount and method of storage of materials minimize the risk of damage from fire, leakage or misuse, in accordance with the relevant government regulations.

3.4.5 Debris and Waste The Tenant must provide proper facilities within his premises for the storage of debris and waste generated from the fitout works. For large scale fitout works, the Tenant shall submit to the Authority‟s Representative a construction waste disposal plan for approval. For details on how waste materials arising from construction activities or other waste generating activities taking place at Hong Kong International Airport are segregated at source, handled and disposed of in a controlled and appropriate manner, the Tenant is advised to refer to the “Guidelines on the Disposal of Construction Waste from Hong Kong International Airport”.

The Tenant may make arrangements directly with the Authority‟s waste handling contractor or janitorial service contractor for fitout waste disposal or may use his own cleaners. Bulky waste must only be removed after normal airport operating hours. In case where fitout waste is not properly disposed of in accordance with the approved construction waste disposal plan or is causing nuisance to others, the Authority may remove the fitout waste using the Authority‟s contractor and recover any cost so incurred from the Tenant.

3.4.6 Air Quality The Tenant must ensure that the fitout works are carried out in such a manner so as to minimize any adverse impact on air quality in the surroundings. Without prejudice to the foregoing, the Tenant shall minimize the generation of dust and emission of volatile chemicals.

3.4.7 Use of Chemicals The Tenant must ensure that any chemical used in the fitout works is transported, stored and handled in accordance with relevant codes of practice and all statutory requirements.

3.4.8 Sanitary Conditions The Tenant must ensure that the premises are kept in a clean and sanitary condition to prevent the breeding of vermin. Cooking and the consumption of food are not permitted in any part of any building except at designated areas.

3.4.9 Fire

3.4.10 Fitting-Out Contractors Non-Compliance Point System Under this system, misconduct, malpractice and unsafe acts by the contractors will result in the award of non-compliance points. Contractors performing poorly may be removed from site immediately and be banned from taking up work in the Hong Kong International Airport for a certain period.

Non-compliance points will be awarded for any violation of safety rules and/or conditions imposed on the Work Permit, if such are identified by:-

Regular site visits by Authority staff;

Ad-hoc inspections performed by Authority staff;

Ad-hoc inspections performed by Labour Department staff.

This measure is designed to promote site safety in the airport and to deter fitting-out contractors with poor performance. Details of the scheme are given in Appendix D.

To minimize the risk of fire and subsequent damage the Tenant must: - Provide and maintain fire extinguishers to the satisfaction of the

Authority‟s Representative and ensure that personnel are familiar with their use;

Not interfere with, or alter, any sprinklers, detectors or other fire services equipment without the consent of the Authority‟s Representative;

Keep the premises in a clean and tidy condition; Limit storage on the premises to essential items; Not use any flammable materials or carry out any “hazardous works” in

contravention of the restrictions stated in the Work Permit; Comply with the instructions of any fire warden or other authorised

personnel. A Fire Watch is required for each fire link isolation period during Fitout

period. A Fire Watch is a person who has been trained to use portable fire extinguishers and must be present on site during the whole fire link isolation period.

3.5 Access 3.5.1 Access to the Premises

The Tenant shall state in Form A his intended access date to commence the fitout works. Access to the premises to carry out fitout works will not be granted until the Tenant has fulfilled the following:-

3.5.2 Personnel Access into the Airport Restricted Areas Where the premises are located inside the Airport Restricted Area (ARA), the Tenant‟s personnel requiring access to the premises shall obtain all security passes according to the requirements stipulated in the Airport Restricted Area Permit System Manual. The Tenant shall allow sufficient time for the application of ARA permits for their contractor‟s workers prior to the commencement of the fitout works.

3.5.3 Goods, Materials and Equipment Access Delivery of goods shall be made along the goods corridors designated by the Authority. In case the premises are not connected to a goods corridor, delivery of goods, materials and equipment can only be made through the public areas during off-peak periods as determined by the Authority.

3.5.4 Goods, Materials and Equipment Access into the Airport Restricted Area Where the premises are located inside the Airport Restricted Area, movement of goods, materials and equipment through the landside and airside boundary is subject to security and customs inspection.

3.5.5 Access to Airport World Trade Centre (AWTC) Tenants are reminded that they are required to have registration before accessing to their premises at Airport World Trade Centre (AWTC). All fitout workers must daily approach the Building Management Control Office of LG/F for registry of Safety Certificates and I/D cards for safety and security purpose. The Building Management Control Office will then issue working cards to respective workers. Such working cards have to be returned to the Control Office by the workers everyday before leaving the building. Damage or loss of working cards may be subject to penalty.

The Tenant must allow reasonable access to other contractors authorised by the Authority‟s Representative to carry out interface works.

All fees, charges and deposit have been paid; Authority‟s Representative‟s acceptance of the design, method statements,

programme, hoarding plan, and fitout waste disposal plan for the work has been obtained;

All necessary statutory approvals and consent obtained; and. All the necessary Work Permits application has been approved.

4. Determine the causes of all accidents or dangerous occurrence and recommend means of preventing recurrence.

5. Supervise the recording and analysis of information on injuries and damage loss. 6. Conduct safety and health training and promotion for all levels of employees to be

aware of injury prevention and damage control. 7. Take part in management and operative discussions on injury, damage and wastage

control, attend safety meetings. 8. Keep up-to-date with recommended codes of practice and new safety literature;

circulate information applicable to each level of employees, and update procedures in safety plan.

1.4 Foreman (F) & Safety Supervisor (SS) Foreman should act the role of safety supervisor unless there is an independent safety supervisor on site: -

2. Incorporate safety instructions in routine orders and see that they are obeyed. 3. Restrain men from unnecessary risks. 4. Assist the safety officer to check, implement and ensure those new employees,

particularly apprentices, learn to take safety precautions. 5. Commend operatives, which, by action or initiative, eliminate hazards. 6. Discourage horseplay and reprimand those who consistently fail to consider their

own well-being and that of others around them. 7. Report defects in plant or equipment observed to the mechanic and/or safety officer. 8. Always set a good personal example. 9. A safety supervisor should strictly follow and comply with the Factories and Industrial

Undertakings (Safety Officers and Safety Supervisors) Regulations Cap 59Z.

1.5 Workers and other Operatives including Subcontractors and Nominated Subcontractors and Others who may be involved in the Contract

All employees are required to comply with the Company Safety Policy, Section 6B of the Factory & Industrial Undertakings Regulations Cap 59A under the Factory & Industrial Undertakings Ordinance Cap 59, and in particular amongst other things to: -

1. Use safety equipment and protective clothing supplied, e.g., safety helmets, respirators, proper ladders, safety harnesses or belts, eye protectors, etc.

2. Use the correct tools and equipment for the job. 3. Keep tools in good condition. 4. Report to the management any defects in plant, tools or any equipment (in particular

to ensure that when working with abrasive wheels such as angle grinders, only the authorised trained person changes or fits the wheel).

5. Develop a personal concern for safety, for them and for others (in particular to take care when working at height so as to avoid the possibility of falling or to cause materials or debris to fall).

6. Avoid any improvisations that entail unnecessary risks. 7. Suggest ways of eliminating hazards and to improve the standard of health, safety

and welfare.

8. Not misuse or interfere with any article, equipment or plant in any way which may affect his own, or any other person‟s health, safety and welfare.

2.0 SITE MANAGEMENT ARRANGEMENT

1. The working team on site including the foreman should take care of the works and exercise due care to protect the public and other properties without any injury or loss.

2. Warning notices and signs under the Construction Sites (Safety) Regulations Cap 59I and the Airport Authority‟s requirement, such as Work Permits and Permits-to-Work, shall be posted prominently on site. The working area must be fenced off during the work.

3. Clear and safe passageways should be maintained at all times. 4. Good site housekeeping should be maintained and no obstruction should be allowed

to affect the public and workers. 5. All waste and rubbish should be removed and cleared regularly. 6. Electrical connection work should be done under the isolation of power. 7. The fire alarm system should not be disturbed at any time and their function should

be maintained in good condition. 3.0 LEGISLATIONS AND REGULATIONS

3.2 Breach Any worker who commits a breach of the safety regulations, safety plan or other disregard of the safety advices from the safety officers shall be liable to summary dismissal and shall not be re-employed.

5.0 SAFETY INSPECTION SCHEDULE

Safety inspection shall be conducted every day by the foreman and/or the safety supervisor. The result of the inspection shall be recorded.

6.0 Safety Rules

All employees should: - 1. Know how to do the job safely before commencing work. 2. Wear appropriate personal protective equipment at all times on work sites. 3. Obey the “No Smoking" rule on site. 4. Not enter a work site under the influence of alcohol or drugs. 5. Ensure that the job site is cleaned up after work is completed. Good housekeeping will

eliminate many unnecessary hazards. 6. Immediately report any dangerous condition that is not under one's control to the

foreman or safety officer. 7. Not obstruct stairways, platforms and walkways. 8. Not use defective tools and must only use a tool for its proper purpose. 9. Not obstruct access to fire fighting equipment or obstruct exit way. 10. Wear goggles or shields when working on abrasive brushes, chipping, etc, or in any

other circumstance where an eye hazard exists. 11. Switch off the engine of any vehicles or stationary equipment when any "on-base" tank is

being filled with fuel. 12. Not remove any guard from equipment while it is in operation. 13. Not tamper with or attempt to repair equipment or instruments which one does not

understand. 14. Wear a safety harness to give protection in performing jobs at elevated locations where

adequate protection against fall is not available. 15. Have knowledge of fire fighting and one must familiarize oneself with the fire

extinguishers and equipment in one's area. If one notices that such equipment is defective or discharged, report the matter as soon as practicable to the foreman or safety officer.

7.0 EMERGENCY PREPAREDNESS

7.1 Emergency Plan for Serious Accidents or Dangerous Occurrences Serious accidents are those where the injured workers require an ambulance to convey them to a hospital or the injured is likely to be detained in hospital for treatment or observation. 1. In the case of a fatal accident or Dangerous Occurrence the foreman or workers shall

immediately notify the Project Manager and safety officer, and the Authorities. 2. The Project Manager or safety officer shall proceed to site and investigate the

accident/occurrence and find out all pertinent facts about the accident/occurrence. 3. Interview all witnesses including the foreman and obtain statements from them. 4. Examine all evidence on the scene and taking photographs as necessary. 5. Generalise and correlate all facts and evidence to assimilate the sequence of the

accident. 6. Get the input from the foreman in case of an accident involving plant. 7. Prepare a detailed report embodying all the above mentioned points. 8. Prepare a separate report containing comments, if any, and recommend safety

precautions to be adopted to prevent recurrence. 9. Be responsible in ensuring the reports outlined above are co-related and forwarded

correctly to the relevant parties. 7.2 Fire Protection All works area shall display the appropriate fire advisory and warning notices in both English and Chinese for: -

Fire Alarm signs Fire Exit and Assembly Points Fire Extinguisher Points No Smoking, No Naked Lights

7.3 Emergency Situation If an emergency situation (bodily injury or fire) has arisen, the foreman or safety officer shall call the Integrated Airport Centre (IAC)) at 21818110, dial 999, inform the Company Representative [ ________________________________________________________________ Fill in name, job title and telephone number here] and provide the following information: - Brief description of the emergency situation. Name, contact telephone number, or other means of contacting the foreman or safety officer. The address/location of the incident/accident.

In a fire situation, all workers must evacuate to the assembly point. The foreman or safety officer will take a roll call to ensure that no workers are missing.

8.0 TRAINING

8.1 Worker Training 1. Workers must have attended mandatory/relevant training and hold a valid Construction

Safety Training Certificate (Green Card). Attach copy/copies. 2. Workers must hold the relevant certificate or qualification as necessary, e.g., Competent

Person Certificate under the Factories and Industrial Undertakings (Confined Spaces) Regulations Cap 59B, Registered Gas Technician, etc. Attach copy/copies.

3. Electricians should hold valid electrical licenses. Attach copy/copies. 4. Workers must have attended the HKIA Contractor Safety (Construction & Maintenance)

Training. Attach copy/copies of attendance record.

8.2 Tool-Box Training The task related tool-box talk, which lasts for approximately 10 to 15 minutes, is designed as a set of basic safety rules to be followed to ensure that workers carry out their tasks as safely as possible. The topics should cover: - General Duties Hand / Power Tools Electricity Personal Protective Equipment Housekeeping Manual Handling Fire Prevention Working at height Working safely on scaffolds or working platform Emergency Response 8.3 Safety Briefing The foreman or safety officer on site shall brief the workers before commencement of work to ensure that the workers understand the potential hazards on site and that the necessary control measures or precautions have been taken.

9 SAFETY EQUIPMENT

9.1 Mechanical Aids The workers shall use trolleys to deliver materials and equipment.

9.2 Personal Protective Equipment (PPE) 1. The provision of PPE as a minimum should be in accordance with the relevant statutory

requirement stipulated in the following legislation but not necessary limited to: -

2. All personnel shall be instructed and trained in the use and maintenance of safety equipment at the time of issue of the same and the need to maintain it properly and hygienically and to immediately report any defect or damage to it.

3. Particular training for the use of specific personal protective equipment shall be provided before issue (e.g., full body harness and breathing apparatus, etc).

9.3 First Aid Facilities 1. The requirement for provision of first aid facilities at work are contained in the

Construction Sites (Safety) Regulations Cap 59I. 2. First aid boxes shall be provided at an easily accessible location on site. 3. The first aid box shall be marked “FIRST AID” in English and 急救箱 in Chinese.

4.4 Appendix D Fitout Contractors Non-Compliance Point System

A non-compliance point system operates to record misconduct, malpractice or an unsafe act of the Tenant‟s fitting-out contractors. Each awarded offence point will last for two years after the expiry of which the offence points will be automatically removed from the record. If the contractor has incurred 16 or more points in respect of offences committed within a period of two years, he would be disqualified by the Work Permit Office from taking up works in the Hong Kong International Airport (or removed from site immediately). Whilst the period of disqualification for the first time will be 6 months, this will increase to 24 months for any subsequent convictions. Non-compliance points are incurred for each separate offence committed irrespective of whether the offences have arisen from the same event. The points are counted independently. The record of the Offence Points awarded to a particular contractor can be obtained from the AA Work Permit Office at G/F, HKIA Tower, 1 Sky Plaza Road, Hong Kong International Airport, Lantau, Hong Kong. 1 GENERAL Unless the context otherwise requires, the following terms shall have the meaning ascribed to them hereunder. “Tenant” has the same meaning as described in the introduction. “Condition of Services” means the terms and conditions set out forth herein relating to the works requested by the Tenant to be procured by the Authority. 2 QUOTATION AND ACCEPTANCE Unless earlier withdrawn by Airport Authority, a quotation given by Airport Authority (the “Quotation”) will be valid for a period of 30 days from the date of the Quotation. No binding contract shall be created by the acceptance on the part of the Tenant of the Quotation made by Airport Authority until notice of the acceptance of the order in writing shall have been given by Airport Authority. Upon notification of the acceptance of the Tenant‟s request for works as set out in the Quotation (the “Work”) in writing by Airport Authority, these Conditions of Service together with the Quotation shall form the contract for the Work between the Tenant and Airport Authority (the “Contract”). 3 SCOPE OF WORK Airport Authority shall procure the execution of the Work by contractors of Airport Authority (the “Contractors”). Airport Authority shall arrange for the performance of the Work by Contractors in the manner specified in the Quotation or, where not specified, in accordance with methods chosen by Airport Authority. 4 AVAILABILITY OF INFORMATION The Tenant shall supply to Airport Authority without charge and within a reasonable time all necessary and relevant data and information concerning the Work in the possession of the Tenant and shall give such assistance as shall reasonably be required by the Contractors in the performance of the Work, including instructions relating to the performance of the Work. 5 CONSIDERATION AND PAYMENT In consideration of Airport Authority‟s arrangement for provision of the Work by the Contractors the Tenant shall pay Airport Authority the amount stated in the Quotation as accepted by the Tenant (the “Contract Price”) in accordance with the payment terms set out in the Quotation. The Tenant shall make payments of the Contract Price to Airport Authority within 30 days of receipt of invoices issued by Airport Authority. If the Tenant shall dispute the amount of any invoice, or any part thereof, it shall advise Airport Authority in writing within the 30-day period referred to above but it shall nevertheless make payment of the full invoiced amount. If the Tenant fails to make payment of any amount in accordance with the above-mentioned terms, Airport Authority may, upon giving the Tenant not less than 7 days‟ written notice, suspend performance of the Work until receipt of the outstanding payment from the Tenant. pay interest to Airport Authority on any outstanding payment at a rate equivalent to 4% above the best lending rate from time to time in force published in Hong Kong by the Hong Kong & Shanghai Banking Corporation calculated from the date when the Payment was originally due until the date when it is actually received by Airport Authority. If any part of the Work resumed after the suspension of the Work referred to above requires any change in the Work which, in the absolute opinion of the Authority, causes an increase in the cost of the Work, the Tenant shall pay Airport Authority further charges as determined by Airport Authority in its absolute discretion. If the outstanding payment is not made within 90 days from the date of commencement of the suspension of the Work referred to above, Airport Authority shall, without prejudice to any other rights and remedies to which Airport Authority may have, be entitled to terminate the Contract forthwith. 6 EXTRA COSTS In the event of the Work being suspended by reason of the Tenant‟s instructions or lack of instructions or being delayed by lack of access to site, the Contract Price shall be increased by the amount of any extra expenses thereby incurred as certified by Airport Authority. 7 RESPONSIBILITY AND INDEMNIFICATION Airport Authority shall require the Contractors to exercise reasonable skill, care and diligence in performing the Work. Airport Authority shall not be liable to the Tenant in contract, tort or otherwise for any loss, damage or inconvenience suffered or incurred by the Tenant or by any other person (including direct, indirect, special or consequential loss or damage and/or loss of profit) by reason or in consequence of the execution of the Work by the Contractors unless there is wilful act, neglect or default on the part of Airport Authority or its employees, and for which the Tenant has presented a written claim before the expiry of 3 months after the completion of the Work but in any event the total amount of such liabilities (regardless of the number of occurrences) shall not exceed the Contract Price. The Tenant shall indemnify and hold Airport Authority harmless for all claims which may be taken or made by the Tenant or any third party arising out of or incidental to the execution or the Work by the Contractors or any loss and expense incurred by Airport Authority by way of its liability to the Contractors for expenditure wholly and necessarily caused by delay and/or disruption to the Work which arises as a result of the breach by the Tenant of its obligations under the Contract provided that the scope of this indemnity shall be reduced proportionately to the extent that the negligence or wilful act or default on the part of Airport Authority or the Contractors their respective employees caused or contributed to such claims. Nothing in the Contract shall restrict or exclude the liability of Airport Authority to anyone for death or personal injury arising from the negligence of Airport Authority. 8 CHANGES TO THE WORK The Tenant shall have the right to request reasonable changes in the scope of the Work before the completion of the same by the Contractors and Airport Authority shall exercise all reasonable efforts to arrange the Contractors to perform such requested changes in a timely manner. In the event that any such change shall, in the absolute opinion of the Authority, cause an increase in the cost of or delay in performing the Work, the Tenant shall, as a condition precedent for the performance of the changes to the Work, pay Airport Authority further charges as determined by Airport Authority in its absolute discretion.

9 COMPLETION OF WORK Upon the receipt of Airport Authority‟s notification that the Work has been completed by the Contractors, the Tenant shall acknowledge acceptance of the Work in writing and submit the same to the Authority forthwith. The Tenant shall be deemed to have accepted the Work if it does not notify Airport Authority of any objection thereto within 14 days of notice from Airport Authority that the Work has been completed. 10 DISPUTE RESOLUTION All disputes or differences relating to or arising out of the Contract between the parties shall be settled or resolved amicably by internal means. If no settlement or resolution can be reached, the dispute or difference shall be referred to Airport Authority‟s Airport Management Director whose decision shall be final and binding on the Tenant and Airport Authority. The above reference of a dispute or difference shall be without prejudice to any other rights and remedies available to either Airport Authority or the Tenant.

11 FORCE MAJEURE If a Force Majeure event occurs during the term of the Contract, the affected party shall be excused from performing its duties under the Contract until it is reasonably able to resume such duties. The affected part shall immediately inform the other party of the occurrence of such event. For the purpose of the Section, a Force Majeure event is an event beyond the reasonable control of the party giving the notice and causing prevention of observance or performance of the obligations and liabilities of the said party which shall include without limitation, earthquake, flood, windstorm and hostile military action. 12 ENTIRE AGREEMENT The Contract constitutes the entire agreement between the parties hereto relating to the subject matter hereof, and supersedes any previous representations, agreements or understandings, whether made orally or in written form of any kind. 13 TERMINATION The Contract shall remain in effect until all the duties and responsibilities of the parties are fully discharged. Airport Authority reserves the right to terminate the Contract by giving not less than one‟s month‟s notice to the Tenant. If Airport Authority fails to remedy a default within a reasonable period of time after written notice from the Tenant so to do, the Tenant may terminate the Contract anytime thereafter by giving not less than one month‟s written notice served on Airport Authority. In the event of such termination, the Tenant shall be entitled to complete the Work by itself or by others and may recover the additional costs resulting therefrom, if any, from Airport Authority but in any event such costs recoverable shall not exceed 10% of the amount of the Contract Price. The expiry or early termination for whatever reason of the Contract shall be without prejudice to any rights and liabilities that may have accrued under the Contract prior to termination and the continued effect of any terms of the Contract which contemplate post-expiry or post-termination operation. 14 APPLICABLE LAW This Contract shall be construed and interpreted in accordance with the law of Hong Kong and the parties submit to the non-exclusive jurisdiction of the Hong Kong Courts.

15 NOTICE Any notice to be served by either party on the other shall be sent to the respective addresses first herein above written or to its last known place of business. Such notices shall be deemed sufficiently served on the day they are delivered by hand or sent by telex or cable or fax or 48 hours after the date of posting by local mail or 5 days after the date of posting by international mail. 16 AMENDMENT Airport Authority reserves the right to vary or amend the Conditions of Service from time to time provided that notice of any changes shall have been given to the Tenant not less than 14 days prior to the date on which the amendments commence to take effect. 17 CONFLICT In the event of any inconsistency or conflict between the Conditions of Service and the Quotation, the latter shall prevail.

4.6 Appendix F Fees and Insurance

1 SYNOPSIS OF INSURANCE The Insured Parties shall be deemed to have satisfied themselves with regard to the extent of the insurance cover provided by Airport Authority identified in this Synopsis and shall arrange at their own cost and expense any additional cover as they consider appropriate, having due regard to relevant industry practice, the risks inherent in the execution of the Works and prudent commercial principles. Sample policy wordings are available for inspection at Airport Authority's office. 1.1 Contractors All Risks Insurance 1. Insured Contracts All contracts for capital works, renovation works, repairs or maintenance works and including service and maintenance contracts awarded or approved by Airport Authority. 2. Insured Parties The insured parties shall include Airport Authority and all his Licensees, Tenants, Franchisees and other parties acting in their own capacity as the Employer, all Contractors and their Sub-contractors of any tier, Consultants and Engineers, and all other interested parties in connection with the undertaking of the Insured Contracts for their respective rights and interests. 3. Scope of Coverage Accidental loss of or damage to the Works and materials, supplies, equipment and accessories which will form part of the Works when completed under Insured Contracts are covered. This Policy does not cover the plant and equipment used by the Contractors or their sub-contractors of any tier, to complete any of the Works if such plant and equipment does not form part of the Works when completed. 4. Sum Insured The Sum Insured shall be the full value of the Insured Contract. (Maximum contract value HK$100M for each and every contract) 5. Major Extensions The major extensions under the insurance policy shall include: (a) Debris removals (limit to 5% of each contract value subject to a minimum of HK$50,000 and

a maximum of HK$2,000,000 each and every claim) (b) Automatic increase in sum insured (limited to 20% of estimated contract value) (c) Extra charges (limited to 20% of any claim amount) (d) Plans coverage (limited to HK$5,000,000 in aggregate) (e) Professional fees (limited to 5% of estimated contract value but subject to a minimum of

HK$50,000 and a maximum of HK$2,000,000) (f) Damage to insured property resulting from defective design, plan, specification materials

and/or workmanship excluding the part of the insured property which is itself defective (DE3) (g) Waiver of subrogation by insurer (h) 30 days cancellation of insurance policy (but will not apply to contracts already declared

before cancellation). 6. Deductibles The applicable deductibles depend on the value of the Insured Contract and are as follows:

(a) HK$32,500 in respect of contract at HK$5,000,000 or below; (b) HK$47,500 in respect of contract between HK$5,000,001 and HK$10,000,000; (c) HK$90,000 in respect of contract between HK$10,000,001 and HK$50 million; (d) HK$130,000 in respect of contract between HK$50,000,001 and HK$100 million; (e) Deductible will vary in respect of contract over HK$100 million. 7. Premium The premium will be calculated at a fixed rate on the Sum Insured, adjustable at the end of the completion of the Insured Contract based on the actual final cost of the Works under the said Contract, see Chapter 13.2 for details. 8. Insurance Policy All the above provisions shall be subject to the wordings of the insurance policy to be issued. 2.1 Third Party Liability Insurance 1. Insured Contracts All contracts for capital works, renovation works, repairs or maintenance works and including service and maintenance contracts awarded or approved by Airport Authority. 2. Insured Parties The insured parties shall include Airport Authority and all his Licensees, Tenants, Franchisees and other parties acting in their own capacity as the Employer, all Contractors and all their Sub-contractors of any tier, and Consultants and Engineers for their site activities only, and all other parties involved in connection with the undertaking of the Insured Contracts for their respective rights and interests including directors and partners and employees and agents of the above. 3. Scope of Coverage The insurance shall cover the Insured Parties' legal liability for damages arising from Bodily Injury or Property Damage caused by an Occurrence arising out of or in connection with any and all Insured Contracts for capital works, renovation works, repair or maintenance works and including service and maintenance contracts awarded by the Insured as the Employer. 4. Sum Insured The Sum Insured under this insurance shall be a Combined Single Limit including Bodily Injury/Personal Injury and Property Damage of HK$150,000,000 any one occurrence except in respect of products liability, Personal Injury, War and allied perils coverage as per AVN52G where the limit will apply in the aggregate for all losses arising during the Insurance Period.

5. Major Extensions The major extensions under the insurance policy shall include: (a) Unintentional Errors and Omissions Clause (b) Two Way Cross Liability Clause

Deductibles The insurance will be subject to property damage deductible of USD 5,000 each and every loss except in respect of damage to aircraft where the deductible shall be USD 25,000 each and every loss. 8. Premium The premium will be calculated at rates (depending on the location of works) on the Sum Insured, adjustable at the end of the completion of the Insured Contract based on the actual final cost of the Works under the said Contract. 9.
