1. LICENSE PERIOD :
The period of license is three years and extendable for two more years based on the
satisfactory performance.
2. The EMD amount shall be paid through DD/Banker’s Cheque drawn in favour of
Dy.Chief Accounts Officer, TSRTC, Rangareddy Region, MGBS, Hyderabad. In the
event of EMD paid is less than what is stipulated in the tender Notification or the EMD is
paid through other means i.e, in a manner other than the stipulated in the tender
notification , it shall be forfeited in favour of Corporation without any notice.
3. The Tender Document Cost/Processing fee is follows and shall be paid through
DD/Banker’s Cheque drawn in favour of Dy.Chief Accounts Officer, TSRTC,
Rangareddy Region, MGBS, Hyderabad.

4. Tender forms shall be down loaded from online through the website
https://tender.telangana.gov.in
5. The tenderer shall authenticate the tender with his digital certificate (key) for submitting
the tender electronically online platform and the bids not authenticated by digital certificate
(key) of the tenderer will not be accepted on the online platform.
6. Tender shall be submit Price Bid online only. The basic price should be excluding GST and
other taxes applicable, if any.

7. Tender forms (i.e, downloaded hard copies, EMD DD and tender processing fee DD) kept
in sealed cover by mentioning as ATB Agent at Kempogowda/Majestic Bus Station written
in capital letters on top of the cover shall be dropped in the Tender Box kept at RM/RR
Office, 2nd
Floor MGBS, Gowliguda, Hyderabad during the office hours from 10.30 to
14.00 hrs on 20.06.2019.
8. The tenderer shall sign on each page of tender form including general terms and conditions,
Annexure-I & Annexure-II.
9. Online tenders will be opened on 20.06.2019 at 15.00 hrs by a committee in the presence of
the tenderers or their authorised representatives.
10. The successful tenderer must deposit six months license fee pertaining to fifth year towards
security deposit and execute agreement before commencement of the business.
11. The successful tenderer (allottee) shall pay the GST as applicable from time to time (at
present the GST is 18%, CGST-9%+SGST-9%) on payment of monthly license fee (quoted
by the licensee) every month.
12. The licensee has to fix the Surveillance Cameras in the stall as specified by the police
department.
13. TSRTC reserves the right to accept or reject the tender of any Bus Station or Bus Stations at
the sole discretion TSRTC without assigning any reasons thereof.

22. Procedure to Offer
Submission
The Bidders shall submit their response through
Bid submission to the tender on e -Procurement
platform at www.tender.telangana.gov.in by
following the procedure given below. The Bidders
would be required to register on the e-
procurement market place
https:// tender. telangana.gov.in and submit their
bids online. Offline bids shall not be entertained by
the Tender Inviting Authority for the tenders
published in eProcurement platform. The Bidders
shall submit their eligibility, qualification details,
Technical bid, Financial bid etc., in the online
standard formats displayed in eProcurement web
site. The Bidders shall upload the scanned copies
of all the relevant certificates, documents etc., in
support of their eligibility criteria/ certificates /
documents in the eProcurement web site. The
Bidders shall sign on the statements, documents,
certificates, uploaded by them, owning
responsibility for their correctness/authenticity.
The Bidders shall attach all the required
documents for the specific tender after uploading
the same during the bid submission as per the
Tender Notice and Bid Document.

2. Digital Certificate Authentication:
The Bidders shall authenticate the bid with their
Digital Certificates for submitting the bid
electronically on eProcurement platform and the
bids not authenticated by digital certificate of the
Bidders will not be accepted on the eProcurement
platform
3. Submission of Hard Copies:
After online submission of bid, the Bidders are
requested to submit the originals of DD towards
EMD and Tender document Process fee to the
Tender Inviting Authority and other uploaded
documents before stipulated time. The Bidders
shall invariably furnish the original DDs to the
Tender Inviting Authority before opening of bids
either personally or through courier or by post and
submission of the same within the stipulated time
shall be the responsibility of Bidders. The
department shall not take any responsibility for
any delay or non-receipt. If any of the documents
furnished by the Bidders are found to be
false/fabricated/bogus, such Bids will be
summarily rejected and the EMD will be forfeited.
The Bidders are requested to get a confirmed
acknowledgement from the Tender Inviting
Authority as a proof of submission of Hardcopies
to avoid any discrepancy. The Bidders have to
attach the required documents as hard copies
after uploading the same as required by Tender
Inviting Authority in the tender conditions.
4. Payment of Transaction Fee:
It is mandatory for all the participant Bidders from
1st January 2006 to electronically pay a Non-
Refundable Transaction fee to M/s. Telangana
Technological Services, the service provider
through "Payment Gateway Service on E-
Procurement platform". The Electronic Payment
Gateway accepts all Master and Visa Credit Cards
issued by any Bank and Direct Debit Facility/Net
Banking of ICICI Bank, HDFC, Axis Bank to
facilitate the transaction. This is in compliance of
G.O. Ms. 13 dated 07.05.2006. A GST of 18% +
Bank Charges on the transaction amount payable
to Telangana Technological Services shall be
applicable.
5. Tender Document:
The Bidders are requested to download the Tender
Document and read all the terms and conditions
mentioned in the Tender Document and seek
clarification, if any, from the Tender Inviting
Authority. Any offline bid submission clause in the
tender document could be ignored. The Bidders
have to keep track of any changes by viewing the
Addenda / Corrigenda issued by the Tender
Inviting Authority from time-to-time, in the e-
Procurement platform. The Department calling for
Tenders shall not be responsible for any claims /
problems arising out of this.
6. Bid Submission Acknowledgement:
The Bidders shall complete all the processes and
steps required for Bid submission. The system will
generate an acknowledgement with a unique bid
submission number after completing all the
prescribed steps and processes by the Bidders.
Users may also note that the bids for which an
acknowledgement is not generated by the
eProcurement system are treated as invalid or not
saved in the system. Such invalid bids are not
made available to the Tender Inviting Authority for
processing the bids. The Government of TS and
M/s TSTS are not responsible for incomplete bid
submission by users.

TSRTC at the above bus station.

required to make themselves fully conversant with the eligibility,
terms and conditions, so that no ambiguity arises at a later date in

5. All the Tenderer who have downloaded the Tender Document are
requested to monitor the TSRTC website i.e.,
www.tsrtc.telangana.gov.in and e-procurement website i.e.,
https://tender.telangana.gov.in. for all updates such as
addendums/dedundums/corrigendum of tender schedules. No claims
or compensation will be entertained because the Tenderer having
not read/noticed the updates, etc.
6. Tenderer is required to read carefully the contents of this

10. In the event of date, specified for the receipt and
opening of the tender being declared as holiday for TSRTC
office, the due date for submission of tenders and
opening of tenders will be on the following working day. 11. TSRTC reserves the right to accept any tender or reject
/cancel any tender or all the tenders received in
response to this tender notification at any stage without
assigning any reason whatsoever. 12. TSRTC reserves the right to cancel or postpone the
date of tender without assigning any reasons. In case of
postponement, the revised date will be notified.

TERMS AND CONDITIONS OF THE TENDER
General
1. Tenderer is required to read carefully the contents of this document and is expected to examine all instructions, forms, terms and conditions in
the tender documents. Failure to furnish all the information required as per the tender document or submission of a tender not substantially
responsive to the tender documents in every respect will be at the Tenderer’s risk and may result in rejection of the tender.
2. The Tender must be submitted in the prescribed Tender Form (online) along with requisite EMD and Tender document process fee.
3. The Tender once submitted shall not be permitted to be withdrawn. The Corporation shall not be responsible for the delay in finalizing the tenders for
administrative reasons or for the reasons beyond its control viz., Court directive etc.
4. Any person/Agency/Organization, who/which was a licensee to the Corporation in the past and was terminated due to default in payment
or for any other reason and any existing licensee who defaulted in payment of license fee equivalent to 6 months and above in the present license on the date of submission of this tender, is disqualified
from participating in this Tender.
Earnest Money Deposit
5. The Earnest Money Deposit for an amount of Rs 1,00,000/- (Rupees one lakh
only) by way of Demand Draft drawn on any nationalized bank payable at Hyderabad in favour of DY.CAO/RR, TSRTC, as a part of this tender. EMD in
any other form other than specified will not be accepted.
6. The tenderer shall also submit DD for an amount of Rs.1180/- (Rupees one
thousand one hundred and eighty only) including GST towards Tender document Process fee.
7. The EMD will not carry any interest. The EMD of the unsuccessful tenderers
will be refunded only after finalization of Tenders. The Corporation shall not be responsible for any delay in refund of EMD due to any reason in finalizing
Tenders i.e., Administrative reasons / Court directive etc. The EMD of the successful tenderer will be adjusted towards security deposit payable to the Corporation.
8. The EMD of the tenderer will be forfeited under the following circumstances.
(a) When the EMD is not paid or less paid than what is stipulated in the tender.
(b) When the EMD is paid through other means i.e., in a manner other than what is stipulated in the Tender Notification.
(c) When Tender form with pre-conditions or additional conditions is submitted.
(d) When the tender is submitted in an unconcerned tender form. (e) When the tender is submitted for the business other than that notified in
the tender Notification.

(f) When the tender form is submitted by a minor. However, in case the tender is submitted on behalf of a minor, necessary proof of guardianship
shall be submitted, failing which tender will be rejected. (g) When the Tender form is submitted by the person as stated vide clause 4
above. (h) When the tender form is rejected as per the clause 12. (i) When the successful tenderer fails to pay the Security deposit within 30
days from the date of issue of letter of allotment of the contract. (j) When the successful tenderer backs out from taking up of the contract
within the stipulated period, for whatsoever reason. (k) When the successful tenderer fails to enter into an agreement with the
Corporation within 30 days from the date of issue of allotment letter for the
contract. (l) Non enclosure of requisite documents.
Submission of Tender
9. Before submission of the tender, tenderers are required to make themselves fully conversant with the terms and conditions, so that no
ambiguity arises at a later date in this respect.
10. If the tenderer finds discrepancies in tender document and its conditions or if he/she is in doubt as to their meaning, he/she should at once
intimate and obtain clarification prior to submission of the tender.
11. If the tender is submitted on behalf of a firm, name of the person
representing the firm along with designation shall be mentioned in the tender form below the firm’s name. Also proof of authorization shall be
enclosed.
12. The tender form shall be filled in all respects and shall be signed by the
Tenderer. The Tenderers should ensure that their offer is submitted online on the due date and time.
Incomplete tenders or tenders not fulfilling any of the conditions
specified above are liable to be rejected without assigning any reason.
13. Documents required for qualification:
a. A Demand Draft for Rs. 1180/-( Rupees One thousand one hundred
and eighty only) including GST towards tender document process fee.
b. A Demand Draft for Rs.1,00,000/-(Rupees one lakh only) towards EMD
c. Application form duly filled and signed as indicated at Annexure - I. d. All the papers of tender document with terms and conditions duly
signed by the Tenderer on each page as a token of acceptance of all the terms and conditions.
e. Self Attested copies of Tenderer’s partnership deed/ proprietorship
deed /Registration Documents, as applicable. f. Photo Id in case bidder is an individual
g. Self Attested copy of PAN/TAN card, GST registration of the Tenderer. h. Power of Attorney/Authority Letter to sign the Tender Document as
applicable. i. Any other document required as per the tender conditions

14. The tender must be unconditional. Conditional offers will be summarily
rejected. The tender shall be quoted by the Tenderer entirely in Indian Rupees.
15. Criteria for selection: The tenderer shall quote the monthly
license fee offered per month for KBS/Majestic(Bangaluru) Bus Station put together to operate TSRTC OPRS Counter. The
prospective tenderer shall offer licence fee payable to TSRTC per month towards allotment of ATB Agency, which shall be
exclusive of taxes(net amount payable to TSRTC). The existing commission rates i.e., 5% for Non-AC and 7% for AC services
will be made applicable to the ATB Agent, on TSRTC ticket bookings. The amount offered shall be the net amount payable to
the Corporation.
The amount should be mentioned in figures as well as words. In case of difference in the amount recorded in figures
and words, the amount recorded in words will be taken into consideration.
The tender will be awarded to the highest bidder (H1 bidder),
after negotiations and recommendations made by Tender Committee constituted for this purpose.
If the license fee quoted is same by more than one
tenderer, then the tender will be finalized on lottery basis.
Note : Even though the tenderers meet the requirements, they are
subject to be disqualified at any stage if they have made misleading or false representations in the forms, statements and attachments
submitted in proof of the requirements / qualification.
16. Amendment of E-tender Document: At any time prior to the Proposal Due Date, Corporation may, for any reason, whether at its own initiative
or in response to clarifications requested by a Bidder, modify the e-tender Document. Any modification thus issued will be informed to all
the prospective bidders by notifying on the website of the Corporation as well as e-tender website. Such modification shall be binding upon all
bidders participating in e-tender process.
17. License Period: The period of licence is for a period of three years and extendable for two more years based on the satisfactory performance.
18. Enhancement in License Fee: The licence fee shall be the same for
the first two years and shall be enhanced by 5%, 10% & 15% in 3rd, 4th& 5th year of licence over the licence fee payable in 2nd, 3rd & 4th
year of licence respectively.

TENDERER'S RESPONSIBILITY:
19. The following due diligence/deliberation is the sole responsibility of the Tenderer:
i. On Site Inspection: The Tenderer may carry out field visit to assess
the place offered in the Bus station on license at any time at his own cost.
ii. The Tenderer is expected to examine carefully the contents of all the documents provided. Failure to comply with the requirements of E-
Tender Document will be at the Tenderer’s own risk. iii. It would be deemed that prior to the submission of Tender, the
Tenderer has: a. Made a complete and careful examination of requirements, and
other information set forth in this E-Tender Document
b. Made a complete and careful examination of the various aspects of the agreement of this e-Tender Document.
iv. Corporation shall not be liable for any mistake or error or neglect by
the Tenderer in respect of the above.
Opening and Evaluation of Tenders: 20. The Tenders will be evaluated online at the Corporate Office at 03.00 P.M., on
20.06.2019 for technical evaluation and price bids will be evaluated online at
03.00 pm on 20.06.2019.
21. In the event of the date specified for evaluation of tender being declared as a
holiday for TSRTC’s office, the due date for submission of hard copies and evaluation of tenders will be the following working day.

22. The Tender Evaluation Committee constituted by the Corporation shall
evaluate the tenders. The decision of the Tender Evaluation Committee in the evaluation of the Tenders shall be final. No correspondence will be
entertained outside the process of negotiation / discussion with the
Committee. 23. The committee have the authority to review and take decision for
finalisation of the license allotment, in case of previous default history in such business by the participating bidder.
24. Any approach from the tenderer’s representative or his Contractor, trying to influence the decision on the tender, officially or otherwise,
shall render the tender liable to be summarily rejected. The tender committee has been empowered to take the final decision regarding the
tender.
25. Amendment of Tender Document: At any time prior to the deadline for submission of proposals,
Corporation may for any reason, whether at its own initiative or in response to a clarification requested by a prospective Tenderer
modify the Tender Document by issuing an addendum.

Any Addendum issued by the Corporation will reflect in the
www.tender.telangana.gov.in / www.tsrtc.telangana.gov.in To provide reasonable time to the prospective Tenderers to take an addendum into
account while preparing their proposals, the deadline for submission of proposals may be extended, at the discretion of the tendering authority,
if required.
26. Allotment of contract As per the recommendations of the Committee, the contract will be
allotted to the successful tenderer. The successful tenderer shall enter
into an agreement with the Corporation within 30 days from the date of
issue of letter of allotment of the contract. The stamp duty to register the
agreement is to be borne by the Tenderer only. Contract period starts
from the 31st day of issue of allotment letter and the Tenderer shall
start the OPRS counter from the date of commencement of contract
period.
27. Termination of tender process The Corporation may terminate the tender process at any time and
without assigning any reason. Corporation makes no commitments, express or implied, that this process will result in a business transaction
with anyone.
UNDERTAKING: I/we have gone through the e-tender Documents and accepted all the terms and condition of the e-tender and bound by the
conditions given in the document as well as scope of work. That we agree that any e-tender may be rejected if the competent
authority feels that the response to e-tender is not qualified enough for
the selected bidder to execute the project.

AGREEMENT TERMS AND CONDITIONS
1) The Agency will be allotted to carry out the activities under TSRTC
OPRS at Platform No.15 in Terminal-1, KEMPEGOWDA BUS
STATION/MAJESTIC (BANGALURU) Bus Station viz., issuing of
tickets, cancellation of tickets including concessional tickets for
customers (PHC Card, Journalist pass, Retired employee ID cards
etc.) for customers, refunds against cancellation, postponement,
preponement of journey dates, generation of auxiliary way bills,
attending of enquiries, etc., at the commission rates applicable
for TSRTC OPRS ATB Agents.
a) The licensee has to operate/ maintain the ATB counter round the
clock at KBS/Majestic (Bangaluru) duly providing required manpower
in 3 shifts.
2) The Agent has to function on regular top up of money (prepaid)
basis. The tenderer has to maintain minimum cash balance of
Rs.50,000/-.
a) The licensee shall maintain minimum topup balance of Rs.50,000/- all time in the login account (i.e, Rs.50,000/- should be appeared in
window scroll early morning every day). Less than above amount will treated as breach of agreement and repetition of such instances will
lead to termination of contract. 3) Commission payable at present is @ 5% commission over basic ticket amount to Non AC services
@ 7% commission over basic ticket amount to AC Services
Note: Commission rates can be revised at any time as per the instructions of Corporation from time to time.
4) The Agent is not allowed to carry out any other business at the
reservation counter except booking of tickets for TSRTC services as
mentioned under clause 1) above.
5) The Agent shall start the sale of tickets from the date of commencement of contract period otherwise the allotment gets
cancelled and the Security deposit will be forfeited by the Corporation.
6) The ATB Agent has to allow cancellation of the tickets issued at any
of the Bus Station Counter/ ATB Counter and the refund shall be arranged. The intended passenger has to produce 4 Digit Unique
Code which was communicated to the passenger mobile in SMS fired at the time of ticket booking and is compulsory for cancellation of
tickets.
7) The ATB Agent will get proportionate commission on cancelled
tickets, basing on the percentage of ticket amount retained by the Corporation.
8) No Commission will be paid on preponement or postponement
tickets.
9) The daily sale of ticket target will be fixed during the contract period, year wise. The Agent has to endeavour to achieve the set target.
10) The Agent shall provide the following equipment at the counter at
their own cost.
a) Personal computer
b) Internet connection (Fixed/Mobile)
c) Inkjet Printer/Laser Printer/Dot matrix Printer
d) UPS
e) Required man power
f) Required Stationery& all related consumables
g) One computer terminal on normal days, in peak days, Sundays and festival days extra terminals should be arranged as per
requirement.
LICENSE FEE:
11) The amount quoted in the tenders/agreed to be paid to the
corporation is considered as the license fee amount per month for
the space provided for carrying out TSRTC OPRS activity at
KBS/Majestic (Bangaluru) Bus station put together for the first two
years. Monthly license fee for third year will be enhanced by 5% over
second year. Similarly, monthly licence fee for fourth year will be
enhanced by 10% over third year and for 5th year it will be
enhanced by 15% over the 4th year.
12) The license fee per month for the space provided for carrying out
OPRS activity at KBS/Majestic (Bangaluru) Bus station put together
is exclusive of electricity bill and the same shall be paid in advance
on or before 10th day of current month.
13) The Agent shall pay the license fee to the Corporation, without
any deductions. In other words, the amount agreed to be
paid to the Corporation towards the contract shall be paid in toto.
14) The Agent is liable to pay the penalty for each day of delay @ 36% per annum in case of belated payment of monthly license fee,
electricity charges on the amount payable, in addition to payment of license fee.
15) The Agent shall pay applicable GST at the rate as fixed by the Govt. from time to time on the license fee payable to the Corporation, apart
from payment of license fee as agreed to be paid to the Corporation.
Any delay in payment of GST will lead to interest and penalty as
applicable.
Security Deposit:
16) An amount which is equivalent to six months license fee pertaining
to fifth year shall be paid towards security deposit. The security
deposit shall not carry any interest. The security deposit shall remain
with the Corporation till the agreement period is over. 17) The Corporation shall not be held responsible for any loss or damage
or theft of equipment, accessories etc., installed in the bus
station/shelter by the Agent.
18) The Agent shall be permitted to utilize only the space available at
the existing counter for display of boards. The Agent shall not exhibit
or permit any advertisement of any company/products/service except
displaying the Board of TSRTC Ticket Booking Counter. 19) The SCRM(RR)/ATM/TSRTC/Bangaluru/any other officer authorised by
Corporation is authorized to collect license fee, electricity charges
etc., and for imposing penalties (on behalf of the corporation) on
the Agent for breach of Terms and conditions of the agreement. 20) The Digital Electrical Sub-meter and other required equipment shall
be procured by the Agent at his/her own cost. The licensee shall bear
the expenses of electrical wiring from the power point to the working
place. If the meter is not working, the licensee has to get it repaired
immediately at his/her own cost.
a) The licensee has to pay electricity charges as levied by KSRTC to the
counter room. 21) The Agent shall collect the fares and reservation tariff as prescribed
by TSRTC from time to time. a) The Licensee shall not collect extra charge from passengers over
requisite ticket fare which will attract serious action as per the terms and conditions of the agreement, which lead to termination of
contract.
22) All the existing rules with regard to issuing advance/current
reservation tickets/pre-ponement and post–ponement of journey/
cancellation and refund of fare/return journey tickets etc., are to
be followed scrupulously by the Agent. The tickets sold by its
representatives/employees are subject to the rules in force in
TSRTC. The modifications/additions/deletions of any such rule will be
communicated to the Agent/posted on the TSRTC website and the
same are to be followed from time to time.
23) The Agent shall maintain requisite registers and forms as prescribed
by the Corporation from time to time. a) The Licensee has to provide passenger information relating to TSRTC
services in the counter and over phone available in the counter.
b) Licensee has to provide swiping machine/Paytm facility to enable the
passengers to purchase tickets.
24) Any fraudulent practices like collection of excess fare, black
marketing of tickets, creation of artificial demand, misuse/abuse of
software, ticket fraud, etc., either directly by the Agent or by his/her representative/employee shall be treated as offense and attract the
following penal provision:
i. To impose penalty of Rs.1000-00 for first time.
ii. To impose penalty of Rs.2000-00 for second time.
iii. To terminate the Agency for the third time.
Minimum period of business:
25) The Agent shall carry out the business of TSRTC OPRS activities
viz., issuing of tickets, cancellation of tickets, refunds,
postponement & preponement of journey dates, generation of
way bills, attending of enquiries, etc., for a minimum period
of one year, before seeking termination of contract.
If the Agent intends to vacate the premises for whatsoever reasons
before completion of minimum period of ONE YEAR, the Agent has to
pay the balance amount of licence fee which falls short of the amount
equivalent to the stipulated minimum period of 1 Year.
If the Agent clears the balance contract amount for the left over
minimum stipulated period of one year, the security deposit will be
refunded. In case the Agent fails to pay the amount which falls short
of the amount payable for one year, corporation has the right to
adjust the security deposit towards the dues payable by the Agent and
to refund the balance deposit, if any. In the event of any further short
fall even after adjustment of security deposit, the Agent shall make
good the short fall within the prescribed time indicated by the
licensor.
26) After completing a minimum period of (one year) the Agent can
withdraw from the contract by giving three months notice. In such
circumstances the Security Deposit which may remain to the
credit of the Agent will be refunded after all the dues to the
Corporation have been settled out of the Security Deposit of the
Agent. In case of seeking termination, agent shall continue
reservation till alternative arrangements are made, as advised by the
Corporation.
27) The Agent shall keep the counter opened for 24/7 (24 hours x 7
days of week) and the Tenderer shall not keep the counter closed
even for one day without prior permission. The Agent can keep the
counter closed only after obtaining prior permission in writing from
the ATM/TSRTC/Bangalore or SCRM/Rangareddy. If the counter is
found closed without prior permission from the concerned officials of
TSRTC, the contract is liable for imposition of penalty besides
termination of the contract.
28) The Agent has to promote the sale of tickets on his/her own and
also act as Marketing and Advertising agent for TSRTC for which
the cost shall be borne by the Agent alone in connection with
the promotional measures for enhancing and optimizing the sale of
tickets for TSRTC buses.
29)The publicity matter prepared by the Agent shall be approved in
writing by the Regional Manager, RR Region, TSRTC before releasing
the advertisement th2rough any means by the Agent.
30) The Agent shall arrange for refund of the ticket fare amount in
case of cancellation of service duly informing the
ATM/TSRTC/Bangaluru or SCRM/RR, even if the passenger purchases
the ticket at other counter.
31) The Agent shall keep the counter premises in neat and tidy manner.
In the counter premises, he/she should not keep unnecessary items
except exhibiting the marketing banners, seating lay out etc.,
32) The Agent shall indemnify the Corporation for any financial
implications which may fall up due to any act of the Agent. All such
financial impositions made on the Corporation shall be paid out of the
security deposit paid by the Agent. Such payments will be adjusted in
the License fee paid by the Agent and treated as short fall at license
fee. The Corporation shall not be liable for any loss incurred by
the Agent, its customers, financial institutions, personnel
engaged by the Agent or any other person connected with the
business of the Agent. 33) The Corporation shall not correspond with the representatives
engaged by Agent and for all purposes (for sale and remittance
etc.,) only the Agent is responsible and accountable.
34) The Agent shall furnish information that may be required by the
Corporation from time to time connected with sale of bus tickets etc.
35) The Agent shall comply with the rules and procedure in obtaining
approval in the local/within the territorial limits, in which the
business is being carried out and it shall pay all the taxes imposed or
other penalties payable to the local authorities for the purpose of
carrying on the business of advance booking tickets including
Indian Telegraphic Act or any other law in force from time to time.
In case the Agent fails to pay such taxes, fees or other sum
payable to such local authorities from time to time and if amount
is payable by the Agent, the Corporation will have the right to
pay the such taxes, fees, imposed or other sums out of the Security
Deposit of the Agent. The Agent shall reimburse the amounts paid
within 15 days of such payment.
36) The Agent shall not engage minors/child labour for carrying out the
business. The Agent must comply with all labour laws and must
indemnify the Corporation from the penalties or liability arising out
of the Agent’s non compliance.
37) The Corporation is not liable for payment of any compensation in
case of death or injury, simple or grievous caused to any person
engaged by the Agent while on duty.
38) Agent shall not use the computer equipment for other purpose
except for issuing tickets and other allied functions prescribed by the
Corporation.
39) The Agent shall not mishandle the computer software by loading
other information etc., other than software provided by Corporation.
40) The Agent or his/her employee shall behave in a courteous
manner with passengers to keep up the image of the organization.
Any complaint against Agent or his/her employee over their
discourteous behaviour will be treated as an offence and appropriate
penalty will be imposed by ATM/TSRTC/Bangaluru or SCRM/RR.
41) The workers employed by the Agent shall not have any right
or claim whatsoever for employment in TSRTC at a future date.
42) Agent shall not cause delay either directly or indirectly in operation of
bus and delays reported will be treated as offence and penalty will
be imposed by the Corporation.
43) In the event of death of Agent, the TSRTC OPRS counter agreement
shall come to an end. However, the Corporation may permit the
Legal heir of the Agent to run the counter on the same terms and
conditions for the remaining period of license on execution of fresh
agreement by such legal heir.
44) If the Agent’s computer system or online system fails, the Agent
shall get it rectified and Online system of tickets issues shall be
restored within 24 hours, otherwise the Agent will be terminated
without any notice and the Corporation will make alternate
arrangements for issuing tickets from the particular point.
45) The Agent shall maintain the Computer hardware & internet
connection in working condition every day and shall send all the
outputs daily/monthly periodicals as per schedule to the Officers/In
charges concerned without fail.
46) The Agent shall maintain “suggestions & complaints” book at the
counter which shall be made available to the public on demand,
immediately to make any suggestions or complaints by the
public. It is the responsibility of the Agent to bring it to the notice of
the Corporation. The said book shall be produced to the inspecting
officials during the inspection of the point. Failure to follow this will
lead to levy of penalty and/or termination of agreement and/or
forfeiture of the Security Deposit at the discretion of the corporation.
47)The Agent shall be supplied with a manual of procedure to be
followed, rules and regulations in vogue with regard to
reservation, cancellation, preponement, postponement, return
journey ticket etc., for scrupulous adopting, failing which the Agent
attracts imposition of penalty including termination of Tender for
violating the guidelines under implementation.
48) The Agent is liable for payment for the damage caused to the Bus
station, in the course of installation of computer system or in the
course of removing t he equipment/computer machinery fixtures
etc., The Agent shall have to repair the damage or remit the cost
of repairs assessed by the Corporation failing which the cost of
repairs will be recovered from the Security Deposit.
49) The Agent shall issue Auxiliary way bills/Reservation charts for all
TSRTC services touching the Bus station.
a) The Licensee shall issue waybills and reservation charts 0.30
minutes before to all services touching KBS/Majestic (Bangaluru) to
the crew. In exigencies, the licensee shall issue Waybills in advance
to schedule and un-schedule services as per demand with
permission from ATM/TSRTC/Bangaluru.
50) TDS as per the provision of IT act would be deducted from the
commission payable. Further, the Agent has to comply with the
rules/guidelines to be imposed by Govt. bodies with regard to
GST, VAT etc., and Corporation is not responsible for the said items.
51) The Authorities of TSRTC are empowered to exercise surprise
checks at any time on the Counter/Point.
52) During the agreement period, the Corporation is at
liberty to add/ alter/modify/delete any the condition (s) of the
agreement in the interest of the public.
53) Termination Of Contract
a.The Corporation shall have the right to terminate the Agency and to forfeit the security deposit towards due amounts payable to the
Corporation on the following grounds:
i. If the Agent defaults in payment of licence fee for three
months consecutively or three times in a calendar year.
ii. If the Agent performs any unauthorized business.
iii. If the Agent is found doing or resorting to any unethical
activities or indulging in illegal activities.
iv. If the Agent commits any breach of terms and conditions of
the contract.
b. In case the Agency is terminated, Corporation shall have the right
to adjust the Security deposit amount towards all the dues payable
to the Corporation including incidental financial losses that might
arise on account of such premature termination and also to forfeit
the balance of deposit amount.
54) The Agency can be terminated by giving three months advance
notice on either side. In such circumstances, the deposits which may
remain to the credit of the Agent will be refunded after all the dues
payable to the Corporation have been settled out of the deposits
made by the Agent (security deposit etc.). Corporation shall not be
liable to pay any damages that the Agent may suffer on account of
such termination.
However, the Agent is permitted to exercise this option only
on completion of minimum stipulated period of one year.
Corporation reserves the right to terminate the contact any time
during the contract period, by giving 3 months advance notice to
the Agent.
55) Conclusion of Agreement Period
a. On the expiry of the period of the license or on revocation of the license
under the terms and conditions thereof the Agent shall remove all their
belongings and handover the vacant possession of the premises, intact
to the Corporation
b. In the event of the Agent failing to deliver vacant possession to the
Corporation, the Corporation shall have right to take possession of the
premises by putting its own lock and key to the said premises.
c. The Corporation after taking possession of the premises as provided in
clause may permit the Agent to remove his/her articles after paying the
arrears of licence fee, water and electricity charges, if any within one
week from the date of taking possession of the said premises.
56) The Managing Director of the Corporation reserves the right to modify any condition/conditions of the agreement, and add any other
condition/conditions during the contract period. The Agency has to abide by the conditions modified/incorporated and has to enter into a
fresh agreement with the Corporation at his/her/its cost.
57) In case of any dispute or differences arising on the terms and
conditions of the tender or contract as the case may be, the decision of the Managing Director of the Corporation, shall be final and binding
on both the parties.
If any dispute arises between the Agent and the Telangana State Road Transport Corporation, the Courts at Hyderabad and Secunderabad
shall have jurisdiction.
