For avoidance of doubt, it is clarified that the conceptual architectural drawings are indicative in nature and shared only for the reference to understand and retain the concept. As stated in the RFP document, each Bidder should, conduct its own investigations and analysis and should check the accuracy, adequacy, correctness, reliability and completeness of the assumptions, area statements project configuration, and information contained in the RFP document and obtain independent advice from appropriate sources, before submitting the proposal. 2. iv) For IT/ITES (7,00,050 sq. ft.) 3. General Kindly provide the details of parking in theproposed design. Whether MLCP has beenconsidered for parking in the present design orbasement parking to satisfy the requirement.

As clarified under Point 1 above, architectural drawings & design prepared byTSIIC through ARCOP is conceptual in nature and prepared for only 6.5 acresland.MLCP is proposed in the project by adding additional 3.5 acres land to offeradditional built potential as well as facilitate speedy construction. Car parkingshall be provided as per the prevalent development control regulationsmentioned in GO 168 of the Government of Telangana, for commercial / officespace for IT and ITES activities. As mentioned in Clause 4.3 of the Volume 2 ofthe RFP document (Draft Joint Development Agreement), the selected bidderis expected to prepare the Project Designs as per the brief and conceptprovided by the TSIIC in the RFP document.

4. Section 3.4(Page 18) ofVolume 3 of theRFP Document

Details and specifications of unit cost per squarefeet for project cost estimate, refer Table No. 3.4(Project Cost) estimation for our understanding.Refer Page No. 18 of Volume 3.

Project Cost estimate as provided in Section 3.4 (Page 18) of Volume 3 of theRFP document is based on Concept Plan and is indicative cost estimate basedon discussion with market players.As clarified under Point 2 above, technical specifications of the warm shell ofthe building, which includes IT/ITES space is detailed under Section 3.3 of theVolume 3 of the RFP document (Project Information Memorandum) to be readwith changes and/or modifications as provided in the responses to Pre-BidQueries. Technical specifications for AVGC Shared Infrastructure is given inExhibit A.

TSIIC will facilitate maximum permissible height from the Airport Authority ofIndia. Application for the same shall be made by the Selected Bidder once theProject Designs are finalized and approved by the TSIIC. For the purposes ofconceptual drawings and design, height of 113 m. is considered. Some of thebuildings in the close proximity have received permissions up to maximumheight of 701.00 m AMSLl.

6. Clause 4 of theVolume 2 of theRFP document(Draft JointDevelopmentAgreement)

What is the scope for Developer to change thedesign to achieve more area underdevelopment? Kindly clarify as to how thedifferential area will be distributed. How theincremental area will be allocated? Can theExtra Area be allocated towards IT / ITES only?

The selected bidder is permitted to prepare Project Designs for built-up/saleable / leasable area, required parking etc., duly retaining the concept ofTSIIC and get it approved from the TSIIC as per the provisions outlined underthe Clause 4 of the Volume 2 of the RFP document (Draft Joint DevelopmentAgreement). 50 % of the additional area developed shall be shared with TSIICand must be developed as AVGC office space with all infrastructure and fitoutsfor plug and play use.

7. Clause 16 of theVolume 2 of theRFP document(Draft JointDevelopmentAgreement)

Clarification about the kind of defects coveredunder defect liability period for 5 years?

Defects Liability for a period of 5 years is applicable for all items andcomponents under a) Civil & Other Related Works, b) Mechanical & ElectricalSystems, c) Building Monitoring System, d) Water Supply, sanitary & EffluentSystems, e) Fire Safety & Fighting Systems, and f) Communication Systems,as elaborated under Section 3.3 of the Volume 3 of the RFP document (ProjectInformation Memorandum) to be read with changes and/or modifications asprovided in the responses to Pre-Bid Queries.

Liabilities during the Defects Liability Period include rectifying the defects atown cost of the selected bidder to ensure workability of the component(s)without compromising safety, security and convenience of the TSIIC andoccupiers

8. Clause 10 of theVolume 2 of theRFP document(Draft JointDevelopmentAgreement)

Marketing of leasable area - We are given tounderstand that the leasable space towardsAVGC infrastructure and office space AVGC,TSIIC will have a preference over the developerto accommodate the clients in the first option.After the leasing of complete area belonging toTSIIC can be marketed by the developer. Sincethe proposed facilities required lot ofinvestments, we suggest that both TSIIC andDevelopers have to work together and find out amechanism for leasing of above space. Therental for the above space should be jointlydetermined by both the parties, otherwise it maybe against the interest of the developer.

Clause 10.12 to be included in the Volume 2 of the RFP document (Draft JointDevelopment Agreement) as described below:The Developer shall market the space towards AVGC Shared Infrastructureand AVGC Office Space of the entire Project. The Developer shall ensureleasing of space owned under the ownership of the TSIIC as per the AreaIdentification Agreement for both AVGC Shared Infrastructure and AVGCOffice (Plug & Play) before leasing such space under the ownership of theDeveloper as per the Area Identification Agreement. However, the Developershall be free to market and lease other spaces like Business Center, IT/ITESOffices, Amenities and others in parallel.TSIIC and developer shall fix the lease rent for AVGC spaces considering itsmarketability as mutually discussed and agreed. However the Governmentmay subsidise the lease rent as per the Animation and Gaming policy.

9. General We suggest to share the marketing survey andanalysis report carried out by TSIIC based onwhich the area for the ADVC & AVGC havebeen determined. We need to understand fordetermining the requirement of the industrieslikely to occupy in the proposed space and theexpected rental value to work out our financialproposal.

Relevant extracts of the market survey and analysis report prepared by theProject Advisors is given in Exhibit B.As stated in the RFP document, each Bidder should, conduct its owninvestigations & analysis including carrying out independent market research &demand assessment studies and should check the accuracy, adequacy,correctness, reliability and completeness of the assumptions, area statementsproject configuration, and information contained in the RFP document andobtain independent advice from appropriate sources, before submitting theproposal.

10. General We would like to know the name of few facilitiesproviding proposed development consistingADVC & AVGC in the country enabling us tovisit for better understanding.

The Image Tower is the first of its kind project in India. Bidders can do a casestudy of similar facilities like Dubai Media City, Mediapolis Singapore, DutchGames Gardens Netherlands, Media City, etc. to get more familiarity about thecomponents proposed in the Project.

11. Clause 2.1.15 ofthe Volume 1(Page 13) of theRFP document(Instruction toBidders)

Any restriction in development of marketingagency to market the leasable space?

The Bidders may make use of marketing agencies and third party serviceproviders including services of legal, financial or technical advisers to make theProject successful subject to adherence to Clause 2.1.15 of the Volume 1(Page 13) of the RFP document (Instruction to Bidders).

12. Clause 4.1 & 4.2(Page 13) of theVolume 2 of theRFP document(Draft JointDevelopmentAgreement)

Time limit for preparation of plan for sanctioningand other details as per Clause No. 4.1 and 4.2of the Joint Development Agreement (Page No.13) should be extended as time period is tooshort keeping in view of the specification anddesign of the proposed development.

Clause 4.1 is amended and to be read as below:The Developer shall at its cost and responsibility prepare conceptual drawings& designs including outline specifications for all components of the Projectwithin 1 (one) month of signing the Joint Development Agreement and submitfor approval of the Authority. The Developer shall at its cost and responsibilityprepare plans and all required drawings for the building/s as per building bye-laws, rules & regulations in force for development of the Project Site / theProject and obtain the development approvals, including the Sanctioned Planfor the entire Project, within 3 (three) months from the date of approval of theconceptual drawings & designs including outline specifications for allcomponents of the Project by the Authority. The Authority shall provide all thenecessary assistance / facilitation in obtaining the approvals.No changes to Clause 4.2 (Page 13) of the Volume 2 of the RFP document(Draft Joint Development Agreement) and stands as per the RFP document.

13. Clause 5.3(Page 15) of theVolume 2 of theRFP document(Draft JointDevelopmentAgreement)

In view of the completion of the buildingincluding the fit outs, the time limit of 36 monthswith a grace period of 6 months must beextended to another 6 months as per the ClauseNo. 7.8 of Joint Development Agreement.

There is no Clause 7.8 in the Volume 2 of the RFP document (Draft JointDevelopment Agreement)The query appears to be in relation to Clause 5.3 (Page 15) of the Volume 2 ofthe RFP document (Draft Joint Development Agreement). No changes toClause 5.3 and stands as per the RFP document.

14. Clause 8.0(Page 19) of theVolume 2 of theRFP document(Draft Joint

Kindly confirm that maintenance of the entireProject common area facilities to be maintainedby the developer including the area handed overto TSIIC. The developer company or any groupcompany belonging to the developer will have a

right to determine the maintenance charges forthe entire life cycle of the building and all theclients including the clients of TSIIC are requiredto agree and pay the charges. The leasedocuments must spell out this provision to avoidany kind of disagreement in the future.

Minimum CAM Charges payable for any occupier / tenant of the TSIIC area asper the Area Identification Agreement shall not be less than the lowest CAMCharges agreed for leasable area leased by the Developer in its share duringthe last 12 months. 15. Clause 15.0(Page 28) of theVolume 2 of theRFP document(Draft JointDevelopmentAgreement)

TSIIC will reimburse the developer in view ofany additional work, changes in thespecifications made as per the request of TSIICor its clientele. The time involved for suchchanges should be extended for completion ofthe project as per the agreed terms andconditions.

No changes to Clause 15.0 (Page 28) of the Volume 2 of the RFP document(Draft Joint Development Agreement) and stands as per the RFP document.The Clause provides for mutually agreed additional time period.

16. General TSIIC will issue No Objection Certificate as perthe agreed format to Banks / Financialinstitutions or any other party on the request ofdeveloper for availing financial assistance forthe project development.

TSIIC shall act and represent as provided under Clause 9.2.15 (Page 21) ofthe Volume 2 of the RFP document (Draft Joint Development Agreement).

17. General Kindly clarify as to the applicability of GSTtowards the share of TSIIC on the JointDevelopment Basis and payment of the saidliability by TSIIC.

GST payable towards the share of TSIIC on the Joint Development basis shallbe factored into the quote of the bidder and paid by the developer as per GSTnorms and there shall be no reimbursement.

18. Clause 6.1(Page 16) of theVolume 2 of theRFP document

Kindly clarify the provisions relating toreimbursement of infrastructure cost for theproportionate developed space allocated toTSIIC.

As provided under Clause 6.1 (Page 16) of the Volume 2 of the RFP document(Draft Joint Development Agreement). For avoidance of doubts, it is clarifiedthat the applicability of this clause covers infrastructure cost for the Projectincluding site development and external infrastructure as well as costs related

to approvals, licenses, permissions and sanctions, fees payable to thearchitects, contractors, staff and workmen etc. including developed spaces tobe handed over to the TSIIC as per the Area Identification Agreement

19. General Can the AVGC tower be a separate building andthe other office (IT/ITES) be a separate building.

As mentioned in Clause 4.3 of the Volume 2 of the RFP document (Draft JointDevelopment Agreement), the selected bidder is expected to prepare theProject Designs as per the brief and concept provided by the TSIIC in the RFPdocument. Only MLCP and feasible IT office space may be planned in aseparate block Subject to TSIIC approving any changes / modifications, theDeveloper can suggest changes / modifications / improvement measures whilesubmitting the Project Designs to TSIIC for approval.As stated in Clause 4.3, both TSIIC and the Developer shall in the aboveprocess act reasonably and cooperate with each other in good faith to achievethe objective of finalization of the Project Designs.

20. General Any further set back relaxation is expected forthis projects?

Bidders are advised to take cognizance and follow all existing building bylawsand development control regulations as per the GO 168 of Government ofTelangana, pertaining to setbacks. TSIIC shall make its best effort to facilitaterelaxations (if any) required as per the finalized Project Designs.

21. Clause 1.1.2(Page 5) andClause 1.2.7(Page 8) of theVolume 1 of theRFP document(Instructions toBidders)

Can the developer only provide the Authority’sshare of AVGC facility? Developer’s share ofAVGC infrastructure can be only on Warm shellbasis. In case the developer is not able to find atenant till 12 months, then the developer canlook for alternative type of tenants. In that casethe plug and play requirement for the new tenantwill be different.

This iconic tower is meant for AVGC space. Therefore it is stipulated that over50 % of the Built Up Spaceis allocated for AVGC.

22. Clause 2.1.28(Page 17) of theVolume 1 of theRFP document(Instructions toBidders)

Can there be change in the share holdingpattern.

minimum of 450 kg/ sq. m. Provision for UPS & Server Room and Storage Areas should be done in

pre-identified location, should be designed with floor loading of minimum of1,000 kg/ sq. m.

Car parking floors should be designed with floor loading of minimum of 300kg/ sq. m.

25. General GST for the Landowner share to be borne by theLandowner only as this is the standard practice

Rendering applications for post-production, sophisticated 3D, visual effects (VFX), animation, andfinishing use interconnected servers with high-performance 10GB or 25GB Ethernet switchingplatforms, requiring higher bandwidth 40GBE, 50GBE or 100GBE aggregation interconnects withinthe data center.

Film Industry in India

The Indian film industry is the largest in the world in terms of number of films produced i.e. around1,500 to 2,000 films produced every year in more than 20 languages. The industry also had witnessedthe second highest footfalls in the world in 2015 (over 2.1 billion) following China (almost 2.2 billion).

Government land will be allotted in Hyderabad & Tier II cities in Telangana toeligible Animation, Visual effects, Gaming & Comics companies for theirexpansion and setting up of their own facilities.

The eligibility criteria for allotment of land to the Animation, Visual effects,Gaming & Comics companies in Hyderabad is given below:

Fulfilment of an employment obligation of employing 250 Animation, Visualeffects, Gaming & Comics professionals per one acre of land allotted

Construction of 25,000 sft. office space in one acre of land allotted 3 years for completion of the project and fulfilment of obligations mentioned at

(i) and (ii) above from the date of taking over possession of the allotted land. The eligibility criteria for allotment of land to the Animation, Visual effects,

Gaming & Comics companies in Hyderabad is given below: The applicant Animation, Visual effects, Gaming & Comics company shall

have been in operation for the last two financial years on the date ofapplication requesting for allotment of land and registered a turnover of INR 15crores during the last two financial years.

On the date of application requesting for allotment of land, the Animation,Visual effects, Gaming & Comics Company shall have 100 employees on itspayrolls.

This incentive is applicable to animation companies thathave produced Animation Films (90 minutes & above) - “Animation TheatricalReleased film.” The total reimbursement will be up to a maximum of INR 10lakhs per film for one company, per annum, if produced on their own andmarketed in their brand name.

Reimbursement of production cost: 20% cash back of the project cost if 80%of the production cost of that project is incurred in Telangana by usingTelangana talent. This incentive is applicable to animation companies thathave produced Animation Cartoon Series (25 episodes & above) for TV andtelecast on TV channel. The total reimbursement will be up to a maximum ofINR 5 lakhs per series for one company per annum if produced on their ownand marketed in their brand name.

Reimbursement of duties: 100% reimbursement of stamp duty, transfer dutyand registration fee paid by Animation, Visual effects, Gaming & Comicscompanies on sale / lease deeds on the first transaction. This incentive isavailable for Mega Projects also.

Reimbursement of levies: 50% reimbursement of stamp duty, transfer dutyand registration fee paid by Animation, Visual effects, Gaming & Comicscompanies on sale / lease deeds on the second transaction. This incentive isavailable for Mega Projects also.

Power category: Admissibility of Industrial Power category tariff for Animation,Visual effects, Gaming & Comics Companies. This incentive is eligible forMega Projects.

Recruitment assistance: INR 15 Lakhs as recruitment assistance foremploying a minimum of 100 employees within two years of commencementof commercial operations payable on telescopic method @ INR 7.5 lakhs inthe 1st one year for employing 50 employees and the balance of INR 7.5 lakhsin the 2nd year for employing 50 more employees.

Entertainment Tax exemption: Full-fledged Animation VFX Theater filmproduced and released in Telangana will be entitled for Entertainment Taxexemption. This incentive is available for Mega Projects also.
