ASSIGNMENT DESCRIPTION

IFCs Advisory Services in Public Private Partnerships is undergoing discussions for a Solid Waste Management mandate witha large municipality in Albania and intends to procure a Technical Consulting firm to assist the IFC project team in structuringand implementing a Public Private Partnership project in this sector in Albania

Roughly, the scope of work required may be as follows:

­ Review all relevant existing documentation and studies carried out by other agencies, including relevant policies at national orregional level ­ Evaluate the assets which are the subject of this transaction, and assess their technical, operational and financialperformance, comparing them with international best practice and EU standards.­ Evaluate the proposed new adjoining land allocated for landfill expansion ­ Review operational procedures and practices in the existing landfill and compare them to international and industry bestpractice­ A review of the Legal Consultants findings making sure there are no existing or future impediments for the successfulimplementation of a PPP transaction in this sector in this municipality­ Review of the current financial structure (revenues and subsidies) of the SWM sector and assess its adequacy for financing,

Selection and contracting will normally be made from responses to this request for expression of interest. The consultant will beselected from a shortlist, subject to availability of funding.

operating and maintenance under international and EU standards.­ Analyze waste generation, based on current and future populations, solid waste generation factors, volume estimates, andcomposition of waste.­ Provide input and prepare preliminary projections of capex, opex and revenues­ Assist with evaluating the PPP options and setting the contract arrangements with the private operator­ Assist in the drafting of all technical aspects of the contractual documents with the international investor, including operatorsperformance obligations, technical specifications, inspection requirements and monitoring framework­ Assist IFC in all technical aspects of the tender process, including inter alia: (i) organizing the technical information availablefor the data­room, (ii) reviewing the technical conformity of the pre­qualification and final offers of prospective bidders, and (ii)potential negotiations and post­bid contract finalizations with the winning bidder­ Assistance in preparation of an optimal transaction structure for implementing the Transaction
