PART – A
1. PREAMBLE OF TENDER
(Tender to procure Atlases)
The Tamilnadu Textbook and Educational Services Corporation, a Government of Tamilnadu undertaking, intends to invite tenders for procurement of Atlases.
The expected quantity of Atlas is about 9.39 lakhs, Tamil Medium 859020 Nos. lakhs and English Medium 80407 Nos. lakhs approximately.
The period of contract is one year from the date of agreement.
The TNTB & ESC is planning to procure and supply Atlases of good quality. So the TNTB & ESC has decided to enlist publishers with capacity to supply as per the needs of the TNTB & ESC. The decision of the TNTB & ESC in this regard is final. The details of the required technical specifications are given in Annexure-IV.
Submission of a bid implies that the Bidder is agreeable to print and deliver the Atlases at the Block level Head Quarters / Educational district Head Quarters or at places directed by the TNTB & ESC and conforming to all the tender conditions.
For this purpose, the TNTB & ESC proposes to enter into Contract for the supply of Atlases as per specifications stipulated in the tender and delivering the same at the Block level Head Quarters / Educational district Head Quarters or at places directed by TNTB & ESC. The TNTB & ESC Rates finalized shall be valid from ------------.
The successful Bidder(s) should work closely with the TNTB & ESC in achieving the scheduled targets and time schedules.

4. GENERAL INSTRUCTIONS
The Bidders are requested to go through the instructions, terms, conditions and
specifications given in the Tender carefully. Failure to furnish all the required information
in every respect will be at the Bidder’s risk and may result in rejection of their bid.

4.1 Clarifications in the Tender
a) At any time after the issue of the tender documents and before opening of the
tender, the Tender Inviting Authority may make any changes, modifications or
amendments to the tender documents and shall send intimation of such change
to all those who have purchased the original tender documents and upload
corrigendum for the information of those who have downloaded the tender
documents from the website. Such amendments will be notified in the
Government of TN website: http://www.tenders.tn.gov.in (or)

b) In case any one tenderer asks for a clarification to the tender documents before
48 hours of the opening of the Tender, the Tender Inviting Authority shall ensure
that a reply is sent and copies of the reply to the clarification sought shall be
communicated to all those who have purchased the tender documents without
identifying the source of the query and upload such clarification to the designated
website for the information of those who have downloaded the tender documents
from the website, without identifying the source of the query.
c) All the Bidders must periodically browse TNTB & ESC’s website till the closing date
of his Tender for any amendments or corrigendum issued in connection with this
Tender. TNTB & ESC will not be responsible for the lack of updated or
comprehensive understanding of the provisions of this tender document on
account of the Bidders’ failure to update the bid documents based on changes
announced through the website.
4.2 Language of the Bid
a) The bid prepared by the Bidder as well as all correspondence and documents
relating to the bid shall be written in English language only.

4.3 Any offer made in response to this tender when accepted by the TNTB & ESC
will constitute a contract between the parties.
4.4 CORPORATION NOT BOUND BY ANY PERSONAL REPRESENTATION The Bidder i.e. the publisher shall not be entitled to any increase in the rates or any other right or claim whatsoever by any reason or any representation, explanation or statement or alleged representation or promise or guarantee given other than the authorized persons (i.e. Tender Scrutiny and Evaluation Committee members in the course of negotiation) assurance if any in writing or alleged to have been given to him by any person of the Corporation.
4.5 MEMBERS OF THE CORPORATION NOT INDIVIDUALLY LIABLE: No official or Employee of the Corporation shall, in any way, be personally bound or liable for his / her acts or obligations of the Corporation under the contract or answerable for any default or omission in the observance or performance of any acts, matters or things which are herein contained.
5. ELIGIBILITY CRITERIA: Sl. No Minimum Eligibility Criteria Proof to be submitted for fulfilling the
requirement for eligibility. 1. The bidders should have experience in
publishing Atlases for a period of not less than 5 years as on 31-01-2014
Any proof of publishing Atlas for a period of not less than 5 years
2. Should have approval for publishing the maps from Surveyor General of India.
a) An approval certificate for each of the map from the Surveyor General of India should be enclosed. 3. Details on the maps should be latest and
updated 4. Should have in-house expertise/tie-up with
the Cartographer to prepare maps in Tamil and English
Proof to be enclosed
5. Should have executed mapping / cartographic publishing and should have supplied maps / Atlases to any agency in a tender system

6. Should have registered with TNGST / CST / VAT

The Bidders should meet the above said Eligibility Criteria for bidding the tender and the proof for the Eligibility should be provided in the Technical Bid.

6. TENDER APPLICATION FORM Tender Document:
The Tender document can be downloaded from the Government of Tamilnadu. The tender document should be sent along with tender fees of Rs.15600/-.by means of Demand Draft. Website: http://www.tenders.tn.gov.in or TNTB & ESC Website: http://www.textbookcorp.tn.nic.in or can be obtained on all working days from 10.00 A.M. to 5.00 P.M. and upto 11.00 A.M. only on 21-02-2014 from The Secretary, Tamilnadu Textbook and Educational Services Corporation, Chennai 600 006 at a cost of Rs.15600/- inclusive of VAT by means of a D.D. drawn in favour of Tamilnadu Textbook and Educational Services Corporation, Chennai-600 006.
7. Remittance of EMD / Refund / Forfeiture/ Adjustment of EMD towards Security Deposit.
a) Tender shall be accompanied by the EMD of Rs.3,00,000/- (Rupees three lakhs only) by Demand Draft on any Nationalised Bank / Scheduled bank drawn in favour of the Tamilnadu Textbook and Educational Services Corporation, payable at Chennai. The tender received without Earnest Money Deposit will be considered non responsive and rejected. Any category of tenders specifically exempted by the Government from the payment of EMD will not be required to make such a deposit provided they have to furnish evidence to this effect i.e. the copy of certificate of Micro Small and Medium Enterprises Department along with the tender and if successful, the qualified tenderer will be required to furnish appropriate Security Deposit.
b) The EMD of Tenderers who fails to accept the rates offered by the Corporation will be refunded on requisition.
c) The EMD amount held by the TNTB & ESC till it is returned to the unsuccessful Bidders will not earn any interest.
d) The EMD amount of Successful Bidders will be adjusted as part of the Security Deposit (SD) which shall be deemed to guarantee for successful execution of the contract.
e) Any bid not secured with the EMD amount will be rejected by the TNTB & ESC as non-responsive.
f) The EMD amount shall be forfeited: (i) If the Tenderer is found that he does not possess the required qualifications
as certified by the Tenderer in the Tender or technical bid form. (ii) If in the case of successful tenderers who fail to execute agreement or fail to
furnish security deposit within the time limit. (iii) If a Bidder withdraws the bid during the period of bid validity specified in the
tender.

8 Cost of Bidding The Bidder shall bear all costs associated with the preparation and submission of its bid and the TNTB & ESC will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process. 9. SUBMISSION OF TENDER Submission of Tender: Two-cover system will be followed: 9.1 General Instructions:
a) The Tender proposes two cover Bid system viz. (1) Technical Bid and (2) Price Bid. The first stage enables the TNTB & ESC to know whether the Bidder is technically competent and capable of executing the order. Only those who qualify in the first stage would be eligible to take part in the second stage viz. Price Bid. The Price Bids of Bidders who failed in the first stage will not be opened.
b) The bids should be submitted in two separate sealed covers viz. Cover-A: Technical Bid / PART – A and Annexure I, II & III Cover-B: Price Bid / PART – B Annexure IV c) Both the covers must be sealed separately and superscribed with Tender
number, due date and Name of the Cover on the respective covers. These two covers should be enclosed in a separate cover and addressed to the Tender Inviting Authority.
9.2 Details to be furnished in the cover-A Technical Bid: a) Crossed Demand Draft towards EMD should be enclosed only in the Cover-A.(Technical Bid) b) Filled up Technical Specification vide Annexures – I & III c) Authorization letter (Annexure - II) from the Competent Authority of the firm to sign this Tender document. Documents received without such authorisation will not be considered for further processing. d) Letter of I.T. Clearance certificate / Assessment orders / I.T. returns to be enclosed (Photo Copy). e) VAT and TIN registration number / CST and PAN Number with Attested Photo

9.3 Signing of Bids
a) The bids shall be typed or written in indelible ink and shall be signed and sealed by the Bidder or a person or persons duly authorised to bind the Bidder to the Contract. Bidders are requested to sign each and every page of the tender document including Schedules attached thereto realizing that such signing would mean that they would abide by all the tender conditions. Tender document will be rejected if all the pages are not signed and sealed b) Any alterations, erasures shall be treated valid only if they are authenticated by full signature by the person or persons authorized to sign the bid. Tender documents should be free from over writing. 9.4 Details to be furnished in the Cover-B (Price Bid)
Firm rates must be quoted only in the Price Bid Form (Please see the “ PRICE BID”) Price Bid Annexure - IV
9.5 Mode of Submission:
The submission of tender form shall be as follows: a) Two cover system will be followed and both the sealed covers viz. Cover-A
and Cover-B must be sealed separately put in a bigger single cover, sealed and must be superscripted “Tender for Contract to Procure Atlases”. It shall be addressed to The Secretary, Tamilnadu Textbook and Educational Services Corporation, D.P.I. Campus, College Road, Chennai - 600 006.
b) The Tender must be dropped in the Tender box kept at Tamilnadu Textbook Corporation, D.P.I. Campus, College Road, Chennai-600 006, on or before the due date/time. c) Alternatively, the Tenders must reach the TNTB & ESC on or before the due date and time by registered post/courier. The TNTB & ESC will not be liable or responsible for Postal/Courier delay, if any. d) The Tenders received after due date and time or tenders unsealed or in Incomplete shape or Tenders submitted by Facsimiles (FAX) or by Electronic mail will be summarily rejected.
e) A Bid once submitted shall not be permitted to be altered or amended.
f) Service of Notice: Any notice hereunder may be served on the Successful Bidder by Registered Post at his last known address. Proof of issue of any such notice should be conclusive of the Successful Bidder having been duly informed. 9.6 Submission of Samples
The bidders shall supply two copies of Atlases along with the technical bid. The maps to be supplied should be as per the technical specifications, contents prescribed (vide annexure III) and as the same which was sent for approval to the Surveyor General of India.

10. OPENING OF TENDERS Tender Opening: a) Tenders will be opened at the prescribed date and time in the presence of the
Bidders or their authorized representatives who choose to be present. The representatives of Bidders must bring the authorisation letter for attending the Tender opening. Not more than two representatives for each Bidder would be allowed to take part during the bid opening process.
b) If the date on which the tender is to be opened is declared to be a holiday, the tender will be deemed to remain open till 1.00 p.m. of the next working day and the Technical bid will be opened at 5.45 p.m. c) Cover-A containing Technical Bid would be opened first. The Eligibility Criteria
such as payment of EMD and compliance with pre-qualification conditions will then be checked. The supporting documents would be checked wherever required.
d) Only the Technical Bid will be opened on the due date. e) The date, time and venue of opening the Price Bid will be intimated separately. f) Tenders non compliant with any of the tender terms will not be considered for the next stage i.e. for opening of the Price Bid.
11. Period of Validity of Bids: a) Bids shall remain valid for a period from.------------------ b) The TNTB & ESC may solicit the Bidder's consent for an extension of the period
of validity if need be. The request and the responses thereto shall be made in writing.
12. TENDER EVALUATION CRITERIA: The evaluation of Tenders will be done by the TNTB & ESC as detailed below: 12.1. Technical Bid evaluation: a) Compliance with Technical specifications as mentioned in eligibility criteria vide Para 5 is mandatory. b) Submission of EMD.
c) On verification of Compliance with the eligibility Criteria as indicated in Para.No.5 of the Tender, the TNTB & ESC will prepare a list of eligible Bidders. The Tenders, which do not conform to the Tender conditions, shall be rejected. The Eligible Bidders alone will be considered and called for further evaluation.

12.2. PRICE BID EVALUATION:
Opening of Cover-B Price Bid: a) Bidders who have qualified in Technical Bid (Cover-A) only will be called for Price Bid opening. The technically qualified Bidders alone will be informed of the date and time of opening of the Price Bid and their Price Bids alone will be opened on the due date and time in the presence of the Bidders or their authorized representatives who choose to be present. b) The Bidder who has quoted the lowest rate for the supply of Atlases will be
considered as the L1 bidder for that item of work. The TNTB & ESC may choose to negotiate with L1 bidder if necessary and arrive at a final negotiated rate for entering into a contract for supply of Atlases.
c) In determining the lowest evaluated price, the following factors shall be considered, namely:-
1. the quoted price shall be corrected for arithmetical errors ; 2. in cases of discrepancy between the prices quoted in words and in figures, lower
of the two shall be considered ; 3. adjustments to the price quoted shall be made for deviations in the commercial
conditions such as the delivery schedules and minor variations in the payment terms which are quantifiable but deemed to be non-materials in the context of the particular tender ;
4. the evaluation shall include all Central Duties such as Customs Duty and Central Excise Duty and Sales Tax as a part of the price, as detailed below :-
(i) in evaluation of the price of an imported item, the price has to be determined inclusive of the Customs Duty ;
(ii) in evaluation of the price of articles which are subject to Excise Duty, the price has to be determined inclusive of such Excise Duty ;
(iii) in a tender where all the tenderers are from within the State of Tamilnadu or where all the tenderers are from outside the State of Tamilnadu, the Sales Tax shall be included for the evaluation of the price ; and
(iv) in a tender where the tenderers are both from the State of Tamilnadu as well as from outside the State of Tamilnadu, the [Sales Tax under the Tamilnadu General Sales Tax Act, 1959, (Tamilnadu Act 1 of 1959)] shall be excluded for the evaluation of the price.]
d) Procurement in special cases :- In the case of purchase of goods where the quantity offered at the lowest price is less than the total quantity required, the Tender Accepting Authority may, after placing orders with the lowest evaluated tenderer for the entire quantity offered by such tenderer subject to his ability to supply, adopt either or both of the following procedures to procure the balance quantity:-
1) Negotiate with the next lowest tenderers in strict ascending order of evaluated price and require them to match the price offered by the lowest evaluated tenderer and place orders until the entire quantity required is ordered ; or

2) Require all the other eligible tenderers who participated in the tender and offered a price higher than that offered by the lowest evaluated tenderer, to submit sealed offers of the quantity they would be willing to supply at the price quoted by the lowest evaluated tenderer and thereafter place orders for the remaining required quantity with all those who match the lowest evaluated price such that those who bid lower prices in the original tender get a higher priority for supply.
3) In case the bidders other than the lowest evaluated bidder fail to agree to accept the lowest price or the total quantity offered by them at the price quoted by the tenderer with lowest evaluated price is less than the required quantity, the Tender Accepting Authority may place orders for remaining required quantity at different rates with different suppliers in the ascending order evaluated price until the entire quantity required is covered : Provided that, where different quantities have to be procured at more than one price from one or more tenderers, the Tender Accepting Authoriti\y may decide not to procure beyond a price considered economical although the entire quantity originally stated to be required in the tender documents is not ordered.
e) The decision of the TNTB & ESC will be final in this regard.
13. GENERAL TERMS: a) The Bidder must quote the rates in words and figures in the Price Bid –
Annexure-IV enclosed duly filling the relevant columns. In cases of discrepancy between the prices quoted in words and in figures, lower of the two shall be considered. Tenders are liable to be rejected if the rates are not quoted as per the Annexure. The Tenderer shall not specify any condition for the quoted rate and only the tender conditions will prevail. The original and all Annexures of the tender shall be signed by the tenderers.
b) Successful tenderers who have failed to perform the entrusted works in previous tenders with the TNTB & ESC and who have been removed from the list of approved printers or whose EMD/Security Deposit has been forfeited by the Corporation due to non-performance or who have been blacklisted by the Government of Tamilnadu are not eligible to participate in this Tender. Tender(s) if received from such bidders will be rejected.
c) The Tenderer shall state in what capacity he is signing the tender such as a sole proprietor or as a partner of a partnership firm or Secretary/ Manager/ Director for Ltd., Company or Karta of Hindu undivided family or under Power of Attorney on behalf of the publisher and proof for the above should be furnished. Any suppression of facts will lead to rejection of tender or cancellation of agreement as the case may be and forfeiture of all deposits furnished by him. Besides the corporation, reserves the right to recover the cost of paper and materials supplied by the Corporation.

d) Delivery of Atlases: Atlases should be delivered by the supplier at the District Head Quarters or at
the places directed by the TNTB & ESC. The suppliers should take into consideration the transport charges, toll fees, loading and unloading charges etc while quoting the rates.
e) The Tenderer shall strictly abide by all the rules and regulations of the Corporation.
f) The contract or any part / share of interest in it shall not be transferred or assigned by the Successful Bidder directly or indirectly to any person or persons.
g) The enclosures, to the Tender Document, viz. the detailed final offer of the Successful Bidder will form part of this contract. Wherever the offer conditions furnished by the Successful Bidder are at variance with conditions of this contract, the latter shall prevail over the offer conditions furnished by the Successful Bidder.
h) The Tender conditions and other prescribed documents accompanying their Tender documents will form an integral part of this contract.
i) Any notice to the Successful Bidder shall be deemed to be sufficiently served, if given or left in writing at their usual or last known place of abode or business.
14. SPECIAL TERMS:
14.1 The publisher shall correctly supply the required number of copies neatly, accurately and clearly according to the agreement. If copies of the Atlases supplied are found defective due to pages not being printed or not readable easily or printed upside down and not conforming to the approval of the Surveyor General of India etc., for such copies recovery shall be effected at the sale price of the Atlas books. For this purpose a sum of Rs.20,000/- (Rupees twenty thousand only) shall be paid by the supplier as a Caution Deposit for defective copies to be kept for a period of one year. No interest will be paid on such deposit.
14.2 The Supplier shall during the currency of the work carry out in all respect meticulously, the orders, instructions and directions of the Corporation and all officers acting under its (Corporation) orders and to act in all or any of the matters and things herein contained and offer all facilities for the inspection of the work executed and the relevant account of materials supplied by any authorized officer of the Corporation at any hour of the day or night and the printer shall abide by the decision of the Corporation in all matters relating to or in any way concerning the transaction of the agreement or any matter or thing herein contained. If any question arises regarding the above matter the decision of the Corporation is final and conclusive and together operative and binding on the printer.
14.3 The Tenderer shall be liable to indemnify, reimburse the Corporation against any damages sustained by the Corporation including loss of reputation on account of the failure of the supplier to fulfill any of the terms and conditions of his tender.

14.4 The Managing Director, the Tamilnadu Textbook and Educational Services Corporation, on behalf of the Corporation a) Reserves the right to reject any or all tenders without assigning any reason whatsoever. b) If need be, he reserves the right to enlist the services of other bidders who are technically qualified and who agree to the approved rates and Terms and conditions of the TNTB & ESC. The decision of the Managing Director shall be final.
15. ACCEPTANCE OF TENDER: a) The final acceptance of the Tender is entirely vested with the TNTB & ESC which reserves the right to accept or reject any or all of the Tenders in full or in part.
b) After acceptance of the Tender by the TNTB & ESC, the Bidder shall have no right to withdraw his Tender or claim higher rates. The Tender accepting authority may also reject all the Tenders for reasons such as changes in the scope of procurement, lack of anticipated financial resources, court orders, accidents or calamities and other unforeseen circumstances.
c) Under Rate Contract, the TNTB & ESC has a right to issue Orders to more than one Bidder who has agreed to the approved rates for the present tender. The decision of the TNTB & ESC is final in the regard.
d) The approved rates will be intimated to all the qualified Tenderers by the Corporation by Post. The qualified Tenderers who accept the rates offered by the Corporation shall intimate their acceptance within seven days, from the date of receipt of the communication. The Corporation is not responsible for any postal delay. The approved rates will also be put up on the notice board of the Corporation, at its Office at College Road, Chennai – 600 006.
16. SECURITY DEPOSIT (SD):
I. Remittance of Security Deposit:
a) Successful Tenderers shall be required to furnish a security deposit equivalent to 5% of the purchase order value allotted to him by means of a Demand Draft or unconditional irrevocable Bank Guarantee drawn in favour of the TNTB & ESC, on any Nationalised Bank / Scheduled Bank. The Security Deposit will not bear interest.
b) The Earnest Money Deposit will be adjusted as a part of security deposit the case of tenderers who accept the rates offered by the Corporation.
c) On payment of the security deposit the publishers are advised to obtain a proper official receipt from the TNTB & ESC.
d) The SD shall be paid within 7 days from the date of receipt of the intimation letter from TNTB & ESC informing his selection as publishers under rate contract.
e) The sum of Rs 20000/- shall be paid as Caution Deposit in the form of Demand Draft drawn in favour of the TNTB & ESC, on any Nationalised Bank / Scheduled Bank. The Caution Deposit will not bear interest.

II. FORFEITURE OF SECURITY DEPOSIT:
a) Forfeiture of Security Deposit: If the Successful Bidder fails to act according to the Tender conditions or withdraws the offer after their Tender has been accepted, their SD will be forfeited.
b) In the event of any work executed by the Tenderer under these conditions, being in the opinion of the Corporation, unsatisfactory or not in accordance with directions or instructions issued by the Corporation in regard to the same (such opinion being final and not open to question by the Tenderer) it shall be lawful for the Corporation to reject the work executed by the tenderer and to direct them to do the same again to the satisfaction of the Corporation free of cost to the Corporation and the above person shall also be liable for all expenses, cost, loss and / or damages sustained by the Corporation by the reasons of any bad, inaccurate, unsatisfactory or delayed execution of work. In such cases the Corporation reserves its right to terminate the contract and entrust the work to some other agencies and the above person shall be liable to pay the extra cost, if any, involved on account of the work being entrusted to and executed by another agency, besides forfeiture of Security Deposit.
III. RELEASE OF SECURITY DEPOSIT:
The Security Deposit will be refunded to the Successful Bidder on completion of all book orders issued and supply of finished books, left over materials etc and subject to satisfaction of the TNTB & ESC. Such completion would be arrived at when the entire quantity of Textbooks is supplied by the Bidder as per the Agreement. The S.D. will be refunded only after original receipt issued by TNTB & ESC is returned.
17. EXECUTION OF AGREEMENT:
a) The qualified Tenderers who accept the rates shall execute an agreement in the prescribed form within three days from the date of submission of Security Deposit and Caution Deposit.
b) The Tenderers shall not assign or sub-let the allotted work in whole or in part of or any benefit there under.
18. AWARD OF ORDER / WORK ORDER TO ELIGIBLE BIDDERS:
a) The work order will be awarded to the eligible Tenderers at the lowest rate quoted in the tender in respect of each category of operations, subject to acceptance by bidders to undertake the work at the rates offered by the Corporation. The quantum of work that will be awarded to the eligible Tenderers will be based on an assessment of the production capacity of the publishers by
the Corporation. In this respect the decision of the Managing Director of the Corporation shall be final.
b) The Corporation reserves the right to place additional orders to the Tenderer, if need arises.

19. DELIVERY AND PENALTY CLAUSE:
a) The Atlases shall be bundled as per the instructions of the TNTB & ESC before giving delivery to the authorised representatives of the Corporation in the premises at District Head Quarters or at the places as directed by TNTB & ESC. The printer shall make satisfactory arrangements at his own risk and expenditure for the proper delivery of the bundles to the agent of the Corporation as per the Corporation’s directions. The Atlases shall be neatly packed in kraft paper and tied on the four sides with jute twine or poly-fibre tapes and labeled with a printed label on two sides of the bundle, all being done at the cost of the printer. Each bundle shall consist of 25 Atlases.
b) Before dispatch of Atlases, the same is subject to scrutiny and certificate by the employees / Officers of the Corporation.
c) The time for various operations involved in the production of Atlases will be allowed as specified in the work order. Failure to adhere to the time schedule mentioned in the work order will attract penalty at 0.1% per day for the delayed supply of quantity. The delay in supply of Atlases will be calculated from the date specified for the supply of Atlases in the work order.
Besides the above mentioned penalty the Corporation reserves the right to terminate the contract without giving notice for such termination, and to recover the paper and other materials without prejudice to other legal rights.
20. PAYMENT TERMS:
a) Payment will be paid after the receipt of ordered quantity of Atlases in full. b) Payment will be made for 85% of the amount payable after the delivery of
Atlases at the District Head Quarters or at the places as directed by the TNTB & ESC if the work is found satisfactory. The remaining 15% of the amount will be paid only after the finalisation for all relevant accounts. The Tenderer shall take due care of all the Corporation materials. If any of them is damaged, lost or not made available to the Corporation the cost of it as determined by the Corporation will have to be borne by the Tenderers and if already paid by, the corporation, the same will be recovered from the tenderers. In respect of other allied works payment will be made as mentioned above.
21. FORCE MAJEURE CONDITIONS: 21.1 If at times during the continuance of the Agreement/Contract, it becomes impossible, by reason of war or war-like operations, epidemical sickness, pestilence, earthquake, fire, storm or floods for the supplier to execute the contract as per the agreement/contract, the work shall be resumed immediately after the contingency has ceased or otherwise determined and the Successful Bidder’s obligations shall continue to be in force beyond the period of contract, after resumption of execution, till the work in full is completed as per the tender conditions. The Successful Bidder shall however inform the Corporation by registered post about such act at once.

21.2 In the event of delay lasting over one month, if arising out of cause of Force Majeure, the Corporation reserves the right to cancel the contract without any compensation. 21.3 Only events of Force Majeure which affect the order under progress at the time of its occurrence shall alone be taken cognizance of. The Corporation shall not be liable to pay extra costs due to delayed supplies made under Force Majeure.
22. JURISDICTION:
Any litigation accruing through the contractual relationship between the publisher and the TNTB & ESC, if at all taken to a Court, Tribunal etc. it shall be before the forum situated within the City of Chennai.
23. CONCILIATION: The Director of Stationery and printing, Government of Tamilnadu, Chennai or his in-charge shall be the CONCILIATOR. Conciliation efforts are mandatory before invoking Arbitration Clause. The conciliator shall Endeavour to conclude his proceedings within 3 weeks from the date of reference of a dispute or claim to the conciliator The Managing Director of the Tamilnadu Textbook and Educational Services Corporation can delegate a person of staff or Legal Adviser to participate in conciliation proceedings on his behalf. The Arbitration and Conciliation Act 1996 shall apply to the conciliation proceedings.
24. ARBITRATION: All claims, disputes and differences arising out of or in any way touching or
concerning this tender whatsoever, shall be referred to the sole Arbitration of a person to be nominated by the Managing Director of Tamilnadu Textbook and Educational Services Corporation. The award of such Arbitrator shall be final and binding on the parties to this Tender. In case the arbitrator has to discontinue due to any reason or eventuality, before his award, the Managing Director shall nominate another arbitrator in his place.
Such Arbitrator shall be entitled to proceed with the reference from the stage at which it was left by his predecessor or afresh. It is also a term of this tender that no Arbitrator other than the Arbitrator appointed by the Managing Director shall act as Arbitrator.
The Arbitration and Conciliation Act, 1996 shall apply to both the Arbitration and Conciliation. I have read the terms and conditions stipulated in this tender. Having understood the implications of these terms and conditions I agree to abide by them fully.
