    BOCA RATON Met-ropolitan Health Networks had higher revenue and a dip in profit in its last quarter before completing a major acquisition. Net income declined to $6 million from $6.8 million in the same quarter a year ago.

    CAPE CANAVERAL NASA signed an agreement with the Space Florida Small Satellite Research Center to manage the Nano-Satellite Launch Challenge. The challenge is to launch satellites with a mass of at least 1 kilogram, or 2.2 pounds, into orbit, twice in a week. NASA provided a $2 million prize purse.

    GrayRobinson relocation leads to speculation about Rudens Tampa teamBy Jane MeinhaRdTStaff Writer

    Law firm GrayRobinson plans to move its Tampa office next year from One Tampa City Center to SunTrust Financial Centre, taking space now occupied by Ruden McClosky.

    The plans generate some questions about the future of the lawyers in Rudens Tampa office.

    Ruden, based in Fort Lauderdale, filed for Chapter 11 bankruptcy protection in South Florida district court on Nov. 1 as part of its

    strategy to combine some operations and lawyers with Greenspoon Marder, another Fort Lauderdale firm. Rudens bankruptcy petition lists more than $10 million in debt with revenue of $25 million this year.

    The firm intends to dissolve with nearly 50 of its lawyers joining Greenspoon, which plans to bid $7.6 million for Rudens ac-counts receivable and work product.

    However, the 10 lawyers in the firms Tampa office collectively decided to pur-sue a different opportunity, according to a Nov. 1 statement from Tampa Ruden

    shareholder David Shear.We are finalizing discus-

    sions with a pre-eminent law firm and anticipate making an announcement in the im-mediate future, Shear said.

    He and other lawyers in the office declined to release any more details.

    SpeculaTion aBoundSRuden has about 10,000 square feet at

    SunTrust.

    GrayRobinson will lease nearly 39,000 square feet in the Class A downtown icon at 401 E. Jackson St. The firm is leasing two entire floors over 11 years.

    Its planned move along with the Ruden lawyers decision to opt out of the Greenspoon arrangement prompted speculation that the lawyers may be in discussions with GrayRobinson.

    After Shear released the statement, a GrayRobinson spokeswoman said the firm had no comment about that possibility.

    The lawyers in Rudens Tampa office also opted out of joining Adams and Re-ese when the New Orleans-based law firm opened offices in St. Petersburg, Sarasota and Tampa in 2009. Nearly 20 other Ruden lawyers went to Adams and Reese.

    V. James Dickson, partner in charge of the St. Petersburg Adams and Reese office and a former Ruden lawyer, said he is not having discussions with former colleagues in Tampa.

    At this point, if they are having discussions with us it would be with the home office, but I would be surprised if that is happening, Dickson said.

    lawyers in Tampa, one of the firms 10 of-fices in Florida.

    With 245 lawyers altogether, it is ranked 182nd among the top grossing 200 firms in the United States in American Lawyer magazines list for 2010-2011. GrayRob-insons gross revenue was $113.5 million, up 7.6 percent from 2009, according to the list.

    The move to the SunTrust building is simply a result of exploring options since the firms lease at One City Cen-ter is due to expire, said David L. Smith, managing share-holder in Tampa. Overall, its a little better deal.

    GrayRobinson will have about the same amount of space it has now along with some room for expansion. The new office is basically the same distance from federal and state courthouses downtown.

    We like being downtown, Smith said. Were committed to downtown and mak-ing downtown work.

  • Shareholders group seeking seats at United Insurance Holdings Corp.By Margie ManningSenior Staff Writer

    ST. PeTerSBUrg A shareholders group controlling almost one quarter of the stock of United Insurance Holdings Corp. wants representation on its board of directors.

    The group, made up of banker Neil W. Savage, pathologist Dr. Kern Davis and private investor William Hood III, said in a filing with the U.S. Securities and Ex-change Commission that it is dissatisfied with the financial position and results of Uniteds operations and the price levels and liquidity of its common shares. In an Oct. 26 letter filed with the SEC, the group asked for three board seats, or one third of the seats based on the boards current maximum size of nine members.

    The group is the second to take aim at United Insurance.

    In September, Joseph Stilwell bought a 7.6 percent stake, purchasing shares for-merly owned by Synovus Financial Corp. (NYSE: SNV), and indicated he could use his ownership position to force changes. Stilwell is an activist investor in New York who has pushed for sales of community banks and financial institutions nationally after acquiring their stock.

    Stilwell also controls about 17 percent of the stock of Kingsway Financial Services Inc. (NYSE: KFS), which has a manage-ment services agreement with United and provided an interim chief financial officer to United after its CFO resigned. Donald Cronin, president and chief executive of-ficer, has announced he will retire no later than the end of this month.

    United (OTCBB: UIHC), which writes and services homeowners insurance in Florida and South Carolina and is licensed to write insurance in Massachusetts and Rhode Island, has not publicly responded to the investors concerns.

    original investors and board members at United Insurance, which was founded in 1999 and was affiliated with St. Petersburgs United Bank & Trust, later part of Synovus. The three resigned from the United board in September 2008, after United merged into FMG Acquisition Corp. and became a public company.

    Since that time, it has languished and been at or near break-even levels, Sav-age said.

    Savage said he has not had any com-munication with Stilwell, who said in his

    own Sept. 29 filing with the SEC that the value of Uniteds assets is not reflected in the market price of its stock.

    Uniteds stock has traded between $2 and $4.50 a share in the past year, closing Nov. 1 at $4.24 a share. Volume is low with fewer than 2,000 shares traded on an average day in the past three months.

    For the first half of 2011, United reported total income of $1.8 million, or 12 cents a share, on $44.5 million of revenue, com-pared with a loss of $2.4 million, or 33 cents a share, on $36.3 million in revenue in the first half of 2010. The company has not an-nounced financial results for the quarter ended Sept. 30.

    Proxy fighT noT SoUghTWhen Savage, Davis and Hood formed

    their shareholders group in February, they controlled a combined 2.1 million shares, or just under 20 percent of the outstand-ing stock. Theyve bolstered their holdings and now jointly control 2.4 million United Insurance shares, or 23.43 percent of the common stock, the SEC filing said.

    In the letter to Chairman Gregory Branch, Savage said his group was requesting that Davis, Bruce Lucas and Nick Griffin be appointed to the board.

    Lucas is managing member of IIM Hold-ings LLC in Palm Harbor. Griffin resigned from United as CFO in July 2009.

    As the United board currently has seven members, one member would have to resign or not stand for re-election at the next board meeting in order to satisfy the shareholders request, the letter said.

    Savage said he hopes to avoid a proxy fight. We just want to advance the cause for shareholders.

    The initial focus of the website, which will be up and running within 90 days, will be exporting. Thats because exporters help drive economic growth and have the most to gain from federal assistance, Obama said.

    The site will connect businesses to ser-vices and information, regardless of where this information is located or which agency

    they first turned to for help. This will imple-ment a recommendation of the presidents Jobs and Competitiveness Council.

    Obama directed the BusinessUSA.gov de-velopers to get feedback from the business community as they design and test the site.

    President George W. Bush launched Business.gov, which focused on helping small businesses learn about and comply with government regulations. That site was moved to the Small Business Administra-tions site.

    Keiser buys, plans for campus at GunnAllens former digsBy Jane MeinhardtStaff Writer

    taMPa The former GunnAllen Finan-cial Center will become the new Tampa campus of Keiser University.

    Venus Investment Properties LTD, estab-lished in Fort Lauderdale in September, bought the Class A commercial property Oct. 13 for $7.1 million, Hillsborough County and state corporate records show. Venus Investment includes a corporate partner managed by Arthur Keiser, the universitys founder and chancellor.

    Built in 2003, the five-story building at 5002 West Waters Ave. was custom de-signed with two sections joined by an el-evator bank and a five-story glass atrium. It has a 180-seat auditorium.

    The buildings most recent sale was in 2006 for $7.4 million, the amount of the propertys current appraisal for tax purposes.

    GunnAllen, an independent financial brokerage firm with 400 employees, was shut down in March 2010 amidst allega-tions of rogue brokers and Ponzi schemes. A bankruptcy judge confirmed its liqui-dation plan, which became effective last November.

    FroM Brokerage to classrooMsKeiser University, based in Fort Lauder-

    dale, has a Tampa campus in leased space at 5225 Memorial Highway. A date for mov-ing into the new site has not been decided.

    The existing campus services roughly 700 students and has 100 employees. Keiser said he expects enrollment and the num-ber of employees to double in the next few years.

    The former GunnAllen building was purchased shortly after the university got final approval in August to transition from a for-profit career college to a nonprofit institution.

    The university has typically leased its campus sites around Florida but now may do something different as a nonprofit.

    With the recent transition, real estate is a positive on the balance sheet, Keiser said. This is a Class A office tower, and well have 50 classrooms, laboratories, a library and an auditorium. Were also add-ing some new and advanced programs.

    For-profit career institutions increasingly are the focus of criticism and investiga-tions over allegations regarding recruiting

    methods and student loan defaults.Nearly 75 percent of Keiser Universitys

    revenue is from federal student loans, which is about average for similar career education institutions.

    I am a strong supporter of the for-profit sector, Keiser said. Attacks on for-profits are spreading but not because of their tax status.

    The conversion to nonprofit status is part of a decades-old Keiser family goal that began with the purchase of Everglades College Inc. in the late 1990s, Keiser said.

    Everglades College, which is based in Boca Raton and owns Everglades Univer-sity, was given nonprofit 501c(3) status in 2002 and became independently operated by a board of trustees. Keiser donated the value of his stock to the college.

    Early this year, he sold Keiser University to Everglades College Inc. but remains as the universitys chancellor. Keiser de-clined to discuss financial details of the transaction.

    gaining access to PuBlic MoneyThe nonprofit status gives Keiser Uni-

    versity the ability to attract quality fac-ulty and students and build an endow-ment, Keiser said. University faculty can get funding from foundations for re-search projects because it is a nonprofit. Probably the major financial benefit of nonprofit status for the university is its ability to raise public money, said Nick Lanese, partner at Cohen Florida, a certi-fied public accounting firm with offices in Tampa, Sarasota and Orlando.

    They can apply for public grants, and they wont have to pay income tax on the money they keep for operations, he said. There are also some sales tax exemption benefits like on equipment they lease and even the purchase of some supplies. The big deal though is the public money.

    The university is in the process of build-ing community awareness of its conversion to nonprofit and starting to get scholar-ships from foundations, Keiser said.

    Statewide, it has nearly 3,500 employees and 18,000 students, most of them work-ing adults.

    We are now owned by the community basically, Keiser said. It makes a big dif-ference for donors.

    Quality relationships take on the qualities of connective tissueConnective tissue in our bodies feed

    vital organs, provide structural support and help transport waste. Without it we wouldnt survive.

    Relationships determine who we hang out with, marry, work for and otherwise associ-ate with connecting things such interests, beliefs, hobbies and careers. Theyre vital to our well-being and existence.

    Relationships are a fundamental part of selling. Ask any salesperson about a sale in progress, and he or she likely will respond

    sooner or later about relationships.The seller will either say, Ive got a good

    relationship with so and so stakeholder, or We dont have any relationships with key people.

    Ask about a sale recently won and the seller will say, We won that sale because of our relationship with so and so. For a sale lost: We had no or weak relation-ships there.

    And yet in my seminars and coaching, I often say theres too much emphasis on

    relationships. Before they have a chance to throw me

    out of the room or leave, I say its not rela-tionships they should focus on. Its whats underneath that deserves attention.

    The seller needs to know if a given stake-holder wants the seller to win the sale or not. Relationship wont help determine that as much as something I call situ-ational motivation.

    Relationship describes an overall position the seller has with the stakeholder. The seller

    can have a good relationship with someone because he went to school with her or shes a LinkedIn connection or a former client.

    But relationship falls short of being the key variable be-cause it transcends the sale.

    Situational motivation describes the stakeholders motivation to help the sales-person win the sale.

    The stakeholder has three possible options:

    Wants the sellers solution. Such stakeholders are your advocates.

    Doesnt want the sellers solution to win Doesnt care one way or the other Motivation is the determining factor.

    Why would a stakeholder really want your specific solution? It might be seen as a ticket to a promotion, for example.

    AdvocAtes creAte An edge I made a sale in 2009 to the North Ameri-

    can business of a large global health care company based on the east coast.

    The vice president of sales, Ill call her Jane, was a major reason I won the sale. She really wanted my solution. She believed it was right and best for her sales team.

    She lobbied for it and sold others on why they should spend money on it. I discov-ered that her situational motivation was rooted in her wanting to be seen by her team and by her superiors as a leader.

    Months after we had implemented my sales process, she was thrilled with the results and contacted her counterpart in Germany and said he should consider this process for his team. Soon I was in Aachen, Germany, training his entire Eu-ropean sales team.

    What was Janes situational motivation this time? I believe she saw an opportu-nity to solidify her reputation as a senior leader bringing value beyond her imme-diate team.

    Later, Jane and her counterpart in Eu-rope helped me win a third sale in their company to its Asia Pacific division based in Singapore.

    I have a good relationship with Jane. Shes on my speed dial whenever a new prospect asks about a reference.

    The key to that relationship helping me win additional sales depends on my abil-ity to bring her something of value when she needs it most. For the past three sales, I helped her be seen as a leader and as an unselfish senior executive. She needed this, and we made a good team.

    I cant and wont assume that these mo-tivations are still present or that I could help her with another solution. If I have another sale on my funnel for Janes com-pany, I have to discover if she could be an advocate for me again.

    This isnt a game of semantics. Its the difference between cause and effect.

    A good relationship is the effect achieved when the seller has done something to create the good relationship.

    Ask yourself whether you have a stake-holder who is fighting hard to help you win. If not, find someone with influence who is trying to accomplish some personal objectives and convince him or her that your solution will contribute to that goal.

    LINDELL CAPITAL, LLC, the newly formed lending arm of LINDELL INVEST-MENTS, headed by long time business leader, Carl Lindell, has closed another $1.5 million dollar 1st mortgage loan on an area condo project formerly in foreclosure.

    Dennis Slater, Executive Vice President and CFO for Lindell, said that this is the second loan in addition to a $1.8 million dollar loan to the same borrow-er on a bulk condo purchase.

    The borrower was intro-duced to us by a local business broker and we quickly became very comfortable with the ac-quisition price and the business model, obtaining 90% rental occupancy within the first 90 days.

    The first deal went exactly according to their plan so it made a lot of sense to partner with them on their next acquisi-tion, Lindell said. We feel real good about the relationship.

    The majority of our loans have been real property and de-velopment related, but we have also advanced over $2.1 million against accounts receivable and inventory for a couple of rapidly expanding local enterprises, Lindell added.

    Slater confirmed the contin-ued rise in new loan package ap-plications. Many local business brokers are coming to us with solid acquisition and business models that most banks just wont consider. We perform a business analysis and make im-mediate decisions. The capital is readily available and the trans-actions can be closed within a short time.

    Lindell added, If the request makes good business sense, we consider the loan.
