    OLDSMaR Theres a lot of red ink on the first financial report filed by Cryo-Cell In-ternational Inc. since new owners gained control.

    Cryo-Cell reported a net loss of $2.4 million, or 20 cents a share, for the three months ended Aug. 31 after writing off abandoned patents and reimbursing an activist in-vestment group, the Portnoy Group, for legal costs in a suc-cessful proxy contest. Cryo-Cell also set aside $950,000 for potential severance to its former chief executive, Mer-cedes Walton.

    There was an aspect of try-ing to clean up the books, said David Portnoy, who led the proxy fight and now is chairman and co-chief ex-ecutive. Were working very hard, and we expect the fu-ture of the company will be bright.

    Although relatively small with just over $17 million in annual revenue, Cryo-Cell (OTCQX: CCEL), a stem cell preservation firm, is one of the older and more estab-lished biotechnology companies in the Tampa Bay area. As one of the few pub-licly traded biotech firms headquartered here, its financial reporting also gives some insight into the state of the life sciences industry, an industry that economic de-velopment leaders have been trying to expand.

    PayBaCkCryo-Cells revenue for the third quar-

    ter of its fiscal year was $4.4 million, a 3.3 percent decline from the year-ago quarter, but its costs and expenses nearly doubled, a report filed with the U.S. Securities and Exchange Commission said.

    Most of the increase was in marketing, general and administrative expenses, including accrued severance for Walton, who was ousted after the Portnoy Group took control. She could be entitled to up to $950,000 per her employment agreement, the filing said.

    The filing also said Walton was termi-nated for cause, and the company believes that Ms. Walton has not earned the right to this severance.

    Another large cost was $940,000 for Cryo-Cells annual meeting Aug. 25, when the Portnoy Groups slate of nominees won a contested election for seats on the board of directors.

    After the new board took control, direc-tors voted to reimburse the Portnoy Group $528,000 for costs incurred in the proxy fight as well as an earlier unsuccessful contest in 2007.

    A judge in the Delaware Court of Chan-cery later ruled that the results of the shareholders vote in 2007 were tainted by inequitable behavior by Walton and ordered a new election.

    The litigation was crucial to having the 2011 board election run in a fair manner, Portnoy said.

    Proxy cost reimbursement is common in those contests where dissidents win board control, said a source familiar with public company reimbursement policies. As a general matter, reimbursement for successful dissident candidates is consid-ered a good governance practice because it helps level the playing field for dissidents and typically is viewed as merited because the dissident candidates received majority support from investors.

    At least one company, HealthSouth Corp. (NYSE: HLS), has a bylaw that provides for reimbursement of expenses incurred by stockholders in connection with successful proxy fights.

    WRiteOffSCryo-Cell also wrote off about $208,000

    in abandoned patents and trademarks. We didnt feel they had the value to continue to pour resources into, Portnoy said.

    The bright spot of the third quarter for Portnoy was renegotiation of a contract with Cryo-Cell de Mexico, the companys largest affiliate outside of the United States. The Mexican operation alleged that Cryo-Cell breached its licensing agreement on June 17 and provided notice of termination on Aug. 17. The agreement later was amended and the notice of termination revoked, the filing said, and Portnoy said he was happy to resolve the dispute.

    The amended deal calls for the Mexican operation to pay Cryo-Cell $1.9 million over three years and then the agreement will be effectively terminated, resulting in a loss of licensee income in future periods, the filing said.

    WaShingtOn Small companies are lead-ers in developing clean energy technology, says a study by the Small Business Admin-istration Office of Advocacy.

    The study looked at looked at 1,279 businesses that were awarded 15 or more patents from 2005 to 2009. It found that small businesses held 14 percent of green technology patents, compared with 8 per-cent of patents overall.

    Small companies were particularly strong in solar energy and smart grid technology, where theyve been awarded more than 32 percent of all patents. They

    accounted for 15 percent of patents in batteries and fuel cells.

    The small firms were more productive than big businesses, the study found. Busi-nesses with fewer than 500 employees produced 27 patents per 100 employees, compared with 1.6 patents per 100 em-ployees in larger businesses.

    However, the study found that 80 per-cent of the most prolific inventors of green technologies at small firms pre-viously worked at large companies or university labs.

    taMPa Working for one of the largest employers in the Tampa Bay area is one way Turner Construction Co. is prepar-ing for a commercial construction revival.

    The New York-based firm is general con-tractor for a $49 million expansion at Semi-nole Hard Rock Hotel & Casino, probably the largest privately funded construction project currently under way in the Bay area.

    It is Turners first job for the Seminole Tribe and a way to start beef-ing up its Tampa presence, said Bryan Boykin, Turners manager for Central and North Florida.

    The company had been a major player in the commer-cial construction arena in the past. It has had an office in Tampa since the early 1990s.

    Turner plans to add several more em-ployees and renovate the Tampa office, which now has about a dozen employees.

    The company, which had $8 billion in busi-ness last year, was the construction manager for the research tower project at H. Lee Mof-fitt Cancer Center and the contractor for con-struction of the Byrd Alzheimers Institute.

    Turner is seeing a significant increase in

    renovation and interior work, but its the casino project that signals its intentions.

    Were trying to position ourselves in the market, and the Hard Rock project gives us the ability to plant our flag again, Boykin said. Obviously, Hard Rock is a significant player. Were gearing up for when the mar-ket turns because we believe the market is going to start taking off next year, and there will be some major corporate projects in the Tampa Bay area.

    Turners strategy creates opportunities for other businesses. It hires local subs for each project.

    We solicit and pursue small local subcontractors, many of them minority owned, Boykin said. We have a different list of area subs for each project.

    Although construction on the casino project has started, Turner is bidding sub-

    contract work in phases and has a final phase remaining.

    The project is on track for the scheduled spring 2012 completion, Boykin said. The project creates about 350 jobs.

    More gaMBling sPaceWhen completed, the expanded casino

    will provide 431 new jobs, said John Fon-tana, president of Seminole Hard Rock Hotel & Casino. The additional jobs will boost the casino complexs total employ-ment to nearly 3,500 people.

    The Tribes complex is on 37 acres on North Orient Road.

    Hard Rock is adding a five-story parking garage in an area formerly used for valet parking. The garage will have 1,314 spaces, which brings the total to about 5,000 spaces.

    The projects main feature is an expanded gaming floor. The 32,000-square-foot addi-tion will make Seminole Hard Rock Tampa the eighth largest casino in the country at 220,000 square feet, Fontana said.

    The casino will have 750 more slot ma-chines for a total of about 5,000. The ex-panded gaming floor will have 12 more table games, giving gamblers 104 games total.

    Fontana did not have a count of annual visitors other than millions.

    For certain, we are the busiest attraction in West Central Florida and have higher visitation all year long than many of the local attractions, he said.

    The struggling economy has not had much of an impact on the casino. More expansion will be dictated by demand.

    The Seminole Tribe of Florida is always evaluating future progress based on ongoing guest demands and needs, Fontana said.

    Certified workers at the Tampa company have been repairing industrial and marine fluid power systems since 2004. This year three more joined the company, which took advantage of a Hillsborough County job creation incentive program.

    The county launched the program in March and estimated the payroll grants would generate about 200 jobs by the end of the summer.

    Through Oct. 20, a total of 65 jobs had been created with another eight positions coming onboard soon. A to-tal of $232,669 has been committed to 40 businesses accepted into the pro-gram, which leaves $267,331 available for more grants.

    Any money as incentive is good, espe-cially when you have to train employees, said Pam Fay, president of Lightning Bay Pneu-draulics, which hired three workers earning from $18 per hour to about $35 per hour.

    There are a lot of startup costs for each employee, and training new people can slow down other employees, Fay said.

    The payroll grant pays up to half the wage of up to three new workers, capped at $3,900 per new employee. The jobs created

    must be full-time and last at least three months. Companies that hired less than three workers with the grant are eligible to reapply.

    To qualify, businesses must be located in Hillsborough and can have no more than 10 employees. Workers hired with grant funds must live in the county.

    Applicants must attend a minimum four hours of workshops or counseling sessions to qualify.

    The intention is not to spend the money quickly, said Stephen Gran, act-ing director of the countys economic development department. The intent is to provide an incentive for small busi-nesses to create jobs. Its to give them a boost, but it is not intended to be a long-term crutch.

    The county is considering reducing the full-time requirement to 36 hours a week to provide more flexibility. The proposed change is likely to be considered by the Board of County Commissioners in De-cember.

    Small businesses operate differently and

    dont have a lot of full-time employees, said Commissioner Sandra L. Murman, who initiated the program. The county must do a better job of marketing the program to the small business com-munity, especially minority-owned firms, she said.

    Hillsboroughs overall un-employment rate for Septem-ber was 10.5 percent.

    The hires made with the incentive program so far have paid an average wage of $15 per hour with a range of $7.25 an hour to nearly $40 an hour.

    Professional services positions in fi-nance, marketing, technology and engi-neering have started at $15 an hour. Retail, security, restaurant and lawn care jobs have paid from $8 to about $12 an hour.

    None of the grant money has been used to hire workers in the depressed construc-tion sector.

    Thirty-two of the 65 employees hired so far have reached the three-month an-niversary date covered by the grant.

    Most of those companies that have completed the program have retained the employees, said Lynn Schultz, the countys business development coor-dinator. Lightning Bay retained one of three workers.

    A detailed retention report will be pro-duced early next year.

    Customization, talent drive growth at AgileThoughtBy MArgie MAnningSenior Staff Writer

    TAMPA AgileThought Inc. is quick on its feet in the race for tech dollars.

    The seven-year-old software develop-ment and systems integration firm is on track to double revenue this year to more than $10 million, said David Romine, presi-dent and chief executive.

    AgileThought expanded staff more than fourfold, from 20 workers in January to 93 as of mid-October, and has 18 to 20 open positions. Its also in line for tax incentives tied to job growth.

    To accommodate its growth, Agile-Thought relocated to a Rocky Point office, double the size of its former office and with expansive water views of Tampa Bay. The company worked with the buildings owner to give the space a $500,000 makeover to match the companys casual but profes-sional work style.

    We built space that suits how we oper-ate, Romine said. This represents con-fidence in where we are going as a com-pany.

    More ThAn TeChnologyAgileThought specializes in custom soft-

    ware development for customers.Its not something they can buy off the

    shelf. Its not shrink-wrapped, said Ryan Dorrell, chief technology officer.

    The company also provides expertise, and that requires hiring workers who can have business-oriented discussions with clients to identify gaps and find solutions, said Jeff Alagood, chief operating officer.

    Its not just about the technology, Ro-mine said.

    AgileThought recently worked with Kforce Inc. (Nasdaq: KFRC), a Tampa pro-fessional staffing firm, to develop software built on a Microsoft platform to process payroll for about 10,600 people. The system cut IT expenses by 50 percent, a case study published by Microsoft Corp. (Nasdaq: MSFT) said. AgileThought also trained Kforce IT employees in Microsoft develop-ment techniques.

    Finding local talent can be a challenge, Alagood said.

    AgileThought is looking for people who get excited about putting together software that works and delights the client, Ro-

    mine said. Its own workers are sometimes the best recruiters because they attract like-minded people.

    The company has opened a Chicago office, in part to draw from a bigger tal-ent pool.

    AgileThought also told the city of Tam-pa, Hillsborough County and the state of Florida that it would create 12 positions locally at an average wage of $81,448 a year, or 200 percent of the average annual salary in the area, by the end of 2012. That puts the company in line for a per-job tax refund incentive of $7,000 over four years under the states Qualified Target Industry program.

    We think we will grow well beyond that, Alagood said.

    AdAPTing To ChAngeFloridas software, computer systems

    and design, and integration industry is one of the largest in the United States, with some 12,600 firms, according to Enterprise Florida. Software firms in particular have been in the spotlight lately drawing $2 billion in venture capital investment nationwide in the third quarter, their stron-gest quarter in almost 10 years, according to the MoneyTree report from Pricewa-terhouseCoopers LLP and the National Venture Capital Association.

    The prevalence of mobile devices, which require special software applications, and increased use of cloud computing, which allows businesses to store software appli-cations and data offsite and access it via the Internet, are driving software industry growth, said Dave Hansen, chief executive of Numara Software Inc. in Tampa.

    Because businesses that use the cloud dont have as much IT infrastructure on site, deals for software are structured as a month-to-month or year-to-year op-erational expense, as opposed to a capital cost. Its a better way to predict spending every year, Hansen said.

    AgileThought has a partnership with Microsoft around Azure, Microsofts cloud offering, and is working with several cli-ents on cloud computing, Romine said. AgileThought also has mobile capabilities and is doing mobile development work for several clients.

    Venture capitalists nationwide invested $21.2 billion into 2,725 deals for the first three quarters of 2011, a 20 percent in-crease in dollars invested and a 3 percent increase in the number of deals compared with the first three quarters of 2010.

    For the just completed third quarter, how-ever, investments lagged. A total of 876 deals drew $6.95 billion in venture capital invest-ments, a 12 percent decline in terms of dol-lars and a 14 percent drop in the number of deals, according to the MoneyTree report from PricewaterhouseCoopers LLP and the National Venture Capital Association.

    The southeast United States, including Florida, saw a similar trend with $242.1 million invested in 45 deals from July 1 through Sept. 30, compared with $343.5 million invested in 60 deals in the year-ago period.

    Despite the statistical downturn, the venture capital investing environment is very active, said Drew Graham, manag-ing partner at Ballast Point Ventures in St. Petersburg.

    2010 was a little slower in terms of entre-preneurs waiting to see what would hap-pen in the macroeconomic environment. That has changed in 2011, Graham said.     With $200 million under management, Ballast Point invests in established but rap-idly growing, privately owned companies, and places an emphasis on companies located in the Southeast and Texas.
