Ann Norman - General Manager, Sub-Saharan Africa

Mr. Justice O. Derefaka - PM, NGFCP

Ann Norman is General Manager for Sub-Saharan Africa for Pioneer Energy.

She has been sharing her time between Africa and the U.S. for the past 14 years.

She has been instrumental in introducing U.S. companies into emerging African

markets, as well as showcasing and driving foreign direct investment in Africa,

particularly in the healthcare, energy and infrastructure spaces.

She brings a unique knowledge and working experience of financing and

investment mechanisms for emerging African markets, and has successfully

worked with both private sector banks, as well as development institutions to bring

financing and funding for infrastructure and energy programs throughout Africa.

She is fluent in French.

Mr. Justice O. Derefaka is a Marine Engineering graduate from the Rivers State

University (RivSu), Port Harcourt. He has a Master's degree in Environmental

Management from the University of Lagos (Unilag) and a second Master's degree

in Sustainability Leadership from the University of Cambridge, United Kingdom

(UK). He is also a doctoral research scholar at the University of Bradford, United

Kingdom.

He is currently the Program Manager (PM) of the Nigerian Gas Flare

Commercialization Programme (NGFCP), in the office of Honorable Minister

of State, Petroleum Resources, Federal Ministry of Petroleum Resources (MPR),

Abuja. In this role and reporting to the NGFCP Ministerial Steering Committee

(SteerCo), Derefaka manages the NGFCP which is designed as the strategy to

implement the policy objectives of the Federal Government (FG) for the elimination

of gas flares from Nigeria's oil & gas fields in the near term (2-3 years), with

potentially enormous multiplier and development outcomes for Nigeria as well as

Nigeria's commitments as ratified at the Paris Climate Change Agreement

(COP21) which included gas flaring reduction as a key national greenhouse gas

(GHG) emissions mitigation in the Intended Nationally Determined Contributions

(iNDC's).

Prior this role, Mr. Justice manages occupational health, safety and environment

(HSE) for all pipeline asset for The Shell Petroleum Development Company (SPDC).

Previously, he was with Shell Nigeria Exploration and Production Company

Limited (SNEPCo) as the Head, Environment and Social Performance. At different

times in SPDC, he was the Corporate Head: Materials and Waste Management

Discipline and subject matter expert (SME) for Shell Companies in Nigeria (SCiN)

and Shell Gabon respectively.

Abimbola (Bibi) is a transaction advisor and subject matter expert in oil and gas

commercial contracts, trading, policy, strategy and gas monetization. She has

over 22 years of industry experience working with Schlumberger, Baker Hughes

Inteq, Shell and Total in several countries around the world.

Bibi runs Wycliffe Advisory & Consulting in Canada, advising and serving oil and

gas majors in Alberta.

She has worked in the international development space as an advisor to several

governments including Nigeria, USA and UK governments respectively. Her

expertise spans exploration and production, gas to power solutions, business

development/investor value creation.

She led several negotiations on unitizations, joint development agreements,

divestments and asset recovery projects.

Bibi hold a degree in Physics from the University of Ibadan, an MBA from the

Warwick Business School, University of Warwick, UK, Supply and Logistics from

the Manheim University, Germany and an Executive Degree from the Lagos

Business School in Nigeria.

Bibi is the Country Director at Wycliffe Advisory and Consulting Services Ltd and

the Technical Principal at Tranergy & Co.

Bolaji is a transaction and subject matter expert in international energy and

transport structuring and financing.

Prior to Tranergy, Bolaji worked with Avante Capital as the Vice President

(Energy). Prior to Avante Capital, he was with HBoS Banking Group UK working in

credit risk for financial and commodity hedging transactions.

Bolaji worked in various economic analytical roles with Citigroup UK, and offshore

investment and dealing roles with the Bank of New York Mellon. Bolaji was a

senior transaction adviser on the US$1.65 billion Oando Energy Resources

acquisition of Conoco Philips Nigeria and was the lead adviser on the US$170

million Mainstream Energy acquisition of Kainji Power Plc.

He holds a Masters degree in Shipping, Trade and Finance from Cass Business

School, City of London, UK; and Masters degree in Oil and Gas Economics from

the University of Dundee, Scotland UK.

Bolaji currently serves as the Chief Executive at Tranergy & Co.

Israel is a Lawyer with a wealth of experience in corporate structuring, Energy,

commercial transactions, legal risk and management. He has extensive

commercial and legal knowledge of the oil and gas business in Nigeria. He is the

Managing Partner at Legex Partners (a virtual law firm) and the Senior Partner at

Primera Africa Legal. In addition to his roles, he is a Director at the Aspen Energy

Nigeria (Energy Services and Consulting) Group and faculty member of the

International Law Institute- African Centre of Excellence (ILI-ACLE). Israel has been

named by Who's Who Legal annual ratings as one of the world's leading expert in

energy and natural resources legal practice consecutively since 2012.

His areas of practice specialization include corporate structuring, Legal risk and

Management trainings, Law and Practice in the Energy and Natural Resources

Industry, International Commercial Law, Real Estate and Infrastructure as well as

Dispute Resolution

Ivie is a qualified transaction lawyer/regulatory and due diligence expert in the

energy sector with over 10 years' experience, particularly in the gas and power

sector where she has been involved in a wide array of complex transactions for

multiple clients across the value chain. She possesses an extensive knowledge of

Power Sector Industry, Transaction, Contractual and Regulatory documents and

processes, Oil and Gas Contracts and has provided transaction advisory services

to a wide array of clients from conception, structure development, implementation

and financing to post completion formalities of energy projects. Ivie has advised

clients on legal, regulatory and commercial strategies for gas commercialisation

and sale to offtakes.

Given her in-depth knowledge of the energy sector from a legal, regulatory and

commercial perspective, she is also a Legal and Regulatory Consultant for Energy

Market and Regulatory Consultants (EMRC) (formerly Mercados EMI), a specialist

consultancy firm focused on energy markets, regulation, transactions and

commercial issues across the globe. She is a Transaction Advisor (Legal,

Regulatory and Governance Expert) on the Nigeria Power Sector Program, a

Power Africa Initiative by the U.S Agency for International Development (USAID).

Working with a team of global experts on the World Bank Scaling Up Power

Transmission in Africa (SUPTA) Project, she provided advisory support on the legal

and regulatory framework for independent power transmission. Ivie was also

appointed as a Legal Expert on Millennium Challenge Corporation (USA) projects

and supported with the 'Regulatory Strengthening and Tariff Development Project'

for the Sierra Leone Electricity and Water Regulatory Commission.

Ivie is a member of the Chartered Institute of Arbitrators and has been involved in

resolving complex disputes amongst key players and stakeholders in the energy

industry. She also has vast experience in Commercial Law Transactions, Due

Diligence and Transaction Advisory, Mergers and Acquisitions, Project Finance

and PPP Transactions.

TERM AND CONDITION. Application and entire agreement 1. These Terms and Conditions apply to the provision of the services detailed in our quotation (services) by syncrest power and gas limited a company registered in Nigeria whose registered office is at 24a ayinde akinmade street, off admiralty way, Lekki phase1, Lagos. Nigeria, (we or us) to the person buying the service (you). 2 You are deemed to have accepted these Terms and Condition when you accept our quotation or from the date of any performance of the service [whichever happens earlier] and these Terms and Conditions and our quotation (the contract) are the entire agreement between us. 3.You acknowledge that you have not relied on any statement, promise or representation made or given by or on our behalf. These Conditions apply to the contract to the exclusion of any other terms that you try to impose or incorporate, or which are implied by trade, custom, practice or course of dealing interpretation 4.A “business day” means any day other than a Saturday, Sunday or bank holiday.5. The headings in these Terms and Conditions are for convenience only and do not affect their interpretation.6.Words imparting the singular number shall include the plural and vice-versa. services 7. We warrant that we will use reasonable care and skill in our performance of the services which will comply with the quotation, including any specification in all material respects. Cancellation and amendment 17. We can withdraw, cancel or amend a quotation if it has not been accepted by you, or if the services have not started, within a period of 7 days from the date of the quotation {unless the quotation has been withdrawn} 18. Either we or you can cancel an order for any reason prior to your acceptance (or rejection) of the quotation 9. If you want to amend any details of the services you must tell us in writing as soon as possible we will use reasonable endeavours to make any required changes and additional costs will be included in the fees and invoiced to you 20. if due to circumstances beyond our control, including those set out in the clause below (circumstances beyond a party's control), we have to make any change in the services or how they are provided, we will notify you immediately. we will use reasonable endeavours to keep any such changes to a minimum Payment. 21. we will invoice you for payment of the fees either a) when we have completed the services; or b) on the invoice's dates set out in the quotation 22. You must pay the Fees due within 7days of the date of our invoice or otherwise in accordance with any credit terms agreed between us. 23.Time and Conditions must be shall be of the essence of the contract. 24. Without limiting any other right or remedy we have for statutory interest. if you do not pay within the period set out above, we will charge you interest at the rate of 1%per annum above the base lending rate of the Bank of England from time to time on the amount outstanding until payment is received is full. 25. All payments due under these Terms and Conditions must be made in full without any deduction or withholding expect as required by law and neither of us can assert any credit, set-off or counterclaim against the other in order to justify withholding payment of any such amount in whole or in part. 26. if you do not pay within the period set out above, we can suspend any further provision of the services and cancel any future services which have been ordered by, or otherwise arranged with, you. 27. Receipts for payment will be issued by us only at your request. 28 .All payments must be made in Naira unless otherwise agreed in writing between us. Sub-Contracting and assignment 29. We can at any time assign, transfer, charge, subcontract or deal in other manner with all or any of our rights under these Terms and Conditions and can subcontract or delegate in any manner any or all of our obligations to any third party. 30. You must not, without our prior written consent, assign, transfer, charge, subcontract or deal in any of your rights or obligations under these Terms and Conditions Termination 31. We can terminate the provision of the services immediately if you a commit a material breach of your obligations under these Terms and Conditions; or b) fail to make pay any amount due under the Contract on the due date for payment; or c) are or become or, in our reasonable opinion, are about to become, the subject of a bankruptcy order or take advantage of any other statutory provision for the relief of insolvent debtor; or d) enter into a voluntary arrangement under part 1 of the insolvency Act. 1986, or any other scheme or arrangement is made with its creditors or reconvene any meeting of your creditors, enter into voluntary compulsory liquidation, have a receiver, manager, administrator or administrative receiver appointed in respect of your assets or undertakings or any part of them, any documents are filed with the court for the appointment of an administrator in respect of you, notice of intention to appoint an administrator is given by you or any of your directors or by a qualifying floating charge holder (as defined in para. 14 of schedule B1 of the insolvency Act 1986}, a resolution is passed or petition presented to any court for your winding up or for the granting of an administration order in respect of you, or any proceedings are commenced relating to your insolvency or possible insolvency intellectual property 32. We reserve all copyright and any other intellectual property rights which may subsist in goods supplied in connection with the provision of the services. We reserve the right to take any appropriate action to restrain or prevent the infringement of such intellectual property rights. Liability and indemnity 33. Our liability under these Terms and Conditions, and in breach of statutory duty, and in tort or misrepresentation or otherwise, shall be limited as set out in this clause. 34. The total amount of our liability is limited to the total amount of fees payable by you under the contract. 35. We are not { whether caused by our employees, agents or otherwise) in connection with our provision of the services or the Services or the performance of any of our other obligations under these Terms and Conditions or the quotation for: a) any indirect, special or consequential loss, damages, costs, or expenses or b. any loss of profits; loss of anticipated profile; loss of business; loss of reputation or goodwill; business interruption; or , other third party claims; or c. any failure to perform any of our obligations if such delay or failure is due to any cause beyond our reasonable control; or d any losses caused directly by any failure or your breach in relation to your obligations; or any losses arising directly or indirectly from the choice of services and how they will meet your requirements or your use of the services or any goods supplied in connection with the services. 36. you must indemnify us against all damages, cost, clams and expenses suffered by us arising from any loss or damage to any equipment (including that belonging to third parties) caused by you or your agents or employees. 37. nothing in these terms and conditions shall limit or exclude our liability for death or personal injury caused by our negligence, or for any fraudulent misrepresentation, or for any other matters for which it would be unlawful to exclude or limit liability. circumstances beyond a party's control 38. neither of us is liable for any failure or delay in performing our obligations where such failure or delay results from any cause that is beyond the reasonable control of that party. such causes include, but are not limited to power failure internet service provider failure, industrial action, civil unrest, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question. if the delay continues for a period of 90 days, either of us may terminate or cancel the services to be carried out under these Terms and Conditions. Communications. 39. All notices under these Terms and Conditions must be in writing and signed by, or on behalf of, the party giving notice (or a duly authorised officer of that party). 40. Notices shall be deemed to have been duly given: a. when delivered, if delivered by courier or other messenger (including registered mail) during the normal business hours of the recipient; b. when sent, if transmitted by fax or email and a successful transmission report or return receipt is generated; c. on the fifth business day following mailing, if mailed by national ordinary mail; or d. on the tenth business day following mailing, if mailed by airmail 41. All notices under these Terms and conditions must be addressed to the most recent address, email address or fax number notified to the other party. No waiver 42. No delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy nor stop further exercise of any other right, or remedy. Severance. 43. If one or more of these Terms and conditions is found to be unlawful, invalid or otherwise unenforceable, that/those provisions will be deemed severed from the remainder of These Terms and Conditions (which will remain valid and enforceable). Law and jurisdiction. 44. These Terms and Conditions are governed by and interpreted according to Nigerian law. All dispute arising under these Terms and Conditions are subject to the exclusive jurisdiction of the Nigerian courts.
