All property, plant and equipment allocated to the Mercedes-Benz Cars & Vans Division or the Daimler Trucks & Buses Division will transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law and by way of so called partial universal succession according to the allocation in the Hive-down Agreement.

The inventory labels of existing tools or load carriers will not be changed. New tools or load carries will receive inventory labels of the new company expected by November 1, 2019.

The unloading points 351-360 of location Gaggenau have been allocated to plant 010 of Mercedes-Benz AG. Purchase orders of these unloading points have already been issued for plant 010. Therefore, invoices and credit notes have already been allocated to plant 010 as of today. As of November 1, 2019, these must be issued to Mercedes-Benz AG or will be issued by Mercedes-Benz AG. Goods which were shipped prior to hive-down by Daimler AG can be cleared too. A deviation between customs invoice and commercial invoice is not a problem since only the commercial invoice is relevant for the tax authorities.

According to the split in the hive-down agreement all contracts will be either transferred to Mercedes-Benz AG respectively Daimler Truck AG or will remain at Daimler AG.

Upon the Hive-down taking effect, Mercedes-Benz AG or Daimler Truck AG, respectively, assume all rights and obligations of Daimler AG under agreements with its suppliers to the extent these agreements form part of the Hive-down Assets pursuant to the Hive-down Agreement. Subsequently, the agreements remain unchanged and in full force and effect between the contracting party and Mercedes-Benz AG or Daimler Truck AG, respectively, which means that all terms and conditions remain unchanged.

How will the transfer of respective divisions to Mercedes-Benz AG and Daimler Truck AG be executed?

The portion of the assets of Daimler AG that shall be transferred to Mercedes-Benz AG or Daimler Truck AG, respectively, is defined in the Hive-down Agreement. Upon the Hive-down taking effect by registration in the Commercial Register of Daimler AG, all assets and liabilities forming part of the Hive-down Assets transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law (§§ 123 para. 3 no. 1, 131 para. 1 no. 1 UmwG (Umwandlungsgesetz – German Transformation Act)).

This so called partial universal succession allows for a transfer of assets and liabilities attributable to the respective divisions without making multiple legally independent transactions (assignments, transfers, etc.). In particular, as a general rule, agreements between Daimler AG and third parties which form part of the respective Hive-down Assets also transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law without consent of the third party.
