For LDT-Supplier in Gaggenau (Unloading points 351-360)

The unloading points 351-360 of location Gaggenau have been allocated to plant 010 of Mercedes-Benz AG. Purchase orders of these unloading points have already been issued for plant 010. Therefore, invoices and credit notes have already been allocated to plant 010 as of today. As of November 1, 2019, these must be issued to Mercedes-Benz AG or will be issued by Mercedes-Benz AG. Goods which were shipped to Daimler AG prior to hive-down (and hence customs documents were issued on the name of Daimler AG) can be cleared by the respective new company after hive-down.

Goods which were shipped prior to hive-down by Daimler AG can be cleared too. A deviation between customs invoice and commercial invoice is not a problem since only the commercial invoice is relevant for the tax authorities.

How will the transfer of respective divisions to Mercedes-Benz AG and Daimler Truck AG be executed?

The portion of the assets of Daimler AG that shall be transferred to Mercedes-Benz AG or Daimler Truck AG, respectively, is defined in the Hive-down Agreement. Upon the Hive-down taking effect by registration in the Commercial Register of Daimler AG, all assets and liabilities forming part of the Hive-down Assets transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law (§§ 123 para. 3 no. 1, 131 para. 1 no. 1 UmwG (Umwandlungsgesetz – German Transformation Act)).

This so called partial universal succession allows for a transfer of assets and liabilities attributable to the respective divisions without making multiple legally independent transactions (assignments, transfers, etc.). In particular, as a general rule, agreements between Daimler AG and third parties which form part of the respective Hive-down Assets also transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law without consent of the third party.

What consequences does the partial universal succession of Mercedes-Benz AG and Daimler Truck AG have for the affected parties?

Upon effectiveness of the Hive-down Mercedes-Benz AG or Daimler Truck AG, respectively, assume all rights and obligations of Daimler AG under agreements with third parties to the extent these agreements form part of the Hive-down Assets pursuant to the Hive-down Agreement. Will there be a change in the unloading points?

No, unloading points will not change. Existing unloading points will be transferred in line with their current way of use per plant to either Mercedes-Benz AG or Daimler Trucks AG. Unloading points of plants which will be allocated to Daimler AG in the new corporate structure will remain at Daimler AG. There are exceptions for the plant Gaggenau. For details, please refer to the appendix.

Will documents and data which were available up to now for customers and suppliers in systems of Daimler AG continue to be available in the same systems? Are new login credentials required for data concerning Daimler AG, Mercedes-Benz AG and Daimler Truck AG (e.g. SMB, eSEP++, eDocs, SDB and FVP)?

All relevant data of Daimler AG, Mercedes-Benz AG and Daimler Truck AG will still be available as of today in the existing systems. Login credentials remain unchanged.


The unloading points 351-360 of location Gaggenau have been allocated to plant 010 of Mercedes-Benz AG. The corresponding part numbers can be found under 010. In eSEP these part numbers an be found under 010E.
