1. Interested Tenderers can procure the Tender documents from the tender sales counter at

Ripon Buildings, Chennai – 600 003 on all working days up to 3 P.M. on or before the date specified in column No. 4, table-2 above by payment of a non-refundable fee towards Cost of Tender Forms as outlined in the table above in the form of demand draft drawn on any Nationalized/ Scheduled Bank in favour of the Commissioner, Corporation of Chennai, payable at Chennai. Tender documents can also be obtained by Registered Post or courier by sending a requisition letter addressed to The Superintending Engineer/Electrical, Corporation of Chennai, Ripon Building, Periyar EVR Salai, Chennai – 600 003, by enclosing a Demand

draft of any Nationalized/Scheduled Bank for the value of Tender documents and on additional payment of Rs.…………/- at the risk and responsibility of the prospective Tenderer. Tender Documents can also be downloaded from the websites “‘www.chennaicorporation.gov.in” or www.tn.tenders.gov.in at free of cost, if the contract value is Rs.25 lakhs and above for work contract. The downloaded Tender documents shall be submitted without modification or insertion in the Tender documents or otherwise Tender will be liable for rejection.

The tender can be dropped at tender boxes of Electrical department kept in any of the office viz PRO, CE (Gl), VO and Tender Sales Counter. The tenders dropped in other boxes leads to rejection

2. The Tenderer shall furnish, an Earnest Money Deposit given in column 3 of table 2. The

Earnest Money Deposit shall be either in the form of Demand Draft/ Banker’s cheque, irrevocable Bank Guarantee drawn from any Nationalised/Scheduled Bank in favour of the Commissioner, Corporation of Chennai or a chalan by depositing cash into the Corporation Treasury, to the credit of deposits. The Earnest Money will be refunded to the unsuccessful Tenderer will be returned after final disposal of the tender. The EMD for the successful tenderer will be returned after remittance of the security deposit and execution of agreement within the time specified. Tenders not accompanied by the Earnest Money Deposit will be summarily rejected. Intimation will be sent to the unsuccessful tenderers after final disposal.

3. The filled up Tender documents must be delivered in sealed envelops, super scribed with

the name of work and Tender No. along with Earnest Money Deposit as outlined in Para 2. 4. The filled up Tender documents will be received up to the last date and time of submission

as outlined in the table above. Duly filled in Tender documents shall be dropped in to any one of the tender boxes placed at the Tender Sales Counter , Office of the Public Relation Officer, Office of Vigilance Department and Office of Chief Engineer/General in the Ripon Buildings, Chennai.

5. The Tender will be opened at the time and date outlined in the above table at the office of

the Superintending engineer/ Electrical Department, Corporation of Chennai. 6. The filled up Tender documents can also be sent by post or courier to the Tender sales

counter, Corporation of Chennai, Ripon Building, Periyar EVR Salai, Chennai – 600 003, The Corporation of Chennai shall not be responsible for any delay in transit.

7. The Tenders received after the due date and time as outlined in the above table will not be

considered under any circumstances. 8. .All other details can be had from the tender sales counter or from the Electrical Department

SECTION – II A. INSTRUCTIONS TO THE BIDDERS

1. Scope of Work

As per the Annexed Schedule/ Description .

2. Period of contract – The period of Contract shall be as specified in the Bid Data Sheet. The period of contract will commence from the date of acceptance of the order or 3 days from the date of dispatch of the order which ever is earlier. The Agreement shall be signed within 14 days of the award of contract. The rate quoted shall be valid for the Contract Period without any increase of rates.

3. Earnest Money Deposit - The Bidder shall furnish, a Bid Security (Earnest Money Deposit) as specified in the Bid Data Sheet. The Earnest Money Deposit shall be either in the form of Demand Draft/ Banker’s cheque, irrevocable Bank Guarantee drawn from any Nationalised/Scheduled Bank in favour of the Commissioner, Corporation of Chennai or a chalan by depositing cash into the Corporation Treasury, to the credit of deposits. 4. Eligibility Conditions:-

A copy of registration letter registered with the Electrical Department, Corporation of Chennai or contractors registered with with PWD ,TNEB or CPWD or any other Central or State Government department for Electrical Works only subject to the condition that they should get registered with the Electrical Department, Corporation of Chennai in appropriate class for Electrical works if they are successful bidders by payment of prescribed fees and as per the norms before receiving contract work orders.

5. Process of Bidding -

5.1.0 The bid shall contain the following information.

(a) Offer letter with complete set. All the pages must be signed by the bidder.

(b) Experience certificates - supporting documentary evidence for the eligibility criteria as specified in clause 4 shall be furnished.

c. Earnest Money Deposit – Earnest Money Deposit in the form as specified in clause 3 shall

be furnished

(d) All the pages of the Bid Document should be duly filled in and signed by the bidder.

(e) Tender document in original signed by the bidder at all the pages and should be submitted without any omission of pages..

5.1.1. Over writing of rates should be avoided. Bidder must sign with their official seal for any correction, over writing or re-writing of rate.

5.1.2. Rate should be quoted both in figure and words. If there is any difference in rate quoted in words and figures, the lower only will be accepted.

5.1.3. The bidder will be responsible to pay and comply with statutory obligations.

5.1.4 The Bid shall contain no alterations or additions, except those to comply with instructions issued by Corporation of Chennai ,or as necessary to correct errors made by the Bidder, in which case such corrections should be signed by the person or persons signing the Bid. Bidders are required to sign on each and every page of the bid documents in absence of which the bid will be liable for rejection.

5.1.5 The bidder in his individual capacity will submit proof of identity & Address with the bid along with proof of ownership of business if they are Proprietor or Partnership Firm.

5.1.6 Every page of the bid documents are to be signed by the bidder or power of attorney holder.

5.2 Sealing and Marking of Bids

5.2.1 The bid shall be submitted, addressing the bid authority in sealed cover super scribing, a) Tender No., b) Name of work on the left top corner and c) name and address of bidder on the left bottom of the cover apart from the bidding authority address written on the right bottom of the cover. Cover not containing the details of the sender is liable to be left unconsidered.

5.2.2 The bidder shall be responsible for properly super scribing and sealing the cover in which the bid is submitted and bid inviting authority shall not be responsible for accidental/ misplacement / premature opening of the covers that are not properly super scribed and sealed as mentioned in Clause 5.2.1 before the time mentioned for bid opening.

5.3 The filled up Bid documents shall be submitted up to the last date and time of submission as given in bid data sheet. Duly filled in Bid documents shall be put in any one of the Tender boxes provided at the Tender Sales Counter , Office of the Public Relation Officer, Office of Vigilance Department and Office of Chief Engineer/General in the Ripon Buildings, Chennai. Bids can also be submitted by post or courier to the address mentioned in the Bid Data Sheet. The bid inviting authority shall not be responsible for any delay in transit in such cases.

5.4 The bid inviting authority may extend the last date of receiving / opening of bids after giving adequate notice to all intending bidders in cases where

a) the publication of the bid notice has been delayed

b) any one of the bidder required clarifications, communication of which took time to all bidders and any other reasonable ground exist.

5.5 Bid Opening

5.5.1 The Bids will be opened at the time and date outlined in the Bid Data sheet, in the presence of Bidders / authorized representatives who choose to attend. The Bidders’ names, and the presence or absence of Bid Security, Bid prices, the total amount of each Bid and such other details as the bid authority may consider appropriate, will be announced by the while opening of bids.

5.5.2 The Employer will prepare minutes of the Prequalification and Price Bid opening, including the information disclosed to those present in the occasion.

The Bidder whose Bid has been accepted will be notified of the award by the Employer prior to expiration of the Bid validity period by cable, telex, or facsimile confirmed by letter..

The notification of award will constitute the formation of the Contract, subject to the signing the Agreement. The successful bidder shall have to enter into an agreement with the employer it within 14 days from the date of receipt of letter of acceptance. The form of agreement will have to be stamped at the office of the Superintendent of stamps Rajaji salai, Chennai – 600001 and then signing at the bottom of each page over the company seal at the cost of the successful bidder.

5.7 The bidder shall hold the offer open for the Bid validity period of minimum 90 days from

the date of opening of the bid. The EMD amount paid by the Bidder will be forfeited:

(a) If a bidder withdraws his bid during the period of bid validity under any circumstances.

(b) If a successful bidder fails to:

i) Execute the agreement by paying the security deposit within 14 days from the date of receipt of letter of Acceptance without valid reason acceptable for the bid inviting authority. .

6. The rates shall be quoted as specified in the Bid Data Sheet.

7. If the contract value more than Rs 25 lakhs for work contract, the tenderer shall furnish the tender in three cover system. That is, one cover containing the tender and another containing EMD, both placed inside the third sealed outer cover with the subscription of tendered work, due date, opening time etc., and shall be addressed to the superintending engineer (electrical),corporation of Chennai, Chennai-3 and delivered at tender sales counter Ripon building on or before the due date of opening, before 3 pm. The received tenders will be opened at 3-15 pm on the due date of opening.

SECTION II

B. CONDITIONS OF CONTRACT

1.The Contractors having registration in the class as specified in the tender notice under section II in the registered with the Electrical Department, Corporation of Chennai or contractors registered with with PWD ,TNEB or CPWD or any other Central or State Government department for Electrical Works only subject to the condition that they should get registered with the Electrical Department, Corporation of Chennai in appropriate class for Electrical works if they are successful bidders by payment of prescribed fees and as per the norms before receiving contract work order.

2. The Tenderer is not eligible to Tender for works, if his relative as defined by the Corporation of Chennai is posted as Accountant or as an Officer in any capacity between the grades of Superintending Engineer and Junior Engineer (both inclusive) in the concerned department, Corporation of Chennai.

3.The Tenderer, at the Tenderer’s own expenses, responsibility and risk, is encouraged to visit and examine the site of works and its surroundings, the entire route and alignment of road for Lamp post installation/cable laying and obtain all information that may be necessary for preparing the Tender and entering into a contract for the works. The Corporation of Chennai and

its officials are in no way liable for any loss or expenses incurred for such visits and shall be indemnified against the same by the tenderer or prospective tenderer.

4. The Tenderer shall bear all costs associated with the preparation and submission of his tender and the Employer will in no case be responsible or liable for those costs.. .

5.At any time after the issue of the Tender documents and before the opening of the Tender ,the Tender Inviting authority may make any changes, modifications, corrections or amendments to the Tender documents and shall send intimation of such changes to all those who have purchased the original Tender documents. The bidders who have down loaded through the web site also shall see and down load the changes, modifications, corrections or amendments to the tender/tender documents. Prospective Tenderers shall promptly acknowledge the receipt thereof by telex, or fax to the Tendering authority. The Tender shall be furnished taking into account the addendum/amendments, if any, issued as mentioned above and any failure in doing so will lead to consequences including rejection of Tender.

6. The Tender submitted by the Tenderer shall comprise the following

:(a) The Tender with covering letter

(b) Earnest Money Deposit;

(c) Priced Bill of Quantities;

(d) Income Tax clearance certificate and Sales Tax verification for the current year obtained from the concerned Authority; and any other requirements to be completed and submitted by Tenderers, as specified by the Tender inviting authority.

.7. The Tenderer must enclose Photostat copy of his or her registration certificate of respective class issued by the Electrical Department, Corporation of Chennai, along with the Tender or must produce the copy to the Tender opening officer for further processing of tenders.

8. In case of proprietary or partnership firm, it will be necessary to produce the certificate aforementioned for the proprietor or proprietors and for each of the partners as the case may be. If a certificate for the current year had already been produced by the Tenderer during the calendar year in which the tender is made, it will be sufficient if particulars regarding the previous occasion on which the said certificate was produced are given.

9. The prices quoted in the tender are to include everything required to be done by conditions of contract and specifications or by any drawing therein referred to and also all such works as are necessary for the proper completion of the contract.

10. Statutory levies such as Excise duty, Sales Tax etc shall be clearly indicated in the offer else it will be construed that the rate quoted are inclusive of Excise duties, Sales tax etc. All TDS deductions as per Government Rules in force will be made from the amount payable to the Contractor /firms unless otherwise valid exemption certificate is produced well in advance. If the rate is quoted without mentioning about the current rates of duties and taxes the tenderer will not have the right to claim the difference in case if there is any variation in the statutory levies.

11. Tenders shall remain valid for a minimum period of 90 days from the date of tender opening unless otherwise specifically mentioned by the Tender inviting authority.

12. The Employer may request the Tenderers to extend the period of validity for a specified additional period. The Tenderers’ responses shall be made in writing or by fax. The Tenderer may refuse the request. In such cases the Earnest Money Deposit cannot be forfeited by the employer. The Tenderer agreeing to the request will not be required or permitted to otherwise modify the Tender, but will be required to extend the validity for the period of the extension.

13. The Earnest Money Deposit of the successful Tenderer will be returned or discharged without interest, when the Tenderer has signed the Agreement and furnished the required Security Deposit.

14. The Earnest Money Deposit will be forfeited:

(a) If a Tenderer withdraws his Tender during the period of Tender validity under any circumstances

(b If a successful Tenderer fails to:

i) Execute the agreement or

ii) Furnish the necessary security deposit and sign the agreement within the specified time limit of 14 days from the date of receipt of letter of acceptance of his Tender.

(c) If the Tenderer does not accept the correction of the Tender price, made by the tenderer pursuant to Clause 25, mentioned below.

15. The original Tender shall be typed or written in legible ink and shall be signed by a person or persons duly authorized to sign on behalf of the Tenderer. All pages of the Bid document and where entries or amendments have been made shall be signed by the person or persons signing the Tender.

16. The Tender shall contain no alterations or additions, except those to comply with instructions issued by the Employer, or as necessary to correct errors made by the Tenderer, in which case such corrections shall be signed by the person or persons signing the Tender.

17. The Tenderer shall be responsible for properly super-scribing and sealing the cover in which the tenders submitted and Tender inviting authority shall not be responsible for accidental/ misplacement/premature opening of the covers that are not properly super scribed and sealed before the time mentioned for Tender opening.

18. The filled up Tender documents shall be submitted up to the last date and time of submissions as specified in the tender notice. Duly filled in Tender documents shall be put in any one of the Tender boxes provided at the Tender Sales Counter, Office of the Public Relation Officer, Office of Vigilance Department and Office of Chief Engineer/General in the Ripon Buildings, Chennai. 22. The received Tenders will be opened at the time and date specified, in the presence of Tenderers/Authorized representatives who choose to attend. The Tenderers’ names, and the presence or absence of Earnest Money Deposit, Quoted price of each Tenderer and such other details as the Employer may consider appropriate, will be announced by the Employer at the time of opening.

23. Rates shall be quoted both in words and figure. If there is a discrepancy between the amounts in figures and in words, the lower of the two will govern and the amount stated in the Tender will be agreed with the Employer in accordance with the above procedure for the correction of errors shall be considered as binding upon the Tenderer. If the Tenderer does not accept the corrected amount, the Tender will be rejected, and the Earnest Money Deposit will be forfeited.

24. The tendered rates for the items should be inclusive of all items of works required for the proper execution of the works and no claim for extra payment on any score will be entertained.

25. The Employer reserves the right to accept or reject any Tender, and to cancel the Tendering process and reject all Tenders, at any time prior to the award of Contract in exercise of the power conferred by Section 12 (1) and (2) of “The Tamil Nadu Transparency in Tenders Act 1998” without thereby incurring any liability to the affected Tenderer/ Tenderers or any obligation to inform the affected Tenderer / Tenderers of the grounds for the Employer’s action.

26. The Tenderer whose Tender has been accepted will be notified of the award by the Employer prior to expiration of the Tender validity period by cable, telex, or facsimile confirmed by registered letter. This letter (hereinafter and in the Conditions of Contract called the “Letter of Acceptance”) will state the sum that the Employer will pay the Contractor in consideration of the execution, completion, and maintenance of the works by the Contractor as prescribed in the Contract (hereinafter and in the Contract called the “Contract Price”).

27. It shall be expressly understood by the tenderer that on receipt of written communication of acceptance of tender from the accepting authority, there emerges a valid contract between the Commissioner, Corporation of Chennai and the tenderer, for execution of the work without any separate written agreement. Hence for this purpose, the tender document, i.e. tender offered by the contractor, conditions of contract, negotiation, correspondences, written communications of acceptance of tender etc. shall constitute a valid contract and that will be the foundation of the rights of both the parties of the contract. If the contractor fails to carry out the contract; after paying the requisite deposits, then he will be liable for the excess expenditure if any incurred to complete the work as contemplated in the conditions of the contract.

28. The Tenderer shall have to enter into an agreement with the employer within 14 days from

the date of receipt of letter of acceptance. The form of agreement will have to be stamped at the office of the Superintendent of stamps Rajaji salai, Chennai – 600001 and then signing at the bottom of each page over the company seal at the cost of the successful bidder.

29. Preliminary specification etc, in SSRB/TNBP will form part of the Agreement. The tenderer shall also carefully study the drawings and additional specifications and all the documents which form part of the agreement to be entered in to by the accepted tenderer. I.S specification where ever necessary shall be used on the work, and the tenderer shall quote his rates accordingly.

30. After furnishing the Security Deposit by the successful Tenderer of the Security Deposit, the Employer will promptly notify the other Tenderers that their Tenders have been unsuccessful.

31. Within 14 days after receipt of the Letter of Acceptance, the successful Tenderer shall deliver to the Employer a Security Deposit. Security Deposit will be normally 2% of the contract amount in the form of National Savings Certificate/ Small savings instrument/deposits/Accounts pledged in favour of Commissioner, Corporation of Chennai; irrevocable Bank Guarantee. However it is right to the Commissioner to insist on higher deposit as per rules in force.

32. As per the Council Resolution No. 584/86 dt. 21.05.86, the percentages of security deposit is fixed for various percentages of rebates are as following.

33. In addition to the above and as per Council Resolution NO.456/2002, Dt : 28-11-2002 the

33.1. The Contractors should pay the Additional Security Deposit in the form of Demand Draft

drawn in favor of Commissioner while submitting the tender documents. 33.2 If any of the Contractors has not enclosed Additional Security Deposit for the appropriate

value in the form of Demand Draft while submitting tender documents, the tender of such tenderers will be summarily rejected.

33.3. The Demand Draft enclosed for the Additional Security Deposit by the unsuccessful

Tenders will be returned after obtaining proper acknowledgement, only after accepting and awarding contract to the successful tenderer..

33.4 If percentage of rebate is above 20% tenderer should furnish the break up details, cost analysis and documents to show previous experience and work on hand with performance certificate showing the satisfactory completion of works entrusted.

34. The Tenderer shall observe highest standard of ethics during Tendering process and

execution of the Project.

(i) “Corrupt practice” means the offering, giving, receiving or soliciting of any thing of value to influence the action of a public official in the procurement process or in contract execution.

(ii) Fraudulent practice’ means a misrepresentation of facts in order to influence the selection process or execution of a contract which is detrimental to the Employer and includes collusive practice among the Tenderers during selection process, designed to establish prices at artificial, non-competitive levels and to deprive the Employer of the free and open competition.

(iii) The Employer will reject a proposal for award if it determines that the Tenderer recommended for award has engaged in corrupt or fraudulent practices in competing for the contract in question.

35. The Tenderers who are themselves not professionally qualified, shall undertake to employ qualified technical personnel at their cost to look after the work.

36. For works costing Rupees One Lakh and above, preference in selection will be given to the Tenderers who are themselves professionally qualified or undertake to employ qualified personnel at their cost to supervise the work when price quoted are equal among the Tenderers. The Tenderers should therefore clearly state whether they are professionally qualified and produce the credentials of the technical personnel they intend to deploy for the work.

37. The Contractor shall employ technical personnel with qualification and experience specified in the following table at their cost to supervise the work. Penalty at the rate specified in the table shall be levied from the contractor if he fails to adhere to this condition.

38. The contractor should employ one ITI trained electrician for every ten workers or part

thereof. In case of non availability of ITI trained electricians, the contractor should obtain the prior approval of the Executive Engineer concerned before proceeding with the contract with the other kinds of electricians.

39. If the Engineer-in-charge asks the contractor to remove a person who is a member of the contractor’s staff or work force, stating valid reasons, the contractor shall ensure that the person leaves the site and has no further connection with the work in the contract.

40. The contractor should commence the work within 4 days from the date of award of contract and after execution of necessary agreement and should complete the work within the time limit specified therein.

41. No part of the contract shall be sublet without written permission of the Superintending Engineer/Executive Engineer nor shall transfer be made by power of attorney authorising others to receive payment on contractor’s behalf.

42. A statement giving brief particulars of equipment, resources and personnel (workers) that will be put at the disposal of the work should accompany the tender.

43. The contractor shall make his own arrangement for all the tools and plants required for the execution of the work. Any equipment if available with the Department may be hired out by the contractor at rates and conditions that may be fixed by the competent authorities, from time to time.

44. As soon as the contract is accepted, the Contractor should give a programme of work which he proposes to adopt for execution. The Contractor may commence execution of the works on the start date and shall carry out the works in accordance with the Program submitted by the Contractor, as updated with the approval of the Engineer-in-charge, and complete them by the Intended Completion Date.

45. The responsibility of accident to any employees of the contractor will only rest with him. The contractor should also execute and indemnity bond on stamp paper indemnifying the department from the liability for any accident to the men employed by the contractor and also damaged cause to other utility services.

46. The Contractor shall provide, in the joint names of the Employer and the Contractor, Insurance cover from the Start Date to the end of the Defects Liability Period, in the amounts and deductibles stated in the Contract Data for the loss or damage to the property, Works, Materials, Equipments, personal injury or death which are due to the Contractor’s risks.

46.1 Policies and certificates for insurance shall be delivered by the Contractor to the Engineer in -Charge for approval before the Start Date

46.2 If the Contractor does not provide any of the policies and certificates required, the Employer may effect the insurance which the Contractor should have provided and recover the premiums the Employer has paid from payments otherwise due to the Contractor or, if no payment is due, the payment of the premiums shall be a debt due.

46.3 The Employer and the Contractor shall comply with any conditions of the insurance policies.

47. The Contractor shall execute the works in accordance with the Specifications and Drawings. For electrification works, the works shall be carried out in accordance with the PWD standards. The materials such as PVC pipes, PVC wires of all sizes, UG cables, switches, switch controlled sockets, DP or TPIC switches of all ratings, ceiling fan not supplied and utilized by the contractor should bear ISI mark. All other materials which are not bearing ISI mark should be got approved by the concerned ADE of the Department

before commencement of the work. Ceiling fans and Air conditioners shall be of Energy Efficient with STAR RATINGS. Tube lamp fittings shall be of efficient energy saver.

48. The materials supplied should be of very best quality and shall comply with the conditions stipulated in this document. All the materials to be utilized for the work shall be inspected by an officer of the department not below the rank of an Assistant Divisional Electrical Engineer and the decision of the Engineer as to quality shall be final and binding on both parties.

49. For supply of cables by the contractor, sample bit of cable has to be tested at electrical department, corporation of Chennai. The supply of cable will be accepted only after the receipt of satisfactory test report.

50. The contractor should make his own arrangements for providing red flags during daytime with caution boards and danger lights during night to the satisfaction of the Traffic Department while execution of work

52. Liquidated and Ascertained Damages

If the contractor fails to complete the works within the time schedule or within any extended time allowed by the Engineer-in-charge, due to failure attributable to the contractor liquidated and ascertained damages at the rate of 0.1% of the contract value of such portion of work which has not been executed on the specified period for each day of delay will be levied.

The liquidated and ascertained damages will be levied up to a maximum of 5% of the value of the contract and if the contractor fails to complete the work even then, action will be taken to terminate the contract and execute the work at the risk and cost of the contractor.

53. Non-tendered items: In case of items of works for which supplement agreement has

to be entered into, the following procedure will be adopted:-

For items of work for which the rates can be derived from the rates for the items in the original agreement, the rates will be derived by applying the overall tender premium or

discount to the rates for the new item by applying the pro-rate excess or discount for the item of work, from which the rate is derived, the lesser rate of these two will be adopted for making payment to the contractor.

For items of work for which the rates cannot be derived from the rates for items in the original agreement the rates for payment will be as follows

(I).When the schedule of rates has not changed during the period from the date of execution of the original agreement to the date of supplemental agreement the rates for the supplemental agreements shall be the prevailing schedule of rates with the tender premium applied.

(II).When the schedule of rates has changed during the intervening period, the rates prevailing as per the schedule of rates at time of execution of supplemental agreements will be adopted with no tender premium or discount applied to this rate.

54. The value of work executed shall be determined by the Engineer-in-charge. The value of work executed shall comprise the value of the quantities of the items in the Bill of Quantities completed. The Engineer-in-charge may exclude any item certified in a previous certificate or reduce the proportion of any item previously certified in any certificate in the light of later information.

55. Payment

In case of material supply cum execution of works, payment will be made after the supply of materials for the supply portion at the rate specified therein which is subject to acceptance of supplied materials and the balance will be made after completion of the work. No advance payment will be made. Payment will be made as per the measurements recorded in the departmental Measurement Book . Payments shall be adjusted for deductions for retention and other recoveries in terms of the contract and deduction at source of taxes as applicable under the law.

56. Maintenance Period: - The contractor shall maintain the works executed by him in proper repair for the period as specified below:

56.1 Guarantee Period for Electrical Work

The entire installation excluding the luminaries with lamp (if luminaries with lamp supplied by department.) shall be guaranteed for 1 year. During this period any fault developed due to defective workmanship or defects in the material supplied shall be attended and rectified by the contractor within 48 hours of receiving such intimations. Failing which the security deposit and retention amount will be forfeited by the Corporation and action will be taken to black list the contractor. Any defects in the works noticed within the period of maintenance from the date of final super check measurements shall be made good at the expenses of the contractors The rate shall be quoted as per the enclosed schedule. The percentage of excise duty, sales tax, surcharge on S T. for the item offered if any extra shall be mentioned clearly in the offer otherwise the rates quoted shall be taken as inclusive of same

57. In case of any disputes arising out of the contract,

a). For claims upto and including Rs. 50,000, the Superintending Engineer, of the concerned Department shall act as the adjudicator for fulfilling the duties set forth in accordance with the arbitration procedure published by the Government of Tamil Nadu.

b) For claims above Rs 50,000, the dispute shall be settled through the competent Civil Court only, having jurisdiction in Chennai

58. Payment to the contractor will be made for the actual quantities only of the work, performed or materials furnished in accordance with the contract, and Tender Accepting Authority shall be ordinarily permitted to vary the quantity finally ordered only to the extent of 25 % either way of requirement indicated in the tender documents. The payment will be made as per originally approved rate.

59. For cable laying work, excavation of trench of size 45 cm. wide x 75 cm. depth for L.T cable shall be made in all kinds of soil. The trench shall be straight and fall in line with the contour of the road or street. If the cable could not be laid 75 cm. depth, payment will be made on prorate basis.

60. Every day after completion of work, the excavated earth, debris etc. have to be removed immediately from the road / platform portion by the contractor and dumped in a place with the concurrence of the site Engineer. The transportation of all the above shall be of contractor responsibility.

61. Carting of all the materials required for the work including departmental supply of materials shall be of contractor responsibility. The contractor is solely responsible for the safety of all the materials. The department will be responsible only after completion of work with duly handing over of the entire installation to the satisfaction of the department.

62. The work to be tendered for inclusion of all associated works as specified in the specification and also subject to terms and conditions contained in the contract. Decision of the Superintending Engineer / Electrical will be final in case of any dispute regarding nature of work.

63. Tenderer should furnish their tender along with the E.M.D in a wax sealed cover for the contract value up to Rupees 25 lakhs.

64. If the contract value more than Rupees 25 lakhs, the tenderer shall furnish their tender in three cover system. That is, one cover containing the tender rates and another cover containing E.M.D and other documents and both the these cover placed inside the third wax sealed outer main cover with the superscription of tender no., work and due date of opening etc. shall be addressed to the Superintending Engineer / Electrical, Ripon building, Corporation of Chennai, Chennai- 600003.

65. Also a copy of “B” grade / “A” grade contractor license issued by the “Electrical Inspectorate to Government of Tamil Nadu” shall be produced along with original to the Assistant Divisional Engineer / Electrical concerned for verification before commencement of work

66. The tender deposit of each unsuccessful tenderer will be returned to him as soon as possible after final disposal of tender.

67. The successful tenderer will have to pay all the stamp charges.

68. The Chennai Corporation does not bind itself to accept the lowest or any tender or to adhere to the quantities specified and may reject the tenders received with out assigning any reason

69. In the event of order placed on successful tenderer , the “Manual workers General Welfare Fund” at 0.3% of the sanction estimate value will be deducted at the time of presenting the contractor first bill as per the Tamil Nadu Manual Workers ( Regulation of employment and Condition of Work ) Act 1982 & vide Corporation of Chennai, Finance Cell circular FC No. 889 / 2006 dt.12.09.2006.

70. The contractor shall acknowledge the receipt of various materials handed over to him by this department at the time of transporting from stores to site. It is responsible of the contractor to provide watch and ward staff for all the materials until the completion of work in all respect with due handing over to our departmental Engineer in charge.

71. The contractor will be held responsible in case of any theft or loss at the site or during transportation by the contractor for all the materials including departmental supply.

72. This department will get clearance from the various other departments for cutting of roads / streets pavements surface. The contractor shall be responsible for causing unnecessary damages and cuts on the roads / street / pavements surface.

73. For painting of street lamp posts, the ladder required shall be of contractor’s responsibility.

74. After execution of agreement, the successful tenderer has to be contacted the concerned Assistant Divisional Engineer of this department. The materials for the work shall be supplied / utilized only after approval by the concerned Assistant Divisional Engineer.

75. Belated tenders will not be accepted.

76. Income tax deduction at 2% will be made by the department from the work bill value during the payment to the contractor for crediting into the account of central govt. as per section 194c of income tax act 1961.If there is any variation in the TDS ,the same will be applicable.

77. 5% retention amount will be deducted from the work bill value for release along with security deposit after satisfaction of entire executed work.

78. Work contract tax at the applicable rate will be made by the department from the work bill value during the payment to the contractor for crediting into the account of assessing officer concerned under 7F for deduction of tax at source of TNGST ACT 1959.

The term “Contract” shall include these presents and the tender schedule and specification hereto annexed and the specifications, plan and drawings herein and hereafter referred to.

TERMS AND CONDITIONS OF THIS CONTRACT

1) The Contractor shall execute the work as specified herein.

2) The Superintending Engineer / Electrical shall be the sole deciding authority relating to the meaning and consequence of the specification and condition of this contract.

3) The materials shall be of the very best quality and comply with the conditions and specifications specified herein. All the materials received from the contractor shall be inspected by an officer of the Electrical Department not below the rank of an Assistant Divisional Engineer and the decision of the Superintending Engineer / Electrical shall be final and binding on both parties.

4) Time shall be considered as the essence of this contract on the part of the Contractor and in case the Contractor shall fails to complete the work under this contract with in the time specified or within the time to which the period of completion may have been extended under the powers herein given, or if in the opinion of the Superintending Engineer / Electrical, the contractor shall not be carrying out the work at such a rate as will ensure completion of work within the time given.If the contractor fails to complete the work within the stipulated time , It shall be lawful for the Commissioner, Corporation of Chennai without prejudice to his remedy contained to obtain the un-executed portion of the work executed through any other person or persons and any additional expenses so incurred shall be recovered from the contractor. The commissioner, Corporation of Chennai also shall have the rights to deduct such amount from the contractor.

5) If at any time during the continuance of this agreement, the work ordered is delayed by reason of any lock-outs, strikes, riots, wars, fire, storms tempest or other un-expected exceptional causes, the time for execution may be extended by the Superintending Engineer / Electrical as he may consider reasonable.

6) All expenses, damages and other moneys payable to the Corporation by the Contractor under any stipulations in this contract may be retained out of any money then due or which may subsequently become due from the Corporation to the Contractor under this or any other contract in case such moneys it shall be lawful for the Commissioner Corporation of Chennai to sell and dispose of any or all the securities deposited by the contractor and out of proceeds of such sale to reimburse and pay to the department all the said expenses, damages, and moneys and in case such proceeds of sale of said securities shall be insufficient, then it shall also be lawful for the department to recover the residue of the said expenses, damages and moneys, if necessary be legal proceedings against the contractor.

7) The contractor shall submit bills to the Superintending Engineer / Electrical for payments as and when Superintending Engineer / Electrical shall direct.

8) The contractor shall be paid for the work at the rates given herein on certificates of the Superintending Engineer / Electrical, that the work have been executed to his entire satisfaction.

9) In case the contractor shall fail or neglect or refuse to observe, perform, fulfill and keep all or any one or more or any part of any one or more of the covenants, stipulations and provisions herein contained it shall be lawful for the Commissioner of the Corporation of Chennai without prejudice and in addition to all the any other of the remedies herein before contained on behalf of the department on any such failure neglect or refusal as aforesaid by writing under his hand to put to this agreement and on the expiry of 14 days from the date of service of the said writing this agreement shall cease and be void except in respect of any prior action or omission.

10) If the contractor fails to complete the work within the stipulated period, the contractor shall pay an amount depending upon the value of the contract as Liquidated and ascertained damages for every day beyond the said period.

11) All certificate or notices of orders for time or for extra varied or altered work which are to be subject of an extra or varied charges so described in the contract or not shall be in writing and unless in writing shall not be valid or binding or be any effect whatsoever.

12) The contractor do hereby undertake and agree that this tender will not be withdrawn during the period that will be required for intimation of acceptance or non-acceptance of the offer within the period of validity offered by us and in case if it is withdrawn, the contractor hereby

agree and accept that the contractor is liable to forfeit the tender deposit paid to the Corporation of Chennai against this tender.

13) The contractor further undertake and agree to execute at my / our cost the agreement attached and to sign the plans therein referred to and to produce the income tax clearance certificate with in 14 days after the notification of acceptance of my / our failing to pay the security deposit or to execute the agreement and sign plans within the time specified for the purpose, the Earnest Money Deposit accompanying this tender shall in such case be considered as having been cancelled or terminated any you may think fit, arrange either departmentally or by other persons or person to execute the work and things describe or mentioned herein and I / We agree to be liable / irrespective of the forfeiture for all damages, losses cost, charges and expenses arising from or by reasons of such failure and arrangements.

14) I / We(The contractor) also undertake to do all extra or varied works which is ordered as part of this contract upon the terms provided for in the specification.

15) Indemnity The contractor shall keep the Corporation indemnified against claims, if any, of the workmen and all costs and expenses as may be incurred .The Contractor shall also execute an indemnity bond in favour of the Corporation, in the approved format, in this regard.

In case of any disputes arising out of the contract,

a). For claims upto and including Rs. 50,000, the Superintending Engineer, of the concerned Department shall act as the adjudicator for fulfilling the duties set forth in accordance with the arbitration procedure published by the Government of Tamil Nadu.

b) For claims above Rs 50,000, the dispute shall be settled through the competent Civil Court only, having jurisdiction in Chennai

16) Jurisdiction of courts – The courts of Chennai shall alone have jurisdiction to decide any

dispute arising out of or in respect of the service. 19)Adjudicator: The Commissioner will propose the person to be appointed as Adjudicator under

the contract in the Letter of Acceptance.

20)Arbitrator: If a party is dissatisfied with the decision of the Adjudicator or no decision is given within the time set out the party may give notice of dissatisfaction and a dispute which has been the subject of a notice of dissatisfaction has to be finally settled by Arbitral tribunal. The Arbitrator can revise the decision of the Adjudicator. The Arbitral Tribunal consists of 3 Arbitrators, one each to be appointed by the Authority and the Contractor. The third Arbitrator has to be chosen by the two Arbitrators so appointed by the parties and has to act as presiding arbitrator. In case of failure of the two arbitrators appointed by the parties to reach upon a consensus within period of 30 days from the appointment of the arbitrator appointed subsequently, the Presiding Arbitrator has to be appointed by President of the Institution of Engineers (India).

Now this Agreement witnessed as follows:

1. In this Agreement, words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of Contract hereinafter referred to, and they shall be deemed to form and be read and construed as part of this Agreement.

2. In consideration of the payments to be made by the Employer to the Contractor as hereinafter mentioned, the Contractor hereby covenants with the Employer to execute and complete the Works and remedy any defects therein in conformity in all respects with the provisions of the Contract.

SECTION VI

GENERAL CONDITIONS AND SPECIFICATIONS 1. Scope of Work

Supply & Installation of lamp post, cable laying, Electrification work etc. of the Electrical Department it shall not be limited to the work specified herein as per the requirement for a period as specified in the Special Conditions.

2. Meaning / Definitions

3. The contract will be valid for a period specified in the special conditions from the date of commencing But the Superintending Engineer / Electrical/Divisional Electrical Engineers at his discretion, may terminate the contract earlier also. The decision of the Superintending Engineer / Electrical in the matter shall be final and binding on the contractor.

4. The Superintending Engineer / Electrical / Electrical/Divisional Electrical Engineers reserve the

right to reject any or all bids without assigning any reason for the same. If the successful bidder fails to take up the contract/sign the Agreement, within the stipulated time, the earnest money deposited by the successful bidder will be forfeited. The earnest money of the unsuccessful bidder will be refunded in due course.

5. The successful bidder must deposit performance security as specified in the special conditions

for the due fulfillment of the contract. 6. Rates, Taxes and Duties

After the contractual rate is finalized, it can not be enhanced by the Contractor during the period of contract under any circumstances. All the rates furnished in the tender shall be inclusive of all labour and material including all duties, royalties, service tax, Work Contract Tax (WCT) or any other taxes or local charges, if applicable. No extra claim on this account will in any case be entertained.

7. Indemnity The contractor shall keep the Corporation indemnified against claims, if any, of the workmen and all costs and expenses as may be incurred .The Contractor shall also execute an indemnity bond in favour of the Corporation, in the approved format, in this regard.

The contract shall keep the employer, its servants or agents indemnified against claims, actions or proceedings brought or instituted against the employer, its servants or agents by any of contractors’ employees or any other third party in connection with relating to or arising out of the performance of the services under the agreement.

8.1 The Contractor shall provide, in the joint names of the Employer and the Contractor, insurance cover for the Contract Period, in the amounts stated in the Special Conditions for the following events which are due to the Contractor’s risks:

(a) loss of or damage to property in connection with the Contract; and (b) Personal injury or death. (c) Workmen compensation policy 8.2 Policies and certificates for insurance shall be delivered by the Contractor to the Engineer in -

Charge for the Engineer in -Charge approval before the Start Date. All such Engineer in -Charge shall provide for compensation to be payable in the types and proportions of currencies required to rectify the loss or damage incurred.

8.3 If the Contractor does not provide any of the policies and certificates required, the Employer

may effect the insurance which the Contractor should have provided and recover the premiums the Employer has paid from payments otherwise due to the Contractor or, if no payment is due, the payment of the premiums shall be a debt due.

9.4 Alterations to the terms of insurance shall not be made without the approval of the Engineer in -

Charge. 9.5 Both parties shall comply with any conditions of the insurance policies.

10. Jurisdiction of courts – The courts of Chennai shall alone have jurisdiction to decide any

dispute arising out of or in respect of the service. 11. Contract Labour (Regulation & Abolition Act, 1970 - The Contractor shall comply with the

provisions of the Contract Labour (Regulation and Abolition) Act, 1970 and the Contractor Labour (Regulation and Abolition) Central Rules, 1971, as modified from time to time, wherever applicable and shall also indemnify the Corporation from and against any claims under the aforesaid Act and the Rules.

12. The Contractor shall pay to staff/labour employed by him directly or through Sub-contractors

the wages as per provisions of the aforesaid Act and the Rules wherever applicable. 13. In respect of all labour directly or indirectly employed in the Work for performance of the said

service, the Contractor shall comply with or cause to be complied with the provision of the aforesaid Act and the Rules wherever applicable.

14. In every case in which, by virtue of the provisions of the aforesaid Act or the Rules, the

Corporation is obliged to pay any amount of wages to workman employed by the Contractor or his sub contractor in execution of the work or to incur any expenditure in providing welfare and health amenities required to be provided under the aforesaid Act and the Rules or to incur any expenditure on account of the contingent liability of the Contractor due to the Contractor’s failure to fulfill his statutory obligations under the aforesaid Act or the Rules, the Corporation will recover from the Contractor, the amount of wages so paid or the amount of expenditure so incurred, and without prejudice to the rights of the Contractor under Section 20, Sub-section (2) and Section 21, Sub-section (4) of the aforesaid Act, the Corporation shall be at liberty to recover such amount or part thereof by deducting it from the security deposit and / or from any such dues by the Corporation to the Contractor whether under the work or otherwise. The Corporation shall not be bound to contest any claim made against it under Sub-section (1) of Section 20 and Sub-section (4) of Section 21 of the aforesaid Act except on the written request of the Contractor and upon his giving to the Corporation full security for all costs for which the Corporation might become liable in contesting such claim. The decision of the Corporation

regarding the amount actually recoverable from the Contractor as stated above, shall be final and binding on the Contractor.

15. Contractor’s Risks

From the Starting Date until the Defects Correction Certificate has been issued, the risks of personal injury, death, and loss of or damage to property which are not Employer’s risks are Contractor’s risks .

16. It is hereby declared that contractor is an independent employer and all drivers/persons employed or engaged by him at his own cost and expense to carry out the agreed work under this contract, shall be his employees and not of the Corporation. Therefore, the contractor’s employees shall have no any right of claim for employment under the Corporation.

29. Extension -

The validity of the contract can be extended for a period as specified by the Corporation on mutual consent of the Corporation and the Contractor on existing rates, terms and conditions.

30. Termination of Contract

In case the contractor fails to take up the progress of work is very slow or there is deliberate delay in the progress of the work or the progress of the performance of the work carried out is very poor, the commissioner, corporation of Chennai shall have the right to terminate the contract by giving 15 days notice in written. In such case of termination the corporation shall be indemnified from any loss damage or any other financial loss incurred from the contractor for the terminated contract.

31.SAFTY

All the safety measures required for the workmen deployed and all the other connected installation shall be the responsibility of the contractor. Safety measures that has been followed as per the various provision, regularities etc, shall be strictly followed . Any violation, lacuna in following the safety measure cause any incidents, accident or any kind of damage the sole responsibility will be on the contractor and the Corporation of Chennai shall be indemnified .An assurance along with undertaking shall be given at the time of execution of agreement.

32.Risk Insurance

The work executed by the contractor under this contract shall be maintained by the contractor’s risk until the work is taken over by the Superintending Engineer, Electrical Department. The Corporation of Chennai should not be liable to pay for any loss or damages occasioned by (or) arising out of fire, flood, volcanic eruptions, earth quake, other conclusion of nature and all other natural calamities risk arising out of act of God during such period and that the option whether to take insurance coverage (or) not to care such risks is left to the contractor.

33. Tender Transparency Act

The Tamil Nadu Tender Transparency Act will be applicable for this tender.

SECTION X

Definitions.

1. Act means the Tamil Nadu transparency in Tenders Act, 1998 (Tamil Nadu Act 43 of 1998).

2. Rules means The Tamil Nadu Transparency In Tender Rules, 2000

3. Adjudicator: The Commissioner will propose the person to be appointed as Adjudicator under the contract in the Letter of Acceptance.

4. Arbitrator: If a party is dissatisfied with the decision of the Adjudicator or no decision is given within the time set out the party may give notice of dissatisfaction and a dispute which has been the subject of a notice of dissatisfaction has to be finally settled by Arbitral tribunal. The Arbitrator can revise the decision of the Adjudicator. The Arbitral Tribunal consists of 3 Arbitrators, one each to be appointed by the Authority and the Contractor. The third Arbitrator has to be chosen by the two Arbitrators so appointed by the parties and has to act as presiding arbitrator. In case of failure of the two arbitrators appointed by the parties to reach upon a consensus within period of 30 days from the appointment of the arbitrator appointed subsequently, the Presiding Arbitrator has to be appointed by President of the Institution of Engineers (India).

5. The Authority (Commissioner) or his authorised representative is the party who Employs the Contractor to carry out the Works

6. Earnest Money Deposit means the amount required to be remitted by a bidder along with his bid indicating his willingness to implement the contract.

7. Bill of Quantities means the priced and completed Bill of Quantities forming part of the Bid.

8. BIS means Bureau of Indian Standards.

9. Compensation Events are those defined in Clause 59 hereunder

10. The Completion Date is the date of completion of the Works as certified by the Superintending Engineer / Divisional Electrical Engineer, in accordance with Sub-Clause 53.1.

11. The Contract is the Contract between the Authority and the Contractor to execute, complete, and maintain the Works. It consists of the documents listed in Clause 1.1.11 below.

12. The Contractor is a person or corporate body whose Bid to carry out the Works has been accepted by the Authority.

13. Tenderer Or Bidder: Any person , firm or Corporation submitting a tender for the work contemplated, acting directly or through a duly authorized representative.

14. The Contractor’s Bid is the completed bidding document submitted by the Contractor to the Authority.

15. Bid Price : The prices and discounts quoted by the bidder in the letter of bid and in the bill of quantities.

16. The Contract Price is the price stated in the Letter of Acceptance and thereafter as adjusted in accordance with the provisions of the Contract.

17. Days are calendar days; months are calendar months.

18. A Defect is any part of the Works not completed in accordance with the Contract.

19. The Defects Liability Certificate is the certificate issued by Superintending Engineer upon correction of defects by the Contractor.

20. The Defects Liability Period is the period named in the Contract Data and calculated from the Completion Date.

21. Drawings include calculations and other information provided or approved by the Superintending Engineer for the execution of the Contract.

22. The Authority (The Commissioner) is the party who employs the Contractor to carry out the Works

23. The Superintending Engineer is the person named in the Contract Data (or any other) competent person appointed by the Commissioner and notified to the Contractor, to act in replacement of the Superintending Engineer) who is responsible for supervising the execution of the Works and administering the Contract.

24. The Divisional Electrical Engineer is Divisional Electrical Engineer of Corporation of Chennai, who will be in charge of work in Electrical Department, Corporation of Chennai.

25. Equipment is the Contractor’s machinery and vehicles brought temporarily to the Site to construct the Works.

26. The Initial Contract Price is the Contract Price listed in the Authority’s Letter of Acceptance.

27. The Intended Completion Date is the date on which it is intended that the Contractor has to complete the Works. The Intended Completion Date is specified in the Contract Data. The Intended Completion Date may be revised only by the Superintending Engineer by issuing an extension of time.

28. Materials are all supplies, including consumables, used by the Contractor for incorporation in the Works.

29. Plant is any integral part of the Works that has to have a mechanical, electrical, chemical, or biological function.

30. The Site is the area defined as such in the Contract Data.

31. Site Investigation Reports are those that were included in the bidding documents and are factual and interpretative reports about the surface and subsurface conditions at the Site.

32. Specification means the Specification of the Works included in the Contract and any modification or addition made or approved by the Superintending Engineer.

33. The Start Date is given in the Contract Data. It is the latest date when the Contractor has to commence execution of the Works. It does not necessarily coincide with any of the Site Possession Dates.

34. Subcontractor is a person or corporate body who has a Contract with the Contractor to carry out a part of the work in the Contract, which includes work on the Site.

35. Temporary Works are works designed, constructed, installed, and removed by the Contractor that are needed for construction or installation of the Works.

36. Two-cover system means a procedure under which the bidders are required to simultaneously submit two separate sealed covers, one containing the Earnest Money (Bid security) and the details of their capability to undertake the tender which will be opened first and the second cover containing the price quotation which will be opened only if the bidder is found qualified to execute the Bid
