TO THE SUBCONTRACTOR:
The purpose of this manual is to provide the Subcontractor with the information about
McManus Kitchen and Bath Inc policies, standards and payment procedures.
We encourage you to read this booklet and apply the principles outlined to your daily
working relationship with McManus Kitchen and Bath Inc. We believe that the
information provided in this manual will help in establishing and maintaining a mutually
profitable relationship. It is our hope and goal to put together a team of Subcontractors
that are capable of restoring consumer confidence to our industry.
While we don’t believe everyone is a potential customer for McManus Kitchen and Bath
Inc, we are determined to treat every potential customer with respect and put forth the
effort to determine if they could be a customer. Likewise, while we don’t believe every
Subcontractor is a potential Subcontractor for McManus Kitchen and Bath Inc, we are
determined to treat every Subcontractor with respect and put forth the same effort to
determine if they can be a Subcontractor for us.
We hope you will consider becoming a McManus Kitchen and Bath Inc Subcontractor.
We can provide you with references of other Subcontractors presently working on our
team to determine whether we are a company with which you would consider working.

McManus Kitchen and Bath Inc is to provide a service to the public that will be able to
restore to the industry the meaning of service as well as faith in true character
demonstrated through craftsmanship.
We at McManus Kitchen and Bath Inc are attempting to set the standards of honesty,
integrity, fair pricing, quality craftsmanship and service that should be matched by all
others.

are professional dress and behavior while on the job site.

remain a core focus and under no circumstances will be compromised. We commit to
protect and represent the customer with a fair and balanced perspective.
OUR COMMITMENT TO OUR SUBCONTRACTORS
McManus Kitchen and Bath Inc believes that our success will be realized with
companies that identify with our vision. We understand the importance of being fairly
compensated for the skills and performance each contractor represents.
Our respect for and commitment to fair and honest treatment of our Subcontractors will
always be a priority, therefore we are committed to protect and represent our
Subcontractors with a fair and balanced perspective.
SUBCONTRACTOR COMMITMENT TO
McManus Kitchen and Bath Inc
We expect a commitment from our Subcontractors to deal honestly and fairly and
respect all company policies. As a part of the Subcontractor commitment, we will expect
our interests be represented and protected as a priority.
SUBCONTRACTOR QUALIFICATION REQUIREMENTS
To be considered a McManus Kitchen and Bath Inc Subcontractor, the following
conditions shall be met without exception:
1. All contractors will maintain current insurance policies and provide Certificate of
Insurance for Commercial Liability and Worker’s Compensation for all
employees, as outlined in the form, “General Agreement to Provide Specialty
Services” and attached “Insurance Requirements To Qualify As Subcontractor
For McManus Kitchen and Bath Inc”.
2. Present a reference list of owners and/or contractors, complete with phone
numbers, which you have worked for within the past two (2) years.
3. Provide a list of qualifications, including experience and history.
4. The following conduct at the project is not acceptable:
a. Drinking or drug use prior to or during work.
b. Swearing or abusive language to anyone
c. Radios or other devices playing loudly
d. Smoking or chewing tobacco on the job site
e. Bullying or physical abuse to anyone
f. Throwing of tools, materials or other objects that might cause
physical harm to others or to owner’s property
g. Using or moving others tools without permission
CUSTOMER CONSIDERATION BY ALL
SUBCONTRACTOR/EMPLOYEES
It is the responsibility of the McManus Kitchen and Bath Inc Subcontractor/Employee to
respect the customer, their personal property and be considerate of the environment
which they are in at all times.
Listed below are examples of ways we expect our Subcontractors to be considerate.
1. Park only in approved areas. Keep your vehicle clean. Place cardboard or tarp or
equivalent below leaking vehicle engine and transmissions. You will be held
responsible for cleanup.
2. Dust Control: Provide dust curtains, drop cloths and other dust control
measures as needed or requested during construction. Operate BuildClean
HEPA Filter as directed.
Do Not work in the home without the use of drop cloth to place tools and other
items on. You are responsible for any damage or clean up
3. Do not use the customer’s tools or equipment, etc.
4. Smoking/Chewing Tobacco Use: If you smoke or chew tobacco, smoke off the
property. Do not spit on the ground, sidewalk or anywhere else other than a
container than will b4e dispose of after each use. Do not toss cigarette butts on
the ground.
5. Ask permission to play any music. If permission is given, then you may play only
music that is not offensive to the customer at a volume that is acceptable to the
customer.
6. Protect all flowers, shrubberies, etc.
7. Cleanup of your tools, etc. in an area permitted by the owners while protecting
surfaces of property, such as floor covering, laminates, brick concrete, grass, etc.
Never use harmful chemicals near personal property.
Leave no trace. No drywall residue, thinset residue etc… should be left on grass,
shrubs or flowers. Use protective tarps or plastic as needed.
8. If we do not provide a portapotty, ask permission to use the customer’s
bathroom and clean up after each use. If a portapotty is provided, never use
customer’s bathroom.
9. Jobsite Cleanliness: Maintain very clean and livable conditions throughout the
duration of the project.
Leave the premises in a broom and mop clean condition daily. Dust any
horizontal surfaces in or around the work area and spray Febreeze deodorizer
before leaving. No excuses.
All Debris must be removed from the Jobsite daily. No debris, boxes or other
trash will be place in customers residential trash bins. Sub Contractors are
responsible for removing their own debris unless otherwise directed by McManus
Kitchen and Bath.
10. Working hours are Monday through Friday 8:00 AM to 5:00 PM. Additional days
of the week and additional hours in the day must have McManus Kitchen and
Bath Inc authorization of owner’s approval.
Do not seek owner’s approval directly without McManus Kitchen and Bath Inc
authorization. Only in emergency conditions will Sunday be an acceptable day to
work at an occupied home or project, and then only with McManus Kitchen and
Bath Inc permission.

COMMITMENT TO THE SUBCONTRACTOR
McManus Kitchen and Bath Inc commits to treat every contractor with respect and
Fairness. The outline below identifies our areas of commitment.
We hereby commit to:
1. Timely Payments for work completed on a regular basis (See payment
guidelines.)
2. No more than three (3) qualified contractors will be invited to bid on any particular
trade.
3. Guaranteed 1 out of every 3 quotes awarded to your company.
4. An opportunity to participate and bid every contractual agreement between
McManus Kitchen and Bath Inc and their client.
5. Consistently advertise for profitable jobs.
6. Subcontractors may coop advertise with us.
7. Protect and represent our Subcontractors with a fair and balanced perspective.
McManus Kitchen and Bath Inc reserves the right to analyze the performance of each
subcontractor. Each subcontractor is expected to perform according to the level of
commitment as outlined. Failure to perform accordingly can result in elimination of the
subcontractor with no recourse against McManus Kitchen and Bath Inc.

McManus Kitchen and Bath Inc
The following outline is the commitment expected by McManus Kitchen and Bath Inc
from the Subcontractor and will become part of the analysis in determining the
profitability of our relationship:
1. Consistent Quality Craftsmanship.
2. Fair and honest pricing.
3. Maintain reasonable schedule demands, with priority given to McManus Kitchen
and Bath Inc during the scheduling of jobs.
4. Consistently available to bid projects in a timely manner.
5. The ability to work two (2) projects at a time.
6. Represent and protect McManus Kitchen and Bath Inc’s interest.
7. Respect to the customer and personal property.
8. Cooperation with McManus Kitchen and Bath Inc’s management team.
9. Follow all policies and commitments to McManus Kitchen and Bath Inc and their
customers.

POLICIES
Conduct at the Project
1. All Subcontractors and their employees must honor and respect all commitments
to McManus Kitchen and Bath Inc and our customer.
2. All Subcontractors must be willing to possess cell phones and provide their lead
man or foreman with such. Returned calls are to be prompt.
3. All projects must be supported with one (1) skilled responsible craftsman and the
additional skilled help to provide quality work and maintain reasonable schedule
demands.
4. Provide a safe working environment for other trade people.
5. Supply safety equipment, barricades, etc. as needed, to maintain a safe working
environment.
6. Daily Clean Up: Every contractor is responsible for cleaning up after themselves
daily. Work done on the exterior of homes or buildings will be cleaned up twice
each day. Details of garbage removal are considered to be part of the job
conditions.
7. Realistic schedule demands are expected to be kept. Any schedule changes are
expected to be addressed with McManus Kitchen and Bath Inc as soon as
possible, minimum of one day prior to the scheduled commencement.
Notification is to be made by phone communication to the responsible McManus
Kitchen and Bath Inc management team member. We understand the principle of
Murphy’s Law in construction. However, constant tardiness or violations of this
policy will result in elimination from McManus Kitchen and Bath Inc’s qualifying
Subcontractors.
8. Subcontractors are not permitted to enter into any side arrangement, agreement
or contract with the owner during the progress of this project unless approved in
writing by McManus Kitchen and Bath.
9. All contractors are responsible for refraining from swearing and abusive language
or behavior. We make no attempt to tell anyone how to talk, that is their choice,
but we do expect each contractor and their employees to give due respect to the
customer and McManus Kitchen and Bath Inc.
Subcontractor Guarantee and Callbacks
1. All Subcontractors are to guarantee their work for up to one (1) year. All materials
and equipment used are to be as specified on the contract between McManus
Kitchen and Bath Inc and the owner, and warranties are to be provided upon
request.
2. Callbacks will be received through the office of McManus Kitchen and Bath Inc.
McManus Kitchen and Bath Inc will notify Subcontractor of the entire complaint
by phone and/or written document within 24 hours of notice of callback from
customer.
It will be the responsibility of the Subcontractor to follow up on all call backs by
contacting the customer by phone within 48 hours of the received complaint from
the McManus Kitchen and Bath Inc, and a scheduled commitment to repair within
three (3) working days of the received complaint.
Failure to call and repair in the specified time limits will result in McManus
Kitchen and Bath Inc doing the repairs at a cost to the Subcontractor of $100.00
per hour plus materials at cost plus 40%.
3. Phone contact and a repair outline are to be submitted to McManus Kitchen and
Bath Inc Management by the Subcontractor. The repair outline is to be in writing
upon a McManus Kitchen and Bath Inc provided form after scheduling the repair.
Proposal
1. All proposals are to be submitted to the McManus Kitchen and Bath Inc estimator
on the form supplied or similar form. The proposal is to include all pertinent
information about the Contract, materials to be used and contract amount.
2. All quotations for jobs are to be completed within 5 working days of bid request.
3. The Subcontractor must be willing to, but not expected to, quote every invitation
to bid. The option to decline to bid the job remains the Subcontractor’s decision.
Repeated declining can result in an elimination of the McManus Kitchen and Bath
Inc as a qualified Subcontractor.
4. McManus Kitchen and Bath Inc will guarantee one out of every three job quotes
by the Subcontractor providing the Subcontractor will commit to bid every
invitation and prioritize McManus Kitchen and Bath Inc as one of their primary
contractors.
Customer Disputes
It is the responsibility of McManus Kitchen and Bath Inc to handle any and all disputes
between the Customer and Contractors. Under no circumstances will the Subcontractor
have the freedom to conduct themselves in any way other than respectfully to all parties
involved in any dispute. Any and all respectful disagreements will be brought to
McManus Kitchen and Bath Inc Management of which McManus Kitchen and Bath Inc
will take full responsibility to resolve. All information relevant to the dispute and all
persons/companies involved would be invited to and expected to participate in this
process as requested.
Change Orders
It is the responsibility of McManus Kitchen and Bath Inc management team to conduct
negotiations for any and all changes on the job with the owner(s). Therefore, all
changes are to be handled only with change orders. Any changes to the Contract which
result in a credit or an addition will be addressed by the McManus Kitchen and Bath Inc
Management. Under no circumstances will McManus Kitchen and Bath Inc be liable for
labor, materials, or any other bill or invoice resulting from a decision by the
Subcontractor to proceed with any changes at the request of the customer, without
written consent from McManus Kitchen and Bath Inc management.
All change orders that involve the Subcontractor will be presented to McManus Kitchen
and Bath Inc with an outline of the Contract, the amount of the change order and the
impact to the existing job schedule.
Advertising
McManus Kitchen and Bath Inc encourages Subcontractors to take the advantage of
their advertising opportunity with us. Promoting and maintaining an attitude of
excellence is encouraged when you show your work. The outline below lists the
permissible ways in which we would allow advertising on the job site.

Elimination as a Qualified Subcontractor
All Subcontractors are responsible for following all commitments and policies as
outlined in this manual. Repeated violations of these commitments and policies will
result in elimination of the qualified Subcontractor.
It is not our intent nor do we wish to eliminate any company or contractor. The policies
and commitments that we have outlined in this manual are to honor our commitment to
the customer, to you as a Subcontractor and to build a lasting, profitable relationship
Contract Payments
1. For McManus Kitchen and Bath Inc to disburse payment for a contract or change
order, the following conditions must be met without exception:
a. All licenses, bonds and insurance certificates must be current and on file.
b. Completion of all the specified work pertaining to that specific draw request
and approval by McManus Kitchen and Bath Inc production management.
c. A statement showing original contract amount, dated received payments and
the current balance.
2. Disbursement of all payments will be made only after the required conditions
have been met. Payment issued a minimum of three (2) working days and a
maximum of seven (7) working days after the receipt of the invoice and approval
by McManus Kitchen and Bath Inc management can be expected by the
Subcontractor.
RRP Law
On any home built on or before 1978, McManus Kitchen and Bath Inc will conduct a test
for lead in all work areas. If lead is found, all workers on the job site must follow the
Lead Safe Work Practices. The results of this testing will be posted on the job site and
anyone entering the home will be required to read that post.
If lead is found, then any subcontractor that will do work in the home must abide by the
Lead Safe Work Practices. The subcontractor must be certified as a “Certified Firm” and
have an individual who has taken and passed the test, and be certified as a “Certified
Renovator” on the job as required by the RRP Law to train and supervise those doing
the work. The RRP Law applies to any work area where 6 square feet or more of
painted surface will be disturbed or if work is being done on windows or doors in the
home.

I acknowledge and submit to McManus Kitchen and Bath Inc management team and
company policies and will remain accountable for the actions of my employees.
I understand that neither McManus Kitchen and Bath Inc nor Subcontractor is bound by
law for any length of time.
If at any time it is determined by either McManus Kitchen and Bath Inc or Subcontractor
that our relationship is not profitable, immediate termination of our arrangement will be
deemed appropriate.

General Agreement to Provide Specialty Services to McManus Kitchen and Bath Inc
This agreement, made on _____/_____/_____ by and between McManus Kitchen and Bath Inc and _________________________________________________________________
Hereinafter called SUBCONTRACTOR. 1. The SUBCONTRACTOR agrees to furnish and install all materials and perform all work necessary to complete work as assigned by McManus Kitchen and Bath Inc. All work will be accomplished according to the plans or drawings and specifications as supplied by McManus Kitchen and Bath Inc on a per job basis, and as the McManus Kitchen and Bath Inc is bound to the Owner. Should any conflict or discrepancy arise between the Contract Documents, and any Subcontractor supplied document, the Contract Documents shall prevail. The work to be done shall include the removal of all extra materials or debris generated by SUBCONTRACTOR on a daily basis, and all materials or debris remaining on the Job at time of Completion. 2. The SUBCONTRACTOR agrees to provide a firm price quotation for all work to be done on a per job basis, and a start and completion date that will coincide with the schedule set by McManus Kitchen and Bath Inc. If you anticipate a problem not addressed on the plans and specifications for the individual job, or find any code violations or technical problem(s), please notify us promptly. Acceptance of all work should be based on a job site visit only. Any problem caused by conflicting conditions becomes your problem and your responsibility. 3. The SUBCONTRACTOR shall be completely responsible for the scheduling and manning of any inspections that are required by the governing authorities for his work. 4. The SUBCONTRACTOR shall familiarize himself with all contract documentation and shall insure that all workmen working at the direction of SUBCONTRATOR shall complete all work in accordance with said documents. shall not be responsible for the direction of supervision of SUBCONTRATOR’S workmen. 5. The SUBCONTRACTOR shall cause to be in force insurance in accordance with the attached document entitled "Insurance Requirements To Qualify As Subcontractor For McManus Kitchen and Bath Inc" and/or any other necessary insurance as required by the Owner, McManus Kitchen and Bath Inc or the State of Florida. 6. The SUBCONTRACTOR shall pay all Sales Taxes, Social Security, Unemployment compensation Taxes and other payroll or material taxes, due upon the material and labor furnished under the individual job Contract as required by the U.S. Government and the State of Florida in which the job will be performed. 7. No extra work or changes under the per job Contract will be recognized or paid for by McManus Kitchen and Bath Inc unless agreed to in writing before the work is done or the change made. 8. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by Arbitration as agreed between parties to this Contract, and under the laws of the Florida. Arbitration shall occur prior to any litigation by any party to this agreement. Arbitration shall occur at the place where the project is located. The prevailing party in such controversy will be entitled to an award of any arbitration fees and to its reasonable attorneys fees incurred in such a controversy. If the Arbitrator finds a neutral verdict, then both parties shall pay their own attorneys fees and split the cost of the Arbitrator equally. Judgment upon the award rendered by the Arbitrator, shall be final and binding upon all parties to this agreement, and may be entered in any court having jurisdiction thereof. The arbitrator will be a nonattorney, selected by mutual agreement between the parties involved in this dispute. If both parties can agree on a neutral arbitrator, that individual will commence the arbitration as soon as possible. If there can not be an agreement between the parties on the arbitrator, each party will pick a representative and those two will in turn pick a neutral arbitrator.
9. This Contract shall not be assigned to another by the SUBCONTRACTOR without first obtaining written permission from McManus Kitchen and Bath Inc. 10. SUBCONTRACTOR understands and agrees that they are not to talk to the Owner except to be cordial. Any questions, problems, changes or other communications by Owner are to be referred directly to McManus Kitchen and Bath Inc 11. SUBCONTRACTOR has read, understands and agrees that McManus Kitchen and Bath Inc will pay for work completed by SUBCONTRACTOR only after
SUBCONTRACTOR submits an invoice for work completed and the work has been approved by both McManus Kitchen and Bath Inc and the Owner. McManus Kitchen and Bath Inc will pay all invoices within 7 Working Days of the completed work being approved. NO payments will be made to SUBCONTRACTOR for any reason before of approval of completed work. Insurance Requirements To Qualify As Subcontractor For McManus Kitchen and Bath Inc
Important: Before Subcontractor performs any work or delivers any materials to the worksite under this contract, they shall furnish to McManus Kitchen and Bath Inc Certificates of Insurance with endorsements on forms acceptable to McManus Kitchen and Bath Inc in compliance with the requirements stated below. Such certificates shall be maintained in force until all work under this contract is completed. AM Best Ratings
Insurance Carriers shall have AM Best ratings of B++ or better Limits – The following minimum coverage limits are required:

Unacceptable limitations include:
● Any exclusions for residential work ● Any exclusions for completed operations ● Sunset clauses limiting completed operations
Auto Liability
● Additional Insured must be indicated on certificate Workers Compensation

McManus Kitchen and Bath Inc must be immediately advised in writing if policy limits have been reduced or if a material erosion of the existing aggregate limits has occurred – or can be reasonably expected to occur.
Cancellation Notice: At least 10 days advance notice of cancellation of any policy is required

We will issue a bid request for each project. We require a formal bid to be submitted in return. Once the bid is accepted by McManus Kitchen and Bath we require you issue us a formal contract for the project. We will provide you with this contract below which you can complete or you may provide your own as long as it covers the same things.

Subcontractor agrees to be legally bound by the provisions of the DrugFree Workplace Act of
1988, adhere to the attached policy and procedures as mandated by McManus Kitchen and
