NOTES:I. Best Buy: The following provision applies to mandatory use contracts only. This contract is subject to RCW

43.19.190(2) & RCW 43.19.1905(7): which authorizes state agencies to purchase materials, supplies, services, and equipment of equal quantity and quality to those on state contract from non-contract suppliers. Provided that an agency subsequently notifies the Office of State Procurement (OSP) State Procurement Officer (SPO) that the pricing is less costly for such goods or services than the price from the state contractor.If the non-contract supplier’s pricing is less, the state contractor shall be given the opportunity by the state agency to at least meet the non-contractor’s price. If the state contractor cannot meet the price, then the state agency may purchase the item(s) from the non-contract supplier, document the transactions on the appropriate form developed by OSP and forwarded to the SPO administering the state contract. (Reference General Authorities document)If a lower price can be identified on a repeated basis, the state reserves the right to renegotiate the pricing structure of this agreement. It is the contractor’s responsibility to verify membership of these organizations prior to processing orders received under this contract. UPDATE INFORMATION:

1. (11/16/07) New Service: Kitsap County, Olympic Community College has added a 1,000 gal tank, contractor owned. Estimated annual use 4,200 gallons; service by Ferrellgas.

2. (11/16/07) Additional Service: Lewis County, WSDOT added two 125 gallon tanks to existing site. Service by Ferrellgas with no change in bid margin.

3. (11/16/07) The term value has modified from $297,700.00 to $299,700.00. ($297,700 + $19,744.06 = $299.674.40) rounded = $299,700).

4. There are no other changes at this time.

The following contract provisions were excerpted and abridged from the contract IFB & Amendment:1. Propane Bid Margins and Price Changes

A. Contract prices will be allowed to increase or decrease during the term of the contract. All contract adjustments shall be weekly and shall be based upon the changes in the “average” of the following indexes which are published weekly in the BPN Weekly Propane Newsletter:

B. The delivery location bid margin will be added to the average of the pricing indexes indicated above to determine the contract price(s). Delivery location bid margins shall remain firm and shall not be subject to change during the contract term. Bid margins include: freight costs, gross profit and any other fees or charges assessed by the contractor on customer purchases. They exclude all other taxes, including but not limited to: Federal Superfund Tax, Federal Excise Tax and Washington State Sales Tax.

C. The propane gas delivery date and time shall determine the applicable contract price(s) provided delivery was made within the time frame established herein.

2. Other Prices and ChargesA. Contractor’s Customer Posted Prices for Supplies (hoses, parts, etc): shall be a price included in a catalog, price

list, schedule or other form that is regularly maintained at the Contractor’s plant. It must be made available upon customer request and state prices/charges which are applicable. Contractors have provided a percent discount off posted price list to contract purchasers, which must remain firm for the contract term.

B. Propane Tank Delivery and Set-up, and Labor Rates: Contractors have specified rates for tank delivery and set-up, and labor rate for on-site services. Rates must remain firm for the contract term.

C. Propane Tank and Pump Rental: where applicable, contractors have specified an annual charge for propane tank and pump rental. Rates must remain firm for the contract term. For rentals of less than one year, contractor shall prorate annual fees. Rental fees are due at the end of the annual rental term.

3. Contract Pricing and InvoicingGiven the complexity of contract pricing and the need for the purchaser’s accountants to verify the accuracy of each invoice prior to approving for payment, contractor’s invoice should list all of the following as separate line items. If items are combined, they must be accurate and clearly identifiable. Incorrect invoices shall be returned unpaid to contractor for correction and reissue. Continued instances of incorrect invoicing may be grounds for contract termination.A. The contractor’s delivery receipt is to be signed by purchaser’s representative at time of delivery. In rare instances,

when the delivery driver is unable to locate the purchaser’s representative, he/she may write “no one available to sign” on delivery receipt and sign it themselves.

B. Pricing shall be established on the day of delivery. Contract price changes shall occur every Friday at 12:01 am and shall remain firm through the following Thursday, Midnight. Prices shall be posted on Office of State Procurements fuel website at http://www.ga.wa.gov/purchase.

C. The contractor shall prepare and submit an invoice to the purchaser for each delivery (or monthly if requested by purchaser).

D. (2) Washington State and Local Sales tax is applicable. The point of sale for propane deliveries is the contractor’s facility form which they shipped the propane (not the purchaser’s “ship to” address).

4 Deliveries: A. Minimum Order Requirements: although there shall be no minimum order quantities, purchasers shall order

reasonable quantities based upon size of storage tank.B. Delivery Completion: delivery shall be considered completed only when propane has been shipped FOB

Destination and placed into the purchaser’s propane tank(s).

C. Delivery Default: when ordered propane has not been delivered within the terms and time frames specified herein, substitute propane may be purchased from another supplier and the contractor will be responsible for paying any additional acquisition costs. Habitual late or otherwise non-complying deliveries shall be grounds for contract termination and recovery of damages.

D. Propane Deliveries: Propane deliveries will normally be as a result of one of the following ordering programs:1. Routine Deliveries: for routine orders placed by the purchaser, the contractor shall schedule deliveries

during normal working hours within a guaranteed maximum of three (3) calendar days after receipt of order. However, on a case-by-case basis for remote delivery locations, the purchaser and contractor may agree on a later delivery time.

2. “Keep Full Program” Deliveries: purchasers may request to participate in the contractor’s “Keep Full Program” if the contractor has such a program for their other customers. Under this program, contractor shall schedule deliveries at its convenience as authorized by the purchaser. Further, contractor guarantees that “Keep Full Program” customers will not run out of propane. If they should run out, contractor agrees to make a delivery as quickly as possible, but not later than twenty-four (24) hours. The bid margin will remain the same for this service.

3. Emergency Deliveries: should an emergency situation arise, the contractor guarantees delivery within a maximum of twenty four (24) hours after notifications of need or as required by the purchaser in response to an emergency. The Contractor may charge a reasonable service charge for such deliveries in addition to normal product charges and bid margins, based on the nature of the emergency and the extend of additional costs incurred.

5. Quantity Delivered: The contractor shall provide a stamped loading ticket or handwritten meter readings to certify the actual volume delivered.

6. Tank Delivery and Installation: Through this contract, purchaser may request that the contractor provide: rental propane storage tank(s), assistance with the installation of a purchaser owned tanks(s), tank installation and set-up, necessary permits or fees, labor, parts, supplies and piping. For some new installations, contractors may also be asked to provide concrete base slabs on which to set propane storage tanks, concrete slab and storage tank delivery and set-up services, trenching services, pipe installation services, pressure regulators and concrete filled bollards. All supplied equipment and services must comply with established federal, state and local codes and regulations. A copy of the applicable equipment or the company’s warranty shall also be furnished at the time services or equipment is provided.

7. Equipment Maintenance: Contractor shall be responsible for maintaining all propane equipment in good mechanical and operational condition regardless of equipment ownership. Contractor shall inspect, service and repair equipment as necessary and invoice purchaser as appropriate. Any costs for necessary upgrades or repairs shall receive prior approval form the customer.

8. Equipment Rental: Many purchasers have chosen to rent or lease propane storage tanks or other equipment from their propane supplier rather than purchase the equipment themselves (as noted herein in the “Price Sheets”) therefore contractors must have propane tanks and other equipment available on a rental basis. Contractors annual rental rates are noted herein. Rental payments shall be made at the end of the year of use (ie: in arrears) or on a prorate basis should contractor remove equipment that has been in place for less than one year. Contractor may ask purchaser to sign their standard rental agreement, provide the following words have been added: “This rental agreement shall be in strict accordance with the prices, terms and conditions of Washington State Contract


#02901”. Any agreement provision not in harmony with contract prices, terms and conditions shall be unenforceable.

9. Contractor Changeover: Since immediate changeover from the previous propane contractor to the new contractor may not always be possible, it shall be the new contractor’s responsibility to make changeovers as easy and non-intrusive as possible. When the transition calls for the new contractor to provide rental tanks or other equipment, the contractor will be expected to coordinate the removal of the old contractor’s tank(s) and the installation of their tank(s) in such a way as to minimize disruption to the purchaser. In some instances where the changeover of rental equipment is involved, there may be some delays due to prior contractual commitments. However, major supplier changeover problems are not anticipated. Contractor shall not charge for storage tank pick-up and shall credit or refund to the purchaser for any returned propane gas left in the tank at time of tank pick-up.

10. Product Quality: Propane gas delivered by the contractor shall be free from impurities including water, dirt, harmful oils, fibrous materials, other petroleum products or contaminants. In case of damage directly traceable to contamination, the contractor shall be responsible for all damages and costs incurred by the purchaser.

11. Tax Exempt Forms: Contractors should provide tax exempt forms (state or federal) to contract purchasers on an as needed basis. Each purchaser is responsible for properly completing the exemption forms and returning them to the contract when required for tax exempt fuel purchases.

12. Fuel Allocations: If propane supplies should be allocated (whether a result of government or company action), the State Procurement Officer shall authorize and direct purchaser’s participation in contractor’s allocation program, including the transferring of allocation volumes between purchaser’s delivery locations or among various purchasers. Contractors are to contact the State Procurement Officer in the event of fuel shortages and the implementation of an allocation program.

13. New Fuel Requirements: For unknown or future propane delivery locations not listed in this contract, the State Procurement Officer will quote the new requirement only to existing contractors supplying contract purchasers in the same general vicinity. The new delivery location shall be added to the contract held by the contractor offering the lowest evaluated bid margins at the time of quoting, provided bid margins and other charges are consistent with existing contract locations.

14. BPN posting. Effective with the posting for September 16, 2005 based on the published weekly indexes by BPN Weekly Propane Newsletter the following four indexes will be used to provide the weekly average propane rates:

(7/26/07) Extension. Interim term (anticipated three (3)-months) through thirty (30)-days after new contract award. During this time a new open competitive bid process will be developed and posted. An IFB/contract number has not yet been assigned. Term value reduced from $1,095,215.45 to $278,896.62 (anticipated @ 3-months) to reflect changes.

(7/26/07) Rate increase. AmeriGas has been authorized a minor 7.5% bid margin increase and Heritage (Northern Energy) has been authorized a minor 3% bid margin increase on site locations place prior to 2006. The Consumer Price Index substantiates a 35.7% since 2005. Increased rates go into effect 08/01/2007. The price sheet indicates location site increases in “BLUE.”
