Smartway India Enterprises LLP (SIELLP) has not au f1lorized any representative or leaders to collect cash from any individual for product purchase from us andthe payment shall be deposited in the SIELLP bank account directly. Product refund policy:

All SmartwayProductsare covered under Sinartway'sCustomer ProductRefund Policy.

Whenthe product isdelivered to the customerand if it is found defectiveor hasanymanufacturingdefect, the customer shall send it back to the companywithin30 daysof receiptwhereon,the companywill replace theproduct immediatelyat noextracost.

IftheCustomer is notcompletelysatisfiedwith theproduct, theyshall return theproducts,within 30 days fromthedate of invoice for a full refund.

The Periodof'return is calculatedfromthe Dateoflnvoice and thedate of despatch of returnmaterial fromCustomer end.

Direct Seller Contract

This document describes the agreement between Smart Way India Enter[risesLLP("Company")and (NAME) ("Direct Seiler") governed by the provisions of the IndianContract Act 1872.

Company and Direct Seller enter into this agreement under the Government of India, Mtistryof ConsumerAffairs, Food and Public Distribution, Department of Consumer Affairs gUidjlineSon Direct selling issued vide memorandum F.No. 21/18/2014-IT(Vol-lI) dated 09th September,2016, and any other laws in force, whereby both the parties have rights and obligation th tarecoextensivewith. the rights and obligations of the parties under the Indian Contract Act 872.

1. Thisagreement describesthe material terms of participation and shall:

a) Not compel or induce the Direct Seller to purchase goods or services in an amoun thatexceeds an amount that can be expected to be sold to the consumer within a reasol ableperiod of time.

b) Allow or provide a direct seller a reasonable cooling-off period in which to ancelparticipation and receive a refund for goods or servicespurchased.

c) Allow a termination of contract with a reasonable notice, in such instance and 0 suchterms where direct seller is found to have made no salesof goods or services up to two earssincethe contract was entered into, or sincethe date of last salemade by the direct selle.

, d) Allow or provide for a buyback or repurchasepolicy for currently marketable goodsor seivices. sold to the direct seller at the said direct seller's request reasonable terms. e) Direct Seller andCompany shall be guided by the provision of the consumer protection act 1986.

e) Allow or provide that all the problems arising shall be handled by the Grievance Red essal.Committee consisting within seven days which shall consist of at least 5 officers of the eachdepartment namely Customer Complaints and Direct SellerComplaints.

Certain obligations of Direct Sellers

1. Direct Seller engaged in direct selling should carry their identity card and not visi thecustomer's premiseswithout prior appointment/approval;

2. At the initiation of a sales representation, without request, truthfully and clearly

identify themselves, the identity of the direct selling entity, the nature of the good. orservices sold and the purpose of the solicitation to the prospective consumer;

3. Offer a prospective consumer accurate and complete explanations and demonstration ofgoods and services, prices, credit terms, terms of payment, return policies, terms of guara tee,after-sales service;

4. Providethe following information to the prospect I consumers at the time of sale, namely:

a) Name, address, registration number or enrollment number, identity proof and telep onenumber of the direct seller and details of direct selling entity;

- b) A description of the goods or servicesto be supplied;

c) Explain to the consumer about the goods return policy of the company in the details be orethe transaction;

d) TheOrder date, the total amount to be paid by the consumer along with the bill and rec ipt;

e) Time and place for inspection of the sample and delivery of good;

f) Information of his/her rights to cancel the order and I or to return the produot insale able condition and avail full refund on sumspaid;

g) Details regarding the complaint redressalmechanism;

5. A direct seller shall keep proper book of accounts stating the details of the produ ts,price, tax and the quantity and such other details in respect of the goods sold by him/ er,in suchform asper applicable law.

6. A direct seller shall not:

a) Use misleading, deceptive and I or unfair trade practices;

b) Use misleading, false, deceptive, and I or unfair recruiting practices, inclutJingmisrepresentation of actual or potential sales or earnings and advantages of Direct selli11gtoany prospective direct seller, in their interaction with prospective direct sellers;

c) Make any factual representatlon to a prospective direct seller that cannot be verifie I ormake any promise that cannot be fulfilled;

d) Present any advantagesof Direct Sellingto any prospective direct seller in a false and I or adeceptive manner;

e) Knowingly make, omit, engage, or cause,or permit to be made, any representation rela ingto the Direct Selling operation'l including remuneration system and agreement between theDirect Sellingentity and the direct seller, or the goods and I or services being sold by suchdirect seller which is false and I or misleading;

f) Require or encourage direct sellers recruited by the first mentioned direct seller to purc asegoods and I or services in unreasonably large amounts;

g) Provide any literature and I or training material not restricted to collateral issued by theDirect Selling entity, to a prospective and I or existing direct sellers both within and outside theparent Direct Selling entity, which hasnot been approved by the parent Direct Sellingentjty;

h) Requireprospective or existing direct sellers to purchaseany literature or training mate lialsor salesdemonstration eqUipmerlt.

As anIndependent Distributor(s) pJogresses through the various Levels of leadership his/herresponsibilities to train and motil ate downline Independent Distributor(s) will inerease.

REPORTING VIOLATIONS AND REWARD PROGRAMME

avoided) Register the details irto the company website and shall receive an SMS with Rin Number

with in a day or two. If the person did not receive the SMS within 5 working days, the pers n have the

responsibility to notify the com~any through customer care number or company email.

When an Independent Distri~_utor(s) has a grievance or complaint with another In ependent

Distributor(s) regarding any practice or conduct in relationship to their respective S~ART WAY

businesses, the complaining Irdependent Distributor(s) should first discuss the problerm with the

other Independent Distributorta). If this does not resolve the problem, the complaining In~ependent

Distributor(s) should report thel problem to his/her up line Diamond Leader to resolve the ssue at a

local level. If the matter cann k be resolved within thirty (30) days from the date on wh ch it was

reported to the up line Diamond Leader, it must be reported in writing to the SMART WAY Compliance

Department. The Compliance D partment will review the complaint and make a final decisioi.

Making clear that income from thl SMART WAY Business Plan is based on product sales to get theRetail income and by sponsoring new member(s) to get the binary income.

Representing that past earnings la given set of circumstances do not necessarily refiect futureearnings.

COMPLIANCE DEPARTMENT REVIEW

Upon receipt of a written complaint, the SMART WAY Compliance Department will invest gate the

matter, review the applicable poli ies, and render a decision on how the dispute shall be resol ed.

The Compliance Department mar also issue disciplinary sanctions consistent with the prov sions of

Section 16 Subject to apPliCablj, law, SMART WAY Compliance Department's decision shall be finaland binding on the Independent iistributors to the dispute.

diseases. S~Ch st~te~ents ca I be perceived a~ m~dical or drug claims. Not only are S~Chflaims andrepresentations violative of the Independent Distrlbutorfs) Agreement, but they also vlola~e the laws

and regulations of India. \

It is the responsibility of those persons involved in the Entity to conform to the laws of testate in

which their Entity is formed. SM RTWAY reserves the right to approve or disapprove any In ependent

Distributor Application and Agre ment submitted by an Entity, as well as any Independent DiJtributor.

SMART WAY cannot divide a D wnline Organization, nor can it divide the payout cheq beLeen the

joint owners unless otherwise a~reed to in writing by SMART WAY. \

, Without the concern and a proval from the Company, distributors are not allowed to work or get

ssociated with any other distrib~tor. or ~omp~ny ~irectlY or. indirectly. If found the Company has the 1 j}Jfull rights to terminate the same distribution ship without notice ')I'f an active distributor wants 0 change his position, he has to be standby for 6 month with an approvalfrom the Company.

The transferring Independent Distributor(s) must be in good standing and not in violation f any of the

terms of the Independent Distributor(s) Agreement or Policies and Procedures, to tran fer his/herDistributor(s) ship.

SMART WAY will not approve the transfer of a Distributor(s) ship to any individual or Enj'ty that is a

current Independent Distribu or(s) or who has an ownership interest in any Distribu or(s) ship.

Similarly, SMART WAY will no approve the transfer of a Distributor(s) ship to any individ al or Entity

that has previously had any owrershiP interest in, or operated, a SMART WAY Distributor(s) bhiP.

The No objection certificate (NrC) from the Sponsor must be submitted.

Remit Rs. 500/- (Five Hundred (Only)in favor of SMART WAY towards the transfer processin fee.

Any individual operating a bus ness is required to obtain a Permanent Account Number from the

income Tax Department when t eir earnings become taxable under the Indian income Tax Act. Please

consult your tax advisor for rule and details as Tax laws will change from time to time.

An Independent Distributor should not use the SMART WAY trademark or trade name or co porate

logo to promote their independent usiness without the prior written approval from SMART WA .

Violation of any of the terms and conditions of the Independent Distributor(s) Agreeme~t or these

Policies and Procedures, or amy illegal, fraudulent, deceptive, or unethical business conduct by an

Independent Distributor(s), rna: result, at SMART WAY's discretion, in one or more of thJ followingactions: IWithdrawal or denial of an awa or recognition, or restricting participation in SMART WAYJponsored

events for a specified period of time or until the Independent Distributor(s) satisfies certain specifiedconditions;

DISCIPLINARY ACTIONS

Withholding commissions or fayouts for a specified period of time or until the In ependentDistributor(s) satisfies certain specified conditions;

Suspension of certain privilegJ of Distributor(s)ship, including but not limited to placing a product

order, participating in SMART W~Y programs, progressing in the Business Plan, or particiPafing as a

Sponsor, for a specified period of time or until the Independent Distributor(s) satisfies certainspecified conditions or any other right or privilege;

lrnposinq fair and reasonable fi es or other penalties in proportion to actual damages inc rred bySMART WAYand as permitted bY,law; and/or

Terminating the Distributor(s) shi~ by terminating the Independent Distributor Agreement.I
