Certain words in the Policy have specificmeanings. These meanings are definedbelow. The words defined carry the samemeaning wherever they appear in the Policy,unless varied by a Definition in a particularSection, and are printed in bold to help Youidentify them

Certain additional words are also defined at thebeginning of the individual Sections in whichthey are used and to which they have aparticular relevance

Company/We/Us/OurCovea Insurance plc

ProposalThe signed Proposal and declaration and/orStatement of Fact and any additionalinformation supplied to the Company by or onbehalf of the Insured which form the basis ofthe contract of insurance embodied in thisPolicy

PolicyThe Policy Booklet and Schedule referred totherein plus any endorsements attachedthereto or subsequently issued for attachmentthereto

Insured/You/YourThe person(s) or company named in the PolicySchedule

PremisesThe buildings or part of the buildings situatedat the address or addresses shown in theSchedule and occupied by the Insured for thepurposes of the Business

BusinessThe Business stated in the Schedule

Business HoursThe period during which the Insured premisesare actually occupied for Business purposes bythe Insured or partner, director or Employee

Employee(a) any person under a contract of service or

apprenticeship with the Insured

(b) any person who is hired to or borrowed bythe Insured

(c) any person engaged under a workexperience or training scheme

(d) any labour master or person supplied byhim

(e) any labour only sub-contractor or personemployed by him

How we use your InformationThe personal information, provided by You, iscollected by or on behalf of Covéa Insurance

and may be used by Us, Our employees,agents and service providers acting under Ourinstruction for the purposes of insuranceadministration, underwriting, claims handlingand for research, or statistical purposes.

We may also share Your information withreinsurers and regulators, as required by law.

From time to time We may need to undertakesome of the processing of Your data incountries outside of the European EconomicArea, and in such cases We will ensure thatthere is an agreement in place which givesequivalent assurances as found in the DataProtection Act 1998.

We will collect sensitive information whendealing with Your Policy; We will however onlycollect information that is relevant to YourPolicy, its administration or claims handling.

In order to prevent or detect fraud We willcheck Your details with various fraudprevention agencies, who may record a search.Searches may also be made against otherinsurers’ databases. If fraud is suspected,information will be shared with those insurers.Other users of the fraud prevention agencies

You should show this notice to anyone whosepersonal information You provide to Us. Youmust ensure that any such information Yousupply relating to anyone else is accurate andthat You have obtained their consent to theuse of their data for the purposes set outabove.

How to Cancel your PolicyIf You do not want to accept the Policy Youhave the right to cancel it within 14 days fromthe date of purchase of Your Policy or the dayyou receive Your Policy documentation,whichever is later. To do this You must returnthe Policy documentation to Your broker whengiving Your instruction to cancel.

If cover has not yet started a full refund will begiven. If cover has started We will refund thepremium for the exact number of days left onthe policy, less an additional charge of £25 plusthe prevailing rate of Insurance Premium Taxas stated on Your Policy Schedule. No refundwill be given if a claim has been submitted orthere have been any incidents likely to give riseto a claim during the current period ofinsurance. We will also do this if You want tocancel the Policy within 14 days after therenewal date.

You may cancel the Policy at any other time bycontacting Your broker.

If You cancel Your Policy after 14 days and aclaim has been submitted or there have beenany incidents likely to give rise to a claim duringthe current period of insurance, We will notrefund any part of the premium. If You have aLoan Agreement with Us, all outstandingmonies must be paid to Us as described in YourLoan Agreement.

If no claims have been submitted and therehave been no incidents that are likely to giverise to a claim during the current period ofinsurance, We will refund the premium for theexact number of days left on the Policy less anadditional charge of £25 plus the prevailingrate of Insurance Premium Tax as stated onYour Policy Schedule.

For Our rights to cancel Your Policy pleaserefer to Conditions applicable to all SectionsCondition 8 of this Policy Booklet.

Choice of LawThe parties to an insurance contract are free tochoose the law that will apply. Unless We agreein writing with You otherwise, this insuranceshall be subject to the law applying in that partof the United Kingdom, Channel Islands or Isleof Man where You have Your principal place ofbusiness. If there is any dispute, the law ofEngland and Wales shall apply.

Employers Liability Tracing Office Certain information relating to Your insurancepolicy including, without limitation, the policynumber(s), employers’ names and addresses(including subsidiaries and any relevantchanges of name), coverage dates, employer’sreference numbers provided by Her Majesty’sRevenue and Customs and Companies HouseReference Numbers (if relevant), will beprovided to the Employers’ Liability TracingOffice, (the ELTO) and added to an electronicdatabase, (the Database).

This information will be made available in aspecified and readily accessible form asrequired by the [Employers’ Liability Insurance:Disclosure By Insurers Instrument 2010]. Thisinformation will be subject to regular periodicupdating and certification and will be auditedon an annual basis.

The Database will assist individual consumerclaimants who have suffered an employmentrelated injury or disease arising out of theircourse of employment in the UK for employerscarrying on, or who carried on, business in the UKand who are covered by the employers’ liabilityinsurance of their employers, (the Claimants):

• to identify which insurer (or insurers) was(or were) providing employers’ liability coverduring the relevant periods of employment;

and

• to identify the relevant employers’ liabilityinsurance policies.

The Database will be managed by the ELTO.

The Database and the data stored on it may beaccessed and used by the Claimants, theirappointed representatives, insurers withpotential liability for UK commercial linesemployers’ liability insurance cover and anyother persons or entities permitted by law.

By entering into this insurance Policy You willbe deemed to specifically consent to the use ofYour insurance Policy data in this way and forthese purposes.

Introduction

Each Section of this Policy, the Schedule andany endorsements, together with thisIntroduction, Customer Information and theDefinitions, Conditions applicable to allSections and Exceptions applicable to allSections shall be read as one document.

Any word or expression given a specificmeaning in:

1. the Schedule, and Policy endorsements, orthis Introduction, the CustomerInformation and the Definitions,Conditions and Exceptions shall have thesame meaning throughout the Policyunless We state otherwise

2. an individual Section or any Sectionendorsements shall only have the samemeaning throughout such Section orendorsement unless We state otherwise.

Any such word or expression given a specificmeaning shall be highlighted with a leadingcapital letter and in bold text within the PolicyBooklet.

In return for You having paid or agreed to paythe premium for the Period of Insurance, Wewill indemnify You, subject to the termscontained in or endorsed on the Policy, inrespect of loss Damage or liability or pay otherbenefits which fall within the operativeSections of this Policy, provided that the loss,Damage or injury which gives rise to the claimoccurs (or in the case of the Employer's LiabilitySection is caused) during the Period ofInsurance and in connection with the Business.

The Schedule shows the Sections of the Policythat are operative.

IMPORTANT

This Policy is a legal contract.

You have a duty to make a fair presentation ofthe risk which is covered by this Policy.Therefore You should ensure that anyinformation You have provided to Us and thecontent of any application form, declarationand / or Statement of Fact is accurate andcomplete. Where You have provided Us withinformation which relates to matters of Yourexpectation or belief, it does not matter if suchinformation turns out to be inaccurate providedthat You acted in good faith when Youprovided Us with such information. If You donot comply with Your duty to make a fairpresentation of the risk, Your Policy may notbe valid or the Policy may not cover You fullyor at all.

You must also tell Us about any facts orchanges which affect Your insurance andwhich have occurred either since the Policystarted or since the last renewal date.

If You are not sure whether certain facts arerelevant please ask Your insurance broker. IfYou do not tell Us about relevant changes,Your Policy may not be valid or the Policy maynot cover You fully or at all.

You should keep a written record (includingcopies of letters) of any information You giveUs or Your insurance broker.

Conditions applicableto all Sections

1. Reasonable PrecautionsThe Insured must take or cause to be taken allreasonable precautions to prevent or minimiseInjury or Damage

2. Alteration in RiskYou or Your broker must tell Us immediately ifduring the Period of Insurance there is anyalteration in risk or to the facts which Youdisclosed when You took out this Policy, whichmaterially affects the risk of injury, loss,Damage or liability which would fall within thePolicy cover. This includes but is not limited toalterations to the Business or the Premises.

When You tell Us about an alteration in risk,We may apply additional terms and conditionsto this Policy (including but not limited topremium) or, if the risk is unacceptable to Us,We may cancel the Policy in accordance withConditions applicable to all Sections –Condition 8 (Our Rights to Cancel the Policy).

If an alteration creates an additional premium,this will be subject to a minimum premium of£10 plus the prevailing rate of InsurancePremium Tax. If as a result of an alteration Youare due a refund of premium, amounts under£10 (plus the prevailing rate of InsurancePremium Tax) as stated on Your PolicySchedule will not be refunded, to coveradministration costs

If You fail to tell Us about an alteration in risk,We may:

(a) terminate the Policy back to the date whenthe alteration occurred, if We would havecancelled the Policy had You told Us of thealteration in risk;

(b) proportionately reduce the amountpayable in respect of a claim; and/or

(c) treat the Policy as if it contained suchdifferent terms (other than relating to thepremium) that We would have applied tothe Policy had You told Us of thealteration in risk.

Any reduction in claims payments orapplication of different terms will take effectfrom the date on which the alteration in riskoccurred.

Where We elect to proportionately reduce theamount payable in respect of a claim, We willpay a percentage of the claim, the percentagebeing calculated by comparing the premiumwhich You actually paid with the premiumwhich We would have charged had You told usabout the alteration in risk. For example, if thepremium which You actually paid is 70% of thepremium We would have charged, We will onlypay 70% of any claim.

3. Change of Risk or InterestThis Policy shall be avoided if:

(a) Your interest ceases other than by death

(b) the Business be wound up or carried on bya liquidator or receiver or permanentlydiscontinued

at any time after the commencement of thisinsurance unless We have accepted thechange.

Nothing contained in this Policy shall give anyright against Us to any person other than Youexcept to a transferee approved by Us.

4. Claims Procedure andRequirements

It is a condition precedent to Our liability thatin the event of circumstances giving rise to orlikely to give rise to a claim the Insured shall

(a) report it to the Company immediately andfurnish in writing full details of Injury orDamage as soon as possible but at thelatest within seven days of the Injury orDamage taking place if caused by riot orcivil commotion

(b) report it to the Police immediately in theevent of Damage by malicious personstheft or accidental loss

(c) at his own expense give all evidenceinformation and assistance as required bythe Company or Police

(d) send every writ or other document to theCompany immediately and notacknowledge it nor admit liability norpromise payment to other parties withoutthe Company’s written consent

(e) permit the Company at their owndiscretion and expense to take over andconduct the defence or settlement of any

claim and to take all necessary steps forenforcing any rights against any otherparty in the name of the Insured before orafter the Insured’s claim

5. Fraudulent ClaimsFor the purposes of this Condition thedefinition of ‘You / Your’ will also include anyperson who is entitled to benefit from thePolicy to the extent that a claim is made by oron their behalf.

If You or anyone acting on Your behalf makesa claim which is in any way fraudulent We:

(a) will not pay the claim;

(b) may recover from You any sums alreadypaid by Us in respect of the claim; and

(c) may notify You that We are treating thisPolicy as having terminated with effectfrom the time of the fraudulent act.

If We do treat this Policy as having terminated,You will have no cover under this Policy fromthe date of termination and will not be entitledto any refund of premium.

Where a fraudulent claim is made by or onbehalf of a person who is not the Insured, thiscondition applies only to that person's claimand references to 'this Policy' should be readas if they were references to the cover for thatperson alone and not to the Policy as a whole.

(a) making a claim which is fraudulent,fictitious or known to be false

(b) intentionally exaggerating or inflating aclaim

(c) supporting a claim with false or forgeddocuments, information or statements

(d) wilfully causing loss, Damage or injury

6. Company’s Rights(a) the Company may enter any Premises

where Damage has occurred and takepossession of or require to be delivered tothem any property insured and deal with itin any reasonable manner

(b) the Company is entitled to take over andconduct the defence or settlement of anyclaim at their discretion

(c) under Section 1G – Legal Liabilities theCompany may at any time pay the Limit ofLiability (after the deduction of any sum orsums already paid) or any less amount forwhich such claim or claims can be settledand shall then relinquish the conduct andcontrol of and be under no further liabilityin respect thereof except for the paymentof costs and expenses incurred prior to thedate of such payment

7. Other InsurancesIf the Damage or liability which is the subjectof a claim under this Policy is covered by anyother insurance the Company will not paymore than their rateable proportion

This Condition does not apply to Section 1D –Personal Accident – Assault

8. Our Rights to Cancel the PolicyWe or any agent appointed by Us and actingwith Our authority have the right to cancel YourPolicy, where there is a valid reason for doingso. We will give You fourteen days notice ofcancellation in writing, by recorded delivery, tothe latest address We have for You and will setout Our reason for cancellation in Our letter

Valid reasons may include but are not limited to:

1. not

(a) paying a premium when it is due

(b) co-operating with Us, or sending Usinformation or documentation thatmaterially affects Our ability to processthe Policy or Our ability to defend Ourinterests

(c) exercising Your duty of care as requiredunder the "Reasonable Precautions"Condition in the Conditions applicableto all Sections of this Policy Booklet

and failing to put this right when We askYou to by sending You seven days writtennotice to Your latest address

2. use of threatening or abusive behaviour orlanguage, or intimidation or bullying ofOur staff or suppliers

If We cancel Your Policy, We will refund thepremium for the exact number of days left on

the Policy less an additional charge of £25 plusthe prevailing rate of Insurance Premium Taxas stated on Your Policy Schedule

If You have a Loan Agreement with Us to payfor Your insurance, outstanding monies may beowed when Your Policy is cancelled. They mustbe paid to Us as described in Your LoanAgreement

9. SecurityIt is a condition precedent to liability under thisPolicy in respect of loss destruction or Damageby theft or attempted theft that

1. all external doors to Your Premises and anyinternal doors leading to other premises notoccupied by You must be fitted with andsecured out of Business Hours by

• a 5 lever mortice deadlock and boxstriking plate conforming to BS3621

• a 5 (or more) lever close shackle padlockand locking bar

• in the case of aluminium or UPVC doorsan integral cylinder operated swingboltmortice lock

• in the case of double leaf doors the firstclosing leaf must be fitted with keyoperated locks or bolts top and bottomin addition to an appropriate lockingmechanism as above

• in the case of outward opening doorshinge bolts must be fitted in addition toan appropriate locking mechanism asabove

• an alternative form of lock or lockingsystem which provides a level andquality of security at least equal to thosespecified above

2. all accessible opening windows fanlightsand skylights must be fitted with andsecured out of Business Hours by

• key operated window locks or beprotected by solid steel bars of not lessthan 3/4 inch diameter not more than 5inches apart and securely grouted intothe brickwork or masonry surroundingthe window

• in the case of louvred windows thelouvres must be permanently fixed inplace

10. UnoccupancyIt is a condition precedent to liability under thisPolicy that within 14 days of the Premises orany part thereof becoming Unoccupied orVacant or not having been actively used forBusiness purposes the Company is notifiedand

1. all services are turned off at the mains andthe water and heating systems drained

2. the Premises are to be adequately securedagainst unauthorised entry

3. at least weekly inspections are to be madeof the Premises by the Insured or anauthorised representative working on theInsured’s behalf

4. any accumulations of combustible materialssuch as junk mail and newspapers are to beremoved during each inspection of thePremises

11. Fair Presentation of the RiskYou must make a fair presentation of the riskwhen You first take out this Policy and alsowhenever You renew it or ask Us to changeYour cover.

If You fail to make a fair presentation of therisk including failing to disclose ormisrepresenting a material fact, or disclosingmaterial facts to Us in a way which is not clearand accessible:.

We may avoid this Policy and refuse all claimswhere:

(a) such failure was deliberate or reckless; or

(b) We would not have entered into this Policyon any terms had You made a fairpresentation of the risk.

Should We avoid this Policy We:

(a) Shall treat the Policy as if it had not existedfrom the start date, the renewal date, orthe date when You asked Us to changeYour cover, depending on when the failureto make a fair presentation of the riskoccurred

(b) shall return the premium paid for theperiod for which the Policy is treated as nothaving existed unless the failure to make afair presentation of the risk was deliberateor reckless

(c) may deduct from any return of premiumdue to You any monies already paid inrespect of claims falling within the periodfor which the Policy is treated as nothaving existed or require You to repay suchclaims.

Provided that any failure to make a fairpresentation of the risk is not deliberate orreckless, if We would have entered into orrenewed this Policy, or agreed to makechanges to Your cover on different terms hadYou made a fair presentation of the risk, Wemay:

(a) proportionately reduce the amountpayable in respect of a claim; and/or

(b) treat the Policy as if it contained suchdifferent terms (other than relating to thepremium) that We would have applied tothe Policy had You made a fairpresentation of the risk.

Any reduction in claims payments orapplication of different terms will take effectfrom the date on which the Policy started, wasrenewed or when changes were made to Yourcover, depending on when You failed to make afair presentation of the risk.

Where We elect to proportionately reduce theamount payable in respect of a claim, We willpay a percentage of the claim, the percentagebeing calculated by comparing the premiumwhich You actually paid with the premiumwhich We would have charged had You madea fair presentation of the risk. For example, ifthe premium which You actually paid is 70% ofthe premium We would have charged, We willonly pay 70% of any claim.

Where this Policy provides benefits toindividuals who would, if they had taken outsimilar insurance in their own name, have doneso for purposes wholly or mainly unconnectedwith their trade, business or profession, We willnot rely on this condition if the failure to makea fair presentation of the risk concerns onlyfacts or information which relate to thatparticular individual, unless the individual (orYou on their behalf) makes a carelessmisrepresentation, in which case We may relyon this condition as against that particular

individual as if a separate insurance contracthad been issued to them leaving the remainderof the Policy unaffected.

12. Terms Not Relevant to ActualLossIf payment of a claim is conditional uponcompliance with any term of this Policy We willnot pay for any claim where the term has notbeen complied with except where the termconcerned:

(a) is operative only in connection withparticular premises or locations;

(b) is operative only at particular times; or

(c) is intended to reduce the risk of particulartypes of injury, loss, Damage or liability

where We will pay for claims in respect ofwhich You can prove that non-compliance withthe term could not have increased the risk ofthe injury, loss, Damage or liability whichoccurred.

(a) ionising radiations or contamination byradioactivity from any nuclear fuel or fromany nuclear waste from the combustion ofnuclear fuel

(b) the radioactive toxic explosive or otherhazardous properties of any explosivenuclear assembly or nuclear componentthereof

but in respect of Injury to Employees underSection 1G – Legal Liabilities this Exceptionshall apply only when the Insured under acontract has either undertaken to indemnify orto assume the liability of another party inrespect of such Injury

3. Northern Ireland and TerrorismLiability loss or Damage caused directly orindirectly by an act of terrorism as defined inthe UK Terrorism Act 2000 is excluded exceptwhere We need to provide the minimuminsurance required by Employers’ Liabilitylegislation

4. Sonic BoomDamage directly occasioned by pressure wavescaused by aircraft or other aerial devicestravelling at sonic or supersonic speeds

5. War RisksAny consequence of war invasion act of foreignenemy hostilities (whether war be declared ornot) civil war rebellion revolution insurrection ormilitary or usurped power

6. Confiscation and NationalisationConfiscation nationalisation or requisition byorder of any government public municipal localor customs authority

7. Electronic Date RecognitionDamage to any property or any loss orexpense resulting or arising therefrom or anyindirect loss or any legal liability (other than inrespect of Injury to an Employee) orFinancial Loss directly or indirectly caused byor contributed to by or consisting of or resultingfrom the failure of any computer dataprocessing equipment media or systemmicrochip integrated circuit or similar device orany computer software or other equipment orsystem for processing storing or retrieving datawhether the property of the Insured or not andwhether occurring before during or after theYear 2000

8. Electronic Data1. Electronic Data Exclusion

This Policy does not insure loss Damagedestruction distortion erasure corruption oralteration of Electronic Data from any causewhatsoever (including but not limited toComputer Virus) or loss of use reduction infunctionality cost expense of whatsoevernature resulting therefrom regardless of anyother cause or event contributing concurrentlyor in any other sequence to the loss

Electronic Data means facts concepts andinformation converted to a form useable forcommunications interpretation or processingby electronic and electromechanical dataprocessing or electronically controlledequipment and includes programmes softwareand other coded instructions for the processingand manipulation of data or the direction andmanipulation of such equipment

Computer Virus means a set of corruptingharmful or otherwise unauthorised instructionsor code including a set of maliciouslyintroduced unauthorised instructions or codeprogrammatic or otherwise that propagatethemselves through a computer system ornetwork of whatsoever nature Computer Virusincludes but is not limited to ’Trojan Horses’’worms’ and ’time or logic bombs’

2. Electronic Data Processing MediaValuation

Should electronic data processing mediainsured by this Policy suffer physical loss orDamage insured by this Policy then the basisof valuation shall be the cost of the blankmedia plus the costs of copying Electronic Datafrom back-up or from originals of a previousgeneration these costs will not include researchand engineering nor any costs of recreatinggathering or assembling such Electronic Data

If the media is not repaired replaced orrestored the basis of valuation shall be the costof the blank media however this Policy doesnot insure any amount pertaining to the valueof such Electronic Data to the Insured or anyother party even if such Electronic Data cannotbe recreated gathered or assembled

(g) any disappearance or shortagerevealed only at the time of stocktaking or the making of an inventory

(h) loss or Damage by confiscation ordetention by Customs or other officialsor authorities

(i) loss or Damage following dishonesty orfraudulent action by the Insured’sEmployees or any person lawfully inthe Premises

Additional Cover1. Temporary RemovalDamage to Business Equipment (other thanpersonal effects) whilst temporarily removedfrom the Premises for cleaning renovation orrepair within the Territorial Limits if Damageis caused by a peril specified in this Section

2. Loss of KeysCosts incurred as a result of the necessaryreplacement of locks at the Premises followingtheft (as described in Cover 9 above) of keysfrom the Premises or from the home of anydirector partner or Employee authorised by theInsured to hold such keys provided that theCompany’s liability shall not include the costof replacing the locks of any safe or strongroom if the keys to such locks are left on thePremises whilst closed for business up to£1000 any one occurrence

3. Radio and Television MastsDamage to radio and television receivingaerials satellite aerials their fittings or masts atthe Premises

4. Theft Damage to The BuildingsDamage to the Premises caused by theft orattempted theft (as described in Cover 9above)

5. Underground Pipes and CablesDamage to underground water gas electricitysewage drainage or telephone pipes wires orcables extending from the Premises to thepublic main

6. Metered Water or Heating OilThe insurance by this Section extends to includeadditional meter water or heating oil chargesincurred by the Insured as a result of insuredDamage provided that the Company’s liabilityshall not exceed £2,500 in any one Period ofInsurance

The amount payable shall be ascertained bycomparing the charge made by the WaterSuppliers on their account for the period duringwhich the Damage occurred with the normalcharge in the same period in a previous yearadjusted for any other relevant factorsaffecting the Insured’s consumption of waterduring such period

Limits of LiabilityThe Company’s liability during any one Periodof Insurance shall not exceed in respect of

(a) Stock

(b) Specified Goods

(c) Business Equipment

(d) Personal Effects and tools belonging to the Insured or any director partner customer or Employee subject to

(i) other limits specified in this Section

(ii) the Sum Insured on Stock andSpecified Goods being increased by25% during November December andthe first 15 days of January and the 30days up to and including Easter Dayand 7 days thereafter annually

Index Linking

The Sums Insured specified in the PolicySchedule will be adjusted at monthly intervalsin accordance with the percentage change inthe Producer Price Index published by theDepartment of the Environment (or analternative index selected by the Company)

Provided that

(a) any adjustment made to the Sum Insuredwill be based on the latest figures availableto the Company

(b) at each renewal the premium will becalculated on the adjusted Sum Insuredthen in force

Indexation after loss

The Sum(s) Insured specified in the PolicySchedule in respect of Business Equipmentwhich sustains Damage by a cause covered bythis Section will continue to be index linkedfollowing such Damage while the property isbeing reinstated provided that the Insuredtakes all reasonable steps to ensure that thereinstatement is carried out without unduedelay

Claims SettlementFollowing Damage to insured Property theCompany will pay the cost of reinstating theProperty equal to its condition when newprovided that

(a) this is carried out without delay and in themost economical manner

(b) when any Property is partially damaged theCompany’s liability shall not exceed thereinstatement cost that would have beenincurred had it been wholly destroyed

(c) no payment will be made untilreinstatement has been carried out

(d) if the damaged Property is not reinstated aloss will be settled after allowance fordepreciation

(e) in respect of account books deedsmanuscripts plans drawings models mapsrecords computer disks and tapes filmtransparencies or art work the Company’sliability shall be limited to costs andexpenses incurred in reproducing orrecompiling them but shall not include thevalue to the Insured of the informationthat they contain

Underinsurance

If at the time of occurrence of Damage thetotal of the Contents Sums Insured specified inthe Policy Schedule is less than 85% of thereinstatement cost of the Property covered bythis Section the Company shall bear only thatproportion of the Damage which the total ofthe Sums Insured bears to the totalreinstatement cost

Automatic Reinstatement of Sum Insured

In the event of a loss the Sum(s) Insuredspecified in the Policy Schedule will beautomatically reinstated by the amount of theloss provided that

(a) pollution or contamination which resultssolely and directly from an Insured Peril

(b) any Insured Peril which results frompollution or contamination

(f) accidental discharge or leakage fromany automatic sprinkler installation ifsuch discharge or leakage is caused byfreezing or when the Premises areVacant or Unoccupied

6. Damage to account books deedsmanuscripts plans drawings models mapsrecords computer disks or tapes filmstransparencies or art work resulting fromerasure distortion of information oncomputer system or other records

Policy Cover Section 1E – Goods in Transit

CoverThe Company will indemnify the Insured inrespect of Damage to Stock and BusinessEquipment as defined in Section 1A whilst inor on or being loaded into or onto or unloadedfrom any motor vehicle (excluding trailers)within the Territorial Limits and owned by oroperated under the direct control of theInsured up to £2,500 any one occurrence

The Company will also pay for interruption tothe business as a result of

(a) Damage to property in the vicinity of thePremises by a cause covered under theContents Section which hinders or preventsaccess to the Premises

(b) Damage to the premises of a supplier ofthe Insured by a cause covered under theContents Section and happening within theTerritorial Limits

(c) accidental failure of public supplies ofelectricity gas or water at the terminal endsof the public supply undertaking’s feed tothe Premises not occasioned by thedeliberate act of any supply company or by

(d) the occurrence at the Premises of food ordrink poisoning vermin pests defectivesanitation or any human infections orcontagious disease (excluding AIDS or anyAIDS related condition) an outbreak ofwhich the Local or Government Authorityhas stipulated shall be notified to them

(e) suicide at the Premises other than of thepolicyholder or anyone covered by thisPolicy

(f) murder at the Premises other thancommitted by the policyholder or anyonecovered by this Policy

The cover provided under this Section shall bevoid if the Business is wound up or carried onby a liquidator or receiver or permanentlydiscontinued without the written consent of theCompany

Limits of LiabilityThe Company’s liability for all loss resultingfrom interruption of the Business arisingduring any one Period of Insurance shall notexceed

(a) £500,000 in respect of interruption at thePremises

(b) £25,000 in respect of untraceable orunrecoverable Outstanding DebitBalances

(c) £25,000 in respect of Damage at thepremises of a supplier

Claims SettlementThe Company will pay

1. in respect of reduction in sales – the Rateof Gross Profit on any shortfall in expectedsales less any charges or expenses whichare reduced as a consequence of theinterruption

2. in respect of Outstanding Debit Balances– the amount by which the OutstandingDebit Balances traced and/or receivedfollowing the Damage shall fall short ofthe Outstanding Debit Balances beforethe Damage occurred

3. in respect of additional expenditure – thatreasonably incurred to avoid a reduction insales (but not exceeding the amount whichwould otherwise have been payable under1 above) or in tracing and establishing theOutstanding Debit Balances

4. in respect of professional accountant’scharges – those reasonably incurred by theInsured for producing and certifying anyparticulars required by the Company inconnection with the investigation andverification of a claim

Underinsurance

If at the time of occurrence of Damage thetotal of the Sums Insured specified in thePolicy Schedule in respect of Contents is less

Automatic Reinstatement of Limits ofLiability

(a) the Insured pays the appropriateadditional premium under Section 1A –Contents for such reinstatement

(b) in respect of interruption or interferencewith the Business because of Damage bytheft or attempted theft the automaticreinstatement of the Limits of Liability shallapply on the first occasion only in anyPeriod of Insurance

Value Added Tax

To the extent that the Insured is accountableto the tax authorities for Value Added Tax allterms in this Section shall be exclusive of suchtax

Employers’ Liability

1. in the event of Injury to any Employeehappening during the Period of Insurancein the Territorial Limits in connection withthe Insured’s Business the Company will

subject to the Limit of Liability indemnifythe Insured against legal liability fordamages and claimants costs and expensesincurred in respect of such Injury

2. the Company will in addition pay Solicitorsfees for representation at any Coroner’sInquest or fatal enquiry or Court ofSummary Jurisdiction in respect of anyevent which may be the subject ofindemnity under 1 above

Indemnity to other persons

The Company will indemnify in the terms ofthis Section

1. if the Insured so requests

(a) any director or Employee in respect ofliability for which the Insured wouldhave been entitled to indemnity if theclaim had been made against him

(b) any officer or member of the Insured’scanteen social sports or welfareorganisations and fire first-aid andambulance services

2. any Principal to the extent that thecontract between the Insured and suchPrincipal so requires in respect of liabilityarising from the performance of such workon behalf of such Principal

3. the legal personal representatives of anyperson entitled to indemnity under thisSection in respect of liability incurred bythat person

If the Company is liable to indemnify morethan one party the total amount of indemnityto all such parties including the Insured shallnot exceed the Limits of Liability

Additional Cover1. Loading and Unloading

Notwithstanding Exception 3 of thisSection and provided the Insured is notmore specifically insured under any otherpolicy the Company will indemnify theInsured in the terms of this Section inrespect of Injury or Damage arising duringthe act of loading or unloading a motorvehicle or the bringing to or taking away ofa load from such vehicle

2. Cross Liabilities

If the Insured comprises more than oneparty (which term in the case of apartnership includes each individualpartner) the Company will indemnify eachin the terms of this Section against liabilityincurred to the other as if such other wasnot included as an Insured

3. Motor Contingency Liability

Notwithstanding Exception 3 of thisSection the Company will indemnify theInsured and no other person in the termsof this Section in respect of the use of anymotor vehicle not the property of orprovided by the Insured and being used inthe course of the Business

The Company will not be liable in respect of

(a) Damage to such vehicle

(b) Injury or Damage arising while suchvehicle is being driven by the Insured

Provided that the Company shall not beliable under this extension if the Insured isentitled to indemnity under any otherinsurance

4. Health and Safety at Work Act 1974

The Company will at the request of theInsured indemnify any director orEmployee of the Insured against legalcosts and expenses incurred in the defenceof any criminal proceedings brought for thebreach of the Health and Safety at WorkAct 1974 or the Health and Safety at Work(Northern Ireland) Order 1978 committedor alleged to have been committed duringthe Period of Insurance including legalcosts and expenses incurred with theconsent of the Company in an appealagainst conviction arising from suchproceedings

Provided that the Company shall not beliable for the payment of fines or penalties

5. Defective Premises Act 1972

The Company will indemnify the Insuredin the terms of this Section against legalliability incurred by the Insured underSection 3 of the Defective Premises Act1972 or Section 5 of the Defective Premises

Provided that the Company shall not beliable under this extension if the Insured isentitled to indemnity under any otherinsurance

6. Consumer Protection Act 1987

When cover is operative for Injury orDamage caused by Products the Companywill indemnify the Insured and at therequest of the Insured any Employee ordirector of the Insured against legal costsand expenses incurred with the Company’swritten consent in the defence of anycriminal proceedings brought for a breachof Part II of the Consumer Protection Act1987 committed or alleged to have beencommitted during the Period of Insuranceincluding costs of prosecution awardedagainst the Insured and legal costs andexpense incurred with the consent of theCompany in an appeal against convictionarising from such proceedings

Provided that the Company shall not beliable for payment of fines or penalties

7. Damage to Leased or Rented Premises

In Cover paragraph 1(b) the expression“custody or control” shall not apply to anybuilding (including its fixtures and fittingsand contents) provided that in respect ofany building which is leased hired or rented

to the Insured the Company shall not beliable in respect of

(a) Damage to its contents

(b) the first £100 of each and every claimfor Damage caused other than by fireor explosion

(c) liability arising solely because of acontract

8. Employees and Visitors Effects

In Cover Paragraph 1(b) the expression“custody or control” shall not apply tovisitors directors partners and Employeespersonal effects including motor vehiclesand their contents

9. Wrongful Arrest

The Company will indemnify the Insuredunder the Public Liability Cover in respectof legal liability arising out of wrongfularrest malicious prosecution detentionimprisonment eviction or invasion of theright of privacy of any person (not being anEmployee) up to a maximum amount of£25,000 in any one Period of Insurance

Limits of Liability1. Employers’ Liability

Any claim or number of claims arising outof one cause for Injury to Employeesincluding claimants costs and any othercosts and expenses incurred with theCompany’s written consent shall notexceed the limit shown in the Schedule

2. Public Liability

(a) any other claim or number of claimsarising out of one cause includingclaimants costs and expenses shall notexceed the limit shown in the Schedule

Provided that the Company’s liability inany one Period of Insurance in respectof

(i) Injury or Damage arising directlyor indirectly from Pollution orContamination which is deemedto have occurred during any suchperiod shall not exceed the limitshown in the Schedule

(ii) Injury or Damage happeningduring any such Period and causedby Products shall not exceed thelimit shown in the Schedule

(b) The Company will in addition inrespect of any other claim or number ofclaims arising out of one cause pay anyother costs and expenses incurred withtheir written consent

ExceptionsThe following Exceptions do not apply toliability in respect of Employers’ Liability

The Company will not be liable in respect of

1. any liability for

(a) any amount in respect of liquidateddamages fines or penalties

(b) Injury or Damage caused by Products

which attaches solely because of a contract

2. (a) the cost of rectifying defective work

(b) Damage to or the cost of recallingremoving or repairing or replacingProducts arising from a defect in or anerror in connection with the sale supplyor presentation of such Products

3. Injury or Damage arising out of the use ofor caused by any craft designed to travel inon or through water air or space (otherthan hand propelled craft) or any motorvehicle which is owned by or in thepossession of or being used by or on behalfof the Insured

4. Injury or Damage which results from anydeliberate act or omission of the Insuredhis partners directors or managerialEmployees and which could have beenreasonably expected having regard to thenature and circumstances of such act oromission

This exception shall not apply in respect ofany deliberate act or omission of any otherperson claiming indemnity but only so faras indemnity to such person is concerned

5. Injury or Damage arising out of or inconnection with

(a) the exercise by the Insured his partnersassistants Employees or any personacting for him or on his behalf having

6. Injury or Damage caused by Productsincorporated in a craft designed to travelthrough air or space which have beenspecifically supplied by the Insured forthat purpose and are directly connectedwith the safety of such craft

7. Injury or Damage which arises directly orindirectly from Pollution or Contaminationunless such Pollution or Contamination iscaused by a sudden identifiableunintended and unexpected incident whichtakes place in its entirety at a specific timeand place during the Period of Insurance

For the purposes of this Exception allPollution or Contamination which arisesout of one incident shall be deemed tohave occurred at the time such incidenttakes place

8. loss cost expense liability for Injury loss orDamage directly or indirectly arising out ofor resulting from the manufacture miningprocessing distributions testing remediationremoval storage disposal sale use of orexposure to asbestos or materials orproducts containing asbestos whether or

not there is another cause of loss whichmay have contributed concurrently or inany sequence to a loss

In respect of liability for property Damageonly that part of any such loss which isdirectly or indirectly arising out of orresulting from the manufacture miningprocessing distributions testing remediationremoval storage disposal sale use of orexposure to asbestos is excluded by theforegoing

9. Products supplied which to the knowledgeof the Insured are exported to the UnitedStates of America and/or Canada and/ortheir dependencies or trust territoriesunless otherwise agreed by the Company

The following Exceptions apply only toEmployers’ Liability

The Company will not be liable in respect of

10. Injury arising in connection with work onoffshore installations or transit thereto ortherefrom

11. Injury arising when any Employee is

(i) carried in or upon a vehicle

(ii) entering or getting on to or alightingfrom a vehicle

in circumstances where any road trafficlegislation requires insurance or security

Right of recoveryThe indemnity granted by this Section isdeemed to be in accordance with the provisionsof any law enacted in Great Britain NorthernIreland the Isle of Man or the Channel Islandsrelating to the compulsory insurance of liabilityto Employees

But the Insured shall repay to the Company allsums paid by the Company which theCompany would not have been liable to paybut for the provisions of such law

2. following Damage covered by this Sectionthe Company will also pay for

(a) Removal of Debriscosts incurred with the consent of theCompany in removing debrisdismantling demolishing shoring up orpropping that part of the Buildingsdestroyed or damaged

(b) Architects and Surveyors Feesarchitects surveyors consultants andlegal fees necessarily incurred in thereinstatement of the Buildings but notfor preparing any claim

(c) Public Authoritiesthe additional cost of reinstatement ofthe Buildings incurred solely to complywith any regulations arising out of anAct of Parliament or with bye-laws ofany municipal or local authorityexcluding

(i) cost incurred in complying withsuch regulations or bye-laws underwhich notice has been served uponthe Insured prior to the happeningof the Damage or in respect ofundamaged parts of the Buildings

(ii) the amount of any rate tax dutydevelopment or other charge orassessment which may becomepayable following compliance withsuch regulations or bye-laws

(d) Emergency Servicesrepairing Damage to the grounds ofthe Premises caused by the EmergencyServices up to a maximum of £1,000 inany one Period of Insurance

Additional CoverContracting Purchasers Interest

The cover provided by this Section in the eventof the Insured contracting to sell the Buildingsis extended to the purchaser who completesthe sale up to and until the date of completionof sale provided that the Buildings are nototherwise insured

Underground Services

The cover provided by this Section is extendedto include accidental Damage to undergroundservice pipes and cables between the Premisesand the public mains for which the Insured isresponsible

Limit of LiabilityThe Company’s liability during any one Periodof Insurance shall not exceed in respect of eachItem specified in the Policy Schedule the SumInsured set against it

Index LinkingThe Sums Insured in the Policy Schedule will beadjusted at monthly intervals in accordancewith the percentage change in the GeneralBuildings Cost Index published by the BuildingsCost Information Service of the RoyalInstitution of Chartered Surveyors (or analternative index selected by the Company)

Provided that

(a) any adjustment made to the Sum Insuredwill be based on the latest figures availableto the Company

(b) at each renewal the premium will becalculated on the adjusted Sum Insuredthen in force

Protection after lossThe Sum Insured in the Policy Schedule on anyBuildings item which sustains Damage by acause covered by this Section will continue tobe index-linked following such Damage while

the property is being reinstated provided thatthe Insured takes all reasonable steps toensure that the reinstatement is carried outwithout undue delay

Claims SettlementFollowing Damage the Company will pay thecost of reinstating the Buildings equal to theircondition as new provided that

1. this is carried out without delay and in themost economical manner

2. when any Building is partially damagedthe Company’s liability shall not exceedthe reinstated cost that would have beenincurred had it been wholly destroyed

3. no payment will be made untilreinstatement has been carried out

4. if the damaged Building is not reinstated aloss will be settled after allowance fordepreciation

UnderinsuranceIf at the time of Damage the total of the SumsInsured specified in the Policy Schedule is lessthan 85% of the reinstatement cost of theBuildings covered by this Section theCompany shall bear only that proportion of theDamage which the total of the Sums Insuredbear to the total reinstatement cost

Automatic Reinstatement of Sums InsuredIn the event of a loss the Sums Insured in thePolicy Schedule will be automaticallyreinstated by the amount of the loss providedthat

1. by frost subsidence ground heave landslipof the normal settlement or bedding downof new structures

2. to fences or gates caused by storm or flood

3. to fixed water or heating installationscaused by or arising from rusting corrosionwear tear or deterioration

DefinitionsApplianceAny frozen food cabinet deep freezer cold roomcold store refrigerator or chilled unit on thePremises

StockStock on the Premises owned by the Insured orfor which the Insured is responsible

CoverRefrigerated Stock is covered against Damageat the Premises as a result of deterioration orputrefaction caused by

1. a rise or fall in temperature as a result of

(a) breakdown of or Damage to theAppliance

(b) non-operation of any thermostatic orautomatic controlling devicespertaining to the Appliance

(c) accidental failure of the public supplyof electricity not occasioned by thedeliberate act of the supply authority

2. action of refrigerant fumes escaping fromthe Appliance

Index Linking

Underinsurance

If at the time of Damage the total of the SumsInsured specified in the Policy Schedule is lessthan 85% of the value of the Property coveredby this Section the Insurers shall bear only thatproportion of the Damage which the total ofthe Sums Insured bear to the total value

ExceptionThe Company will not be liable for Damagecaused by any wilful act or wilful neglect by theInsured or any director partner or Employee ofthe Insured

Special ConditionIf an Appliance is more than 5 years old at thestart of the Period of Insurance it must bemaintained regularly by a suitably qualifiedindependent electrical engineer

DefinitionsLicenceThe licence granted for the retail sale ofexcisable liquors at the Premises specified inthe Policy Schedule

InsuredIncludes for the purposes of this Section thelicence holder

CoverIf during the Period of Insurance the Licence is forfeited under the provisions of theappropriate legislation covering the issue of theLicence or after proper application the renewalof the Licence is refused by the appropriateauthority the Company will pay for

1. the depreciation in value of the Premises

2. costs and expenses incurred by the Insuredwith the Company’s written consent inconnection with any appeal in respect offorfeiture of or refusal to renew theLicence

Should the Insured comprise more than oneparty the Company will indemnify each in theterms of this Section as if the other was notincluded as an Insured provided that the totalamount of indemnity shall not exceed the Limitof Liability

Limit of LiabilityThe Company’s liability during any one Periodof Insurance in respect of each Item specifiedin the Policy Schedule shall not exceed the SumInsured set against it

Special ConditionsThe Insured shall immediately notify theCompany in writing of any

1. complaint about the Premises or about theconduct or control of the Business

2. transfer or proposed transfer of theLicence

3. changes in tenancy or management of thePremises

4. objection to renewal of the Licence or anycircumstances which may endanger therenewal of the Licence

5. proceedings against or conviction of theInsured or the licence holder at thePremises for any breach of licensing lawsor any other matter whereby the characteror reputation of the person concerned isaffected with respect to his honesty moralstanding or sobriety

Qualified OperatorAny person 18 years or over who has either

(a) more than 3 years continuous experienceof professional hairdressing or beautytreatments or

(b) completed 2 years technical collegetraining in hairdressing or beauty treatment

OperationAny work on the hair face scalp or body carriedout in connection with the Business

DefinitionsThe Cover provided by Section 1G PublicLiability is extended to include liability arisingout of any Treatment undertaken in the courseof the Business at the Premises by theInsured or any Employee

ExceptionsThe Company will not be liable under thisSection in respect of

1. the application or use of any lotion hair dyeor other preparation wholly or partlymanufactured produced mixed or treatedin any way by the Insured or anyEmployee

2. use of any product contrary to the makersor vendors instructions

3 any treatment carried out by any personother than a Qualified Operator except

(a) the washing and drying of hairhairpieces or wigs

(b) whilst such person is under the directand continuous supervision of aQualified Operator

4. any electrical treatment violet raytreatment treatment of the eyes vibromassage other than of the scalphypodermic injection surgical operation orany operation involving the removal orpiercing of skin

In the event of an incident occurring whichmay give rise to a claim under this Policy

1. take all necessary and reasonableprecautions and emergency action toprevent further Injury Loss or Damageoccurring

Utilise the Helpline facility – see page 2 ofYour Policy Booklet

2. notify the Police of any incident involvingloss Theft Malicious Damage or Vandalism

3. notify Us as soon as possible giving fulldetails of the incident

We will

(i) check the Policy cover to ascertain asfar as practical at this stage that a validclaim exists

(ii) appoint a Loss Adjuster at Our discretion

4. send to Us immediately upon receipt anywrit summons or other legal process issuedor commenced against You and do notnegotiate admit or repudiate any claimwithout Our written consent

5. retain all damaged property/salvage forinspection You may not however abandonany property or salvage to Us

6. We shall be entitled to

(i) enter any of the buildings where BodilyInjury Loss or Damage has happenedand take and keep possession of theinsured property and deal with thesalvage in a reasonable manner

(ii) negotiate defend or settle in Yourname and on Your behalf any claimmade against You as We deemappropriate

(iii) prosecute in Your name for Our ownbenefit any claim against any otherperson in respect of any amount paidor payable
