    TENDER NUMBER: NG01003306INVITATION FOR PRE-QUALIFICATION: PROVISION OF WELLHEAD MAINTAINANCE

    Introduction and Project OutlineThe Shell Petroleum Development Company of Nigeria Limited (SPDC) in its role as the operator oNNPC/SHELL/TOTAL/NAOC Joint Venture, on behalf of its Joint Venture partners hereby invites reputable Comp(DPR registered and licensed) to apply to be considered for pre-qualification selection into the bid list for the Provof Wellhead Maintenance Services.

    Description of Work/Service:The work consists of two modules; (A) Provision of Wellhead Maintenance Services for Conventional Wells and(B) Provision of Wellhead Maintenance Services for Gas Wells. Contract award will be along the separate work Modules.

    Interested Companies may submit application to be considered for either or both work modules. Companies interestin submitting application for Module 2 must be Original Equipment Manufacturer (OEM) or be certified agents of OEMS.

    The contract is being projected to be for a period of two (2) years with an option to extend for another 1 year.

    Planned Commencement date:Q3 2009 Pre-qualificationTo qualify for consideration, interested Nigerian based companies with proven experience in Wellhead MaintenancServices are to submit notice of intent to pre-qualify in the tender exercise, which shall be accompanied withfollowing documents in the format below:

    Section Minimum RequirementsA. General Company Profile - Company Registration Certificate with CAC

    - Full details of Company profiles, including details of ownership- Tax Clearance Certificate for the last 3 years- DPR Permit/Licence to engage in Wellhead Maintenance Services Business in

    Nigeria (Evidence of payment is not acceptable)- Evidence of registration in NIPeX.- Name and address of Company including telephone, emails, faxes etc- Name and address of Company Representative who shall be responsible for all

    correspondences.

    B. Financial Capacity - Companys audited financial reports and funding information over the last three(3) years; audited financial reports shall be from a registered accounting firmevidenced by the presence of the ICAN PPS stamp on the certificate.

    - Evidence of credit capacity or access to additional funding from a reputablecommercial bank.

    C. Technical Capability - Ownership of ISO Certified facility for Servicing and testing Wellhead Equipment in Nigeria.

    - Evidence that Contractor is a certified agent or accredited representative of anAPI 6A certified Wellhead & Xmas tree manufacturer.

    - Where Contractor does not own facilities, Contractor to provide subsistinglease/rent agreement to cover for the period of the contract/work scope.

    - List and CVs of key technical staff and organizational structure showing personnelwith Well Intervention pressure Control (WIPC) certification

    Section Minimum Requirements- Relevant and verifiable work experience in the Maintenance of Wellhead

    Equipment, Accessories Contractor to provide work orders, signed completioncertificates from client operation companies).

    D HSE - Evidence of HSE commitment through leadership.- HSE Policy documents & Objectives- Evidence of HSE management system in place eg training, meetings etc- Hazards and effects management systems-

    HSE Planning and Procedures e.g. Road safety management, equipment controland maintenance- HSE implementation and performance monitoring system- HSE audit and review processes- Membership of relevant HSE bodies/associations.

    QA/QC - Evidence of QA/QC commitment through leadership.- QA/QC Policy documents & Objectives- Evidence of QA/QC management system in place eg training, meetings etc- Hazards and effects management systems- QA/QC Planning and Procedures, equipment control and maintenance- QA/QC implementation and performance monitoring system- QA/QC audit and review processes-

    Membership of relevant QA/QC bodies/associations.E. Nigerian Content Development

    - Nigerian Content Policy - Is there evidence of Local sourcing of materials and services where possible?.- Does the Workforce show at least 50% Nigerians at Mgmt and Tech level?- Did the CV's of the key personnel reflect at least 70% local content?.- Organizational Structure.- Training and manpower development plan for Nigerian personnel- Location and address of procurement coordination activities in Nigeria.

    NIGERIAN CONTENT DEVELOPMENTShell Petroleum Development Company on behalf of the Joint Venture partners is committed to fully comply wFederal Government directives on Nigerian Content to provide opportunities for Nigerian contractors and development of local expertise. Pursuant to the above, preference shall be given to Nigerian based companies foreign companies with Nigerian affiliate, which demonstrate willingness to execute the works/services to satisfaction of the Nigerian Content requirements and guidelines. All respondents to this advertisement are enjoineavail themselves of the Federal Government Directives on Nigerian content and ensure full compliance as compliance shall be deemed as FATAL FLAW .

    Companies responding to this advert are required to give full details of their strategy for the local contimplementation in order to comply fully with the Federal Government directives on Nigerian Content. Specificalrespondents shall:

    Furnish evidence of owning facilities in Nigeria where the works/services will be carried out. Furnish details of company incorporation in Nigeria. Details should include Nigerians versus Foreign share

    holding and be supported with CAC forms CO2 and C07 Furnish company NC policy/strategy. Demonstrate awareness of legislative & regulatory provisions as it

    concerns Nigerian content. Provide details of the Companys Nigerian Content manager (if any) with appropriate experience,

    qualifications, clear responsibilities & targets. Provide evidence of partnerships with foreign or multinational companies (For companies in partnership). Provide evidence of commitment to transfer technology, employment generation and competence developme Provide evidence of an understanding of the local business environment & existing relationships with Nigeri

    enterprises & suppliers. Provide evidence of success in nurturing Nigerian Content on previous projects. Make available existing initiatives to develop Nigerian companies. Provide evidence of an existing/established presence in Nigeria. Provide location(s) of Project Management team and Procurement centre for the subject project Provide location(s) of fabrication & construction works for subject works/services

    Provide list of materials that will be sourced locally and percentage to overall materials to be purchased for thproject. For the purpose of this contract, all sound proof provisions for the generators must be carried out inNigeria.
