Brian Rix and Noel Coward would be proudat the goings on at Victoria Carpets (see pagesix). After seeing the rejection of theirproposal which could have earned themmillions, depending on how much thecompany was sold for, three of the non-executive directors resigned rather thanbe removed by the rest of the board.

Days later two of them return wantinganother shareholder vote to put them backon the board, at which point they’dpresumably resubmit the proposal havingremoved the current non-executives.

While other shareholders would see areturn if the group was sold – there wasplenty of interest at the turn of the year –

one could question why a major chunk of itshould go to the trio? If the group was soldfor £3.50 a share, they would split £1.645mthat would otherwise have been sharedamong all shareholders. Another question iswhy is New Fortress Finance, Victoria’s majorshareholder, backing a scheme that, on theface of it, would see it earn less?

Considering that Sir Bryan Nicholson waschairman of the Financial Reporting Councilwhich drew up the Combined Code that ismeant to set the rules on how plcs aregoverned – including the role of non-executive directors – his support for the‘disproportionate’ bonus plan seems all themore strange.

‘It is in the interests of all shareholders thatthey are provided with full details of theactions taken by the former directors tosecure their proposed incentive plan and thepotential consequences for shareholders oftheir re-appointment,’ says Katherine InnesKer, Victoria chairman, who the trio may haveexpected to back their plans.

The shareholder circular due to hitdoormats by 5 September will be a crackinggood read, to say nothing of the generalmeeting.

Secure future: The operations of Swiss upholstery company de Sedeand sister firm Machalke have been secured after being bought by OltnerAare Finance, owned by the Swiss Thommen family. The de Sede grouphas faced financial difficulties in recent years and sold Team by Wellis inJune, two years after buying it.

Birmingham furniture retailer The Sofa Factory has had its TVadvertisement banned by the Advertising Standards Authorityfor distorting religious verses in a way that was likely to causeserious offence.

The advertisement showed an image of Guru Nanak, thefounder of the Sikh religion, and featured a song in the style ofthe sacred Sikh verses, or Gurmantar, but with the lyrics, inPunjabi

A viewer complained that the use of Guru Nanak and theGurmantar was offensive, and the ASA agreed.

‘We considered that the use of the central icon of the Sikhfaith and the use and distortion of religious verses to advertiseproducts made light of those important elements of the Sikhfaith in a way that was likely to cause serious offence to somemembers of the Sikh community,’ ruled the ASA.

The Sofa Factory did not respond to the ASA.

Bonus row sparks second battlefor the Victoria Carpets’ board Victoria Carpets has been thrown into another battle forboardroom control following a row over ‘disproportionate’bonuses for non-executive directors.

Five months after gaining control of the board, AlexanderAnton, Geoff Wilding and Sir Bryan Nicholson put forward aproposal where they would receive a significant share ofmoney going to shareholders. The Daily Mail reported thetrio’s plan would have seen them receive half of any returnto shareholders over £3 per share, as long as they did itwithin two years. Victoria’s shares were about £2.25 at thetime of writing, valuing it at £14.84m.

But, the proposal from the non-executive directors – whoare meant to be independent and operate as a check toexecutives – was rejected by the rest of the board, includingKatherine Innes Ker who joined as chairman at the time ofthe trio’s appointments. The trio resigned when being facedwith being removed from the board. They were replaced byRoger Hoyle and David Garman.

Anton and major shareholder New Fortress Finance hascalled for another general meeting in order for Anton,Wilding and Andrew Harrison to be elected and the existingnon-executives to be removed.

‘The incentive scheme proposed by the former directorswas not in the best interests of all shareholders and it isright that they resigned from the board. It is thereforesurprising that New Fortress should demonstrate supportfor individuals who promoted the introduction of thescheme and sought disproportionate financial incentivesunder it,’ says Innes Ker.

‘It is in the interests of all shareholders that they areprovided with full details of the actions taken by the formerdirectors to secure their proposed incentive plan and thepotential consequences for shareholders of their re-appointment. The board intends to contest the resolutionsvigorously.’

Shareholders were told ‘corporate merger and acquisitionactivity would be considered where there are opportunitiesto generate accelerated returns to shareholders,’ effectivelyputting the group back on the market.

Meanwhile, the group has seen a 7.2% rise in UK sales inthe three months to 30 June, although admitting to a‘weakness’ in residential sales which was offset by highercontract and export sales. Sales through John Lewis andinsurance replacements were also higher.

It added it was ‘very encouraged by the excellent reactionfrom the market’ of its LVT collection.

Moving on: Underlay company Interfloorplans to outsource its delivery operations. TheTredaire, Duralay and Gripperrods owner hasproposed transferring its transport operationto Norbert Dentressangle. ‘We believe that theproposed change will improve our efficiencyand provide opportunities for furtherimprovements to our customer service in thefuture,’ says Ian Merrifield, Interflooroperations manager. Interfloor recentlybought 17 vehicles. Norbert Dentressangleoperates from 195 sites across the countryand operates 1,800 vehicles.

Arthur Llewellyn Jenkins has cut the sizeof its planned Portishead, Bristol storefrom 80,000sqft to 45,000sqft. A separate10,000sqft store and petrol station arealso included in the application.

In 2009 North Somerset Council gavepermission to build an 80,000sqftfurniture store. The site is opposite aSainsbury’s due to open next autumn.

‘The proposed development wouldhelp consolidate the layout of the centreand the new investment would helpincrease the turnover of the centre as awhole, improving its vitality and viabilityand making it better able to serve itslocal catchment population,’ says CDNPlanning, agents for Arthur LlewellynJenkins.

ALJ scales back expansion

The administrators of Northern Irelandretailer Fultons Fine Furnishings havemade 16 of its 57 staff redundant.

Stephen Cave, PwC joint-administrator,says the cuts came after a review ofFultons’ operations.

‘I can confirm that we are continuingto trade the retail businesses [in Belfast

and Lurgan] and will do so for theforeseeable future,’ he says.

It will continue to take and fulfil neworders and sell merchandise fromexisting stock for the benefit of creditors.

Cave adds that PwC has received anumber of expressions of interest in thebusiness.

Sixteen jobs go at Fultons

Upholstery fabric producer Van Nederhas been awarded damages of morethan £375,000 after the High Courtruled importer Fu Long copied two ofits bestselling designs.

Van Neder’s lawyers told the courtthat two successful jacquard designs,Nevada and Arizona, were copied byFu Long and marketed in the UK by Fu Long on www.fulongltd.com. Thelawyers said that prior to theimportation of Fu Long’s copies, sales of Van Neder’s designs had been strong but these tailed off whencheap reproductions entered the UKmarket.

Fu Long defended the proceedingsclaiming its designs pre-dated those ofVan Neder. Fu Long sought tosubstantiate this by producing Chinesetrademark registration documents, butinvestigations revealed these asforgeries.

The court granted a permanentinjunction against Fu Long, itsemployees or agents preventing the

importation and sale of its fabricsknown as Script, Liberty or Librettoand as Eden, Anthony or Antonio, each of which were copies of VanNeder’s Nevada and Arizona designs.

The Court ordered delivery to VanNeder of all residual stocks of theinfringing designs and awardeddamages, interest and costs of£375,289.

‘I am delighted that we haveobtained this substantial judgementfor damages and costs against Fu Long. The problem of cheap copies

flooding the market from Far Easternmanufacturers is endemic not only inthe UK but the rest of Europe and isextremely damaging to the Europeantextile industry. This casedemonstrates that reputablemanufacturers who stand up for theirrights can protect their investment inoriginal designs and obtain redressfrom the courts,’ says Nicolas VanNeder, Van Neder md.

Proceedings were also issuedagainst Tokyo Fabrics thatsubsequently went into liquidation.

Increasing capacity: Carpet manufacturer Cormar Carpets hascompleted a three-year programme upgrading its cut lengthsdepartment. The company has spent £350,000 installing a second 5mcutting machine. ‘The project has several benefits for the business andcustomers,’ says David Judge, Cormar md. ‘The second 5m cuttingmachine will be faster and more efficient which in turn increases ourcapacity.’

Two furniture stores in NorthYorkshire are to closefollowing the retirement oftheir owner.

Peter Green, 73, will closethe Greens Furniture Worldstores in Selby and Maltonwhen stock has been sold.

Green says his age and hisfirst chemotherapy treatmentfor pancreatic cancer hasforced him to rethink hisplans.

‘It’s prompted the sale, and

with the fact I am 73, it feltlike someone was telling meto give up,’ he explains.

‘We were weathering thestorm quite well, but got allthis dark news and we’ve gotno-one to move the businesson to. Our children are doingtheir own things, so the main thing is to get ourmoney out of the [22 yearold] business and enjoyretirement – for a long timehopefully,’ he says.

Upholstery manufacturer Ekornes maintained UKorders in the second quarter of the year.

Orders rose by 6% for the first half but it sufferedits worst first half to the year in the UK since at least2008 for sales.

UK sales dropped 17.3% to NOK80.1m (£8.54m) inthe first half. This compares with NOK96.9m,NOK119.6m, NOK97.7m and NOK123.6m in theprevious four years.

Performance varied across the globe, with sales inits largest market – Central Europe (includingGermany) – 3.5% higher at NOK397m, but 8.1%lower in the US at NOK276.4m. Southern Europe sawa not unexpected drop of 15.4% to NOK167.5mwhile Norway generated a 1.6% rise to NOK167.7m.Japan was another bright spot with sales up bymore than a fifth at NOK67.8m.

The company says consumers seem cautious inmost markets and although the trend for rawmaterial prices is stable, it is still high.

Training will fit flexibly around employment with learningmodules including subfloor preparation and set up, healthand safety and building customer relationships. The trainingcosts are funded by the Skills Funding Agency.

Green marketing is not easy: it is the kind of marketing andadvertising message that consumers are most cynical about.

Eight months after its UK launch,Dormeo Octaspring is continuing toexpand its operations. Already in morethan 200 stores in the UK, the company isinvesting heavily in a multimillion poundTV advertising campaign, POS materialand interactive displays.

a gap in the market for a premiumproduct that satisfies all of a customer’sconcerns about memory foam and metalsprung mattresses,’ he says.

Octaspring is an eight-sided memoryfoam spring with a breathablehoneycomb design, allowing movementand support in every direction. Eachmattress contains hundreds ofOctasprings working individually andtogether in layers to provide cradlingsupport.

Unlike memory foam mattresses, theOctaspring delivers ventilation with aconstant cooling airflow around andthroughout the springs to keep userscool and also eliminates pressure points.

There is no transfer of motion across themattress, meaning people only movewhen they want to.

‘Dormeo Octaspring has all thebenefits of traditional spring andmemory foam mattress technology withnone of the drawbacks. The mattressesare finished with a high quality Italian-designed cover, so their luxurious lookand feel complements the remarkabletechnology inside,’ adds Pinchin.

In the battle against allergiesnew research reveals theimpact of Purotex…

House dust mite allergies cause runnynoses, sneezing, wheezing, coughing andheadaches – a recipe for disturbed sleep.An average mattress can contain tens ofthousands of house dust mites and theirwaste and 10% of the weight of a two-year old pillow can be composed of deadmites and their droppings. The mites arealso a recognised serious irritant forasthma sufferers.

According to new research, one of theconstituents of Sealy’s Smart Fibres –Purotex – launched last year, has adramatic effect on reducing dust mites.

Tests by the biological measurement

and analysis laboratory BMA Labor inBochum, Germany, found that after twoweeks of treatment with Purotex, samplemattress ticking infested with commonhouse dust mites (Dermatophagoidespteronyssinus) showed a reduction of89.3% while untreated samples showedno allergen reduction.

As this laboratory testing was goingon, Ghent University’s Professor PhilippeGevaert, one of Europe’s leading allergyexperts, was researching the incidence ofhouse dust mite allergy in the generalpopulation. He found 29.5% of peoplesuffer from at least one allergy and that

24% have house dust mite allergy. Thiscompares with 23% of people sufferingfrom an allergy to pollen, demonstratingthat house dust mites are not a marginalproblem but a matter of concern. Theresearch is due to be published in amedical journal this autumn.

In Smart Fabrics’ Purotex probioticmicroflora are incorporated into thefabric as micro-encapsulated inactivespores that are released by frictionbetween the body and the mattress,activating the bacteria. During thisgermination process they absorbmoisture and eat the food material

present in the fabric, including skin, dead bacteria and dust mite excretions.

The friendly bacteria grow rapidly,multiplying by a factor of 100 in 24hours. In this way they prevent dustmites getting enough food and moistureto sustain themselves. Moulds are alsodenied the chance to develop andharmful or pathogenic bacteria areprevented from gaining a foothold in the ticking. The fibres also neutraliseunpleasant odours in the mattress.

Thanks to the large number ofencapsulated probiotic bacteriacontained in Smart Fibres – which

constantly regenerate but are completelyharmless, even to babies and children –the action will last at least 10 years.

In addition to Purotex, one of the othermain constituents of Smart Fibres isTencel, the soft fibres of which help keepthe body cool and dry when sleeping.Tencel fibres have natural breathabilityand 50% greater moisture absorptionthan cotton. And thanks to its superiormoisture management, Tencel fibres arealso anti-bacterial.

‘We are delighted that this new clinicalstudy confirms the benefit of a keyconstituent in Smart Fibres mattress

technology and that it will no doubt helpthe thousands of asthma and allergysufferers here in the UK, as well as all therest of us, to become deeper sleepers –that is what Sealy is all about,’ says NeilRobinson, Sealy UK marketing director.

A greener optionAlternative materials could help protect threatened species

David Bigland, Moduleo UK and Republicof Ireland md, says LVT flooring couldhave a positive impact on protectingexotic timber species.

He highlights the case of wenge, arare, tropical wood that has becomeincreasingly popular in interior design.

‘As a result, supplies are runningdangerously low,’ he says. ‘The dark woodwhich is renowned for its unique grain, isin high demand in the UK market and iscommonly used for flooring, panelling

and countertops. This means the MillettiaLaurentii tree is now threatened withextinction due to over-exploitation andhas recently been placed on theInternational Union for Conservation ofNature Red List of threatened species.

‘The high demand for wenge makes ita perfect commodity for black markettraders, and illegal logging is rife acrossthe Congo Basin. Greenpeace is nowdemanding that the DemocraticRepublic of Congo Government andWorld Bank take urgent action to stopthe growth of the logging industry in thearea and concentrate on funding otheralternatives to prevent this ongoingdeforestation of our planet.’

Bigland says using LVT alternativesrather than wood is a greener option.

‘Moduleo’s Ethnic Wenge designflooring combines all the style andauthenticity of wenge but without theenvironmental implications. In fact, asour entire range is designed andmanufactured at our state of the art

The hallway and stairs are generally the first areasyou see when entering a house so consumerswanting to impress visitors are turning to carpetswith bold colours and stripes.

The popularity of stripes and brighter shades hasincreased this year, with homeowners who aren’tlikely to be moving house anytime soon choosingwhat they like, rather than safe property market-friendly colours.

‘Our retailers report that stripes from our Voguerange – Fusion, Expression, Opulence and Serenity –are proving even more popular as runners and onstairs and hallways as a dramatic welcomingstatement, as they combine both timeless elegancewith an on-trend contemporary appeal,’ says CharlesAnnable, Brockway Carpets md.

In response, the company has added four stripedesigns – Trafalgar, Debonair, Harmony and Insignia– to Vogue.

It also expects the new Solar range featuringseven contemporary stripe colourways – includingSeaweed stripe, Key Lime stripe and Battleship stripe– to be equally as popular with customers andretailers.

‘Also proving stripes are the way forward is therecent increase in sales for our Portobello range. For Ray Snell, Ulster Carpets head of residentialdesign, consumers are combining contemporarywith classical. Tartans and stripes continue to bepopular but appear to be moving in a more subtleand classical direction, with a contemporary colourtwist.

‘Our Country House Beaumont and new OpenSpaces Wellington Stripe hit the mark in this respect,’he says.

‘Historically red has always been a hall, stairs andlanding colour as it is seen as being welcoming andsits well in both traditional and contemporarysettings.’

Birger Karlsson, Lano, UK and Ireland salesmanager, also believes how the hall and stairs lookcan have a big impact, but in a different way.

Founded in 1969, Schnepel has so far concentrated on otherEuropean markets.

‘This is a beginning for Schnepel in the UK, and while we areunder no illusions about the market as it stands today, we are inthis for the long haul. We are renowned for taking a long termview, and this is no exception,’ says Kai Schnepel, Schnepel ceo.

‘Products in the premium sector are selling well. In badeconomic times, entry level will always be popular, but it isencouraging that consumers are trading up to more premiumproducts. Furniture stores are known for their productknowledge and their ability to trade consumers up, whichresults in healthy sales, and better margins,’ says Alf Powell, JualFurnishings md.

‘Our customers tell us that consumers are demanding stylishfurniture. The economic downturn is prompting people tospend more money on improving their homes rather thanopting to move. Investing in stylish furniture satisfies that needand provides the retailer with incremental high margins.’

Powell says the days of the metal pole/glass stand for audio-visual equipment are over, with shoppers preferring high gloss orwood. Jual’s designs have interchangeable fascias enablingconsumers to swap between walnut veneer and white high gloss.

Jual had a successful 2011 with increased sales, thanks toincreasing its number of stockists and existing stockists sellingmore products.

‘Furniture retailers – who know their customers and are longestablished – are well placed to sell premium, stylish AVfurniture,’ says Powell.

Its latest occasional collection, Cube, contains TV standsalongside coffee tables, lamp tables, sideboards and utilitytables. All drawers and cupboards feature soft closingmechanisms, handle-less doors/drawers and push-to-openhinges.

In common with its AV furniture, Cube is available on next-day delivery.

‘With traditional lead times on furniture of several weeks,retailers have welcomed the next-day delivery model that JualFurnishings offers all customers. To aid retailers in the currenteconomic climate, by freeing up the cashflow of its customers, Iencourage customers to put a display model in-store and let usdeliver products the next day,’ says Powell.

Flexibility is important for dining roomfurniture as only four people may have tobe seated on a regular basis but whenguests come space for more peoplemight be needed. This is somethingmanufacturers have noticed and arecatering for.

‘Compare our 2010 brochure with our2012 edition and you will see an increasein the number of extending dining tablesappearing in our collection and in factnow you can find one in every diningrange in our portfolio,’ says Simon Ainge,Kettle Interiors sales director.

More than 300 events have been packedinto just 10 days as London looks tobuild on the Olympic games and claimthe title of design capital.

The main events are 100% Design, Decorex, Designjunction,Super Brands London and Tent London.

100% Design (19-22 September) will comprise: 100%Interiors, 100% Office, 100% Kitchens and Bathrooms, 100% Eco,Design and Build, Emerging Brands and Future Living.

Decorex (23-26 September) celebrates its 35th anniversarywith more than 250 exhibitors and the entrance to the RoyalHospital Chelsea venue is designed by Vivienne Westwood.

Designjunction (19-23 September) has taken over a formersorting office on New Oxford Street, spread over three floorsand 10,000sqm offering an industrial backdrop against which astrong line-up of design brands, small labels, creativeenterprises, pop-up shops, large-scale installations, temporaryrestaurants, bars and cafes, working flash factories, liveentertainment and seminars can be seen.

More than 100 furniture and lighting brands on show willinclude Fritz Hansen, Artek, Bocci, Gubi, Modus, E15 and VeryGood & Proper and last year’s Tramshed event is combined intoDesignjunction. A series of interactive flash factories aredemonstrating some industrial and handmade productionprocesses such as the wood-bending machine used to craftThonet’s classic 214 chair.

Super Brands London (20-23 September) and Tent London(20-23 september) will share the Old Truman Brewery. SBL willhost 40 global furniture brands while Tent London will havesome 200 contemporary interior companies covering furniture,lighting, ceramics, textiles, materials and accessories.

The cream of Italian contemporary furniture companies willbe at IDEA (Italian Design Exhibition Area) from 20 Septemberto 20 October. Held for the third time, it takes place at the ParkPlaza Westminster Bridge Hotel. The key issue with the Internet for allretail businesses is the obvious ability toshop around.

The website works on a simpleprinciple of asking shoppers to search forproducts by colour and suitability thenrefining the search by fibre, weave,width, brand and even guarantee.

The search results give a number ofselections and allows the customer to bedirected to their local retailer’s website tosee the price, product images, compareand even order a free sample.

‘Despite the free sample service,clearly it is a special breed of customerwho chooses to buy carpet in this wayand most consumers prefer the ability tobe able to see, touch and feelthe flooring with the kind of professionaladvice you would expect from anindependent retailer,’ says Ward.

‘However, the Metro Group viewed thismove into ecommerce as vital to ensurethat if and when the marketplace does infact develop online, the way it has for somuch of today’s retail, our members arealready ahead of the game.’

Riding for heroesPeter Hewitt, Wiemann UK md (left) will swap four wheels for two in Novemberwhen he takes on a gruelling six-day trans-Central America challenge, cyclingalmost 500km through Panama, Costa Rica and Nicaragua.

Although he’s doing it to get fitter/shed a few pounds/prove he’s still up to it (hiswords), he’s also aiming to raise £5,000 for Help for Heroes.

‘Every penny donated will go to Help for Heroes,’ he says. ‘I really hope that I andthose who support me can help in some small way to give a better life to our armedforces who have given everything – and more – for our country and for our safety.’

The missing link…When is an Ikea hotel not an Ikea hotel? When it doesn’t have anyIkea products, it seems.

The group has plans to build 100 budget hotels across Europe,but only as a property venture.

‘Budget designer hotels is today the fastest developing hotelsegment,’ says Harald Muller, senior executive at the property unitof Inter Ikea, the company that owns the Ikea brand and concept.

Ikea’s first hotel will most likely open in Germany in 2014 and the chain will be run by an international hotel operator,Muller says.

‘There is no Ikea furniture in it,’ Muller says. ‘It is not an Ikeahotel. It’s a continuation of our normal investment activities inreal estate.’

So no jokes about flatpack hotels or missing parts then.

Being creative in a woodLast year two ash trees were felled in a woodland in Herefordshire. Last monthfurniture designer Gareth Neal cycled to the woodland from London, and lived a lowimpact carbon lifestyle while he made some products from the felled trees.

These products and the data recorded throughout the experiment will beexhibited and sold at SCP’s Design Department Store during the LondonDesign Festival.

At the time of writing, Neal was due to be making a table, a set of stools and acandlestick holder out of the ash trees. He will use manpowered machinery whereverpossible.

For the 10 days of the project his diet will be considerably limited. No meat, no dairy,eating only local, in-season produce from organic farm shops and foraging. Tomeasure the success of the project, data will be analysed by a CO2 estimating website.
