'When the net metering system is served via a time-of-use rate class and more generationis produced within a time period than was consumed in that time period, then the excesskWh generation shall be used to offset any net k'Wh consumption in any other timeperiod within the billing period prior to the monetization calculation.

If, at the end of a billing period, the electricity supplied by the Company exceeds theelectricity generated and fed back to the distribution system by the Customer during thebilling period, then the Customer shall be billed for the net electricity supplied by theCompany. When the net metering system is served via a time-of-use rate class and moregeneration is produced within a time period than was consumed in that time period, thenthe excess kWh generation shall be used to offset any net kWh consumption in any othertime period within that billing period. Any monetized credit accumulated on the previouseleven bills shall be applied to offset any charges on the current bill. The Company shallapply monetized credits from previous biiling periods using credits that are scheduled toexpire soonest first.

GROUP NET METERING SYSTEM:1) Definition: An eligible group net metering system is defined as a group of

Customers, or a single Customer with multiple electric meters, located within theCompany's service territory, where the Customers have elected to sharemonetized excess generation credits created by a net metered system defined as afacility for generation of electricity that is no more than 500 kW capacity;operated in parallel with facilities of the Company's dishibution system; isintended primarily to offset part or all ofthe group net metering system member'sown electricity requirements and employs a renewable energy source producedusing a technology that relies on a resource that is being consumed at a harvestrate at or below its natural regeneration rate pursuant to 30 V.S,A. Section8002(17) or is a qualified micro-combined heat and power system with a capacityup to 20 krW that meets the definition of a combined heat and power facility under30 V.S.A. Section 8015(bX2). Unmetered municipal street lighting accounts arenot eligible to be members of a group. An account cannot be a member of morethan one group. An account that also has an individual net metering CPG may

also be a member of a group. The group net metering system members shall beresponsible for the maintenance, safety and condition of the eligible system.

2) A group net metering system shall have filed with the Company the followinginformation:

(a) The meters identified by account number to be included in the groupsystem;

(b) A procedure for adding and removing meters included in the group netmetering system and dírections as to the manner in which the Companyshall allocate any accrued credits among the meters included in the systemas outlined further below.

(c) A designated person responsible for all communications between thegroup net metering system and the Company except for communicationsrelated to individual account billing, payment and disconnection.

(d) A binding process for resolving disputes amoung the members of a grouprelating to net metering.

The Company shall bill directly and send all communications regarding billing,payment and disconnection directly to each individual group net metering systemaccount. All charges for each individual account shall be based on the individualmeter for that account and the rate class associated with that meter.

3) Energy Measruement: The Company shall measure the net electricity producedor consumed during each billing period for the group net metering system meterthat has the generation interconnected. 'Where it is not physically possible for themeter connected to the generating account to turn backwards, the Company shallprovide a meter appropriate for the generating account's rate class. Such meterwill measure the kWh produced by the generating account. For generatingaccounts that are eligible for service under another applicable rate class, avoidingthe need for an additional meter by changing rate classes is permissible.

that are converted to a monetized credit to any charges on the group net meteringsystem member's individual cunent bills for that period. (b) If, at the end of a billing period, the electricity supplied by the Company tothe generating account meter exceeds the electricity generated and fedback to the distribution system by the generating meter during the billingperiod, then each group net metering system member shall be billed forthe electricity supplied by the Company based on the individual meter forthat account and the rate class associated with that meter. Any monetizedcredit accumulated on the previous eleven bills shall be applied to offsetany charges on the current bill. The Company shall apply monetizedcredits from previous billing periods using credits that are scheduled toexpire soonest first.

Allocation of Group Net Metering Excess kWh:The designated person of the group net metering system shall provide direction inone of two manners pursuant to which the Company shall allocate any accruedcredits among the meters included in the system. Allocations may only bechanged on written notice to the Company. The Company shall implementappropriate changes to the allocation of credits within thirty days after receivingwritten notification from the designated person, Allocations can be changed nomore than four times per calendar year and shall not be applied retroactively.Allocations can be made by listing the group net metering system members in theorder in which they are to receive monetized excess generation credits such thatthe credits ofßet all applicable charges for the first member listed before applyingany remaining monetized excess generation credits to all applicable charges forthe second member listed. The Company will continue to provide credits to thelisted member accounts in the order provided until the credits are depleted. As ofJanuary 7,2015, newly established groups utilizing this method of allocation shallbe charged an additional monthly fee of $6.50 for each account in the group.Allocations can be made by listing the percentage of the excess kwh that eachgroup net metering system member's account shall receive. Such a percentageallocation shall add to 100%.

INTERCONNECTION REQUIREMENTS :

The interconnection of all net metering systems is govemed by Board Rule 5.500. Theapplicant bears the costs of all equipment necessary to interconnect the net meteringsystem to the distribution grid and any distribution system upgrades necessary to ensuresystem stability and reliability.

DISCONNECTION OF NET METERED SYSTEM:Any eligible system shall be subject to emergency disconnection of the system. Theseemergency disconnection procedures do not supplant Board Rules 3.300 and 3,400 orother tariff rules and regulations related to Company disconnections.

In general, an emergency shall be considered to occur when the interconnection of aneligible system represents a condition which is likely to result in imminent significantdisruption of service to the Company's Customers or is imminently likely to endangerlife or property.

If the Company performs an emergency disconnection of an eligible system, theCompany shall notifu the Customer within twenty-four hours after the disconnection. Ifthe emergency is not caused by the eligible system, then the Company shall reconnect thesystem upon cessation of the emergency. If the emergency is caused by the eligiblesystem, then the Company shall communicate the nature ofthe problem with theCustomer within five days, and attempt to resolve the issue with the Customer, TheCompany shall file a disconnection petition with the Board if the Company and theCustomer have not reached a mutually agreed-upon resolution within thirty days of theemergency disconnection.

Non-emergency disconnections of an eligible system by the Company shall follow thesame process as set out above for emergency disconnections of such system, except thatthe Company shall give written notice of the disconnection no earlier than ten days andno later than three working days prior to the first date on which the disconnection of thesystem may occur. Such prior notice shall communicate the reason for the disconnectionand the expected duration of the disco¡urection. If the eligible system is not the reason forthe system's disconnection, the Company shall reconnect the system as soon as theactivity necessitating the disconnection ceases. Temporary, non-emergency

disconnections due to the removal of the meter by the Company or their representativessuch as those related to a meter exchange or meter test shall not require prior notice.

A Customer shall be prohibited from reclosing a disconnect device, which has beenopened and tagged by the Company, without the prior approval of the company, or, inevent of dispute, the Board.

A Customer who initiates a pennanent disconnection of an eligible system shall promptlynotifu the Company.

SOLAR CREDIT FOR SEPARATELY.METERED GROSS GENERATION:Individual or group net metered systems that own and operate a photovoltaic net meteredsystem which is eligible for net metering under Rule 5.100 shall be entitled to a credit forall metered gross kWh generated by the photovoltaic net metering system.

1) The Customer shall be required to pay for all necessary equipment andlabor to facilitate measurement of the gross output of the photovoltaicgeneration using an electrical configuration that is acceptable to theCompany.

2) The Customer shall be required to pay $110 for the additional meter. Suchmetering equipment shall be owned by the Company.

At the option of the Customer, the Company may receive ownership of theenvironmental attributes of the electricity generated by the Customer's netmetering system, including ownership of any associated tradablerenewable energy credits.

4) The Customer shall receive a monthly credit for the gross generationrecorded by the additional meter at arate of $0,053 per kWh if the sola¡net metering system is 15 kW capacity or less and $0.043 per kWh for allother solar systems. For solar net metering systems approved by theBoard and in operation prior to January 1,2015, the Customer shallreceive a monthly credit for the gross generation recorded by theadditional meter at arate of $0.060 per kWh. Customers are eligible toreceive the credit established at the time that metering is installed toaccommodate measurement of gross generation for a period of ten (10)yeafs.

The monthly credit shall be applied to the Customer's electric bill asdirected by the Customer or group and shall offset any remainingCompany electric charges.

6) Each monthly credit shall be used within twelve months or shall revert tothe Company without any compensation to the Customer.

APPLICABLE:The following rules shall apply to Customers who: (l) take service under a rate withinthis electric service tør'iff, (2) have received approval prrsuant to 30 V.S.A. Sections 248,8002 and 8010 from the Vermont Public Service Board for an individual net meteredsystem or a group net metered system as defined below after January 1,2017, and (3)employ an eligible system (defined below) to generate elecfricity primarily for their ownuse and which from time to time generates electricity in excess of the Customer's thencurrent needs and is connected to dcliver such excess electricity to the Company'sdishibution system. Customers must conform to all applicable requirements of 30 V.S.A,Sections 248,8002 and 8010, to Vermont Public Service Board Orders, Rules,Regulations or electrical safety, power quality, and interconnection requirementspertaining to self-generation of energy for net metering.

The following rules shall also apply to Customers whose net metering system hascompleted a period of ten (10) years from the date of the net metering system's lastcommissioning date and who: (l) have a complete certificate of public good applicationfrled with the Board prior to January 1,2017 and prior to the Company hitting the 15percent cap, or (2) have a complete certificate of public good application meeting therequiroments of the Company's published application qualification as outlined in DocketNo. 8652 Order dated Jwte24,2016.

The following rules shall also apply to Customers who add additional generation to agroup via a new meter where the amount charged or oredited for gross generation variesby generation account.

Pre-existing net metering systems that have completed a period of ten (10) years from thenet metering system's commissioning date shall continue to receive the $0.060/klWh,$0.053/kWh or $0.0¿:/kWh, as applicable, solar credit on gross production as establishedfor their system under the previous net metering tariff until they have received this creditfor aperiod often (10) years.

This tariffprovision shall not supersede any terms and conditions of any other tariffprovision under which the Customer takes service from the Company, which other termsand conditions shall continue to apply.

CERTIFICATE OF PUBLIC GOOD:Any Customer seeking to take service in accordance with this tariffprovision shall berequired to submit written application for a certificate of public good under 30 V.S.A,Sections 248, if applicable, and Sections 8002 and 8010 to the Public Service Board onforms specified by the Board, follow all procedures specilted in those forms, and obtainsuch a certificate from the Board before taking service under the tariff, or connecting anynew eligible system to the Company's distribution system or any portìon of theCustomer's own electric system that is itself connected to the Company's electricdistribution system.

A certificate of public good for a net metering system is automatically transfened whenthe property with the net metering system is sold or otherwise oonveyed. The new ownermay commence net metoring provided that the new owner: (1) agrees to operate andmaintain the net metering system according to the terms and conditions of the certifioateof public good and in compliance with Boatd Rule 5.100 and; (2) files a transfer formprovided by the Boa¡d with the Company and the Board within 30 days after acquiringownership.

Customers may participate in the review of applications for certificates of public good byfollowing the procedures outlined in sections 5.1l4 through 5.124 of Board Rule 5.100.

INDIVIDUAL NET METERING SYSTEM:1) Definition: An eligible individual net metering system is defined as a facility for

generation of electricity that is no more than 500 kW capacity; operated in parallel withfacilities of the Company's distribution system; is intended ptimarily to offset part or allof the Customer's own electricity requirements and employs a renewable energy sourceproduced using a technology that relies on a resourcc that is being consumed at a harvestrate at or below its natural regeneration rate pursuant to 30 V.S.A. Section 8002(21) or isa qualified micro-combined heat and power system with a capacity up to 20 kW thatmeets the definition of a combined heat and power facility under 30 V.S.A. SectionS015(bX2). The Customer shall be responsible for the maintenance, safety and conditionof the eligible system.

Energy Measurement: The Company shall measure the net electricity produced orconsumed during each billing period via the Customer's billing meter. The Companyshall supply an additional meter at a cost to the Customer of $l l0 for the purpose ofmeasuring gross generation. The meter shall be installed in accordance with theCompany's standards and shall be the property of the Company. Such additional metershall be accessible to the Company at all reasonable times, and shall not be removed orotherwise disturbed by the Customer without advance written notice to and permissionfrom the Company. Such additional meter shall be located in reasonable proximity to theexistíng billing meter and subject to testing by the Company at any time at theCompany's own expense upon reasonable advance written notice to the Customer.

If, at the end ofa billing period, the electricþ generated and fed back to the distributionsystem by the Customer exceeds the electricity supplied by the Company, then theCompany shall calculate a monetary credit to the Customer by multiplying the excesskWh generated dwing the billing period by $0.14840 per kWh. This rate will change asrequired by changes to the Company's base rates or by Board determination of applicablerates as contemplated in Board Rule 5.100. The Company shall apply the monetizedcredit to any remaining eligible charges on the Customer's electric bill for that period. Ifapplication to such charges does not use the entire balance of the credit, the remainingbalance of the credit shall appear on the Customer's bill. Any accumulated monetarycredits shall be used by the Customer within twelve months or shall revert to theCompany without any compensation to the individual net metering system Customer.Accumulation of monetary oredits shall not result in any financial payments to theCustomer. Monetary credits created by net metering shall not be transferred to otheraccounts unless a Customer is transfening ownership of a net metering system to anotherCustomer.

When the net metering system is served via a time-of-use rate class and more generationis produced within a time period than was consumed in that time period, then the excesskWh generation shall be used to offset any net kWh consumption in any other timoperiod within the billing period prior to the monetization calculation,

If, at the end of a billing period, the electricity supplied by the Company exceeds theelectricity generated and fed back to the distribution system by the Customer during thebilling period, then the Customer shall be billed for the net electricity supplied by theCompany. When the net metering system is served via a time-of-use rate class and moregeneration is produced within a time period than was consumed in that time period, thenthe excess k'Wh generation shall be used to offset any net kWh consumption in any othertime period within that billing period. Any monetized credit accumulated on the previouseleven bills shall be applied to oflset any eligible charges on the current bill. TheCompany shall apply monetized credits from previous billing periods using credits thatare scheduled to expire soonest first.

Eligible charges on the Customer's electric bill exclude the following charges which aredefined as non-bypassable charges: customer charges, energy efficiency charges, electricassistance program charges, any on-bill financing charges and any equipment rentalcharges. Implementation of this non-bypassable charges provision shall not becomeeffective until bills rendered on and after July 1,2017.

GROUP NET METERING SYSTEM:1) Definition: An eligible group net metering system is defined as a group of

Customers, or a single Customer with multiple electric meters, located within theCompany's service territory, where the Customers have elected to sharemonetized excess generation credits created by a net metered system defined as afacility for generation of electricity that is no more than 500 kV/ capacity;operated in parallel with facilities of the Company's distribution system; isintended primarily to offset part or all of the group net metering system member'sown electricity requirements and employs a renewable energy source producedusing a technology that relies on a resource that is being consumed at a harvestrate at or below its natural regeneration rate pursuant to 30 V.S.A. A group net meteting system shall file with the Company the followinginformation:

(a) The meters identified by accourt number to be included in the groupsystem;

(b) A procedure for adding and removing meters included in the group netmetering system and directions as to the marurer in which the Companyshall allocate any accn¡ed ctedits among the meters included in the systemas outlined fi,¡rther below.

(c) A designated p€rson responsible for all communications between thegroup net metering system and the Company except for communicationsrelated to individual account billing, payment and disconnection.

(d) A binding process for resolving disputes among the members of a gouprelating to net metering.

The Company shall bill directly and send all commr¡nications regarding billing,payment and disconnection directly to each individual group net metering systemaccount. All charges for each individual account shall be based on the individualmeter for that account and the rate class associated with that meter'

Energy Measurement: The Company shall measure the net electricity producedor consumed during each billing period via a billing meter for the group netmetering system meter that has the generation not directly interconnected to theutility grid.

The Company shall supply an additional meter at a cost to the Customer of $110for the purpose of measuring gloss generation. The meter shall be installed inaccordance with the Company's standards and shall be the property of theCompany. Such additional meter shall be accessible to the Company at allreasonable times, and shall not be removed or otherwise disturbed by the groupnet metering system members without advance written notice to and permissionfrom the Company. Such additional meter shall be located in reasonableproximity to the existing metet and subject to testing by the Company at any timeat the Company's own expense upon reasonable advance written notice to thegroup net metering system designated person.

When the generation is directly interconnected to the utility grid and there is noelectric load connected to the meter other than the parasitic load needed by thegeneration equipment, then the billing meter may also act as the production meter

(a) If, at the end ofa billing period, the electricþ generated and fed back tothe disttibution system by the generating account exceeds the electricitysupplied to that account by the Company, then the excess kWh shall beallocated to the group member accounts pursuant to the allocationinstructions provided by the group, The allocated kwh shall then bemonetized at $0.14840 per kWh. This rate will change as required bychanges to the Company's base rates or by Board determination ofapplicable ¡ates as contemplated ín Board Rule 5.100. The Company shallapply any allocated kWh that me converted to a monetized credit to anyeligible charges on the group net metering system member's individualcunent bills for that period. If application to suoh charges does not use theentire balance of the credit, the remaining balance of the credit shallappear on the individual member's bill. Any accumulated monetary creditsshall be used by the individual member within twelve months or shallrevert to the Company without any compensation to the group netmetering system member. Accumulation of monetary credits shall notresult in any financial payments to the Customer. Moneta¡y creditsc¡eated by net metering shall not be transferred to other accounts.

When the generating account of a group net metering system is served viaa time-of-use rate class and more generation is produced within a timeperiod than was consumed in that time period, then the excess kWhgeneration shall be used to offset any net kWh consumption in any othertime period within the billing period for that account prior to the allocationof excess kWh to group members.

(b) If, at the end of a billing period, the electricity supplied by the Company tothe generating account meter exceeds the electricity generated and fedback to the distribution system by the generating meter during the billingperiod, then each group net metering system member shall be billed forthe electricity supplied by the Company based on the individual meter forthat account and the rate class associated with that meter. Any monetizedcredit accumulated on the previous eleven bills shall be applied to offsetany eligible charges on the current bill. The Company shall applymonetized credits from previous billing periods using credits that arescheduled to expire soonest first.

Eligible charges on the Customer's electric bill exclude the following chargeswhich are defined as non-bypassable charges: customer charges, energy efficiencycharges, electric assistance program charges, any on-bill financing charges andany equipment rental charges. Implementation of this non-bypassable chargesprovision shall not become effective until bills rendered on and after July 1,2017.

Allocation of Group Net Metering Excess kWh:The designated person of the group net metering system shall provide a set ofallocation percentages which the Company shall allocate any accrued creditsamong the meters included in the system. Such a percentage allocation shall addto l00Yo. Allocations may only be changed on written notice to the Company.The Company shall implement appropriate changes to the allocation of creditswithin thirty days after receiving written notification from the designated person.Allocations can be changed no more than four times per calendar year and shallnot be applied retroactively.

SITING AND REC ADJUSTORS:Each individual a¡d group net metering system shall be subject to positive or negativecharges applied to the gross kWh of the production meter. Adjustors are based on faclorsrelate.d to-sìte selection and retention of renewable energy credits (RECs) and will bedetermined by the Board. Pre-existing net metering systems as defined in Board Rule5.125(Ð are not subject to any siting or REC adjustors.

Each net metering system's siting and REC adjustors shall be set forth in the facility'scertificate of public good. For the fust ten (10) yea:s after the system is commissioned,any z.ero or positive siting or REC adjustor shall be multiplied by the kÏVh from theproduction meter and applied to bìlls as credits. Siting and REC adjustor creditsallocated to group members shall follow the same percentage allocation as directed by thegroup's designated pefson. Credits shall not apply to non-bypassable chargcs.Any negative siting or REC adjustor shall be multiplied by the kWh from the productionmeter and applied to bills as additional charges. Siting and REC adjustor chargesallocated to-group members shall follow the same percentage allocation as directed by thegroup's designated person. Negative siting or REC adjustors will continue to createadditional charges in perpetuity.

DETERMINATION OF REC ADJUSTOR:At the time an application for authorization to construct a net metering system is filedwith the Board, the applicant must elect whether to retain ownership of any RECsgenerated by the system or whether to transfer such RECs to the Company. This electionis ir¡evocable.

REC ADJUSTORRATES:For net metering systems who apply for a certificate of public good after January 1,2017shall be subjeot to the following REC adjustors.

DETERMINATION OF SITING ADJUSTOR:At the time that the Board issues a certificate of public good it will set out a sitingadjustor based on the siting criteria outlined in Board Rule 5.100.

SITING ADruSTOR RATES:For net metering systems who apply for a certificate of public good after January I,2017shall be subject to the following siting adjustors.

l) Category I: $0.010 per kWh.2) Category II: $0.010 per kWh.3) Category III: negative $0.010 per kWh.4) Category IV : negative $0.030 per kWh.5) Hydroelectric facilities : $0.000 per kWh.

5OO KV/ CUSTOMER LIMITThe cumulative capacity of net metering systems allocated to a single customer shall notexceed 500 kV/. A customer with multiple accounts shall not exceed this 500 kW limit.

INTERCONNECTION REQUIREMENTS :

The interconnection of all net metering systems is governed by Board Rule 5,500. Theapplicant bears the costs of all equipment necessary to interconnect the net meteringsystem to the distribution grid and any distribution system upgrades necessary to ensuresystem stability and reliability.

DISCONNECTION OF NET METERED SYSTEM:Any eligible system shall be subject to emergency disconnection of the system. Theseemergency disconnection procedures do not supplant Board Rules 3.300 and 3.400 orother tariff rules and regulations related to Company disconnections,

In general, an emergency shall be considered to occur when the interconnection of aneligible system represents a condition which is likely to result in imminent significantdisruption of service to the Company's Customers or is imminently likely to endangerlife or property.

If the Company performs an emergency disconnection of an eligible system, theCompany shall noti$ the Customer within twenty-four hours after the disconnection. Ifthe emergency is not caused by the eligible system, then the Company shall reconnect thesystem upon cessation of the emergency. If the emergency is caused by the eligiblesystem, then the Company shall communicate the nature of the problem with theCustomer within five days, and attempt to resolve the issue with the Customer. TheCompany shall file a disconnection petition with the Board if the Company and theCustomer have not reached a mutually agreed-upon resolution within thirty days of theemergency disconnection.

Non-emergency disconnections of an eligible system by the Company shalì follow thesame process as set out above for emergency disconnections of such system, except thatthe Company shall give written notice of the disconnection no earlier than ten days andno later than three working days prior to the first date on which the disconnection of thesystem may occur. Such prior notice shall communicate the reason for the disconnectionand the expected duration ofthe disconnection. Ifthe eligible system is not the reason forthe system's disconnection, the Company shall reconnect the system as soon as theactivity necessitating the disconnection ceases. Temporary, non-emergencydisconnections due to the removal of the meter by the Company or their representativessuch as those related to a meter exchange or meter test shall not require prior notice.

A Customer shall be prohibited from reclosing a disconnect device, which has beenopened and tagged by the Company, without the prior approval of the Company, or, inevent of dispute, the Board.

A Customer who initiates a permanent disconnection of an eligible system shall promptlynotify the Company.
