The Commission granted an exemptive order from certain provisions of the Securities Exchange Act of 1934 (Exchange Act) to TrinityAcquisition plc with regard to a tender offer for the OrdinaryShares and American Depositary Shares of the Willis Corroon Groupplc. The order granted relief from certain withdrawal rightsprovisions of Section 14(d) (5) of the Exchange Act and Rules 14d-7 and 14d-10, thereunder, and confirmed that the offer could employcertain practices consistent with U.K. law and practice. ENFORCEMENT PROCEEDINGS

MILTON VERRET AND RICKY BUSBY PERMANENTLY ENJOINED

The Commission announced that on June 24, 1998, the U.S. District Court for the Western District of Texas, Austin Division permanentlyenjoined defendants Milton J. Verret and Ricky D. Busby from further violations of the antifraud and reporting provisions found in Sections 17(a) of the Securities Act of 1933, and Sections 10(b),l3(a) and 13(d) of the Securities Exchange Act of 1934, and Rules 10b-5, l3a-l, 13a-11, 13a-13, 13d-2 and 12b-20 thereunder. Verret and Busby consented to the entry of the judgment without admittingor denying the Commission's allegations.

The Commission's complaint alleged that Verret and Busbyparticipated in issuing false and misleading statements to the public regarding revenues and financing for an animated film called "Happily Ever After;" illegally traded on material, inside information about the film; and that Verret failed to make the required disclosures to the Commissions about his sales. The Court's judgment orders disgorgement of trading profits, and payment of prej udgment interest, but does not impose a civil penalty or require payment of disgorgement and prejudgment interest based on Verret's and Busby's demonstrated inability to pay.
