FEE RATE ADVISORY

The Congress has passed and will soon send to the President for signature H.R 1088 the

JOINT PRESS RELEASE BY SEC AND CFTC

Securities and Exchange Commission Chairman Harvey Pitt and Commodity Futures Trading

Commission Chairman James Newsome jointly pledged to seek prompt agency adoption of

final rules relating to security futures products pursuant to authorization of such products by the

Commodity Futures Modernization Act of 2000 CFMA

Chairmen Pitt and Newsome expressed confidence that they would promptly achieve consensus

on remaining issues to allow security futures products to trade in fair and competitive maimer at

the earliest possible date while avoiding regulatory arbitrage between the options and futures

markets Chairmen Pitt and Newsome also noted that they are committed to ensuring customer

protection and encouraging innovation and new product development quickly

Chairmen Pitt and Newsome committed their agencies to work toward promulgating final

rules relating to margin on these products as well as rules relating to protection of customer

funds that would allow trading by the public of security futures products by early in the

second quarter 2002

The Chairmen have agreed that in light of the comments received by the Commissions the

Chairmen Pitt and Newsome also agreed that the CFMA does not require by its terms that

implementation of portfolio margining for security futures be deferred until it has been

approved for exchange-traded options provided that the essential goal of avoiding

regulatory arbitrage between security futures and exchange-traded options is achieved

With regard to foreign security index products Chairmen Pitt and Newsome agreed to move

forward promptly in this area in accordance with the requirements of the CFMA They have

instructed their staffs to address these issues and expect to announce proposals in the near

future on several matters relating to foreign security index products Press Rel 2001-152

RULES AND RELATED MATTERS

EQUITY COMPENSATION DISCLOSURE

On December 19 the Commission adopted amendments to its rules and forms under the

Securities Exchange Act of 1934 to enhance company disclosure of employee stock option

plans and other equity compensation arrangements Starting in the second half of next year

companies will have to provide detailed information about their equity compensation plans in

new table in their annual reports on Forms 10-K and 10-KSB filed with the SEC This

information will also have to be included in companys proxy or information statement in years

in which the company is submitting compensation plan for security holder approval The

table will include the number and weighted-average exercise price of outstanding options

warrants and rights and the number of securities available for future issuance under

companys existing equity compensation plans The new disclosure will be given separately

for plans that have been approved by security holders and plans that have not been approved by

ENFORCEMENT PROCEEDINGS

JUDGMENT ENTERED AGAINST GLENN PERDUE IN CONNECTION WITH PRIME BANKOFFERING

The Commission announced the entry of judgment by consent in the United States District

Court for the Middle District of Florida against Glenn Perdue of Indianapolis Indiana The

Commissions complaint alleged that Perdue acted as sales agent for Earl Abbott

Titusville Florida businessman by selling $3 million of non-existent prime bank securities to

investors Perdue the Commission alleged entered into joint venture agreements promising

investors weekly return of 2% over forty weeks or 80% The Commission alleged that

Perdue made material misrepresentations to investors concerning the existence of the trading

program the use of investor funds the promised return and the safety of the funds invested

The Court entered Permanent Injunction prohibiting Perdue from violating the securities

registration antifraud and broker-dealer registration provisions of the Securities Act of 1933

and the Securities Exchange Act of 1934 The Commission did not allege that Perdue received

any sales commission or profits and according the Commission did not seek disgorgement

Perdue agreed without admitting or denying the Commissions allegations to settle the action

SEC HALTS FRAUDULENT SALE OF CHARITABLE ANNUITIES FREEZES ASSETS

On December 20 upon the Commissions request Judge James Teilborg of the United States

District Court for the District of Arizona Phoenix Division issued Temporary Restraining

Order against defendants Robert Dillie and Mid-America Foundation Inc and an asset

freeze and other relief against the defendants and the relief defendant Mid-America Financial

Group Inc in connection with the sale of Charitable Gift Annuities CGAs for an estimated

$54 million The court further appointed receiver over their assets

In its action the Commission accuses Dillie and the Foundation of violating the anti-fraud

provisions of the federal securities laws in connection with their sale of CGAs since 1997

primarily to elderly investors seeking safe steady income tax benefits and charitable

donations Although Dillie and the Foundation claimed that the CGAs were backed by

conservatively invested assets Dillie and the Foundation instead misappropriated most if not all

of the CGA sale proceeds to pay for Dillies extravagant lifestyle and gambling debts
