SHORT SALES CONCEPT RELEASE

The Commission issued a concept release seeking public comment on the regulation of short sales of securities. The purpose of the concept release is to gather public comments on possible amendments to Rule 10a-1 under the Securities Exchange Act of 1934 and other potential changes to the Commission's regulation of short selling.

Among other things, the Commission seeks comment on: lifting the limits on short sales of exchange listed securities under advancingmarket conditions; providing an exception for actively traded securi ties; focusing short sale restrictions on certain market events and trading strategies; removing short sale restrictions on hedging transactions; revising short sale regulation in response to certain market developments; revising the definition of "short sale" ; extending short sale regulation to non-exchange listed

ENFORCEMENT PROCEEDINGS

LEE FONTAINE, .CPA IS DENIED PRIVILEGE OF PRACTICING OR APPEARING BEFORE THE COMMISSION

The Commission has instituted public administrative proceedings,pursuant to Rule 102 (e) of the Commission's Rules of Practice,against Lee R. Fontaine, CPA (Fontaine), former manager of financial reporting at KnowledgeWare, Inc. (KnowledgeWare). Simultaneouslywith the institution of the proceedings, the Commission accepted a settlement offer from Fontaine wherein he consented, without admitting or denying the Commission's findings, to the entry of an order denying him the privilege of appearing or practicing before the Commission as an accountant and providing that three years from the date of the order, Fontaine may apply to the Commission for reinstatement by submitting to the Office of the Chief Accountant an application-requesting that he be permitted to resume appearing or practicing before the Commission~ The Commission found that a Final Judgment of Permanent Injunction was entered against Fontaine with his consent in an action brought in the United States District Court for the Northern District of Georgia titled SEC v. Injunction was entered against Gossett with his consent in an action brought in the United States District Court for the Northern District of Georgia titled SEC v. Francis A. Tarkenton, et. al.,Civil Action No. 1:99-CV-2497-CC. Gossett was enjoined from violating Sections 10(b) and 13(b) (5) of the Securities Exchange Act of 1934 and Rules 10b-5, 13b2-1 and 13b2-2. COURT JAILS WITNESS FOR IGNORING SEC SUBPOENAS AND COURT ORDER ENFORCING THE SUBPOENAS

Richard K. Wells, a witness subpoenaed by the Commission in one of its investigations, was incarcerated on October 19 for ignoring two Commission subpoenas and a Court order enforcing those subpoenas.At a hearing on that day, Respondent Wells failed to show cause whyhe should not be held in contempt for failing to obey the Court's order enforcing the Commission's subpoenas. The District Court Judge ordered the United States Marshals to immediately take Wells into custody in the courtroom, and Wells was led from the courtroom in handcuffs. Wells' incarceration was the result of a subpoenaenforcement action commenced by the Commission on July 29, 1999. Prior to his incarceration, Wells had asserted unsuccessful defenses to enforcement of the subpoenas in the District Court and in two Courts of Appeals. Wells was subsequently released from jailupon his bond that he would comply with a new Order to respond to the subpoenas on specific dates, and the District Court continued the contempt hearing to assure compliance with the subpoenas.
