EXPRESSION OF INTEREST -INTRODUCTION AND PROPOSAL

I. Introduction and proposal

1. Cochin Shipyard Limited(CSL) , a Public Sector Undertaking wholly owned by the Government of India , engaged in the building of Commercial and Defence ships, invites

EOI from reputed manufacturers of valves for Marine application based on the details

stipulated below..

2. Pursuant to the forthcoming major ship building projects of Cochin Shipyard Ltd.

(CSL), in which extensive requirements of valves are envisaged, we are in the process

of finalizing a long term rate contract for supply of Class approved Marine quality

Valves dovetailing with the construction schedule of various projects / ships and this

Expression Of Interest (EOI) is for short listing the valve manufacturers for the same.

Tender for finalizing the long term rate contract will be issued as Limited Tender

Enquiry by considering the vendors short listed through this Expression Of Interest

(EOI) process. Valves for our future projects shall be ordered majorly through the rate

contract finalized as a resultant of referred tender. Details regarding the valves will be

published during the tender process of long term rate contract.

3. It may be noted that, the valves are projects dependant and its requirement can be

finalized only during the design stage. At this stage, CSL is not in a position to define

the exact type /technical specification /quantity under consideration/requirement

schedule. During the tender process of long rate contract, CSL will define the required

types, dimensional ranges of each type, required class certifications, technical

specification etc without mention on the quantity and requirement schedule.

4. Valve manufacturers those who participate in the EOI tender do not have any right to

claim on CSL for executing the procurement of any quantity / type of valves

mentioned in the tender or even in purchase order. More clearly, CSL, based upon its

project requirement will decide the quantity, type and schedule of requirement and it is

the sole responsibility of the vendor to supply the quantity complying to the agreed

technical specification and schedule as per the intimation from CSL during the progress

of each projects.

5. CSL has the right to group the valves based on the techno-commercial and price bids

and to enter into rate contract on different firms in a reasonable way so as to ensure the

positioning of valves as suitable to its business. Once the rate contract tender is

finalized, vendors who will be awarded with the purchase orders, will have the

responsibility to fulfill the contractual obligations in full for the entire period of

contract and if due to any reasons, except force majeure conditions, any breach in

terms of quality, quantity, or supply schedule occurs, CSL has the right to terminate

the contract immediately and to procure the required valves from any other vendor by

invoking the risk purchase clause, without issuance of any notice in any form to the

vendor and the firm will be blacklisted for a period of minimum 3 years.

6. Please take notice that valve manufacturers those who are fully agreeable to accept and

fulfill the above requirements need only submit the EOI. Any deviation or non

conformity shall explicitly be mentioned in the EOI and all information and

supporting documents furnished by the vendor during EOI process shall be considered

as final and no amendments will be permitted during the evaluation and if any

violation noted at any stage the EOI /rate contract will summarily be rejected without

seeking further clarifications. It may be noted that merely submitting the EOI will not

give any right or guarantee for considering the vendor for the long term rate contract.

More clearly EOI of only those who fulfill the detailed criteria especially the mandatory

requirements and those who submit all required documents will be considered .

II. Scope

1. Pre qualification criteria for consideration of Expression of Interest submitted by the firm is placed at Annexure 1. The format at Annexure 1 duly filled with all

supporting documentation and confirmations is to be submitted to Cochin Shipyard

Limited alongwith application for Qualification placed at Annexure 7.

2. The following are placed at respective annexures strictly for reference. a) Annexure 2 - General terms and conditions of the enquiry for rate contract

III. Instruction to Applicants

Methodology of tender

CSL intention is to receive Expression of Interest (EOI) in order to shortlist

eligible manufacturers for supply of Marine quality valves. Enquiries will be

thereafter sent only to the shortlisted bidders. Prequalification criteria at

Annexure 1 duly filled with supporting documents and application for

qualification at Annexure 7 are to be submitted.

1. Right to Accept Proposal CSL reserves the right to modify, expand, restrict, scrap this proposal or reject any

Expression of Interest without assigning any reason.

ClarificationsDuring evaluation stage of the Expression of Interest, CSL may, at its discretion,ask firms fbr clarifications on their proposal. Firms are requirei to respond withinthe time frame prescribed by CSL. CSL reserves the righi to make inquiries withany of the clients in their previous experience record.

DisqualificationsCSL may at its sole discretion and at any time during the evaluation of proposal,disqualify any bidder, if they liave:

o Subrnitted the Proposal documents after the response deadline.

o Not submitted satisf-actory documentary evidence and proof as per eligibilitycriteria mentioned at Annexure I

Made misleading or false representations in the forms, statements andattachments submitted in proof of eligibility requirements"

Submitted a proposal that is not accompanied by reqr,rired documentation or isnon-responsive.

Failed to prodr:ce clarifications related thereto, when sought.

Submitted more than one proposal

Declared ineligible by the Government of India / State govt. i public sectorundertaking

Annexure -2

GENERAL TERMS & CONDITIONS FOR PROPOSED RATE CONTRACT

1. The proposed rate contract shall be valid for n years from the date of issuance.

2. The range of products with technical details proposed to be covered in this rate contract is listed in Annexure 3 and 4.Please note that the list and details is strictly for reference. Actual

list /technical details to be concluded at the time of issuance of formal enquiry.

3. Supplier shall submit fixed (unit) price for each type of valves listed in price format (valid for two years minimum) in Annexure 3 for First year (1 year from date of issuance) and a fixed escalation on price if any for subsequent year. The rate shall be fixed for the period, the

contract is issued and no enhancement of rate for whatever cause will be allowed during that

period. The applicability of the second year rate shall also be indicated specifically (FOB date

readiness/orders within ../orders beyond ) etc.

4. Yard reserves the right to order the number of valves in each category (types and sizes) based on requirement during the contract period. The tender Enquiry/contract if issued does not

guarantee the minimum number of valves/order for any/all of the categories into the contract

during this period. Separate orders will be placed against the requirement arising during this

period. There shall be no minimum order value applicable for the individual orders into the

contract.

5. No data on estimated requirement of valve types/ quantity would be available towards submission of offers.

6. Taxes, duties , if any, payable extra are to be indicated in techno-commercial part of the offer.

7. Conditional discounts, if any, will not be reckoned for tender evaluation/comparison purpose.

8. Cochin Shipyard Limited does not bind itself to accept the lowest or any tender but reserves to itself the right to reject any or all or a part of any tender at its discretion. The comparison of

rates shall be based on yard discretion i.e., unit prices/rates for a particular group/overall

L1/overall rates for a type of valve or any other criteria which yard feels appropriate. The

rates taken into account for comparison shall be either yearwise/overall for the two years or

more .

9. The offers shall be with unit prices on FOB respective locations, however the FOB locations shall be restricted to one/two. CIF/CIP Cochin prices shall also be indicated separately. In

case of indigenous firms , FOB /Ex works cost at single location to be offered.

10. Freight arrangement for the valves (Sea/Air) shall be undertaken by yard with our forwarder. ( in case of overseas suppliers)

11. Yards intention in proposing a concept of rate contract is mostly to have better lead-times. Leadtime needs to be indicated for each type of valve which shall be in turn acceptable to yard

to consider your offer for subject tender. This agreed lead time shall be followed for all orders

within the contract irrespective of the quantity of the valves ordered.

Note The standard leadtime as above shall not be applicable for rejections/short supplies reported by yard. For above, valves are to be positioned within the shortest time frame on air

freight as per Clause 27.

12. Payment Terms

Mode of freight shall be by sea/air and the payment terms shall be in accordance. The

proposed payment terms of yard are as below and is under assumption that bulk/heavy

cargoes will be dispatched by sea and others by air mode.

Sea Consignments

80% of order value by Irrevocable Letter of Credit, balance 20% to be released 80 days after

delivery. However, for consignments over sea with lesser value, a credit shall be offered.

Air Consignments

Telegraphic transfer - 100% payment 45 days after delivery. AirWay Bill (AWB) to be

drawn in the name of yard. All bank charges inside India shall be borne by Yard. The

Supplier shall bear all bank charges outside India.

The following documents are to be forwarded through Supplier bank for realizing the payment against LC:

a) Bill of lading-Original+4 Non negotiable copies b) Invoice and packing list- 3 Nos original +3 non-negotiable copies c) Certificate of Country of origin d) Guarantee Certificate e) Material and Hydraulic test certificate/Class certificate(provisional/original)

For Indian firms , payment terms shall be 100% payment after receipt and acceptance

13. Security Deposit

The successful tenderer must remit a security deposit by way of Bank Guarantee as per Yard

format as per Annexure 5 from a first class international bank/Nationalised or Scheduled

Indian Bank if valid contract is issued towards satisfactory performance of the contract and

for enforcement of the Guarantee clause. The Bank Guarantee shall be valid for a period till

completion of supplies towards the last order placed within the period of the contract and

further extended to cover the guarantee period of the valves in the last order placed within the

contract period. Value of the bank guarantee shall be confirmed by yard before opening of the

price bids.

14. Inspection and Certification

All valves shall be of good quality material. Workshop test certificate alongwith material test

and certification shall be provided for all valves. All valves are subject to inspection by us

and, where stipulated by any other inspection agency nominated by us for this purpose at our

stores. Rejected goods will be returned to the supplier (after obtaining appropriate

replacement) at suppliers cost. The scope of inspection upon receipt of goods at yard stores is limited to physical/visible inspection and review of certificates furnished.

It may be noted that discrepancies, if any on the functioning of valves, shall be indicated not

necessarily on receipt at yard and physical inspection, but also after ascertaining functional

acceptance for use onboard the respective vessels.

Products supplied shall be nontoxic and harmless to health. In the case of toxic materials,

Material Safety Data Sheet may be furnished along with the material.

Individual Class inspection certificate for relevant valves shall be issued based on

requirements stipulated into the order. The certification for Class valves shall comprise of

individual stamping and a correlation of the test certificate with the individual valve.

Based on various projects, Classification requirements for valves would differ. Yard

requirement is that the supplier would liaise and obtain the certification from different

agencies (DNV/Lloyds/IRS/ABS etc) based on yard requirement.

15. Classification expenses shall be reimbursed by yard upon submission of documentary proof and submission of respective Class certificates in original. The documentary proof shall be

copy of invoices from respective classification societies and shall have correlation with yards order number, test certificate number etc. However the Class charges have to be compulsorily

included in the corresponding invoices from the supplier. Claims pertaining to class charges

shall be in same currency as that of order.

16. Supplier should follow the statutory requirements of the products offered.

17. Packing and labeling:

All valves shall be labeled according to suppliers standard. However the label shall also include vessel number, valve tag number and material code, which will be given by Yard. The

label/tag shall be properly secured to each valve to prevent it from being lost in transportation

and handling. Packing material should be eco friendly.

18. Liquidated Damage:

In case of delay in supply of ordered materials beyond the stipulated delivery period, supplier

is to pay Liquidated Damages (and not by way of penalty) a sum equivalent to % (half

percent) per week or part of the week of the value of valves delayed, subject to a maximum of

10% of the order value of the materials delayed.

19. Guarantee:

The Valves supplied shall be guaranteed against faulty design, defective materials and poor

workmanship and for satisfactory performance for 12 months from the date of delivery of the

ship to owners or 24 months from date of delivery of Valves whichever is earlier. In case of

any unsatisfactory performance /failure within the guarantee period, the Supplier should

immediately rectify the failure by repair/replacement of any such part found to be under

performing /defective at his expense.

20. Suppliers are allowed to depute their authorized representative to be present at the time of opening of the price bid only and not during technical bid opening.

21. Deviation if any, in the offer submitted from that of the tender enquiry in any form, should be clearly furnished in a separate document titled as List of Deviations. Absence of indicating deviation in the deviation list indicates 100% compliance with the general terms

and conditions.

22. Integrity pact as per Annexure 6 is to be signed between yard and successful bidder in event of entering into a contract.

23. Validity of the offer to be atleast for a period of 4 months from date of submission.

24. No enhancement of rate for whatever cause will be allowed once the offer is accepted and an order is placed. Withdrawal of the quotation after it is accepted or failure to make the supply

within the stipulated delivery period, will entail cancellation of the order and forfeiture of

Security deposit, if any and/or risk purchase

25. Upon finalization of the technical details for the valves and in the event of entering into a contract, the type and technical details of the valves shall be freezed for the supply during the

contract period. No change of model/technical data shall be permitted after entering into a

contract.

26. Risk Purchase

If the supplier fails to supply the items ordered within the delivery date or violate any of the

terms and conditions of the purchase order, CSL shall have the following rights.

To terminate the contract with 15 days notice forfeiting the security deposit.

To initiate alternate procurement action at the risk and cost of the supplier.

27. Guarantee claims, short supplies, Rejections Guarantee claims if any which arise when the vessel is still at CSL, the replacements shall be

sent by air freight prepaid to Cochin airport and the clearance charges to be borne by supplier.

In the event of vessel already delivered, the replacement to be sent to the nearest port of call

of the vessel (overseas destination/within India) freight prepaid with all expenses including

duty and clearance charges to be borne by the supplier.

28. Rejected valves, if required to be sent back shall also be arranged at supplier costs from CSL /applicable destination. Short supplies, if any reported shall also be arranged to be delivered

on CIP Cochin airport basis, freight prepaid.

29. Indian Agent

Cochin Shipyard Ltd., is a fully owned by Govt. of India Enterprise and prefers to deal

directly with the supplier. However, if the supplier appoints an Indian Agent to deal with

Cochin Shipyard Ltd., the agency commission payable by the supplier to such an agency shall

be intimated.

a. If manufacturers effect supplies through Agents only, authorization in writing from manufacturers in favour of the Agent for supply to CSL shall be furnished.

b. If Indian Agents submit offers on behalf of Foreign manufacturers, copy of the Agency

Agreement between them and their mutual interest in the basis to be furnished.

c. In case where an Agent participates in a tender on behalf of a Foreign manufacturer with specific authorization from the manufacturer, he should not quote on behalf of

another Foreign manufacturer along with the first manufacturer in a subsequent /

parallel tender for the same item. In other words one Agent cannot represent two

suppliers or quote on their behalf in a particular tender

30. Jurisdiction

All questions, disputes or difference arising under, out of, or in connection with contracts

shall be subject to the exclusive jurisdiction of the Courts at Ernakulam, Kerala, India .

31. Extension of the contracts

Yard shall at its own discretion, consider extension of the rate contract after the expiry of the

contract period .This shall be on mutually agreed terms between CSL and the supplier.

TECHNICAL SPECIFICATION FOR SUPPLY OF VALVES AND MUD BOXES 1. SCOPE OF SUPPLY

Rate contract to be established for Valves and fittings as per TECHNICAL SPECIFICATION (Annexure `A) and LIST OF ITEMS (Annexure `B) for various vessels to be constructed by COCHIN SHIPYARD.
