An Electronic Health Record stores essential health information including the results of your health screenings and lab tests, consultation notes from your doctors, as well as the medications you take. It is an important tool as the more information your doctors have about you and your medical history, the more effectively and efficiently they can diagnose and treat you. Your Electronic Health Record also helps to ensure that your doctors know what prescriptions you are currently taking, and any drug allergies you may have, which in turn can prevent dangerous drug reactions and interactions.

PROTECTS YOU AGAINST OVERBILLING

Over 35 million people in the U.S. are admitted to a hospital each year with each visit averaging close to $20,000. Besides medical costs, many of these bills are as high as they are because of significant errors within the bills themselves. Unfortunately, many people don’t do anything to correct them because they can’t even recognize the errors - let alone explain them - or get the hospitals to correct them. But, as a HCCUA member, you can rest assured that we are here to shield you against overbilling if you are hospitalized.

HOW DO WE PROTECT YOU? HCCUA has contracted the services of compliance analysts, medical billing specialists and a team of highly-skilled physicians who will audit your eligible hospital stay bill* with the aid of a unique and powerful software platform. The steps they take to safeguard you financially include:

1. Prior to paying your bill, HCCUA will have their team review or “audit” your itemized hospital stay bill and related records.

2. Identify excessive, unwarranted, non-compliant and otherwise invalid charges.

3. Create a detailed medical bill review report or “MBR” that identifies billing errors, challenges invalid charges, recommends appropriate adjustments and explains the reasons for each challenge and adjustment.

NEXT STEPS? Once your audit is complete, HCCUA’s Analysts will send you an MBR, along with a sample letter to your hospital billing department explaining the MBR findings and challenged charges. You should then immediately send your own letter to the hospital with a copy of the MBR, as well as payment for the undisputed portion of your bill. Remember, it is imperative that you get your bill audited first, as it is much more difficult to get your hospital to adjust a bill and refund monies already paid.

Also important: it is crucial that you request Audit support and complete all of the steps in the process as quickly as possible, as each State requires that any challenge to a hospital bill must take place within a stipulated time period to be classified as a “disputed bill,” in order for that bill to be held in abeyance until the audit is complete.

You must be an HCCUA Member in good standing for a continuous period of 180 days (the “Waiting Period”) before you or your eligible spouse or dependent may use the Hospital Bill Audit service. Only one eligible person (either you or, if any, your spouse or eligible dependent) may use the Hospital Bill Audit service one time only once during each calendar year that you remain an HCCUA Member in good standing. The Hospital Bill Audit service may only be used for hospital bills incurred by one eligible person during and directly related to their stay as an admitted patient in a hospital for more than 24 continuous hours.

DEFINED TERMS. ANY CAPITALIZED TERM USED BUT NOT DEFINED IN THIS MEMBERSHIP HANDBOOK SHALL HAVE THE MEANING ASSIGNED TO SUCH TERM IN THE BY-LAWS OF HEALTHCARE COST CONTAINMENT UNITED ASSOCIATION (“HCCUA” or the “Association”).

PURPOSE OF ASSOCIATION. The purpose of the Association (the “Purpose”) is: (a) To educate, inform, encourage and assist its members with regard to using telecommunications and digital media to more economically and efficiently obtain quality healthcare and physician services (“Telemedicine”), applying medical bill review and evaluation techniques and services to reduce or eliminate excessive or inappropriate charges (“Medical Bill Reviewing”), and adopting healthier lifestyles, taking preventative action and making sound financial decisions concerning medical needs and healthcare benefits, services and products; (b) To publicly promote and encourage the development, availability, understanding and use of Telemedicine and Medical Bill Reviewing in order to reduce healthcare costs in general and help resolve the healthcare crisis effecting the United States of America; (c) To give members access to Telemedicine, Medical Bill Reviewing and other benefits, programs, privileges, products and services beneficial to their overall health and economic condition, and such other ancillary and incidental benefits as the Board of Directors deems appropriate and permissible under applicable law; and (d) To do any other act or thing incidental to or connected with such purposes or the advancement thereof by exercising the powers now or hereafter conferred upon corporations by the laws of the State of Florida and of the United States.

MEMBERSHIP & ELIGIBILITY. The members of the Association (collectively “Members” and each a “Member”) shall consist of such persons as may be qualified for and admitted to Membership by the acceptance and approval by the Association of an application for Membership. To be eligible for HCCUA Membership and Membership benefits programs (“Programs”), at the time of enrollment you must be a legal U.S. resident, 18 years of age or older, demonstrate you actively use telemedicine, EHR services, medical bill auditing, diagnostic testing, Rx/DME Programs and/or other healthcare efficiency services on a regular basis, and who meets such other qualifications for Membership established from time to time by the Association’s Board of Directors. Membership may not be transferred or inherited. Membership is not conditioned on any health-status related factor relating to an applicant or Member, or relating to any applicant’s or Member’s spouse or dependents. The Association has different classes of Membership (collectively “Classes” and each a “Class”), each having different privileges and benefits. Members have such rights as are set forth in the By-Laws of the Association, as the same may be amended from time to time (the “By-Laws”). Membership benefits provided to each Class of Membership (collectively, “Benefits”) are set forth in the HCCUA Membership Handbook. HCCUA reserves the right to amend Benefits at any time for any reason.

RISK-FREE REVIEW PERIOD. Please review the HCCUA Membership Handbook relevant to your Class and your Benefits. You are entitled to a ten (10) day risk-free review period to evaluate your Membership (“the “Review Period”). To be eligible, you must request cancellation within the first ten (10) days of the “Effective Date” as indicated on your HCCUA Membership Card. To receive a full refund of your initial payment, you must return all received packaged materials within thirty (30) days of your Effective Date to: HCCUA c/o Member Services, 5300 Broken Sound Blvd NW #200, Boca Raton, FL 33487. An amount up to $25.00 will be withheld from your refund until such time as your packaged materials are returned. Return packages must be sent by trackable means, and proof of delivery does not constitute proof of receipt. Eligible refunds are processed as soon as they are received and will normally appear on your bank or credit card account within ten (10) days of processing.

GOVERNING DOCUMENTS. The By-Laws and these HCCUA Membership Terms and Conditions (the “Membership Terms”) may be amended from time to time in accordance with the HCCUA Amended and Restated Articles of Incorporation and By-Laws, or as may be required to comply with any applicable laws, regulations or rules of any government authority or agency. The terms and conditions for any Benefit (“Benefit Terms”) may be amended from time to time as required or permitted by the source or provider of the Benefit, or as may be required to comply with any applicable laws, regulations or rules of any government authority or agency. At any given time, the current

By-Laws and Membership Terms as the same may have been amended (collectively, the “Governing Documents”) are available for viewing by all Members on the Association’s website at www.hccua.org (the “Website”). Additional terms and conditions for the specific Benefits may be obtained by contacting HCCUA and/or the provider of the Benefit(s).By becoming and remaining a Member, you acknowledge and agree that you have reviewed and accepted all of the terms and conditions of the Governing Documents on behalf of yourself and your covered dependents. In addition, you will be deemed to have received notice of and reviewed and accepted any and all amendments to the Governing Documents once such amendments have been posted on the Website or sent to you or explained to you by a representative or agent of HCCUA.

DUES AND FEES. All new Members must pay an initial application processing and enrollment fee in an amount as may be established by the Association for the Member’s Class. HCCUA Members, who cancel Membership and then re-enroll after the date in which their current HCCUA Membership is terminated, shall be classified as new Members, and shall be required to pay the initial application and enrollment fee when they re-enroll. Members who upgrade or downgrade their Membership prior to the termination of their Membership, shall not be classified as new Members and shall not be required to pay an additional application processing and enrollment fee. Benefit fees and Association dues are hereinafter collectively referred to as “Charges.” In order to maintain Membership in the Association, you must pay the monthly Charges. Payment of all monthly Charges is due in advance and will be automatically drafted from or charged to the account or credit card that you have authorized HCCUA or its agent to draft or charge at the time of your enrollment or thereafter (your “Billing Account”). The Association reserves the right to terminate any Membership and deny any and all privileges and benefits for lack of timely payment of any Charges, or failure to satisfy any other Membership requirement. Charges may be changed for all Members of any Class (but not individually), as the Association’s Board of Directors determines is necessary, appropriate or desirable in its discretion, with notification to be provided as soon as reasonably practical. Charges collected from the Members are held and disbursed on behalf of the Association by a licensed third-party administrator in order to ensure timely payment of any fees or premiums due and payable by, on behalf of or for the benefit of HCCUA to the sources, providers or underwriters of the Benefits and otherwise as may be required by applicable laws, regulations or rules of any government authority or agency.

AUTHORIZATION, PROCESSING AND CONFIRMATION OF CHARGES AND PAYMENTS. By becoming and remaining a Member, you agree to and authorize all Charges against your Billing Account appropriate to your Membership Class that you have selected or later select. Each month’s Charges will generally, but not necessarily, be handled as a single withdrawal from or charge to your Billing Account. If you do not effectively cancel during the Risk-Free Review Period, you will be deemed to have confirmed your continuing authorization for all Charges that accrue while you are a Member to be withdrawn from or charged to your Billing Account, including withdrawals and Charges that may be processed after you cease to be a Member for Dues or Fees that accrued while you were a Member. Depending on the Effective Date that you selected, Charges will be submitted on or about either the 5th, 10th, 15th, 20th or 25th of each month for the next month (your “Billing Date”). The payment of your initial application processing and enrollment fee and each payment of monthly Charges or other Fees will be deemed confirmed on the date five business days after the date of the receipt of such payment from your Billing Account by automatic bank draft or credit card.

INSURED BENEFITS. HCCUA offers a variety of primary benefits and services to its Members, as well as certain other benefits and services that are only provided to those Members who choose to join specific Membership Classes and select certain Associate Benefits or Premium Benefits (collectively, “Additional Benefits”). These Additional Benefits may include certain insurance coverage (“Insured Benefits”) provided by licensed insurance companies (each an “Insurance Carrier”) under master group policies issued to the Association (each a “Policy”). HCCUA IS NOT AN INSURANCE COMPANY AND IS NOT RESPONSIBLE OR LIABLE FOR ANY INSURED BENEFITS OR CLAIMS UNDER ANY POLICIES. THE INSURANCE

CARRIER ISSUING/UNDERWRITING ANY POLICY IS SOLELY RESPONSIBLE AND LIABLE FOR INSURED BENEFITS AND CLAIMS UNDER SUCH POLICY. The benefits, terms, conditions, limitations and exclusions of each Insured Benefit are set forth in the relevant Master Group Policy, a copy of which is maintained at all times in the records of the Association and available for review at the offices of the Association upon request. Coverage under each Policy, and the essential features of such coverage, is evidenced by and described in a certificate of coverage for such Policy (the “Certificate”) which will be delivered to each Member covered under the Policy. If you have joined or join a Membership Class and select Additional Benefits that include any Insured Benefit(s), you should have or receive a Certificate issued under the terms of the relevant Policy or Policies. If you believe that you have any Insured Benefit for which you do not receive a Certificate, it is critical that you contact Member Services immediately.

ACTIVATION AND TERM. Your Membership in the Association is on a month to month basis, with the monthly periods running from 12:00 am Eastern Time on your Effective Date through 11:59 pm Eastern Time the day before your Effective Date of the following month (a “Monthly Period”). Benefits, including Insured Benefits will be activated on your Effective Date, provided your initial payment of Charges has been confirmed. Insured Benefits are activated in accordance with the applicable Policy and Certificate, as may also be summarized in the relevant Class Handbook, if any; provided, however, that in the event of any conflict between any such Class Handbook and the Certificate, the Certificate of Coverage governs. The term of your Membership may continue so long as you continue to meet the qualifications of Membership established by the Association and pay all required Charges in full and in a timely manner.

USE OF BENEFITS. You must be actively enrolled and be current on all payment of Charges in order to use or receive any Benefits. You agree that you will use your Membership and Benefits only for yourself or your covered Dependent Family Members. “Dependent Family Members” are your spouse, immediate family members under the age of 26 who are living with and are financially dependent upon you. In some cases, Dependent Family Members may also include handicapped family members who are incapable of self-support and are dependent on you for support and maintenance. Please refer to the Certificates applicable to the Associate or Premium program(s) in which you are enrolled to determine coverage available for Dependent Family Members.

CHANGES IN BENEFITS. Notwithstanding anything herein to the contrary, any Benefits, including Insured Benefits, may be modified, changed, replaced, substituted, discontinued or eliminated as the Association’s Board of Directors, in its sole discretion, deems necessary, appropriate or desirable, and as permitted in the By-Laws. Should your Benefits materially change, you will be notified as soon as reasonably possible. Information will be placed on the Association’s Website at www.hccua.org to provide Members with current Benefit information, as well as other pertinent Membership information, and you shall be deemed to have received notice of any such information once it is posted. As a courtesy, such material change notifications will be emailed to you at your last email address on file.

CANCELLATION AND TERMINATION. After the Risk-Free Trial Period, you can cancel your Membership at any time by submitting a Cancellation Request to the Association. To effect a cancellation as of the last day of a given Monthly Period, your verified Cancellation Request must be received by Member Services prior to the 25th day of that Monthly Period (the “Cancellation Deadline”). Once received, your cancellation will be processed and will become effective as of midnight on the last day of the Monthly Period for the month you submitted a timely Cancellation Request. If your Cancellation Request is NOT received prior to the Cancellation Deadline of the Monthly Period in which it is delivered, then your Membership will continue through the end of the next Monthly Period and you will be responsible for the full payment of all Charges owed for that next Monthly Period. Please note: Because of the automated nature of HCCUA’s billing system, if your Cancellation Request is received after to the 20th day of the Monthly Period, but not at least five days prior to your Billing Date, Charges may unavoidably be processed against your Billing Account on or about your Billing Date, in which event such charges will be refunded to your Billing Account no later than thirty (30) days after the date

of your Cancellation Request.

Non-payment of any Charges will result in automatic termination of your Membership, and Benefits as of the end of the last Monthly Period for which you paid all Charges in full. If you are terminated for nonpayment, you may be given a grace period of up to thirty-one days from the date your payment was due in which to reactivate your membership by paying all applicable Charges in full. Notwithstanding anything herein to the contrary, the Board of Directors of the Association or its authorized Delegate (the “Board”) may terminate your Membership at any time, in its sole discretion, in accordance with the Bylaws. In the event of such termination, your Membership and Benefits will be retroactively terminated effective as of the end of the prior Monthly Period and any Dues you have paid applicable to any later point in time will be refunded to you.

NOTICE OF MEETINGS AND ACTIONS. All notices required to be given by the Association to you of any meeting or action of the Association under applicable law or in accordance with the Association’s Articles of Incorporation or By-Laws will be posted on the Website. Upon acceptance or use of any Benefits or by continuing your Membership beyond the Risk-Free Review Period, you shall be deemed to have waived any right to delivery of individual notice of any such meeting or action of the Association unless you inform the Association to the contrary in writing.

LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES. You agree that any claim with regard to Benefits provided to Association Members as a result of their Association membership, including discount programs and wellness testing, shall be made only against the providers of such Benefits and not the Association, its affiliates or contractors (collectively, the “Companies”), whose sole obligation hereunder is to provide and facilitate Member access to and receipt of such benefits from the providers of such benefits. The Companies assume no liability with regard to any benefits provided, or to be provided, by any third party. The Companies are not merchants, manufacturers or direct providers of the Benefits and do not give any warranties, expressed or implied, as to description, quality, merchantability, fitness for any particular purpose, productiveness or any other matter, as to the Benefits, the third-party providers of Benefits, or any other services or merchandise purchased or received by you through, or in connection with, your Membership in the Association. You acknowledge that you are not relying on the Companies’ skills or judgments in selecting any third-party provider or Benefits or services available to you. In the event that any product or service purchased or received by you is cancelled, modified, defective or otherwise unsatisfactory to you, you will look solely to the provider, seller, merchant, or manufacturer of the product or service for any repair, exchange, refund, or satisfaction of the claim. It is further understood that all Benefits are subject to the availability of such Benefits, which may change without notice for reasons beyond the reasonable control of the Companies.

GENERAL RELEASE. You on behalf of yourself and all of your covered Dependent Family Members hereby forever release, acquit and discharge each of the Companies and their respective officers, directors, employees and agents from any and all liabilities, claims, demands, actions and causes or action that you, or your covered Dependent Family Members may have by reason of any monetary damage or personal injury sustained as a result of or in connection with the provision or lack thereof of any and all Benefits or other benefits, services, or merchandise made available through or as a result of your Membership in the Association. The sole recourse available to you and your covered Dependent Family Members shall be cancellation of your Membership and any refund available as provided in the Risk-Free Review Period section of these Terms and Conditions.

PAYMENT TO PROVIDERS FOR PRODUCTS AND SERVICES. You agree that you and your covered Dependent Family Members are solely responsible for payment of any amounts due for products or services obtained by you or your covered Dependent Family Members in connection with your Membership. Failure to make prompt payment of the amounts due may result in the termination of your Membership. None of the Companies shall be considered either a guarantor or payor for any products or services provided to any Member by any third party.

information secure is one of our most important responsibilities. HCCUA has established a Privacy Policy in furtherance of this responsibility. The Privacy Policy is available to all Members at www.HCCUA.org, and you may request a copy of the Privacy Policy in writing by calling Member Services.

IMPORTANT NOTE ABOUT TELEMEDICINE SERVICES. Telemedicine services are a complement to primary care, not a substitute. If your primary care physician is unavailable, the licensed physicians using this telemedicine platform may be able to help you with common ailments. Telemedicine is not suitable for use by individuals who need emergency care. If you need emergency care, please dial 911. If you are uncertain as to whether you require emergency care, a physician may be consulted through the telemedicine system to help you make that determination.

Healthcare professionals utilizing HCCUA’s contracted telemedicine system must abide by all applicable laws, rules and regulations. In some states these laws, rules and regulations may prohibit a doctor from diagnosing a medical condition or prescribing medications in the absence of an in-person examination. A prescription is not guaranteed and will only be issued when clinically appropriate. Healthcare professionals utilizing the telemedicine system may, in certain instances, recommend you make an appointment with a physician (preferably your primary care physician) for an in-person examination and may recommend follow-up care. When using the telemedicine system, it is critical that you describe your symptoms accurately and honestly. Make sure you tell the physician about any medications you are taking. The more information the physician has, the better.

Please understand that telemedicine has limitations that may prevent a physician from diagnosing certain conditions or recommending treatment. In such instances, you should make an appointment with a physician for an in-person examination. You will be asked to provide a health history prior to any consultation along with a consent to receive telemedicine services.

Healthcare professionals using this technology platform are independent professionals and solely responsible for the medical services provided. Neither HCCUA nor the telemedicine system provider are healthcare providers and they do not interfere with the services provided by these independent healthcare professionals.

ADDITIONAL TERMS & CONDITIONS FOR TELEHEALTH

Welcome to the INTERACTIVE MD, LLC Web site (the “Site”) Terms of Use. As used in these Terms of Use, references to “INTERACTIVE MD” means INTERACTIVE MD, LLC, a Florida limited liability company.

INTERACTIVE MD provides access to online and telephonic health-related information and services, including telephonic and secure e-mail inquiries and diagnostic consultations with physicians (“Inquiry/Consultation Administration”). Such physicians are members of participating networks and are either independent contractors or employees of certain Professional Associations (“Participating Physicians”). Additionally, INTERACTIVE MD provides access to electronic medical record storage services for both the patient and the Participating Physician (“Medical Records Storage Service”). In order to determine your compliance with these Terms of Use and the Notice of Privacy Practices (the “Privacy Notice”) we reserve the right, but not the obligation, to monitor your access to and use of the Site and the Services. INTERACTIVE MD may, in its sole discretion, refuse to accept your registration or subscription due to noncompliance with any eligibility or subscription requirement.

Modification to Terms of Use

INTERACTIVE MD reserves the right to modify the Terms of Use periodically, for any reason, and without notice. Please review this Agreement online at www. You agree that, during the period of this Agreement INTERACTIVE MD may revise the terms and conditions of this Agreement; and change the Services provided under this Agreement. Unless we expressly note otherwise, these terms incorporate and supersede any other terms associated with the Services. Services Provided

INTERACTIVE MD’s Services are not for use for medical emergencies or urgent situations. IF YOU THINK YOU HAVE AN EMERGENCY, CALL/DIAL 911, IMMEDIATELY! INTERACTIVE MD makes no warranty as to the content of any treatment response. You and the Participating Physician are solely responsible for all information and/or communication sent during a Consultation or other communication. INTERACTIVE MD does not guarantee that a telephonic Consultation or a secure e-mail Consultation is the appropriate course of treatment for your particular health care problem. You agree to contact your primary care physician immediately should your condition change or your symptoms worsen. If you require urgent care, you should contact your local emergency services immediately. The Services are offered on an “as is” basis and used by you solely at your own risk. All specific information provided by you in connection with the Services shall be used to provide services and features to you and to maintain the associated web sites. INTERACTIVE MD shall make no effort to validate any information provided by you for use with the Services for content, correctness or usability. Use of INTERACTIVE MD services requires a certain level of knowledge of the use of the Internet and World Wide Web. You are required to have the necessary knowledge to use the Internet and the World Wide Web. INTERACTIVE MD reserves complete and sole discretion with respect to the operation of the INTERACTIVE MD Services. INTERACTIVE MD may, among other things withdraw, suspend or discontinue any functionality or feature of the INTERACTIVE MD Services.

Electronic Medical Records

Your INTERACTIVE MD Electronic Medical Record (“Electronic Medical Record”) is created for you to enter, store, access and update your personal health information online, including medical history, current health conditions, symptoms, allergies, and medications (“Medical History Assessment”), and for your Participating Physician to record the results of his or her medical encounters with you in accordance with his or her obligations under applicable state and federal law with regard to creating and maintaining your medical record. If you complete and submit your Medical History Assessment online, there is no charge for submitting it. If, however, you wish to complete and submit the same over the telephone, Interactive MD shall provide a service agent to assist you, in which case there will be a ten dollar ($10.00) charge for this service. Any information provided as part of a telephonic or secure e-mail Consultation becomes part of your INTERACTIVE MD Record. You agree to provide accurate and complete information for your Electronic Medical Record, to periodically review such information, and to update information that you provide as needed. For additional information regarding use of your Electronic Medical Record, please see the Privacy Notice. It is your sole responsibility to confirm the accuracy of any and all information included in your Electronic Medical Record, including third party information, and to update such information as needed. PLEASE NOTE THAT IT IS SOLELY THE PARTICIPATING PHYSICIAN’S OBLIGATION TO USE AND DISCLOSE THE INFORMATION INCLUDED IN YOUR ELECTRONIC MEDICAL RECORD IN ACCORDANCE WITH APPLICABLE STATE AND FEDERAL LAW, INCLUDING, WITHOUT LIMITATION, OBTAINING ANY CONSENTS OR AUTHORIZATIONS THAT MAY BE REQUIRED FOR YOUR INFORMATION TO BE SHARED WITH OTHER PARTICIPATING PHYSICIANS. HOWEVER, BY REQUESTING A DIAGNOSTIC MEDICAL CONSULTATION, YOU AGREE TO DISCLOSE THE CONTENTS OF YOUR COMPLETE ELECTRONIC MEDICAL RECORD TO THE PARTICIPATING PHYSICIAN WHO CONDUCTS YOUR DIAGNOSTIC MEDICAL CONSULTATION. ALL MEDICAL CONSULTATIONS ARE RECORDED AND THE AUDIO RECORDINGS SHALL BECOME PART OF YOUR ELECTRONIC MEDICAL RECORD. SIMILARLY, ALL EMAILS FROM SECURE EMAIL MEDICAL CONSULTATIONS ARE SAVED AND SHALL BECOME PART OF YOUR ELECTRONIC MEDICAL RECORD.

INTERACTIVE MD is not responsible for maintaining data arising from use of the INTERACTIVE MD Services. INTERACTIVE MD reserves the right to maintain, delete or destroy all communications and materials posted or uploaded to the Services pursuant to its internal record retention and/or destruction policies.

Prescriptions

Please note that only if you have fully completed and submitted the Medical History Assessment and conducted a diagnostic medical consultation by telephone with a Participating Physician, may the Participating Physician conducting the diagnostic medical consultation prescribe medication for you, as determined appropriate by the Participating Physician in his/her sole discretion and professional judgment and within legal limitations. Participating Physicians will rely on the information contained within your Medical History Assessment, therefore it is your sole responsibility to confirm that such information is accurate and up to date. Any prescriptions will be called into the local pharmacy which you have designated in your Electronic Medical Record. NOTE: Prescriptions classified as controlled substances, scheduled medications, or where otherwise prohibited by federal or state law shall not be prescribed by, or available through, Participating Physicians. You agree that any prescriptions that you acquire from a Participating Physician shall be solely for your personal use. You agree to fully and carefully read all provided product information and labels and to contact a physician or pharmacist if you have any questions regarding the prescription.

Third Party Web Site

INTERACTIVE MD may provide links to third parties’ Web sites. Please be aware that by clicking on a banner advertisement that appears on one of the pages of the Site, you may be transported to a third party’s Web site and away from this Site. These Terms of Use and the Privacy Notice apply to your relationship with INTERACTIVE MD only and do not describe the terms of use, privacy policies or other policies of third parties with regard to (but without limitation) the collection, use and disclosure of personally identifiable information and personally identifiable health information. INTERACTIVE MD is not responsible for the terms of use, privacy practices, accuracy, copyright compliance, legality, decency or any of the Information, products, services or any transmissions received by or through third parties. If you click on a banner advertisement or a link to a third party’s Web site, you should review the privacy policy of the third party’s web site to determine that third party’s practices with regard to the collection, use and disclosure of personally identifiable information and personally identifiable health information. Any link on the Site to any third party’s Web site does not imply an endorsement of the terms or privacy practices of any third party by INTERACTIVE MD. Third parties are not authorized to make any representation or warranty on INTERACTIVE MD’s behalf. You agree that INTERACTIVE MD has no liability, obligation or duty whatsoever for any third party’s terms of use or privacy practices or any third party’s Web sites and your use or misuse of them. If you wish to suspend e-mail or mail communications from third parties, you must contact them directly.

Use and Privacy

The network resources of INTERACTIVE MD may not be used to impersonate another person or misrepresent authorization to act on behalf of others or INTERACTIVE MD. All messages transmitted via INTERACTIVE MD should correctly identify the sender; you may not alter the attribution of origin in electronic mail messages or posting. You shall not attempt to undermine the security or integrity of computing systems or networks of INTERACTIVE MD, its Partners, or those accessed through or with their product, and must not attempt to gain unauthorized access. All specific information you provide in connection with the Services shall be governed by the INTERACTIVE MD Privacy Policy which can be found at www.INTERACTIVE MD.com/privacy. As part of these Terms of Use, you warrant that you understand, and have read and accepted all terms and conditions contained within the INTERACTIVE MD Privacy Policy. INTERACTIVE MD reserves the right to terminate any account that does not include a valid email address on file. This email address must be stored in the profile for your account on the INTERACTIVE MD system.

Service Reliability and Warranties

INTERACTIVE MD makes no warranties or representations of any kind, whether expressed or implied for the Services. Your use of INTERACTIVE MD Services is at your sole risk. Neither INTERACTIVE MD, its employees, directors, affiliates, agents, third party information providers, merchants licensers or the like, warrant that INTERACTIVE MD Services will be uninterrupted, timely, secure or error free; nor do they make any warranty as

INTERACTIVE MD also DISCLAIMS ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE and will not be responsible for any damages that may be suffered by you, or viewers of your materials, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of INTERACTIVE MD. Use of any information obtained by way of INTERACTIVE MD is at your own risk, and INTERACTIVE MD specifically denies any responsibility for the accuracy or quality of information obtained through its services. Fraud Prevention and Security

Any comments, suggestions and submissions made by you, including but not limited to, messages, notes, feedback, artwork, communications, computer code or creative materials provided to INTERACTIVE MD shall become the exclusive property of INTERACTIVE MD. At the time the comment, suggestion, and/or submission is made it shall act as a full assignment to INTERACTIVE MD of all rights whatsoever (copyright, patentability, and intellectual property). INTERACTIVE MD shall have the right to use said comment, suggestion, and/ or submission as its own for all legal purposes including but not limited to reproduction, disclosure, publishing, distribution and the like without any compensation to you. This section shall not include any personal information submitted by you that would be included as part of the Health Information Portability and Accountability Act of 1996.

Indemnification

YOU PROVIDE TO INTERACTIVE MD, ANY OF ITS AFFILIATES, ANY PARTICIPATING PHYSICIAN OR CUSTOMER SERVICE AGENT, AND/OR (VI) ANY NEGLIGENT OR WRONGFUL ACTION OR OMISSION BY YOU IN THE USE OR MISUSE OF THE SITE OR THE SERVICES OR ANY INFORMATION POSTED ON THE SITE, INCLUDING, WITHOUT LIMITATION, INFRINGEMENT OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS, PRIVACY RIGHTS, OR NEGLIGENT OR WRONGFUL CONDUCT.

Third Party Protection

The Indemnification and Disclaimers provisions set forth above are for the benefit of INTERACTIVE MD, and its Affiliates. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

Fees for Service

You agree to pay membership fees and/or Consultation fees, if any (“Fees”), as provided on the INTERACTIVE MD web site. All Fees shall only be payable with a valid credit card (“Valid Payment”), and shall be due prior to your receipt of Services. As further consideration for the Services, you agree to provide certain current, complete and accurate information about them as required by the registration for Services and maintain and update this information as needed, to keep it current, complete and accurate. By completing and submitting the registration form you represent that the statements in the form are true and accurate. You agree that any unpaid balance due hereunder shall bear interest at the rate of 18% per annum, or the maximum allowed by law, and that costs of collection, including court costs and reasonable attorney fees shall be added as principal amounts to such balance. INTERACTIVE MD reserves the right to modify its pricing structure at any time and shall post such modifications on the INTERACTIVE MD web site, prior to their implementation.

Scheduled Consultations

You understand and agree that by scheduling a Consultation with a Participating Physician through INTERACTIVE MD, you are committing yourself to be available to speak to the Participating Physician at the scheduled time (“Scheduled Consultation”). You understand and agree that all Scheduled Consultations, cancelled with less than twelve (12) hours notice, will be charged any Fees which may be due as you will be deemed to have used the Services.

Jurisdiction and Choice of Forum

The Terms of Use shall be governed and construed in accordance with the laws of the State of Florida, as amended from time to time, without giving effect to any choice of law rules or principles. You agree that the Terms of Use contract is entered into in the State of Florida. You agree that any litigation filed in relation to the Terms of Use, or to your access to or use of the Services, will be filed in a federal or state court in Palm Beach County, Florida. Any cause of action or claim you may have with respect to INTERACTIVE MD must be commenced within one (1) year after it arises, except to the extent such limitation is not enforceable. To the fullest extent permitted by law, each party to this Terms of Use waives its or his or her right to a jury trial with respect to any dispute or other controversy arising from hereunder or your use of or access to the Services or web site. The Terms of Use, along with your agreement to pay any applicable subscription costs or fees, constitutes the entire understanding of the parties.

Waiver

Failure to exercise or delay in exercising any right hereunder, or failure to insist upon or enforce strict performance of any provision of this Terms of Use, shall not be considered waiver thereof, which can only be made by signed writing.

No single waiver shall be considered a continuing or permanent waiver.

Severability

The provisions of this Terms of Use are severable, and in the event any provision hereof is determined to be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions, but such provision shall be reformed, if reasonably possible, only to the extent necessary to make it enforceable.

Relationship of Parties

Neither you, nor INTERACTIVE MD, its agents or employees, are the representatives of the other party, for any purpose and neither party has the power or authority as agent, employee or any other capacity to represent, act for, bind or otherwise create or assume any obligation on behalf of the other party for any purpose whatsoever.

Spam and Compliance with Anti -Spamming Laws

INTERACTIVE MD has a strict zero tolerance for unsolicited bulk email, unsolicited posting to news groups or other illegal activities. You shall not use or permit any of its employees, agents or affiliates to: market, promote or solicit INTERACTIVE MD products in ways that violate the federal CAN-SPAM Act (Controlling the Assault of Non-Solicited Pornography and Marketing) or any other federal or state laws or regulations. You shall not infringe the rights of others, shall not distribute chain letters or unsolicited bulk electronic mail (“spamming”); propagate computer worms or viruses; use a false identity; attempt to gain unauthorized entry to any site or network; infringe copyrights, trademarks, or other intellectual property rights. You further agree to comply with U.S. export laws concerning the transmission of technical data and other regulated materials via the Worldwide Web. You agree to indemnify and hold INTERACTIVE MD harmless for any and all acts found or suspected to be in violation hereof. You shall indemnify and hold INTERACTIVE MD harmless against and from losses, damages, costs, and reasonable attorney fees, if any, incurred in defending and/or resolving any suits brought against INTERACTIVE MD or any of its employees, shareholders or officers, arising from any claims, by anyone arising out of an alleged violation of any anti-spamming rules, regulations, laws, statutes, and the like. Your account will be terminated for any of the above infractions. By accepting this agreement you are holding INTERACTIVE MD harmless for any and all of these actions and agree to the policies as stated and as amended from time to time.

Entire Agreement

This Terms of Use, together with any INTERACTIVE MD rules or policies referred to herein, and including your agreement to pay the applicable Fees for subscription to and use of the Services, represents the complete agreement between you and INTERACTIVE MD, and it replaces all prior oral or written communications concerning such subject matter. INTERACTIVE MD may modify this Terms of Use as set forth above.
