In accordance with the regulations of the Law on Associations and Foundations, the Statute of
National Youth Council of Macedonia (NYCM) and the decisions of its General Assembly no. 0101-
8/1 from 30.06.2014; 01-21/5 from 27.02.2016 and 01-08/6 from the General Assembly of the
NYMC held on its session on 25.03.2017, adopted the following consolidated text of the:
S T A T U T E
Article 1
Certain expressions used in this Statute have the following meaning:
- Activity – Organized method of acting
- Organization – Legal entity registered in accordance with the Law on Associations and
Foundations of R Macedonia and other laws
- Youth – persons between the age of 15 and 291
- Total vote count of the General Assembly - summa summarum of all lawful members of
the NYCM
- Votes presented at the General Assembly – total vote count of the present delegates of the
lawful members of the current assembly
Article 2
The National Youth Council of Macedonia (hereinafter referred to as: NYCM) represents an
alliance of associations where associations and foundations from the Republic of Macedonia are
members on a voluntary basis.

The abbreviated title of NYCM is: НМСМ
The international title of NYCM is: National Youth Council of
Macedonia
The official headquarters of NYCM is located in Skopje, str. Miroslav Krlezha 52-2, 1000 Skopje
NYCM is operating on the territory of the Republic of Macedonia.
NYCM LEGAL STATUS
Article 4
NYCM has the status of a legal entity with all the rights and responsibilities that are derived from
the Constitution of the Republic of Macedonia, the Law on Associations and Foundations and
other legal regulations of R Macedonia, as well as the Statute and other internal acts of the
NYCM. It is held accountable in regards to its obligations with all the assets and means at its
disposal.
Article 5
NYCM is a nonprofit organization.
NYCM cannot participate in political activities pertaining to any political party nor does it use its
assets and means for the accomplishment of other organizations’ goals.
NYCM cannot be founded or operate with the purpose of acquiring financial gain.
NYCM can perform activities that might acquire financial gain, in accordance with the goals set
forth in this Statute.
Should such financial gain be acquired, it will be used solely for the achievement of goals set forth
in this Statute.
The obtained financial gain cannot be allocated between the founders, members, member organs,
employees, or any other person in connection to them, in accordance with the Law on Associations
and Foundations.

NYCM EMBLEM
Article 6
The NYCM has its own emblem: the NYCM Emblem represents a ball of yarn containing threads
of pink, green and blue color.
The manner of use and utilization of the logo is regulated by a Design Manual of the NYCM
adopted by the Executive Board.

STAMP and SEE
Article 7
The NYCM has a round seal. The NYCM logo is placed in the middle of the seal and it is
surrounded by the following text: National Youth Council both in Macedonian and Albanian
language.
NYCM has a rectangular stamp containing the name of NYCM, as well as empty space for number
and date.
GOALS AND TASKS OF THE NYCM
Article 8
The mission of the NYCM is to represent the interests and needs of young people as a link to all
the relevant stakeholders, as well as to ensure the inclusion and active involvement of young
people in the decision making process on all levels.
Article 9
The NYCM has the following goals:
1. Strengthening the role of the NYCM as a representative body of young people and
youth organizations;
2. Stimulating the processes of adequate policy creation enabling the social and
personal development of young people;
3. Advocacy and acting on behalf of the interests of young people and youth
organizations by representing their interests before the relevant institutions;
4. Uniting and developing the capacities of the youth sector through strengthening
and promoting the role of youth organizations.
5. Promoting informal education and encouraging the creation of youth support systems on
the local and national levels;
6. Improving the position of young people in society through:
- Promotion and activities aimed at strengthening youth involvement in the decision
making processes,
- Promotion of youth activism, youth information and active citizenship among young
people;
- Improving youth equality and treatment, as well as tolerance and democracy in and
among young people.
In the process of accomplishing the aforementioned goals, the NYCM shall represent the
interests of the young people in the Republic of Macedonia regardless of their socio-economic
position, sex, race, ethnic and cultural background, political and religious beliefs, sexual
orientation, gender identity or any other form of distinction.

For the purpose of accomplishing its stated goals, the NYCM shall use the following methods of
action:
1. Formulating and development of policies, expert opinions and educational materials in
the area of youth policy and all other areas related to and important for young people;
2. Organizing campaigns, promotional and raising public awareness activities in areas
related to and important for young people;
3. Working on building the capacities of its members through counselling, training and
exchange of experiences;
4. Organizing professional meetings, counselling, seminars and other forms of education in
the areas of youth policy and other public policies which are of importance to young
people, both individually or in cooperation with other organizations and institutions;
5. Cooperating with the universities and other educational and cultural institutions, state
institutions, professional associations, international organizations both at home and
abroad;
6. Publishing publications and other educational materials on topics related to youth
policies and other public policies of importance for young people.
7. Carrying out researches on topics regarding youth policies and other areas of significance
to the young people.

NYCM MEMBERSHIP
Article 12
Members of the National Youth Council of Macedonia are legal entities with the status of
associations, foundations, alliances of associations and youth wings of other organizations which
are registered in the Republic of Macedonia and operate in accordance with the Law on
Associations and Foundations as well as other laws.

Organizations members of the NYCM are categorized into the following categories:
1. Alliances;
2. Youth Organizations;
3. Organizations for Young People;
4. Youth wings of other organizations.
Article 14
Membership in the NYCM may be:
- Full
- Associate
CRITERIA FOR FULL MEMBERSHIP
Alliances
Article 15
In order to obtain the status of a full member, the organizations categorized as Alliances need to
meet the following criteria:
1. Experience in working with young people and representing the interest of young people
of at least 3 years;
2. Be registered as an Alliance in the sense of the regulations from the Law on Associations
and Foundations or other laws in relation to allegiances.
3. The structure of the Assembly or the Executive Board must consist of young people;
4. Young people must represent a strategic priority defined in the mission and the Statute of
the organization;
5. Implement at least 10 activities annually, with an annual coverage of at least 300 young
people as beneficiaries of these activities;
6. The budget of the organization for the last year, based on the final annual account, to
be at least 123,000 MKD;
7. Not to be members of an organization (alliance) which is already a member of the NYCM;
8. To have an updated website or any other online platform for public relations.
Youth Organizations
Article 16
In order to obtain the status of a full member, the organizations categorized as Youth
Organizations need to meet the following criteria
1. Experience in working with young people and representing the interest of young people
of at least 3 years;
2. Two thirds of the structure of the Assembly or the Management Board to be
comprised of young people;

3. Comply with the principle of work “by the youth for the youth”;
4. The goals, statute and activities of the organization should be related to work with young
people;
5. Implement at least 10 activities annually, with an annual coverage of at least 300 young
people as beneficiaries of these activities
6. The budget of the organization for the last year, based on the final annual account, to
be at least 123,000 MKD;
7. Not to be members of an organization (alliance) which is already a member of the NYCM;
8. To have an updated website or any other online platform for public relations.
Article 17
Should the organization stop meeting the criteria for full membership in the NYCM as a Youth
Organization in the sense of article 16 from this Statute, however, it meets the criteria for
membership as an Organization for Young People, the General Assembly at the start of
the first next session can confirm a more suitable categorization of that same
organization as Organization for Young People.
Organizations for Young People
Article 18
In order to obtain the status of a full member, the organizations categorized as Organizations for
Young People need to meet the following criteria:
1. Experience in working with young people and representing the interest of young people
of at least 3 years;
2. The structure of the Assembly or the Executive Board must consist of young people;
3. Young people must represent a strategic priority defined in the mission and the Statute of
the organization;
4. Implement at least 10 activities annually, with an annual coverage of at least 300 young
people as beneficiaries of these activities
5. The budget of the organization for the last year, based on the final annual account, to
be at least 123,000 MKD
6. Not to be members of an organization (alliance) which is already a member of the NYCM;
7. To have an updated website or any other online platform for public relations.
Youth Wings of Other Organizations
Article 19
In order to obtain the status of a full member, the organizations categorized as Youth Wings of
Other Organizations need to meet the following criteria:
1. To be incorporated as an integral part of the organization whose youth wing it belongs to
2. Experience in working with young people and representing the interest of young people
of at least 3 years;
3. The structure of the Assembly or the Executive Board must consist of young people; ;
4. Implement at least 10 activities annually, with an annual coverage of at least 300 young
people as beneficiaries of these activities;

5. Not to be members of an organization (alliance) which is already a member of the NYCM;
6. To have an updated website or any other online platform for public relations.

Article 20
Recategorization from full member to an associate member.
Should an organization member of the NYCM stop meeting the criteria for full membership in the
NYCM, the General Assembly at the start of the first next session shall assign a more suitable
categorization of the organization as an associate member, provided the aforementioned
organization meets the criteria for associate membership in the sense of the regulations of this
Statute.
CRITERIA FOR ASSOCIATE MEMBERSHIP
Alliances
Article 21
In order to obtain the status of an associate member, the organizations categorized as Alliances
need to meet the following criteria:
1. Experience in working with young people and representing the interest of young people
of at least 2 years;
2. Be registered as an Alliance in the sense of the regulations from the Law on Associations
and Foundations or other laws in relation to allegiances.
3. The structure of the Assembly or the Executive Board must consist of young people;
4. Young people must represent a strategic priority defined in the mission and the Statute of
the organization;
5. Implement at least 10 activities annually, with an annual coverage of at least 200 young
people as beneficiaries of these activities
6. The budget of the organization for the last year, based on the final annual account, to
be at least 61,500 MKD
7. Not to be members of an organization (alliance) which is already a member of the NYCM;
8. To have an updated website or any other online platform for public relations.
Youth Organizations
Article 22
In order to obtain the status of an associate member, the organizations categorized as Youth
Organizations need to meet the following criteria
1. Experience in working with young people and representing the interest of young people of
at least 2 years;
2. Two thirds of the structure of the Assembly or the Management Board to be comprised of
young people;
3. Comply with the principle of work “by the youth for the youth”;
4. The goals, statute and activities of the organization should be related to work with young
people;

Organizations for Young People
Article 23
In order to obtain the status of an associate member, the organizations categorized as
Organizations for Young People need to meet the following criteria:
1. Experience in working with young people and representing the interest of young people of
at least 2 years;
2. The structure of the Assembly or the Executive Board must consist of young people;
3. Young people must represent a strategic priority defined in the mission and the Statute of
the organization;
4. Implement at least 10 activities annually, with an annual coverage of at least 200 young
people as beneficiaries of these activities
5. The budget of the organization for the last year, based on the final annual account, to be at
least 61,500 MKD
6. Not to be members of an organization (alliance) which is already a member of the NYCM;

Youth Wings of Other Organizations
Article 24
In order to obtain the status of an associate member, the organizations categorized as Youth Wings
of Other Organizations need to meet the following criteria:
1. To be incorporated as an integral part of the organization whose youth wing it belongs to
2. Experience in working with young people and representing the interest of young people of
at least 2 years;
3. The structure of the Assembly or the Executive Board must consist of young people;;
4. Implement at least 10 activities annually, with an annual coverage of at least 200 young

RIGHTS AND OBLIGATIONS OF MEMBERS OF NYCM
FULL MEMBERS

Organizations categorized as full members of the NYCM have the following rights:
1. Participation in the obtaining of the NYCM goals;
2. Participation in the activities organized by the NYCM via its own representatives;
3. Active participation in the process of building stances and creating policies within the
frameworks of the NYCM;
4. Have the right to vote in the General Assembly, in accordance with the regulations of this
Statute;
5. Nomination and vote for the election of members of the Executive Board and the rest of
NYCM’s organs;
6. Participation, opinion and proposal making during the sessions of the General Assembly of
the NYCM;
7. Be informed about the NYCM work;
8. Have insight in the legal acts and documents of the NYCM;
9. Request an interpretation of the Statute of the NYCM;
10. Secure other rights in accordance with the regulations of this Statute, internal documents
of the NYCM and the positive-legal regulations of R Macedonia.
Article 26
Organizations categorized as full members of the NYCM have the following obligations:
1. To regularly take part in the sessions of the General Assembly of the NYCM;
2. To pay an annual membership fee;
3. To comply with the values of the NYCM;
4. To maintain the reputation of the NYCM;
5. To actively contribute to the development of the NYCM;
6. Report to NYCM about all changes or amendments of the Statute and supply consolidated
text of the Statute within 30 days of the change registry date, i.e. the amendment of the
Statute in the appropriate register;
7. Have other obligations in accordance with the regulations of this Statute, the internal acts
of the NYCM and the positive-legal regulations of R Macedonia.
THE RIGHT TO VOTE
Article 27
Full members of the NYCM have the right to vote in the General Assembly in the following manner:
1. The full members categorized as Alliances: at least one vote, and the number of votes increases
by one for every three organizations members of the Alliance that meet the criteria for associate
members such as Youth Organizations or Organizations for Young People in the sense of the
regulations of this Statute, in that the total number of votes cannot exceed 4;
2. Full members categorized as Youth Organizations – the right to 2 votes;
3. Full members categorized as Organizations for Young people and Youth Wings of Other
Organizations – the right to 1 vote.

ASSOCIATE MEMBERS
Article 28
Organizations categorized as associate members of the NYCM have the following rights:
1. Participation in the obtaining of the NYCM goals;
2. Participation in the sessions of the General Assembly without the right to vote, with the
possibility of giving opinions and making proposals;
3. Be informed about the NYCM work;
4. Have insight in the legal acts and documents of the NYCM;
5. Request an interpretation of the Statute of the NYCM;
6. Secure other rights in accordance with the regulations of this Statute, internal documents of
the NYCM and the positive-legal regulations of R Macedonia.
Article 29
Organizations categorized as associate members of the NYCM have the following obligations:
1. To regularly take part in the sessions of the General Assembly of the NYCM;
2. To pay an annual membership fee;
3. To comply with the values of the NYCM;
4. To maintain the reputation of the NYCM;
5. Have other obligations in accordance with the regulations of this Statute, the internal acts of
the NYCM and the positive-legal regulations of R Macedonia.
APPLYING FOR MEMBERSHIP
First membership application
Article 30
The organization that applies for membership in the NYCM for the first time needs to submit the
following documentation:
1. Filled in form – request for membership admittance;
2. Statute;
3. Current financial balance (not older than six months);
4. Organizational scheme;
5. Annual narrative and financial reports for the last two years;
6. Proof of summoning a session of the General Assembly or other organ of management of
the highest rank;
7. Decision for membership in the NYCM brought by a body authorized to make that sort of
decision in accordance with the Statute and the internal acts of the applicant;

8. Work program in accordance to which the organization shall realize its activities in the
following period of at least 6 months.
The documentation from act 1 should be submitted to the Secretary Office of the NYCM.
Article 31
The decision about the membership admittance is brought by the Assembly of the NYCM. The
organization that was admitted as a member by such decision is obligated to pay an annual
membership fee within 45 days from the day this decision was made. Failure to do so shall revoke
the previously made decision for membership.
MEMBERSHIP RENEWAL
Article 32
Each organization member of the NYCM is obligated to renew its membership on a yearly level, no
later than 31 March of that year, valid for the next 12 month period.
During the membership renewal the members of the NYCM need to submit the following
documentation:
- Filled in form – request for membership renewal;
- Annual narrative and financial report for the previous year;
- Proof of paid annual membership fee to the NYCM.
After date expiry from act 1, the Executive Board on its first next session confirms the list of
organizations that have renewed its membership in the NYCM.
Article 33
Organization – associate member of the NYCM that during the membership renewal has applied for
full membership admittance needs to submit the documentation as described in article 30.
The transformation from associate to full membership is verified by the General Assembly of the
NYCM.
MEMBERSHIP TERMINATION
Article 34
The status of a full or associate member shall be terminated by a decision of the General Assembly
in the following instances:
1. If the organization itself decides to relinquish its membership by sending an official letter to the
Management Board of the NYCM;

2. If the organization fails to pay 2 consecutive annual membership fees;
3. If the organization is absent from two consecutive sessions of the General Assembly;
4. By means of expulsion, if the organization fails to meet the membership criteria;
5. By means of expulsion, if the organization is not in compliance with the Statute, the goals
stipulated therein and the Work program of the NYCM
The General Assembly of the NYCM confirms the membership termination and decides upon
organization expulsion from the NYCM.
In the cases of act 1, point 1 and 2, the General Assembly shall terminate the membership of the
organization in the NYCM without voting during its first next session.
In the case of act 1, point 3, the General Assembly shall terminate the membership of the
organization in the NYCM without voting at the end of its second consecutive session the
organization is absent from.
In the cases of act 1, points 4 and 5, the General Assembly, upon a proposal of an organ of the
NYCM or any delegate, makes the decision for the membership termination of the organization in
the Council.
The decision from act 1, point 5 is being made by two third majority from the total number of votes
of the General Assembly.
Article 35
The NYCM Assembly shall form a Membership Committee, an independent body which shall
review membership applications, as well as existing membership. The Membership Committee is
formed by the NYCM Assembly based on a proposal by its members. The Committee shall comprise
of three members with a two year mandate. The work of the Committee shall be regulated by a
special act.
MEMBERSHIP FEE
Article 36
The annual membership fee amount is being determined by the Executive Board, no later than 30
September of the current year, and the amount that was determined is in regards to the following
registration (membership renewal) of the organizations.

ORGANISATIONAL STRUCTURE
Article 37
The following are NYCM bodies:
1. General Assembly
2. Executive Board
3. President
4. Vice president
5. Supervisory Board
6. Secretariat
GENERAL ASSEMBLY
Article 38
The highest NYCM body is the General Assembly comprising of all the member organizations.
All organizations full members of the NYCM that have registered in accordance with the regulations
of this Statute possess the right to vote.
The Assembly meets at least once a year and has the following competences:
1. Adopt the Statute of the NYCM, as well as make changes and amendments to it
2. Adopt the annual work program and provide guidelines for its implementation
3. Adopt the narrative and financial annual report for the work of the NYCM
4. Adopt a budget (financial plan) of the NYCM, upon Executive Board proposal;
5. Elect and dismiss members of the Executive Board of NYCM, the President and
the Vice president of the Supervisory Board
6. Make decisions on accepting new member organizations , as well as on terminating the
membership of member organization in the NYCM
7. Provide guidelines for the wok of the NYCM
8. Adopt a strategy for the work of the NYCM
9. Decide on the membership of NYCM in international organizations
10. To decide on the establishment of temporary working bodies for the purpose of carrying out
activities that fall under its competence
11. Decide on the termination of the NYCM with a two third majority of all the members of the
NYCM
12. Conduct other activities that are derived from this Statute and the program activities, or
activities which are regulated by law and other regulations
The Assembly regulates its work with a special Rules of procedure which is adopted with the
majority of the votes of the overall number of present members.

Article 39
The sessions of the General Assembly are convened at least 30 days prior to the date session, by
delivering an invitation to the members thereof.
The sessions of the Assembly are convened by the President on his or her own initiative, based on a
proposal by the Executive Board of the NYCM or at least one third of the registered full members of
the NYCM.
If the President does not convene a session within 15 days of the day the proposal is submitted,
then the Executive Board or the initiators of the proposal shall convene it the next 15 day.
Article 40
The Assembly is convened at least 30 days before that day of the holding of the session by
distributing invitations to the members of the Assembly. The session of the Assembly can be held if
50% + 1 of the overall number of members of the Assembly are present.
The sessions of the Assembly are chaired by the President of the NYCM. In case of his/her absence,
the session is chaired by the Vice president of the NYCM.
The decisions of the Assembly shall be valid if they have been voted by more than half of the
number of members which is necessary for a quorum for the session to be held, unless it is
otherwise stipulated with this Statute, the Rules of procedure of the Assembly or some other of its
acts.
Article 41
The Assembly, by rule, works in open sessions and adopts decisions by public voting;
The Assembly makes decisions by public voting of the present members except:
- The election of the members of the management, executive or supervisory bodies.
- The Assembly makes a decision in regards to a certain issue to proceed towards secret
voting.
EXECUTIVE BOARD
Article 42
The management of the organization in the period between two sessions is performed by the
Executive Board.
It is comprised of seven (7) members, five of which are elected by the General Assembly, whereas
the President and the Vice president are members due to their work post.
The Executive Board is held accountable for its work before the General Assembly.
The work of the Executive Board members is on a voluntary basis.

The Executive Board can carry on its function if there is a more than half membership presence at
the sessions.
The sessions are held at least once a month.
The decisions of the Executive Board are made by a majority vote from the total number of votes,
unless otherwise stipulated by this Statute.
Its work is stipulated by a special Procedural manual adopted by the majority of votes from the total
vote count.
Article 43
The mandate of the members of the Executive Board is two years with a possibility for one re-
election.
The selection of the members of the Executive Board is being carried out on the basis of a candidate
list containing the names of all proposed candidates in alphabetical order. Each member of the
General Assembly has the right to vote for maximum five candidates from that list. Elected members
are those with highest vote count but no less than 1/3 from the total vote count of the Assembly.
Article 44
The Executive Board of the organization has the following competences:
1. Manage the NYCM between two sessions of the Assembly
2. Execute the joint decisions and conclusions of the Assembly
3. Publish a competition for a General Secretary, then to elect one from the ranks of applied
candidates, as well as dismiss him or her, if necessary
4. Represent the interests of the organization and its members;
5. Take part in ensuring financial support for the work of the organization
6. Report about its work before the Assembly
7. Supervise the work of the Secretariat;
8. Propose changes and amendments to the Statute, as well as passing a new one;
9. Decide on the establishment of committees and bodies to carry out activities which fall
under its competence
10. Adopt rules of procedure and other acts to regulate more specifically issues related to the
work of the NYCM
11. Establish the amount of the annual membership fee;
12. Appoint representatives of the NYCM to other organizations and associations, government
bodies and international organizations;
13. Work on the promotion of unity and understanding of the goals and principles of the
NYCM, as well on its overall development and maintaining its specific character;
14. Carry out other activities in accordance with this Statute, the internal acts of the NYCM,
positive-legal regulations, as well as activities out of jurisdiction of any other legal body of
NYCM.

Article 45
The duty member of the Executive Board can be terminated before expiry date in the following
instances:
- Upon request of the member of the executive Board, by submitting a letter of written
resignation. the resignation is submitted to the President of the NYCM and the mandate of
the member of the Executive Board stops at the day of receiving the resignation by the
President. In case the President resigns, the letter of resignation is submitted to the
Executive Board.
- Untimely relieve of duty by the Assembly due to violation of the regulations of this Statute,
the internal acts of the Assembly, the Constitution, the legal regulations or unconscientious
proceedings.
- If absent from more than half of the held sessions of the General Assembly in the current
year, i.e. unjustified absence to three consecutive sessions of the Executive Board;
- Death or revoking the right to work competence.
In the cases of act 1, point 3 and 4 the termination of the mandate is being noted by the Executive
Board.
Article 46
In case of mandate termination of a member of the Executive board in some of the cases described
in article 45, the vacated spot in the Executive Board shall be taken by a candidate that received
second biggest vote count, only if that same candidate received at least 1/3 of the total vote count.
In case there is no candidate that meets the criteria for replacement in accordance with act 1, the
Executive board shall publish a competition for the election of a member replacing the former
member.
The member of the Executive Board shall be elected via submitting candidatures with the support
of organizations – full members.
The Executive Board shall confirm that the new member has been elected with the support of
organizations with biggest vote count, but no less than 1/3 of the total vote count of organizations –
full members.
The mandate of the newly elected member in accordance with the regulations of this article shall
last until the next session of the General Assembly, when there will be a regular procedure for the
election of member/s of the Executive Board.
The Executive Board possesses the right to elect maximum two members in the course of its
mandate.
Article 47
Minutes are kept of the work of the Executive Board.

The decisions and the conclusions adopted by the Executive Board have to be recorded in the
minutes of the meeting.
The minutes of the meeting are signed by the President and the minute keeper.
The decisions adopted at the meeting are signed only by the President of the NYCM.
The decisions made at the sessions of the Executive Board are submitted to all the members of the
NYCM. All members of the NYCM possess the right, at their request, to receive a copy of the session
of the Executive Board.
Article 48
The Executive Board is accountable for its work before the Assembly of the NYCM.
The Assembly can dismiss the Executive Board or certain of its members prior to the expiration of
their mandate by a majority of at least two-thirds of NYCM members, if it deems that they have not
been carrying out their duty in line with the provisions of this Statute, or the decisions of the
Assembly, internal acts of the NYCM and positive-legal regulations.
The decision from act 2 is being made by a majority of the number of votes presented at the
General Assembly, but no less than 1/3 of the total vote count.
PRESIDENT
Article 49
The President is an independent organ that advocates and represents the NYCM, and is held
accountable for its work before the Assembly of the NYCM.
The President is a member of the Executive Board due to the function he/she performs and
manages its work.
The presidential mandate is for two years with the possibility of one re-election.
The President is elected by the Assembly with a majority of votes from the total vote count.
In case none of the candidates wins the majority of votes from act 4, there is a second round of
vote with the participation of the first and second ranked candidates according to the number of
votes.
In the second round the winner is the candidate with the majority of vote counts but no less than
1/3 of the total vote count.
In case of only one candidate, he/she shall be considered elected with the majority of vote counts
but no less than 1/3 of the total vote count.

Article 50
The President tends to the work of the NYCM, makes sure it is in accordance with the Constitution,
legal regulations, as well as in accordance with the Statute and other legal acts of the NYCM, as well
as tends to the reinforcement of the decisions made by the organs of the NYCM.
The President is authorized to take actions regarding all current activities of the NYCM, with the
exception of making decisions and taking actions that are in jurisdiction of the Assembly and the
Executive Board.
Article 51
Within the framework of its jurisdiction, the President is in charge of the following:
- Presiding the sessions of the Assembly and the Executive Board of the NYCM;
- Follows and coordinates the executive and operative organs and bodies of the NYCM in
relation to the established activities and tends to regular carrying out of the activities within
the NYCM;
- Held responsible for the implementation of the decisions of the Assembly and the Executive
Board;
- On the basis of decisions made by the Executive Board can open or close bank accounts of
the NYCM;
- Represents the NYCM, whether on call, or by personal initiative , to events, manifestations,
meetings and gatherings organized by the NYCM, its members or other international and
national organizations, organs of state, units of local self governing and other organs, if it is
in accordance with the NYCM goals, and with prior consultation with the Executive Board;
- Submits a report of the NYCM work in the mandate period.
- Tends to the coordination of the financial – material proceedings of the NYCM with the legal
regulations;
- Carries out activities in accordance with the law, this Statute, internal acts of the NYCM and
acts of the Assembly.
VICE PRESIDENT
Article 52
The Vice president is an organ of the NYCM that helps the President in carrying out his/her duties
replaces him/her in case of absence and carries out activities transferred to him/her by the
President.

The vice presidential mandate is for two years with the possibility of one re-election.
The Vice President is elected by the Assembly with a majority of votes from the total vote count.

SUPERVISORY BOARD
Article 53
Supervision of the work of the legal organs and bodies of the NYCM is being carried out by the
Supervisory Board.
The Supervisory Board is an independent organ of the NYCM, consisting of five members.
The members are elected by the General Assembly.
The mandate of the members of the Executive Board is two years
The selection of the members of the Executive Board is being carried out on the basis of a
candidate list containing the names of all proposed candidates in alphabetical order. Each member
of the General Assembly has the right to vote for maximum three candidates from that list. Elected
members are those with highest vote count but no less than 1/3 from the total vote count of the
Assembly.
If more than one candidate has same number of vote for the last vacant position as member of the
Supervisory Board, the vote shall be repeated until one of them receives a higher number of votes.
Article 54
The members of the Supervisory Board elect President from their own midst.
The sessions are convened by the President.
The Supervisory Board can function and make decisions if at least three members are present at
the session.
The decisions of the Supervisory Board are brought by a majority vote count from the total one.
Article 55
The Supervisory Board controls the overall work of the organs and bodies of the NYCM, especially
controls the material-financial work.
It pertains the following competences:
- Follows the reinforcement of the Statute and the Work program of the NYCM;

- Follows the manner of work of the organs and bodies of the NYCM;
- Supervises the complete documentation of the organization, especially the documentation
regarding the material-financial work;
- Carries out other activities determined by this Statute, internal acts of the NYCM, as well as
acts and decisions made by the Assembly.
The Supervisory Board convenes upon necessity, at least twice in the course of one calendar year.
The Supervisory Board submits a report about its work to the Assembly once a year. The report
mandatorily contains another report about the carried out control and supervision over the
financial and accounting data.
Article 56
All organs and bodies of the NYCM are obligated upon request of the Supervisory Board to submit
copies of the complete documentation at their disposal, as well as offer collaboration to the
Supervisory board in carrying out the activities regarding control and supervision.
Article 57
The Assembly may revoke the Supervisory Board before the expiry date of the mandate.
The Assembly may revoke the whole of the Supervisory Board or separate members of it due to
inactivity, unconscientious work or disrespect for the acts of the NYCM.
The duty as a member of the Supervisory Board may terminate at the request of a member of the
SB, by submitting a letter of written resignation to the President of the SB.
The President of the SB is turn is obligated to inform the Executive Board about the resignation
without any further delay. The EB then passes the information to the General Assembly.
In case of resignation of the President of the SB, the resignation is submitted directly to the EB.
In case of mandate termination of member of the SB due to resignation or permanent inability to
act as member, a new member of the SB shall be elected at the next General Assembly.
Article 58
The Secretariat of the NYCM represents an operative organ in charge of the reinforcement of the all
activities in the area of current operations of the NYCM that are not in the jurisdiction of other
organs and bodies.
The Secretariat of the NYCM is governed by a General Secretary.
Apart from the General Secretary, the members of the Secretariat are coordinators that manage
the different departments within the Secretariat and its assistants.
The General Secretary is being elected by the Executive Board after previously published
competition. The decision about the election of the coordinators of the departments and assistants
is made by the EB upon receiving recommendation for the election by the General Secretary of the
NYCM.

With a decision made by the EB, the General Secretary and the rest of the Secretariat members can
find employment with the NYCM, if foreseen with the candidate competition and election of
members of the Secretariat for specific job posts.
Article 59
In order to carry out certain activities within its scope of work, the EB may form permanent or
temporary departments within the Secretariat.
Their work is managed in closer details by a special act brought by the EB of the NYCM.
GENERAL SECRETARY
Article 60
The General Secretary manages the work of the NYCM Secretariat.
The General Secretary is appointed and rejected by the EB of the NYCM after previously published
public competition.
The mandate of the General Secretary is three years with the possibility of re-election.
Article 61
The General Secretary has the following rights, obligations and responsibilities:
- Coordinates the departments and the members of the Secretariat;
- In coordination and upon request of the President and the EB, performs activities for the
implementation of the decisions made by the Assembly and the EB;
- Cooperates with the members of the EB about questions in relation to the realization of the
program, decisions and other acts of the organs of NYCM, as well as current issues of the
NYCM;
- Tends to proper utilization and planned usage of the property and the assets of the NYCM;
- Upon request of the EB, carries out other activities in the area of current work projects of the
NYCM;
- Participates in the sessions of the EB, gives opinions and proposals guided toward the
improvement of the Secretariat work and representing the interests of the organizations
members.
Article 62
The General Secretary is held accountable for its work before the EB of the NYCM.
The General Secretary submits an annual report to the EB and the Assembly in relation to his/her
work and the work of the NYCM Secretariat.

Upon request of a member of the EB, the General Secretary is obligated to provide information
about any issue within the scope of his/her work or the work of the NYCM Secretariat.
ELECTIONS and CANDIDATURES
Article 63
Elections for President, Vice president, General Secretary, members of the EB, the SB and the
Secretariat are announced by the Executive Board with a decision made known to all members of
the NYCM via public invitation for the submitting of the candidatures.
The elections are announced by the EB as soon as it has been determined that all the prerequisites
for new elections or filling a vacant position in some of the governing bodies have been met.
If the EB does not announce the elections in accordance with this article within 30 days of the day
prerequisites have been met, the President of the NYCM shall announce the elections within
further 8 days.
If the President does not announce the elections within the time frame from act 3, every full
member of the NYCM has the right to convene the Assembly that will announce the elections.
In electing the members of the organs of the NYCM further care shall be taken in terms of equal
opportunities and lawful participation for gender, ethnic or any other basis.
Article 64
Candidates for members of the organs submit their candidatures for the participation in the
elections. The content of the candidatures is determined by the organ announcing the elections.
The candidate for the President of the NYCM, in addition to the candidature must submit proposal-
program regarding the work during the mandate period.
CONFLICT OF INTERESTS
Article 65
No member of an organ of the NYCM has the right to vote for a decision that may bring financial
gain to themselves, a cousin, a friend or a relative.
Every member of an organ of the NYCM is obligated before making a decision about particular
issue to report conflict of interests, should such conflict exist in terms of the regulations of this
Statute.

Article 66
Acquisition of goods and services from a trade company or any other organization where a
member of an organ of the NYCM and a member of their closer family (spouse, parent, children)
possesses a share or some kind of economic interest can be carried out solely on the basis of a
decision made by the EB of the NYCM, brought by a two-third majority of the total number of
members.
Any possession in a trade company less than 2% shall not be considered as share.
TRANSPARENCY IN THE WORK OF NYCM
Article 67
The work of the NYCM is of a public kind.
Transparency in the work of the NYCM is being carried out via: publications of bulletins,
newspapers, session announcements, public media, internet sites etc.
All documents of the NYCM are archived and made available to the public in the original language
as well as occasionally in translated documents.
All documents that are published in the media of the NYCM are available in Albanian, Macedonian
and English language.
The NYCM Secretariat is held accountable for the work of the NYCM in the public.
NYCM publishes its work reports regularly on its internet page.
FINANCIAL-MATERIAL WORK
Article 68
The financial-material work of the NYCM is being carried out on the basis of the annual financial
plan. The assets are determined by the type of the income and are later distributed in accordance
to their purpose, goals and tasks.
The annual financial plan is passed on by the General Assembly of the NYCM, upon a proposal from
the EB, which is also in charge of its execution.
Article 69
In order to achieve its goals, the NYCM can raise money from: membership fees, grants,
sponsorships and donations, gifts, legacies, interests, loans, projects, economic activities realized in
accordance with the Law on Associations and Foundations, financial dotations granted for the
realization of the goals determined by this Statute, funds of R Macedonia, international funds, as
well as other resources in accordance with the law.

ACCOUNTABILITY
Article 70
The members of the organs of the NYCM shall be held personally accountable for any damages
they cause to the organization through:
- Misuse of the NYCM assets;
- Taking actions contrary to the positive-legal regulations, this Statute and the internal acts of the
NYCM thus causing material or non material damage to the organization.
Article 71
The members of NYCM bodies shall be personally and without any limitations accountable for their
obligations towards the NYCM, for any misuse of NYCM funds, for achieving goals which they are
banned from as individuals or for abuse of the organization as a legal entity to cause damage to
their creditors.
For the damage from act 1 shall not be held accountable members of the organs of the NYCM that
had contrary opinion and stated that opinion publicly, or were not present during the wrongful
decision making.
Article 72
Any claims for compensation to the damages can be submitted by the General Assembly as the
highest organ of the NYCM.
STATUTARY CHANGES
Article 73
The decision for statutory changes is being made by the General Assembly of the NYCM with 2/3
majority from the total vote count.
TERMINATION OF NYCM
Article 74
The NYCM ceases its existence by a decision made by the General Assembly, with 2/3 majority of
the total vote counts or in the following conditions:
- exceed the time for a session of the Assembly by double, and it has not been held;
- no final fiscal report has been submitted in the last two consecutive years;
- by 2/3 majority of the General Assembly a decision has been made for the carrying out of a
statutory change that foresees the termination of its existence;

- court decision;
- bankruptcy;
- liquidation.
In case of termination of the existence of the NYCM the General Assembly makes a decision to
relinquish its entire property to its members, proportionally to the number of votes that members
had during the last session of the Assembly.
INTERPRETATIONS AND STATUTE CHANGES
Article 75
The General Assembly has the right to Statute interpretation, and in the period between two
sessions that right goes to the EB.
Article 76
This Statute can be changed with:
- making changes or amendments to the Statute and
- passing on a new Statute.
Article 77
Proposition for a Statute change or amendment can be given by all members and organs of the
NYCM.
The initiative for the change or the amendment of the Statute is submitted to the EB at least 20
days prior to the session of the Assembly.
The initiative for the passing on of a new statute can be given by the EB of the NYCM or at least 1/3
of the organizations.
The EB submits the proposals for statutory changes and amendments or for the passing on of a
new statute to all organizations-members immediately after it has received them, i.e. within the
time frame from act 2 if the EB makes an initiative for the passing on of a new Statute.
The General Assembly of the NYCM forms a Statutory commission on each of its sessions that
reviews the amendments for the statutory change and presents to the Assembly its legal
sustainability.
The decision for the adoption of the proposed amendments, i.e. the passing on of a new Statute is
made by the General Assembly with a majority of the total vote count.

TRANSITIONAL AND FINAL REGULATIONS
Article 78
This Statute comes into force on the day of its passing, and shall be applied from the day of its
registration in the Registry of other legal subjects within the frames of the Central Register of the R
Macedonia.
